A RESOLUTION: AUTHORIZING P APILLON AIR MAINTENANCE SERVICES INC. TO
PROVIDE THIRD-PARTY AIRCRAFT MAINTENANCE SERVICES ON
BEHALF OF PROJET AVIATION IN ACCORDANCE WITH THE
PROJET AVIATION LEASE EXTENSION AGREEMENT
WHEREAS, the availability of high quality aircraft maintenance services is a vital need to
commercial and private aircraft operators at the Leesburg Executive Airport; and
WHEREAS, the Town of Leesburg entered into a Lease Extension Agreement with ProJet
Aviation LLC ("ProJet") on August 19, 2015 (the "Lease") under which ProJet agreed to provide
Fixed Base Operator services at the Leesburg Executive Airport, inclusive of aircraft maintenance
services; and
WHEREAS, the Lease contained the Town's consent to allow ProJet to provide aircraft
maintenance services through a qualified third party, and recognized Cycle Aviation LLC as
satisfying that requirement; and
WHEREAS, Cycle Aviation LLC was acquired by Sterling Technik Aviation Group, Ltd
(Sterling Aviation) in April, 2018; and
WHEREAS, ProJ et Aviation has terminated its contract with Sterling Aviation, and desires
that the Town recognize Papillon Air Maintenance Services Inc. as a qualified third party to perform
the aircraft maintenance services required under the Lease; and
WHEREAS, the Airport Commission finds Papillon Air Maintenance Services Inc. to be
qualified to provide the aircraft maintenance service requirements of the Lease; and
WHEREAS, the Airport Director recommends approving Papillon Air Maintenance Services
Inc. to satisfy the requirements of the Lease.
A RESOLUTION: AUTHORIZING PAPILLON AIR MAINTENANCE SERVICES INC. TO
PROVIDE THIRD-PARTY AIRCRAFT MAINTENANCE SERVICES ON
BEHALF OF PROJET AVIATION IN ACCORDANCE WITH THE PROJET
AVIATION LEASE EXTENSION AGREEMENT
THEREFORE, RESOLVED, by the Council of the Town of Leesburg in Virginia that the
Town recognizes and accepts that Papillon Air Maintenance Services Inc. is currently qualified to
perform aircraft maintenance services on behalf of ProJet Aviation LLC as defined in and in
accordance with the ProJet Aviation Lease Extension Agreement; and consents to the provision of
such aircraft maintenance services by Papillon Air Maintenance Services Inc. upon the leased
premises for so long as Papillon Air Maintenance Services Inc. remains qualified to perform such
services.
