Comments
The purpose of th~s ~tem ~s to request the Lynwood Public F~nance Authonty's approval to ~ssue a
Request for Proposals (RFP) for polling and public outreach services To avoid current and future
deficit spending ~n the assessment d~stncts, assessment fees need to be raised Increasing
assessments must be approved by the property owners through a ballohng process and property
owners must be made aware of the need for assessment ~ncreases ~f they are to make reformed
voting decisions The C~ty Councd d~rected staff to h~re a consultant to ~nform the public about the
need for the ~ncrease ~n the assessment rate and to determine the wdhngness of property owners to
accept an ~ncrease ~n assessments
Recommendation

Recommendation:
Staff respectfully requests that the Authority approve the attached resolution,
entitled "A RESOLUTION OF THE LYNWOOD PUBLIC FINANCING AUTHORITY
AUTHORIZING THE ISSUANCE OF A REQUEST FOR PROPOSALS TO
QUALIFIED CONSULTANTS FOR PROPERTY OWNER POLLING/PUBLIC
OUTREACH SERVICES FOR THE LYNWOOD LANDSCAPE AND
MAINTENANCE ASSESSMENT DISTRICT AND THE LYNWOOD LIGHTING
ASSESSMENT DISTRICT"
Background:
At the May 2, 2006 Lynwood Public Financing Authonty Board meeting, staff
presented a report with the subject heading, "Addressing Funding Issues of the
Landscape and L~ght~ng Assessment D~stncts" In that report, staff described how
the Landscape Assessment Distnct had a deficit fund balance of $286,707 m FY
2004-05 and that it is projected to increase to $501,207 by the end of FY 2005-06
The Lighting Assessment District has a poslt,ve fund balance at this bme but with
costs ~ncreas~ng every year, and no ~ncrease ~n assessments, ~t ~s only a matter of
time before the L~ghtmg Assessment Distnct will also develop a deficit fund
balance Also reported were five action steps that could to be taken to improve the
chances of successfully gaining voter approval of assessment increases At the
May 2, 2006 meeting, the Board d~rected staff to engage a consultant to 1) Poll
the property owners to gauge their support for assessment increases, and 2)
educate the property owners on the reasons for the increase and the imphcabon of
no increase
Discussion and Analysis:
Staff has prepared a request for proposals (RFP) for the polhng/pubhc outreach
services, and ~denbfled consultants to d~stnbute the RFP Polling ~s an ~mportant
first step m determining the wflhngness of property owners to accept an increase ~n
the assessment rates ~n hght of the current and projected costs for the services
prowded ~n each of the d~stncts Polhng property owners before beginning a pubhc
outreach campaign wdl show consultants how to ~nform property owners about the

benefits of ~ncreas~ng assessments On the other hand, ~t may reveal that the
public may not be tolerant of any ~ncrease ~n assessments, ~n which case the
Board/C~ty Council may choose to decline to pursue the matter any further
Since most consultants offer both polling and public outreach services, the RFP is
requesbng a proposal for both services, as well as any add~tional services such as
assessment eng~neenng services ~n the same contract Some consultants prowde
all the services by their ~n-house staff wh~le others sub-contract for spec~ahzed
services, such as assessment englneenng

WHEREAS, the Lynwood Pubhc F~nanc~ng Authonty Board of D~rectors
were ~nformed of the need to consider ~ncreas~ng assessments for the Lynwood
Landscape Maintenance Assessment D~stnct and the Lynwood L~ghbng
Assessment D~stnct, and
WHEREAS, the Lynwood Landscape Maintenance Assessment D~stnct
currently requires a subsidy from the C~ty General Fund, and
WHEREAS, the Lynwood L~ghtmg Assessment D~str~ct ~s expected to
require a subsidy from the C~ty General Fund beginning next fiscal year, and
WHEREAS, to avoid conbnu~ng subsidies from the C~ty General Fund
assessment fees may need to be ~ncreased, and
WHEREAS, to assess property owners' support for the possible
assessment ~ncreases, polhng wdl be necessary, and educatton on the need for
assessment ~ncreases and the consequences of not approvtng an assessment
~ncrease wdl be required
NOW, THEREFORE, the Lynwood Pubhc Finance Authonty does hereby
find, order, and resolve as follows

Introduction
The Lynwood Pubic F~nance Authority invites your company to subrmt a written proposal for polling and
public outreach services for thc Lynwood Landscaping and Lighting Assessment Districts
The Lynwood City Council on August 1, 1978, adopted Resolution No 78-78 ordering the formation of
the Lynwood Landscape Assessment DIstrict On June23, 1982 the Clty Councll also adopted
Resolution 81-80, ordering thc formation of the Lynwood Lighting Assessment District The assessment
rates have been increased from time to time with the last Increases being approved in 1998 and 1992
The Landscape Assessment District had a deficit fund balance of $268,207 at fiscal year end 2004-05 and
the Lighting Assessment District had a $25,731 fund balance for the same period Council was advised
of the fund balances at a regular City Council meeting held on May 2, 2006 At that meeting a plan was
introduced that will, if approved by the property owners, lead to elnmnatmg the deficit in the Landscape
Assessment District and avoid a future deficit in the Lighting Assessment District Council directed staff
to engage a consultant for polling and public outreach
A Pre-Submission Conference will be held on July 5, 2006 at 10 a.m. in the City Hall conference
room It will be a session to answer any questions you may have regarding the RFP Please RSVP with

Overview of Consulting Services
The City wishes to poll property owners within the assessment districts to deterrmne if they are wllhng to
support increases to the assessment rates, and to detenmne the maximum amount of increase that would
gain approval Using the polling statistics as a basis, the City also wishes to conduct a public outreach
program to educate property owners about the benefits of a rate increase The consultant and any sub-
contractors must posses a complete understanding of Cahfornla Proposition 218 and assessment district
financing
Preparation and Submission of Proposals
The subrmtted proposal must follow the rules and the format established within tl~s RFP Adherence to
these rules will ensure a fmr and objective analysis of all proposals Failure to comply with any portion
of tfus request may result in rejection of a proposal

Cost of Preparation of Proposal
The C~ty of Lynwood w~ll not pay costs incurred in the proposal preparation including the costs for
pnntmg, demonstration, negotiation process, etc All costs for the preparation of the proposal shall be
borne by the proposing consultant
Notification of Withdrawal of Proposal
Proposals may be modified or w~thdrawn by an authorized representative of the consultant through a
formal written notice prior to the final due date and time specified for proposal submission Subrmtted
proposals will become the property of the City of Lynwood after the proposal subimsslon deadline
Contractual Obligations
The successful consultant w~ll be reqmred to enter into a written agreement with the C~ty of Lynwood in
which the consultant will undertake certain obllgat~ons These obhgatmns include, but are not hnuted to,
the following
Indemmficat~on and Jnsurance - The successful consultant shall indemnify and hold the City of Lynwood
and ~ts officers, agents, employees and assigns, harmless from any llabd~ty imposed for ~njury whether
arising before or after completmn of work hereunder, or in any manner d~rectly or indirectly caused,
occasioned or contributed to, or claimed to be caused, occasioned or contributed to, in whole or ~n par[,
by reason of any act or o~mssmn, including strict hablhty or neghgence of consultant, or of anyone acting
under consultant's direction or control or on ~ts behalf, in connection with or incident to, or arising out of
the performance o f ttus contract The successful consultant shall maintain and shall reqmre all of ~ts sub-
consultants to mmntam general aggregate insurance with hrmts of not less than $1,000,000 per accident

only be reproduced by the consultant for purposes of bid preparation it may not be copied, sold, or
other~vlse distributed to any individual, c~ty, or bus~ness, unless prior written permission ~s obtained from
the City of Lynwood
Right of City of Lynwood to Reject Proposals
The City of Lynwood reserves the right to reject any and all proposals or any part of any proposals, to
waive minor defects or techmcahtles, or to solicit new proposals on the same project or on a modified
project which may include portions of the originally proposed project as the City of Lynwood may deem
necessary in its best ~nterest

Exceptions to the RFP
The format of the RFP must be followed and all requested information must be submitted as ~nd~cated,
however, the C~ty of Lynwood ~s receptive to any additional suggestions pertmmng to lnformatmn
gathering and public outreach presentatmns Any exceptmns to the RFP terms and condttlons must be
included in writing in the proposal
Interpretations and Addenda
No interpretation made to any respondent as to the meaning of the RFP shall be binding on C~ty of
Lynwood unless repeated m writing and distributed as an addendum by City of Lynwood Interpretatmns
and/or clarification shall be requested in writing from the Project Manager
Oral Presentation
Consultants may be required to make an oral presentation of their proposal to the City of Lynwood
during the RFP evaluation period Such a presentation will provide an opportunity for consultants to
clarify their proposals to ensure thorough and mutual understanding

The City of Lynwood reserves the right to require a demonstration of the proposed method of data

Proposal Response Format
In order to facilitate the analysis of responses to tIns RFP, consultants are required to prepare their
proposal in accordance with the instmctmns outlined in tIns section Each consultant is required to
subnut the proposal documents in response to the RFP for all parts in a sealed envelope Consultants
whose proposals deviate from these Instructions may be considered nonresponsive and may be
disqualified at the discretion of the City of Lynwood
Proposals should be prepared as simply as possible and provide a straightforward, concise description of
the consultant's capabihtles to satisfy the requirements of the RFP Expensive bindings, color displays,
promotional material, etc, are not necessary or desired
EMPHASIS SHOULD BE CONCENTRATED ON ACCURACY, COMPLETENESS, AND CLARITY
OF CONTENT

time in business, past history, future plans, company size, orgamzatlon

and experience for your personnel

presentations (meetings, pnnt media, etc ), and proposed project schedule

as part of the proposal, such reformation is to be labeled proprietary and be accompanied with a request
that the information is to be returned by the City of Lynwood to the subrmtter Any proposal that is
subrmtted with a blanket statement or hm~tatlon that would prohibit or lumt such pubhc inspection shall
be considered non-responsive and shall be rejected

CONSULTING SERVICES AGREEMENT
This agreement ("Agreement") is made as of by and
between the City of Lymvood, a municipal corporation ("City") and
("Consultant") C~ty and Consultant are sometimes
hereinafter individually referred to as a "Party" and collectively referred to as the "Parties"
RECITALS
WHEREAS, City desires to utthze the serwces of Consultant as an independent
contractor to provide consulting services to City as set forth in the attached Exhibit A, and
WHEREAS, Consultant represents that it is fully qualified to perfom~ such consulting
services by virtue of its experience and the training, education and expertise of its pnnclpals and
employees
NOW, THEREFORE, in consideration of peri'ormance by the parties of the covenants
and conditions herein contained, the parties hereto agree as follows
1. Consultant's Services.
A Scope of Services The nature and scope of the specific services to be performed by
Consultant are as described in Exhibit A
B Time of Performance Consultant shall complete the specific services accorthng to
the schedule of performance which is also set forth in Exhibit A [or can set forth in a
separate Schedule C, maJ~e appropriate changes throughout agreement if th~s is used ]
2. Term of Agreement This Agreement shall commence on (the
"Conm~encement Date") and shall temnnate on (the "Tenmnatlon Date"),
unless sooner terminated pursuant to the prowslons of tins Agreement On or before mnety (90)
days prior to the Ternnnatlon Date, Consultant and City shall meet to discuss this Agreement and
its possible extension and or modification In the event the Parties do not enter into a new
agreement prior to the Termination Date, this Agreement shall continue on a month-to-month
basis under the saxne terms for a period not to exceed three months following the Termination

3. Compensation
A City agrees to compensate Consultant for services under this Agreement m

EXHIBIT B
GENERAL TERMS AND CONDITIONS
1. Status as Independent Contractor.
A Consultant is, and shall at all times remain as to City, a wholly independent
contractor Consultant shall have no power to incur any debt, obligation, or liability on behalf of
C~ty or otherwise act on behalf of City as an agent Neither City nor any of its agents shall have
control over the conduct of Consultant or any of Consultant's employees, except as set forth in
this Agreement Consultant shall not, at any time, or in any mariner, represent that it or any of its
agents or employees are in any manner agents or employees of City
B Consultant agrees to pay all required taxes on amounts paid to Consultant under this
Agreement, and to mderrmlfy and hold City harmless from any and all taxes, assessments,
penalties, and interest asserted against City by reason of the independent contractor relationship
created by this Agreement In the event that City is audited by any Federal or State agency
regarding the independent contractor status of Consultant and the audit in any way fails to sustain
the validity of a wholly independent contractor relationship between City and Consultant, then
Consultant agrees to reimburse City for all costs, including accounting and attorney's fees,
arising out of such audit and airy appeals relating thereto
C Consultant shall fully comply ~vlth the workers' compensation law regarding
Consultant and Consultant's employees Consultant furlher agrees to ~nderrmlfy and hold City
harmless from any failure of Consultant to comply with applicable worker's compensation laws
City shall have the right to offset agmnst the amount of any fees due to Consultant under tins

2. Standard of Performance.
A Consultant shall perform all work to the highest professional standards and in a
manner reasonably satisfactory to the City Manager or Ins/her designee The City Manager or
ins/her designee may' from time to tnne assign additional or different tasks or services to
Consultant, provided such tasks are within the scope ofservmes described in Exhibit A
However, no addltlonal or different tasks or services shall be perfonned by Consultant other than
those specified in Exhibit A, or those so assigned in writing to Consultant by the City Manager
or his/her designee

3. Indemnification.
A Consultant is skilled m the professional calling necessary to perform the services and
duties agreed to be performed under tins Agreement, and City is relying upon the skill and
knowledge of Consultant to perform said services and duties
B City and its respective elected and appointed boards, officials, officers, agents,
employees and volunteers (individually and collectively, "lndemnitees") shall have no
liability to Consultant or any other person for, and Consultant shall indemnify, defend, protect
and hold harmless Indemmtees from and against, any and alt liabilities, claims, actions, causes
of actmn, proceedings, stats, damages, judgments, liens, levies, costs and expenses of
whatever nature, including reasonable attorneys' fees and disbursetnents (collectively
"Claims"), which Indemnitees may suffer or incur or to which Indemnitees may become
subject by reason of or arising out of any injury to or death of any person(s), damage to
property, loss of use of property, economic toss or other loss occurring as a result of or
allegedly caused by the Consultant's performance of or failure to perform any services under
this Agreement or by the negligent or willful acts or omissions of Consultant, its agents,
officers, directors, subcontractors, subconsultants or employees, committed in performing any
of the services under this Agreement Notwithstanding the foregoing, the provisions of this
subsection shall not apply to Claims occurnng as a result of the City's sole negligence or
willful acts or omissions
C Consultant agrees to obtain executed indemnity agreements with provisions
identical to those set forth In this Section from each and every subcontractor, subconsultant or
any other person or entity involved by, for, with or on behalf of Consultant in the performance
of this Agreement In the event Consultant fails to obtain such indemnity obligations from
others as required In this Section, Consultant agrees to be fully responsible according to the
terms of this Section Failure of the City to monitor compliance with these requirements
imposes no additional obligations on City and will in no way act as a waiver of any rights
hereunder This obligation to indemnify and defend Indemnitees as set forth herein shall
survive the termination of this Agreement and is in addition to any nghts which City may
have under the law This indemnity is effective without reference to the existence or
applicability of any insurance coverages which may have been required under this Agreement
or any additional insured endorsements which may extend to City
4. Insurance.

per occurrence for all covered losses and no less than $2,000,000 general aggregate
(ii) Business Auto Coverage on ISO Business Auto Coverage form CA 00 01
including symbol 1 (Any Auto) or the exact equivalent Limits shall be no less than
1,000,000 per accident, combined single hmIt If consultant owns no vehicles, this

requirement may be satisfied by a non-owned auto endorsement to the general habihty
pohcy descnbed m the preceding subsection If Consultant or Consultant's employees
will use personal autos in any way on this project, Consultant shall provide evidence of
personal auto liability coverage for each such person
(in) Workers' Compensation insurance on a state approved policy form providing
statutory benefits as required by law with employer's liability limits no less than
$1,000,000 per accident for all covered losses,
(iv) Professional Liability or Errors and Omissions Insurance as appropriate to the
profession, written on a policy form coverage specifically designed to protect aganst
acts, errors or omissions of the consultant and "Covered Professional Services" as
designated in the policy must specifically Include work performed under this Agreement
The policy limit shall be not less than $1,000,000 per clam and in the aggregate The
policy must "pay on behalf of' the insured and must include a provision establishing the
insurer's duty to defend The policy retroactive date shall be on or before the effective
date of this Agreement
B City, its officers, officials, employees and volunteers shall be named as additional
~nsureds on the pohcy(ies) as to commercial general liability and automotive liability
C All insurance procured pursuant to these reqmrements shall be written by insurers that
are admitted carriers in the state of California with a Best's rating of no less than A VII
D All insurance policies shall provide that the insurance coverage shall not be non-
renewed, canceled, reduced, or otherwise modified (except through the addition of addtuonaI

(30) days' prior written notice thereof Any such thirty (30) day notice shall be submitted to

cancel, reduce or otherwise modify sad insurance coverage
E Consultant shall submit to City (i) insurance certificates indicating compliance with
the rmmmum worker's compensatmn insurance requirements above, and (il) insurance policy
endorsements indicating compliance with all other imnnnum insurance requu:ements above, not
less that one (1) day prior to beginmng of performance under this Agreement Endorsements
shall be executed on City's appropriate standard forms entitled "Additional insured
Endorsement"
F The Consultant's insurance shall be pmnary as respects the City, its officers,
officials, employees and volunteers Any Insurance or self-insurance mantaned by tile City,
its officers, officials, employees and volunteers shall be excess of the Consultant's insurance
and shall not contribute with it
G Consultant agrees that if it does not keep the aforesaid insurance in full force and
effect, and such msurance is avalable at a reasonable cost, City may take out the necessary

insurance and pay the premium thereon, and the repayment thereof shall be deemed an obligation
of Consultant and the cost of such insurance may be deducted, at the option of City, from
payments due Consultant
5. Confidentiality. Consultant m the course of ~ts duties may have access to confidentml
data of C~ty, private individuals, or employees of the City Consultant covenants that all data,
documents, discussion, or other information developed or received by Consultant or provided for
performance of this Agreement are deemed confidential and shall not be d~sclosed by Consultant
w~thout written authonzataon by City City shall grant such authorization lfd~sclosure Ds
required by law All C~ty data shall be returned to City upon the termination of tins Agreement
Consultant's covenant under this section shall survive the termination of tins Agreement
6. O~vnership of Work Product. All reports, documents or other written material

shall not be the subject of a copyright apphcatlon by Consultant
7. Conflict of Interest.
A Consultant covenants that it presently has no interest and shall not acquire any
interest, d~rector or ~ndirect, winch may be affected by the services to be performed by
Consultant under this Agreement, or which would conflict In any manner with the performance
of ~ts services hereunder Consultant further covenants that, ~n performance of this Agreement,
no person having any such interest shall be employed by ~t Furthermore, Consultant shall avoid
the appearance of hawng may interest which would conflict in any manner with the performance
of its services pursuant to this Agreement
B Consultant covenants not to gave or receive any compensation, monetary or
otherwise, to or from the ultimate vendor(s) of services to City as a result of the performance of
tins Agreement, or the services that may be procured by the C~ty as a result of the
recommendations made by Consultant Consultant's covenant under this section shall survive the
termination of tins Agreement
8. Termination for Cause. Should Consultant fail to perform any of the obligations
required of Consultant wltban the time and In the manner provided for under tins Agreement
wltinn seven (7) days after receipt from City of a written notice of such default, or should
Consultant v~olate any of the terms and conditions of the Agreement, City may terminate tins
Agreement with cause upon tinny (30) days' written notice to Consultant The effective date of
termination shall be upon the date specified m the notice of termination Consultant agrees that
in the event of such termination, City's obligation to pay Consultant shall be limited to payment
only for those services saUsfactonly rendered prior to the effective date of termination
Immediately upon receiving written notice of termmatlon, Consultant shall discontinue
performing services, preserve the product of the services, and turn over to City the product of the
services ~n accordance with written instruction of City
9. Personnel. Consultant represents that it has, or will secure at its own expense, all

personnel required to perform the services under tins Agreement All of the services required
under ti'us Agreement will be performed by Consultant or under its supervision, and all personnel
engaged ~n the work shall be qualified to perform such services Consultant reserves the right to
determine the assl~manent of its own employees to the performance of Consultant's services
under this Agreement, but City reserves the nght, for good cause, to require Consultant to
exclude any employee from performing services on City's premises
10. Financial Condition. Prior to entenng into this Agreement, Consultant has submitted
documentation acceptable to the City Manager, establishing that it is financially solvent, such
that it can reasonably be expected to perform the services required by this Agreement Within
thirty (30) days of the first amuversary of the effective date ofthrs Agreement, and each year
thereafter throughout the term of this Agreement, Consultant shall submit such financial
information as may be appropriate to establish to the satisfaction of the City Manager that
Consultant is in at least as sound a financial position as was the case prior to entenng into this
Agreement Financial Information submitted to the C~ty Manager shall be returned to Consultant
after review and shall not be retained by City
11. Non-Discrimination and Equal Employment Opportunity.
A Consultant shall not discriminate as to race, color, creed, religion, sex, lnantal status,
national origin, ancestry, age, physical or mental handicap, medical condition, or sexual
orientation, in the performance of its sermces and duties pursuant to tlns Agreement, and will
comply with all rules and regulations of City relating thereto Such nondiscrimination shall
include but not be hmited to the following employment, upgrading, demotion, transfers,
recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of
compensation, and selection for tralmng, inclu&ng apprenticeship
B Consultant will, in all solicitations or advertisements for employees placed by or on
behalf of Consultant state either that it ~s an equal opportunity employer or that all qualified
apphcants will receive consideration for employment without regard to race, color, creed,
religion, sex, marital status, national ongnn, ancestry, age, physical or mental handicap, medical
condition, or sexual orientation
C Consultant will cause the foregoing provisions to be inserted in all subcontracts for
any work covered by th~s Agreement except contracts or subcontracts for standard commercial
supplies or raw materials
12. Assignment. Consultant shall not assign or transfer any interest in tins Agreement nor
the performance of any of Consultant's obligations hereunder, without the prior written consent
of City, and any attempt by Consultant to so assign this Agreement or any rights, duties, or
obligations arising hereunder shall be void and of no effect
13. Performance Evaluation. For any Agreement ~n effect for twelve months or longer, a
written annual administrative performance evaluation shall be required within ninety (90) days of
the first anmversary of the effective date of this Agreement, and each year thereafter throughout
the term oftlns Agreement The work product required by this Agreement shall be utilized as

the basis for review, and any comanents or complmnts received by City dunng the review period,
either orally or in writing, shall be considered C~ty shall meet with Consultant prior to prepanng
the written report If any noncompliance with the Agreement is found, City may direct

14. Compliance with Laws. Consultant shall keep itself informed of State, Federal and
Local laws, ordinances, codes and regulations wb2ch ~n any manner affect those employed by it
or in any way affect the performance of its service pursuant to flus Agreement The Consultant
shall at all t~mes comply with such laws, ordinances, codes and regulations The City, its officers
and employees shall not be liable at law or ~n equity occasioned by failure of Consultant to
comply with this Section
15. Licenses At all times during the term of flus Agreement, Consultant shall have in full
force and effect all licenses (including a City business license) required of it by law for
performance of the sermces hereunder
16. Non-Waiver of Terms, Rights and Remedies. Waiver by either party of any one or
more of the conditions of performance under this Agreement shall not be a wmver of any other
con&tlon o f performance under this Agreement In no event shaI1 the making by City of any
payment to Consultant constitute or be construed as a waiver by City of any breach of covenant,
or any default which may then exist on the part of Consultant, and the makang of any such
payment by City shall ~n no way impmr or prejudice any right or remedy avmlable to City with
regard to such breach or default
17. Attorney's Fees. In the event that either party to ttus Agreement shall commence any
legal or eqmtable action or proceeding to enforce or ~nterpret the provisions of this Agreement,
the prevaihng party in such action or proceeding shall be entitled to recover ItS costs of suit,

18. Notices. Any notices, bills, invoices, or reports required by this Agreement shall be
deemed received on (a) the day of delivery if delivered by hand dunng Consultant's regular
business hours or by facsimile before or dunng Consultant's regular business hours, or (b) on the
third business day following deposit in the United States mai1, postage prepaid, to the addresses
heretofore set forth in the Agreement, or to such other addresses as the parties may, from tune to
time, designate in writing pursuant to the provisions of flus section
19. Governing Law. This Agreement shall be interpreted, construed and enforced in
accordance with the laws of the State of Cahfornia.
20. Counterparts. Thxs Agreement may be executed in any number of counterparts, each of
winch shall be deemed to be the original, and all of wb2ch together shall constitute one and the
same instrument
21. Severability. If any provision or any part of any provision of this Agreement is found

This Agreement supersedes all prior oral or written negotiations, representatmns or agreements
This Agreement may not be amended, nor any provis~on or breach hereofwmved, except m a
writing s~gned by the Parties which expressly refers to this Agreement Amendments on behalf
of the Ctty w~ll only be vahd ~f s~gned by the Mayor and attested by the C~ty Clerk
23. Authority The person or persons executing this Agreement on behalf of Consultant
warrants and represents that he/she has the authority to execute this Agreement on behalf of the
Consultant and has the authortty to bind Consultant to the performance of~ts obbgat~ons
hereunder

consulting services related to assessing property owner acceptance of assessment rate
increases and public outreach education regarding benefits of assessment rate increases,

90262, at the office of the City Clerk until the hour of 5 00 p m on THURSDAY, JULY
