AGREEMENT
FOR
CONSULTING SERVICES
THIS AGREEMENT, made and entered into this 25 day of September 2002, by and
between the VILLAGE OF KEY BISCAYNE, a municipal corporation of the State of Florida,
hereinafter referred to as "Village", and LANGAN ENGINEERING AND ENVIRONMENTAL
SERVICES, INC., hereinafter referred to as "Engineer."
IN CONSIDERATION OF THE MUTUAL COVENANTS SET FORTH IN THIS
AGREEMENT, THE PARTIES AGREE AS FOLLOWS:
I. PURPOSE.
Village requires Engineer's services for the design of the subterranean parking level of the
Community Center Project. Engineer has the special skills needed for the Project.
II. SCOPE OF SERVICES.
A. Engineer shall perform the professional engineering consulting services for the
Village as described in the Proposal dated September 19, 2002, a copy of which is attached hereto
and incorporated herein as Exhibit "A," except that the General Terms and Conditions referenced in
the Proposal shall not apply and shall be superceded by this Agreement. Exhibit "A" consists of
three (3) pages.
B. In providing Services hereunder, Engineer is an independent contractor and not an
employee or officer of Village.
III. TERM OF AGREEMENT.
The term of this Agreement shall commence on execution hereof and shall terminate on
completion of the Services, unless sooner terminated pursuant to Section IX.

IV FEESSOR SERVICES; AI)DITILON_AI_ CONSIBERATION.
A. As full compensation for Services provided, Engineer shall he paid in
accordance with the fee schedule set forth in the Proposal, with total compensation not to exceed
Ten Thousand ($10,000.00) Dollars
S. Compensation shall be paid pursuant to monthly invoice.
C Engineer shall be reimbursed for reasonable costs authorized by Village
V WORK PRODUCT
All documents that directly result from Engineer providing Services hereunder shall be
the property of Engineer. subject to the right of Village to use such documents, solely for the
Project. Upon termination of this Agreement, or upon request of the Village during the term of
this Agreement, copies of such documents shall be delivered to the Village by the Engineer.
VI . INDEMNI FIC 4,TTON; TIiSI JR ANF
Engineer shall indemnify and hold harmless the Village, its officers and employees, from
liabilities, damages, losses and costs, including, but not limited to, reasonable attorneys' fees, to
the extern caused by the negligence, recklessness or intentional wrongful conduct of the Engineer
and persons employed or utilized by the Engineer in the performance of the Agreement.
Engineer shall at all times during the term of this Agreement carry professional liability
insurance with minimum policy limits for such coverage in the amount of One Million Dollars
($1,000,000.00) per occurrence, single limit, for property damage and bodily injury, including
death, and workers compensation coverage in the amount provided by Chapter 440, Fla- Stat
Each insurance policy shall state that it is not subject to cancellation or reduction in coverage
without written notice to the Village 30 days prior to the effective date of cancellation or

reduction of coverage.
The covenants of this Section shall survive the termination of this Agreement,
VII ASSIGNMENT.
This Agreement shall not be assignable by the Village or Engineer.
VIII. fkOH�Tj()N AGAINST CONTINGENT FEES
The Engineer warrants that it has not employed or retained any company or person, other
than a bona fide employee working solely for the Engineer, to solicit or secure this Agreement,
and that it has not paid or agreed to pay any person(s), company, corporation, individual or firm,
other than a bona fide employee working solely for the Engineer, any fee, commission,
percentage;, gift, or any other consideration, contingent upon or resulting from the award or
making of this Agreement.
IX. TERMINATION.
This Agreement may be terminated at any time by the Village, upon sixty (60) days
advance written notice at Village's sole discretion without cause. This Agreement may be
terminated by the Engineer upon sixty (60) days advance written notice at Engineer's sole
discretion without cause. If this Agreement is terminated, the Engineer shall be paid for al]
Services performed up to the dare of termination in accordance with the schedule provided in
Section lv above
X. ENTIRE Af,REEMENT.
The parties hereby agree that this is the entire Agreement between the parties • This
Agreement cannot be amended or modified without the express written consent of the parties

XI. WARRANTIES nF ENG1N .FR
The Engineer hereby warrants and represents that at all times during the term or this
Agreement it shall maintain m good standing all required licenses, certifications and permits
required under federal, state and local laws necessary to perform the Services.
Xll. NOTICES,
All notices and communications to the Village or Engineer shall be in writing and shall be
deemed to have been properly given if transmitted by registered or certified mail or hand
delivcry All notices and communications shall be effective upon receipt Notices shall be
addressed as follows:

XIII GOVERNING LAW.
This Agreement shall be construed in accordance with the laws of the State of Florida
Venue for any litigation hereunder shall be in Miami -Dade County, Florida The parties
voluntarily waive any right to trial by jury for any action related to this Agreement
