THIS ADDENDUM (No. 3 to Contract No. 16-2006) is made and entered into
this 22" d day of January, 2009, by and between the City of Richmond, Indiana, a
municipal corporation acting through its Board of Public Works & Safety, with its office
at 50 North 5t Street, Richmond, Indiana (hereinafter the "City"), and JPMorgan Chase
Bank, N.A., 1 East Ohio Street, Suite IN1-0045, Indianapolis, Indiana 46277-0045
(hereinafter the "Contractor").
WHEREAS, City and Contractor entered into an Agreement numbered 16-2006,
which Agreement is attached hereto, marked as Exhibit A, and incorporated herein by
reference, and an Addendum No. 1 to Agreement No. 16-2006, both dated March 1,
2006, and Addendum No. 2 to Agreement No. 16-2006 dated February 28, 2006
(hereinafter the "Agreement"); and
WHEREAS, City wishes to retain Contractor to provide those services within the
scope of Agreement for an additional fourth year upon the same terms and conditions,
including all attached and incorporated Exhibits in said Agreement and Addendums, as
proposed by Contractor in its response dated January 12, 2006, to City's Request for
Proposals dated December 1, 2005; and
NOW THEREFORE, in consideration of the mutual promises and covenants
herein contained, including the above stated recitals, City and Contractor hereby agree as
follows:
1. Contractor shall perform certain banking services as delineated in
Agreement for an additional one (1) year ending February 28, 2010.
2. City shall pay Contractor at a five (5%) percent increase to the current
rates under the Agreement for such additional term.
3. City and Contractor expressly agree that all other terms and conditions and
covenants contained in Agreement No. 16-2006 shall be applicable to the work
performed pursuant to this Addendum, unless such terms, conditions, or covenants
conflict with this Addendum, in which case this Addendum shall be controlling.

IN WITNESS WHEREOF, the parties execute this Agreement effective the day
and year first written above, although signatures may be affixed at different times.
