Trust Indenture approved by the Richmond Economic Development Commission
are hereby approved (herein collectively referred to as the "Financing
Agreement" as defined to in I.C. 36-7-12), and all such documents shall be
incorporated herein by reference and shall be inserted in the minutes of
the Common Council and kept on file by the Clerk. In accordance with the
provisions of I.C. 36-1-5-4, two (2) copies of all such documents are on
file in the office of the Clerk for public inspection.
Section 4. The City of Richmond shall issue its Economic Development
Revenue Bonds, 1983 Series B Bonds (Wayne Dairy Products, Inc. Project), in
the total principal amount not exceeding Three Hundred Fifty Thousand
Dollars ($350,000.00) and maturing not later than December 2, 1998, for the
purpose of procuring funds to pay the costs of construction and equipping
of the economic development facilities as more particularly set out in the
First Supplemental Indenture of Trust and First Supplemental Loan
Agreement, Mortgage and Security Agreement incorporated herein by
reference, which bonds will be payable as to principal, premium, if any,
and interest from the payments made by Wayne Dairy Products, Inc. under the
First Supplemental Loan Agreement or as otherwise provided therein and in
the above described First Supplemental Indenture of Trust. The bonds shall
be issued in registered form, may be issued in denominations of $500.00 or
a multiple thereof, and shall be redeemed as provided in the First
Supplemental Trust Indenture. Payments of principal and interest are

RESOLUTION
RICHMOND ECONOMIC DEVELOPMENT COIVMMISSION
RICHMOND,' INDIANA
BE IT RESOLVED BY THE RICHMOND ECONOMIC DEVELOPMENT COMMISSION THAT:
Section 1. The proposed economic development facilities will consist
of the making of additional improvements to Wayne Dairy Products, Inc.
dairy/food processing plant located at 1510 N.W. llth Street, Richmond,
Indiana, by expanding its hardening room by approximately 3,300 square feet
and providing additional machinery and equipment to be located thereon.
Section 2. It finds that the proposed Three Hundred Fifty Thousand
Dollars ($350,000.00) financing of economic development facilities referred

to in the Financing Agreement (as defined in the MinuCes) presented to this
meeting for Wayne Dairy Products, Inc. complies with the purposes and
provisions of I.C. 36-7-12 and will be of benefit to the health and welfare
of the City of Richmond and its citizens.
Section 3. The substantially final forms of the First Supplemental
Loan Agreement, Mortgage and Security Agreement and the First Supplemental
Trust. Indenture and a proposed form of Ordinance for the Common Council
presented to this meeting are hereby approved.
Section 4. It did consider whether the proposed economic development
facilities will have an adverse competitive effect on any similar
facilities, and now states the following special findings of fact based
upon the evidence presented:
(1) No members of the public objected to the financing of the
proposed economic development facilities; and
(2) The business of Wayne Dairy Products, Inc. has increased
substantially since the construction of its facilities at 1510 N.W.
llth Street, Richmond, Indiana in 1977 and the facilities must be
expanded in order to meec the growing demands for its products and
compete in the market place. Since the expansion is to the existing
facilities presently cons_ructed, no other facility is suitable for
use by Wayne Dairy Products, Inc.; and
(3) That this facility is located within the corporate limits of
the City of Richmond, Indiana and that there are no other dairy/food
processing facilities located within the corporate limits of the
City of Richmond, Indiana; and that the product line of Wayne Dairy
Products, Inc. is more expansive than the product line of any
other dairy/food processor located in the County of Wayne, State of
Indiana; and
(4) The proposed economic development facilities will not have
an adverse competitive effect on any similar facilities already under
construction or in operation in the City of Richmond, Indiana.
Section 5. The Secretary shall initial and then insert a copy of the
forms of documents approved by this Resolution in the minute book of this
Commission.

Section 6. A copy of this Resolution and the other form of documents
approved by this Resolution and the proposed form of Ordinance shall be
presented in their substantially final form by the Secretary of the
Economic Development Commission to the Clerk for presentation to the Common
Counc it .
