Faul aye R. Berry aye R. Bonner aye M. Yates aye During closed session staff updated the Board on the litigation and confidential or privileged matters under §610.021(1). No votes were taken. - - - - Upon motion made by Mr. Berry, seconded by Ms. Bonner, the Journals of the July 10 and August 5, 2014 meetings were approved by unanimous voice vote. - - - - The Chair had no comments. - - - - Mr. Faul reported that the Program Management Committee met on August 5, 2014 at 7:30 a.m. The meeting was attended by Trustees Yates, Bonner, Faul, Mandel, and Berry. The minutes of the July 1, 2014 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Item 12 – Fairlight and Brightling Sewer Separation – Staff addressed questions from the Committee on why certain projects had an MBE goal of 17% Minority, and others were requiring a combined goal of 10% Minority and 5% Woman participation. Staff indicated that District projects for Sewer Rehabilitation were approved for and are funded by State Revolving Fund Loans through the State of Missouri. The 17% participation is the District’s goal, and the combined goals are Federal MWBE goals required for the Loan projects. Item 15 – Old English I/I Removal – Staff briefly discussed the evaluation of the single bid received on this project and the potential reasons for this occurrence. The Committee asked if the size of the projects were potentially the cause. Staff indicated that it was possible, but the District had been receiving at least three bids on this type of private I/I removal work, and also suggested that it could be a product of contractor capacity. Staff will continue to monitor past and future bids and make adjustments if necessary in an effort to ensure bidding competition. Item 20 – Stream Water Quality Sampling – Staff provided a summary of the stream sampling activities to occur in the upcoming year. The Committee inquired about stream sampling performed by District Staff on the local streams impacted by sewer overflows. Staff indicated that MSD personnel does perform sampling at approximately 30 locations on local streams and does collect data on streams impacted by overflows. Staff offered to present the results of the water quality data sampling at a future committee meeting. The Committee agreed. Staff followed up with the Board Committee on a public comment made at the July 10, 2014 Board meeting by Mr. Sam Snider regarding the acquisition of an easement on the property owned by the Americold Corporation at 8501 Page Avenue. Staff indicated that several meetings have been held with the property owner and that discussions are currently proceeding without issue, and also expressed confidence that the two parties could have an agreement shortly. The meeting was adjourned at 8:08 a.m. - - - - Ms. Bonner reported that the Finance Committee met on August 12, 2014, with Trustees Bonner, Faul and Mandel in attendance. The minutes from the July 8, 2014 meeting were approved. Rate Commission Presentation – Mr. Brad Goss addressed the Committee on behalf of the Home Builders Association of Greater St. Louis. Mr. Goss requested the Association be considered for a seat on the District’s Rate Commission. Pension Update – Mr. Richard Marra from Pavilion, the District’s pension investment advisor, provided a status of MSD’s pension portfolio as of June 2014. During the second quarter, the District gained 3.7%, outpacing the Policy Benchmark return of 3.5%. On one-year basis, the Plan’s return of 13.9% underperformed the Policy by 30 basis points while its current asset allocation remained within investment policy targets. Mr. Marra also informed the Committee of Pavilion’s recent acquisition of two consulting firms: Plan Sponsor Advisors and LP Capital Advisors. Mr. Marra indicated these purchases are consistent with Pavilion’s strategy of building an employee owned firm and increasing the depth and breadth of its services. Ms. Kerry Elsass, also from Pavilion, explained the investment benefits and drawbacks of hedge funds. Pavilion and staff responded to questions by the Committee. Portfolio Update – Staff reported on the District’s Operating Fund Portfolio as of July 31, 2014. The portfolio’s asset allocation is within investment policy targets and no changes to investment strategy are planned. Other Committee Business – The quarterly August 2014 Adjustment Review Committee report was accepted into the record as required by ordinance. The meeting adjourned at 8:44 a.m. - - - - Mr. Berry reported that the Audit Committee met on August 12, at 7:30 a.m. with Trustees Faul and Mandel present. The minutes from the July meeting were approved. Staff presented the scope, objectives and methodology used for the Review of Project Accounting, an engagement that focused on the processes to account for and record the costs and activities of District construction projects. The engagement received a satisfactory rating, as no significant issues were identified. The issue will be re-visited every few years due to its relative importance to the internal control structure of the District. Questions were addressed as they were generated by the Committee. Mr. Jeff Winter of Rubin Brown presented an overview of the Auditor Communications letter addressing the audits of the financial statements for the Employees’ Pension, Deferred Compensation, and Defined Contribution plans, stating the plans were audited in accordance with Generally Accepted Auditing Standards. No difficulties or disagreements with management were encountered when performing the audits, and there were no known or likely misstatements identified during the audits of the plans. Ms. Melinda Weissman of Rubin Brown presented an overview of the Management Letter for the three plans, stating there were no deficiencies in internal control that were considered material weaknesses; however, a significant deficiency was identified for the Defined Contribution plan regarding employer contributions into the plan for employees with higher skills. Overpayments were made to the accounts of thirteen employees as a result of miscalculations due to a system formula error. She suggested internal controls be implemented to provide for periodic reviews and recalculations of employer contribution amounts. The Committee inquired as to how the overpayments are being addressed. Staff explained that the District worked in tandem with Vanguard to isolate and transfer the excess contributions, along with related earnings, from the affected employee accounts to the forfeiture account contained within the plan. The 13 employees affected will be notified of the corrective transactions. The meeting adjourned at 7:56 a.m. - - - - The Executive Director reported that Jonathon Sprague, the Director of Operations, will give the quarterly regulatory report, as well as information on how our system functioned during the rains we had last week. Mr. Jonathon Sprague presented the Quarterly Compliance Report stating that during the 2nd Quarter of 2014 there was one violation at the Bissell Treatment Plant caused by a missed sample. Compliance was at 99.99%. The goal for emergency response to customer complaints within four hours is 90% and this quarter the response time was 79% due to a five year rain event in April. There were 81 maintenance related building backups due to grease, root, blockages, or collapsing of mains. He also stated the dry weather maintenance related overflows numbered 63 during this three month period. There were 78 capacity related backups due to a rain event this quarter. The number of constructed overflows, which are being removed in accordance with the Consent Decree, is still at 146. Of the 146 constructed overflows, 61 overflows activated through the three month period due to rain events. There was a storm event on August 6 & 7 where 2.92” of rain fell in a 24 hour period. The District received 40 basement backup calls but none were related to MSD. The Board believes the presentation of the report is important for the Board and public to hear. - - - - Mr. Adam Shomstein with addressed the board questioned the statement of an apartment building in downtown his family owns. He inquired why they are being charged for twelve rooms without water. Mrs. Zimmerman explained the apartment is unmetered so exact water usage can not be determined. A study was done to correlate metered usage to unmetered buildings based on number of rooms. Dr. Shomstein inquired if there was a way to become metered and whether it is a cheaper solution. Staff replied that it is not necessarily cheaper but would provide more water usage control. He went on to explain his concerns for the rates as they will have gone up by 57% by 2016. His tenants are just above poverty level and did not qualify for the rate reduction program. Mrs. Zimmerman stated the requirements for the program had recently changed to be more lenient and recommended that his tenants reapply. LOUIS SEWER DISTRICT TO ENTER INTO CONTRACT NO. 20150 WITH INSITUFORM TECHNOLOGIES USA, LLC FOR THE AFORESAID SANITARY SEWER REHABILITATION. Proposed Ord. No. 13939 was presented and read. The work to be done under Contract #20150 consists of the rehabilitation of approximately 60,417 lineal feet of sewers varying in size from 8-inches to 60-inches in diameter using cured-in-place pipe (CIPP) methods, 258 manholes, and 1,134 service connections. The purpose of this project is to reduce inflow/infiltration (I/I) in the Coldwater Creek watershed. This project will provide for the elimination of four (4) constructed SSOs (BP-116, BP-133, BP-473 & BP-527) after construction and post construction monitoring. The purpose of this project is to reduce inflow/infiltration (I/I) in the Coldwater Creek watershed. This project will provide for the elimination of three (3) constructed SSOs (BP-101, BP-102 & BP-110) after construction and post construction monitoring. This project will provide for the elimination of five (5) constructed SSOs (BP-199, BP-203, BP-471, BP-607 & BP-627) after additional project construction and post construction monitoring. This construction is the second phase of a multi-phase improvement program. The purpose of this project is to replace the existing process control equipment that is becoming obsolete and is no longer reliable. This project is scheduled to be completed in 180 days. NO. 13949 APPROPRIATING $550,000.00 FROM THE GENERAL FUND OF THE DISTRICT FOR THE OPERATION AND MAINTENANCE OF STREAM FLOW GAUGES IN STREAM FLOW GAUGE OPERATION AND MAINTENANCE (USGS) (10766); AND AUTHORIZING THE EXECUTIVE DIRECTOR AND SECRETARY- TREASURER ON BEHALF OF THE METROPOLITAN ST. LOUIS SEWER DISTRICT TO ENTER INTO CONTRACT NO. 10422 WITH U.S. GEOLOGICAL SURVEY FOR THE AFORESAID SERVICES. Proposed Ord. No. 13949 was presented and read. The work to be done under Contract #10422 is to continue to collect stream gauging information in 25 watersheds. For FY2015, the USGS will continue the operation and maintenance of the existing network of 38 stream gauging stations in 25 watersheds within the District’s area. Stream stage (water surface) and rainfall amounts will be collected with stream discharges (flow rates) determined for each gauging station. Stream stage will be measured and recorded at 5-minute intervals and transmitted via satellite to the USGS and automatically downloaded into a database. Stage and discharge values will be displayed in a real-time fashion on the USGS public web page. In addition, data reports or evaluations are provided by the USGS as an extension of staff, as requested for use by the District. The data will be used to provide reliable flood peak and stage estimates for use in hydrologic and hydraulic models or calculations at project locations within a drainage basin. The data and calculation methods are typically used for projects utilizing stream gauging information and stream discharge estimates such as: Water quality data evaluation and modeling, post construction monitoring program for CSO LTCP Consent Decree compliance, Phase II Stormwater program, streambank stabilization; CSO LTCP evaluations and planning; stream geomorphic assessments and stability; flood proofing and buyout evaluations; review and validation of private development projects (subdivisions, culvert, and bridge replacements); floodplain study evaluations; flooding complaint evaluations; Operations support; legal lawsuit defense and support; and Stormwater and Watershed Facilities planning. The purpose of this contract is to perform water quality sampling to comply with the Post Construction Monitoring Program as required in the Federal Consent Decree. Samples will be collected from six sites in the Mississippi River on a bi-weekly basis. Samples will also be collected from three sites on the Missouri River once every four weeks to help establish upstream background concentrations and water quality impacts from the St. Louis area.
