Upon motion made by Mr. Berry, seconded by Mr. Faul, the Journal of the September 11, 2014 meeting was approved by unanimous voice vote. Upon motion made by
Ms. Bonner, seconded by Mr. Faul, the Journal of the September 30, 2014 meeting was
approved by unanimous voice vote.

Mr. Berry reported that the Program Management Committee met on September
30, 2014 at 7:36 a.m. The meeting was attended by Trustees Yates, Bonner, Faul, Patton and
Mandel. The minutes of the September 2, 2014 meeting were approved.
The agenda items to be introduced tonight were presented and discussed,
including a detailed discussion regarding the following items: Items 30 and 31 – CSO Volume Reduction Green Infrastructure – Staff provided
details for two project agreements on tonight’s agenda as part of the early action green
infrastructure program. Staff clarified that the reimbursement for green infrastructure was up to
the amount stated in each agreement or less. Item 34 – Lang Royce Sanitary Relief – Staff provided specific details for the
project and answered a question from the Committee regarding the requirement of Tee & E
Trucking to pay prevailing wage. Staff indicated that currently trucking or hauling would fall
under the Living Wage requirements of the City of St. Louis adopted by MSD. Items 38 through 40 – Construction Management Services – Staff provided
appropriation and project details for the renewal of three Construction Management contracts on
tonight’s agenda. The contracts provide for project review and inspection services in support of
the District’s capital and consent decree program. Staff answered questions on scheduling resources being provided within one of the contracts and the local office workforce presence of two of the firms that are headquartered outside of the St. Louis area.
Items 47 – Emergency Repair Maline Creek – Staff provided details of the
emergency response and answered committee questions regarding the emergency response procedures and contractor selection.

Mr. Faul reported that the Audit Committee met on October 7 at 7:30 a.m. with
Trustees Faul and Mandel present. The minutes from the August meeting were approved. The Chairman had no comments.
Staff presented and explained the scope, objectives and methodology used for the
Review of Overhead Rates for Engineering Contracts, an engagement designed to ensure the
reasonableness, consistency, and accuracy of the calculations used for the overhead rates that are utilized to invoice the District for construction management and engineering design services. In all, the rates for eight firms were reviewed, resulting in the acceptance of rates, as presented,
for four of the eight firms and the agreed-upon reduction of the rates for the four remaining firms.
Questions were addressed by Staff as they were received from the Committee.
Staff reported on the status of previously issued recommendations, stating that, dating back to April of 2011, Internal Audit has issued 102 recommendations of which 82 have
been implemented. Staff went on to provide a status summary of the 20 recommendations that
remain open.
Mr. Ron Steinkamp of Brown, Smith & Wallace presented a summary of the
Internal Audit activities for fiscal 2014, stating that the fiscal 2014 audit plan provided for 12
engagements. Twelve engagements were completed, resulting in the issuance of 27 recommendations of which 20 have been implemented. Mr. Steinkamp went on to provide a summary of the engagement activities that are currently in progress.

Ms. Patton arrives during Finance report. Mr. Faul reported that the Finance Committee met on October 7, 2014, with
Trustees Bonner, Faul and Mandel in attendance. The minutes from the August 12, 2014 and
September 9, 2014 meetings were approved.
Insurance Brokerage & Consultant Services. This resolution authorizes the Staff to exercise the second and final one-year renewal of the contract with McGriff, Seibels &
Williams to provide insurance brokerage and consultant services to the District. This is item 48
on tonight’s agenda.
Legal Services. These ordinances authorize the Staff to enter into a contract with Shook Hardy & Bacon, AquaLaw and Evans & Dixon to secure specialized legal services for
matters involving the Federal Clean Water Act, the Missouri Clean Water Act, and associated
regulations and policies. This is item 44 – 46 on tonight’s agenda.
Portfolio Update. Tim Snoke reported on the District’s Operating Fund Portfolio as of September 2014.
Financial Budgeting and Reporting System Upgrade. This ordinance authorizes
Staff to procure hardware and software licenses and implementation services to upgrade the budgeting and financial reporting system currently used to support the District’s Operating and Capital Budget planning process. This is item 43 on tonight’s agenda.
Pension Manager Search Update. Tim Snoke updated the Committee on the
progress of the current search for a defined benefits asset manager. The meeting adjourned at 8:23 a.m.

The Executive Director reported that there is a change in the agenda language for
items 13-18. These six items scheduled tonight for adoption involve contracts for early action
green projects as shown on tonight’s agenda. The agenda for these six items at introduction last month mistakenly read that these contracts were for education and administration when actually they are for construction. The write-ups, ordinances, and descriptions given to the Board at last
month’s Program Management meeting were correct. No special action is required.
Second, I would like to note item number 29 on tonight’s agenda. The agenda last
month mistakenly identified Berra Construction as the successful contractor for this project. The
successful low bidder was actually Fred M. Luth and Sons. Because of the significance of this
change, we are asking the Board to amend and adopt this ordinance tonight identifying the successful contractor as Fred M. Luth and Sons.
Finally, at the Program Management Committee meeting, the Director of
Engineering described the activities associated with an Emergency Declaration on Maline
Creek. On the afternoon of September 15, MSD was notified of the failure of this sewer located on Maline Creek just west of the intersection of Bellefontaine Road and Delaird Drive in Bellefontaine Neighbors. I visited the site at 5:30 pm that evening and declared an emergency to
address the situation. The next day I notified the Board of Trustees of my actions and formally
signed the emergency declaration. Unnerstall Contracting Company was awarded a contract to
complete the emergency repair per our Emergency declaration procedures. Unnerstall began work on the evening of September 15 and completed the work
on September 19, 2014. Site restoration and the repair of an asphalt access road will be
completed as weather permits. Item number 47 on tonight’s agenda is the introduction and
adoption of an ordinance confirming the contract for Unnerstall and the appropriation for the work. Note that since near final costs for this project have recently become available, the appropriation request has been lowered to $300,000 from the $600,000 discussed at the
Program Management Committee meeting.

assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the Mississippi River per the Long Term Control Plan. This project includes the installation of two
cisterns for rainwater harvesting and bioretention cells to capture runoff from the parking lot.
Total cost of the green infrastructure is estimated at $267,937 and the St. Louis Housing
Authority is requesting approximately $267,937 reimbursement for the project. This project has been approved by the MDNR/EPA as an early action project under the conditions outlined in the Long Term Control Plan.

the proposed funding presented in the CIP Budget Supplement. The sandy soils in the Missouri River Bottom require the use of a rotary wash drill rig for the borings, which is roughly twice the cost of a regular drill rig. The appropriation includes $37,200 for construction phase services.
These services include construction field surveys, review of shop drawings and submittals,
responding to design questions and changes during construction, as-built surveys, and
preparation of as-built record drawings. This project is expected to be funded by Bond proceeds.

Proposed Ord. No. 13992 was presented and read. This ordinance authorizes the staff to proceed with further condemnation efforts including the filing of all necessary court pleadings or documents leading to the acquisition of permanent sewer easements and
temporary construction easements on one (1) parcel of ground located in Webster Groves, St.
Louis County, Missouri. These easements are needed to construct this project, which consists
of the construction of approximately 1200 feet of 8-inch diameter sanitary sewers, 880 linear feet of 12-inch to 24-inch storm sewers, replacement of approximately 1050 linear feet of 6-inch diameter pipe with 8-inch diameter pipe by pipe bursting, and performing private I/I reduction on
approximately 33 properties. The project will alleviate wet weather building backups and
overcharged sanitary sewers due to significant root intrusion and structural defects in the
existing sanitary sewers. These easements have been appraised. Currently, the District has been unable to negotiate a settlement with the owners.

WITH UNNERSTALL CONTRACTING CO., LTD. FOR THE AFORESAID EMERGENCY
REPAIRS.
Proposed Ord. No. 13997 was presented and read. The work done under the emergency Contract #20209 consists of the installation of approximately 300 feet of new 60-inch
sanitary pipe, a new manhole, excavation, and restoration work to the existing property as
necessary. District staff declared this project an emergency on September 16, 2014. The contractor, Unnerstall Contracting Co., Ltd., has been selected per MSD Emergency Declaration
Policy. The repair has started and is expected to be complete before September 26, 2014.
Motion by Ms. Patton seconded by Mr. Faul that proposed Ord. No. 13997 be introduced.
