HomeMy Public PortalAboutr 97:280 No, 97-280 DataafAdoption SEPT. 4, 1997 PROFESSIONAL SERVICES CONTRACT FOR PROFESSIONAL SERVICES WHEREAS, there exists a need for professional services to perform certain services as outlined in the attached proposal dated May 30, 1997, along with such litigation as assigned by the Mayor and Council; and WHEREAS, pursuant to N.J.S.A. 40A:11-5(1){a) professional services are exempt from the requirements of competitive bidding, and WHEREAS, the local finance officer has certified that funds are available, NOW, THEREFORE, SE iT RESOLVED that effective May 30, 1997, the Mayor and Council of the Borough of Carteret does hereby approve the appointment of Helmer, Kassel and Stowell at a maximum cost of not to exceed _ ~25,000.00 billable per attached contract. BE IT FURTHER RESOLVED, that the Mayor and Borough Clerk ere hereby authorized to execute said contract; IT IS FURTHER RESOLVED that the contract is awarded without competitive bids in accordance with N,J.S.A, 40A:11-5(1)(a} due to the specialized and professional nature of the services provided. Sica and Council Borough of Carteret 61 Cooke Avenue Carteret, NJ 07008 Re: Proposal for Services: Special Counsel/Management Consultant Dear Mayor Sica and Council: I, Ron Helmer and Todd Gelfand enjoyed meeting with Council on Thursday, May 29, 1997. Please accept this proposal for our services. We are prepared to assist your Borough as legal counsel and Consultants in regard to the operation of the police department and/or other Municipal Departments if and as assigned. These duties will include, at a mininmm but not necessarily exclusively, the following: 1. We will review and, if necessary, redraft, your municipal ordinances establishing and governing your police department to ensure that they conform to statute and the most recent common law. 2. We will then review and, if necessary, rewrite the rules and regulations to govern the day to day operations of the police department. 3. We will also serve as consultants on any police related matters. We anticipate that this initial process will be completed between 60 and 120 days, but time estimate is extremely flexible. ~.~, ',/7~);~// Mayor and Council May 30, 1997 page 2 Our duties will then continue whereby we will review the existing police department policies and procedures and we will make recommendations to help the appropriate authority promulgate new policies as needed. We will also function as a consultant for the police administration to ensure that tile policies promulgated by the appropriate authority are properly implemented. Our duties will include providing evaluations of the efficiency and productivity of thc Department, including a review of its day to day operations, current deployment practices and promotional policies. We will also teach and assist the Police Administration in the implementation of modem management techniques to include, at a minimum, data capture, analysis and application of the data to management decisions; (i.e., a Id-partite personnel evaluation system, etc.). These systems are desigmed to insure a days work for a days pay and to compel middle-managers to do their job and not just be "...one of the boys...". It is also our understanding that if any incompetency or misconduct is found, we will make the necessary investigation, draft the appropriate charges and specifications for any discipline which may be indicated and we will function as special counsel to prosecute such matlers after consultation with the appropriate authoriD', the charging authority and your solicitor. The services of this finn will be billed at the accommodated rate of $150 per hour, plus costs, whether we are acting in a consultant or prosecutorial capacity. We will, of course, provide the Borough with a monthly statement outlining the time spent and documenting any out of pocket expenses for which we are entitled to be reimbursed. It is our understanding that an initial appropriation of $25,000 will be set aside to fund this effort. We look forward to the opportunity of working for the Borough.
