AN ORDINANCE OF THE CITY OF RICHMOND
CONCERNING CERTAIN MATTERS CONNECTED WITH ITS
MEMBERSHIP IN THE INDIANA MUNICIPAL POWER AGENCY
WHEREAS, the City of Richmond (hereinafter the "Member") is
a member in good standing of the Indiana Municipal Power Agency
(hereinafter "IMPA"); and
WHEREAS, the Member's representative on the Board of
Commissioners of IMPA has been provided with certain information
by IMPA and its consultants, including testimony and exhibits
filed by IMPA in Cause No. 36835 before the Public Service
Commission of Indiana, and has conferred with the Member from
time to time regarding that information; and
WHEREAS, the Member entered into a pertain Power Sales
Contract with IMPA dated April 1, 1982,*which provides in per-
tinent part that the Member would cooperate with IMPA and take
all reasonable and necessary steps to obtain the agreement of
its wholesale power supplier to cancel or assign its wholesale
power supply arrangements and interconnection arrangements
prior to January 1, 1983; and
WHEREAS, the Member desires to appoint IMPA as its agent to
administer its wholesale power supply arrangements and inter-
connection arrangements with I&M upon commencement of service
by IMPA; and
WHEREAS, the Member desires to approve the document
attached hereto and designated "Modification No. 1 To The

Indiana Municipal Power Agency - Richmond Power Sales Contract
and Agency Agreement (the "Modification"); and
WHEREAS, IMPA has advised the Member that negotiations with
the various wholesale suppliers to IMPA's Members are not yet
complete and that an amendment of Section 25 of the Power Sales
Contract is necessary; and
WHEREAS, the Member desires to take this further action to
facilitate IMPA's financing of Gibson Unit No. 5 and its issu-
ance of bonds;
NOW, THEREFORE, BE IT ORDAINED:
SECTION 1. The Member ratifies and approves the affidavit
of the representative of the Member on the Board of Commis-
sioners of IMPA, a copy of which is attached hereto and
incorporated herein by reference as fully as if same were a
part hereof and two copies of which are in the office of the
Clerk as provided for in I.C. 36-1-5-4.
SECTION 2. The Member affirms Amended Ordinance No.12-1982 and
its determinations therein regarding the benefits to the Member
of the Gibson Unit No. 5 purchase.
SECTION 3. The Member hereby amends the Power Sales Con-
tract by deleting the sentence establishing the termination
date of September 1, 1982, provided for in Section 25 of the
Power Sales Contract.
SECTION 4. The Member authorizes the transfer of power and
energy to IMPA on receipt from I&M, appoints IMPA as its agent
to administer its wholesale power supply arrangements and
interconnection arrangements with I&M upon commencement of
service by IMPA in accordance with the terms of, and approves
the execution of, the Modification, a copy of which is attached
hereto and incorporated herein by reference as fully as if the
same were a part hereof and two copies of which are in the
office of the Clerk as provided for in I.C. 36-1-5-4.
