Director of Human Resources; Debbie Johnson, Public Information Representative; Lance LeComb, Manager of Public Information; and Pam Bell, Secretary to the Executive Director. - - - - Mr. Berry opened the meeting pursuant to notice and call. - - - - Upon motion made by Mr. Buford, seconded by Mr. Ross, the Journal of the July 12, 2012 meeting was approved by unanimous voice vote. - - - - The Chair commented that he would abstain on a series of ordinances awarding contracts to Burns and McDonnell. He indicated that Burns and McDonnell was selected through a procurement process conducted by staff and he had no involvement in, however, because of his prior employment with Burns McDonnell where he retired in from in 2007 he would be abstaining. - - - - Mr. Yates reported that the Audit Committee met at 7:30 a.m. on August 7, 2012. In attendance were Trustees Berry, Buford, Ross and Yates. The Committee approved the minutes from the prior meeting. The committee motioned to go into closed session to meet with the District’s internal and external auditors. During closed session the committee discussed confidential or privileged matters between the public body and its auditors under section 610.021 (17) RSMO. There were no additional items on the agenda. The meeting adjourned at 8:00 a.m. - - - - Mr. Buford reported that the Finance Committee met on August 7, 2012. In attendance were Trustees Buford, Berry, Ross, and Yates. Ms. Edwards recommended the District enter into the first year of a three-year contract extension with McGriff, Seibels & Williams to serve as the District’s broker of record for the District’s insurance programs. The Committee agreed to forward this to the Board for consideration and is item #61 on tonight’s agenda. Ms. Myers recommended the District enter into a contact with Shook, Hardy & Bacon LLP to provide legal consulting services in the area of environmental law. She also recommended exercising the second year of a two-year contract with Kyna Iman LLC to provide State legislative lobbying services for the District. These are items #62 & 63 on the agenda. Mr. Tyminski recommended the District enter into a contract with New England Pension Consultants (NEPC) to serve as the District’s employee pension plan investment consultant. This would be the final year of the five-year contract. This is item #64 on tonight’s agenda. Ms. Zimmerman recommended a revision to the Low Income Assistance Program Ordinance in order to clarify the availability of low-income assistance for tenants. This is #60 on tonight’s agenda. Ms. Zimmerman presented the June 2012 Adjustment Review Committee report as required by Ordinance. The Committee entered the report into the record. She also reported the District’s FY12 expenses were $ 4.9 million under budget due primarily to lower utility costs associated with the recent warm winter and current lack of rain. Decreased contractual services and savings associated with staff vacancies also contributed to the budget surplus. $4.2 million of this savings will be used to fund additional CIRP projects as reported at the July Board meeting. Mr. Tyminski updated the Committee on the status of the Series 2012A bond issue. He recommended the amount of the bond issue be reduced from $275 million to $225 million due to favorable market conditions that generate more bond proceeds than are needed. He also noted that rates are at a historic low. Eric Cowen of Bank of America Merrill Lynch stated rates are less than 3% at this time. Item #39 on tonight’s agenda will require an amendment to reflect this change. The Series 2012A Bond issue priced today. The meeting adjourned at 8:22 a.m. Mr. Buford called upon Ms. Bethany Pugh from the financial advisory firm of PFM who reported on the series 2012A bond issue. She indicated that the issue received strong interest from retail type investors and that all the pricing expectations were exceeded. She also noted that the District met an enhanced 30% MWBE goal. - - - - Mr. Ross reported that the Program Management Committee met on July 31, 2012 at 7:30 a.m. The meeting was attended by Trustees Berry and Mandel. The minutes of the July 3, 2012 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Item 44 – Infrastructure Repairs (Sanitary/Combined) – This appropriation is to provide funding for small repairs to the sanitary and combined sewer system. Most contracts are awarded via the District’s purchasing ordinance. Last year, the average project size was $11,560 per project and the MWBE participation was 27%. Staff has identified $5 million in backlogged projects to be addressed by this appropriation. Item 47 – Stream Flow Gauge Operation and Maintenance – This ordinance appropriates funds and authorizes MSD to enter into an agreement with the United States Geological Survey for this work. The USGS will provide $156,200 in in-kind services towards this project. Among other uses, this data is needed to maintain monitoring of local water quality. An appropriation for water quality monitoring is scheduled to be brought before the Board in October. The Committee requested that staff update them on the results and uses of the water quality monitoring when appropriate at a future meeting. Item 48 – Lemay Sanitary System Improvements – This ordinance is a Watershed Consultant contract with Burns & McDonnell Engineering Company. Individual project ordinances and amendments are included in Items 49 through 57. The write-up for this ordinance describes the consolidated activities, costs, and MWBE participation to date compared to the contractual requirements for all watershed projects. Staff reviewed each of the projects in detail and answered questions by the Committee. Staff reported that the total appropriations requested for the Lemay Watershed Consultant is $282,000 over budget. Staff also reported that these appropriations, total MWBE involvement for this contract will be 37.90%, exceeding the contract requirement of 29.00%. As identified by the Committee, staff adjusted the chart on page three of the write- up to correctly reflect the use of Vandiver Group instead of Vector for this contract. Item 58 – Private Inflow and Infiltration – This appropriation will provide the initial funding to allow MSD to fund the cost for private individuals to remove inappropriate inflow connections to their sanitary laterals. Work will be performed by plumbers selected by the property owners or by plumbers competitively selected by MSD. Cost will be based on standard unit costs or competitive bids. In all cases, MSD staff will approve the scope and bids before any work begins. Staff will report regularly on this program. In response to the Committee’s question about whether property owners or plumbers would be reimbursed, staff indicated that this detail had not yet been worked out. The Committee voted to forward this item to the full Board for consideration. Item 59 – Capital Improvement and Replacement Program (Supplement) – Staff presented a list of projects as outlined on the project write-up sheet to be added to the unfunded Contingency Projects list in the CIRP. The list included one design project, four property acquisition projects associated with the Cityshed program, two property acquisition projects associated with the SSO program, one reimbursement for a stormwater project, one reimbursement for a SSO project, and one construction project for the SSO program. All projects are required by the Consent Decree except for the stormwater project. Assuming this ordinance is introduced by the Board tonight, staff will conduct a public meeting on August 16, 2012 at 7:00 p.m. to obtain public comment. This will be followed by a report to the full Board of Trustees and a request for adoption of this ordinance at the September 2012 Board of Trustees’ meeting. Item 10 – Private I/I Public Engagement Program – This ordinance is scheduled for adoption tonight. Staff described how the services under this contract would facilitate program-wide communications with the District’s stakeholders and complement the project-by-project communications provided by the Engineering Department. Staff discussed how these resources will be considered for in sourcing in the future as the program progresses. Staff responded to questions from the Committee regarding cost and coordination with municipalities and other stakeholder organizations. Finally, staff discussed some alternative meeting location options to allow Board members the opportunity to visit existing District facilities and large construction projects. Staff will suggest possible locations and dates to the Committee and the Board as a whole. The meeting was adjourned at 8:45 a.m. - - - - Mr. Theerman reported that as mentioned in the Program Committee Report, MSD is using the concept of Watershed Consulting Teams to deliver much of the engineering work required in at least the first ten years of the consent decree. The use of this concept provides a consultant team to assist in improving long-term delivery schedules and cost, provides readily available expertise to address unforeseen issues in a timely and cost-effective manner, and allows MSD to take advantage of reduced costs due to economy of scale and the elimination of a learning curve for every project. The total program foresees the use of five Watershed Consultant Teams to deliver engineering services and three Watershed Consulting Teams to deliver construction management services. On tonight’s agenda are 17 individual project appropriations scheduled for adoption for two of these Watershed Consulting Teams, the Lower and Middle River Des Peres Team lead by Jacobs Engineering Group and the Deer Creek Team lead by Parsons Water and Infrastructure. Also on tonight’s agenda are the introduction of 10 individual project appropriations for the Lemay Sanitary Improvements Watershed Consultant Team lead by Burns and McDonnell. While the agenda and ordinances only refer to the lead consultant for each team, the Watershed Consultant process was set up to require the use of multiple companies on each team. Twenty-six firms are serving as sub-consultants on one or more of these three teams. Fifteen of the firms serving as sub-consultants are minority or women owned firms. The selection process to date indicates that when half of the eight Watershed Consultant Teams have been selected, approximately 35 of the 46 firms expressing interest will have a part in these contracts. Nine of those 35 firms will be participating on more than one team with eight of those firms being minority or women owned businesses. In the future, the proposed construction management Watershed Consultant Contracts will provide more opportunities for firms who provide expertise in that field. Item 9 on tonight’s consent agenda is a sewer rehabilitation construction contract scheduled for adoption. Staff is asking that the adoption of this contract be delayed pending further review. Based upon some recently received information the staff would like the opportunity to re-review the conformance of this bid with the District’s MWBE policy. When we are satisfied that the bid fully conforms to the policy we will seek adoption of the ordinance. Each year the National Association of Clean Water Agencies or NACWA presents Peak Performance Awards to those member agencies that achieve outstanding performance in treatment plant operations. I am happy to report that all seven of the District’s plants have received Peak Performance Awards for calendar 2011. Silver Awards are presented to facilities that have five or fewer violations. This award was presented to the District’s Coldwater Creek and Grand Glaize Treatment Plants, which had a combined total of three violations during 2011. Gold awards are presented to facilities that have achieved perfect compliance for a single year. Four MSD facilities have received Gold Awards, the Bissell Point, Lemay, Fenton, and Lower Meramec Treatment Plants. Platinum awards are presented to facilities that have achieved perfect compliance for five or more years. For the first time in over ten years, an MSD plant has received a platinum award. Our Missouri River Treatment plant has operated with a perfect compliance record for five consecutive years. Our Division Manager, Todd Heller and Treatment Plant Manager, Ken Gambaro are with us tonight to be recognized for this achievement. I will point out if their compliance record holds for the balance of 2012, the Fenton plant and Lower Meramec plant will receive Platinum awards, next year. This sort of record does not just happen; Jon and his staff have made compliance a priority. Congratulations to all of our facilities for these achievements. NACWA also recognizes organizations that display excellence in management through their implementation of the ten attributes of effectively managed utilities. This past month MSD was recognized with a Gold Award for excellence in management. The ten attributes include utility areas such as product quality, customer satisfaction, financial viability, employee and leadership development, operational optimization, community sustainability and stakeholder understanding and support. MSD was one of twelve utilities recognized for management excellence this year. We have previously received this award in 2007 and 2010. At the time, a utility could only receive the award every three years. Recently that criterion changed and we are now eligible for consideration each year. Mr. Theerman called upon Mr. Sprague to provide the Quarterly Compliance Report. With the aid of a Power Point presentation, Mr. Sprague indicated that in 2011 five of the seven treatment plants had perfect compliance and the remaining two plants had minor issues, to date in 2012 all plants maintained perfect compliance. He noted that the trend for the absolute number of maintenance related backups was positive with only 287 for the last four quarters, as compared to over 800 in prior years, and on-time emergency response time had improved to 82%. He also noted that the trend for overflows had also improved. Mr. Sprague concluded his remarks by explaining that his departmental goal is to bring all CCTV and Inflow & Infiltration work in-house. Currently about half of the work is performed by in-house crews, but was unable to meet his goal up to now because the required miles had doubled under the Consent Decree. - - - - Mr. Tom Sullivan addressed the Board and indicated that it would be interesting to observe if MSD actually brings the CCTV work in-house. He also raised some concern about the quality based selection process used by MSD to procure engineering services, and questioned if Mr. Berry owned stock in or received a pension from Burns McDonnell. Mr. Berry indicated that he neither owns stock in nor receives a pension from Burns McDonnell. - - - - CONSENT AGENDA ADOPTION OF PROPOSED ORD. Stage and discharge values will be displayed in a real-time fashion on the USGS public web page. In addition, data reports or evaluations are provided by the USGS as an extension of staff, as requested for use by the District. The data will be used to more reliable flood peak estimates for use in hydrologic and hydraulic models or calculations at project locations within a drainage basin.
