Mr. Berry opened the meeting pursuant to notice and call.

Upon motion made by Mr. Buford, seconded by Mr. Ross, the Journal of the
August 9, 2012 meeting was approved by unanimous voice vote.

The Chair commented that he wanted to clarify comments made at the last board
meeting regarding his pension. He stated he receives a pension from a former company,
Armco, which now owns Burns & McDonnell. However, because of his prior employment with
Burns & McDonnell where he retired in from in 2007, he would be abstaining.

Mr. Ross reported that the Program Management Committee met on September 4,
2012 at 7:32 a.m. The meeting was attended by Trustees Ross and Mandel.
The minutes of the July 31, 2012 meeting were approved.
The agenda items to be introduced tonight were presented and discussed,
including a detailed discussion regarding the following items:
Item 31 – Bond Place Sanitary Sewers – An ordinance for this project was
originally adopted by the Board of Trustees on June 14, 2012. After adoption, the successful
bidder went out of business. This new ordinance replaces the previous ordinance and lists the
second low bidder as the contractor for the project. The amount of the appropriation remains at
$80,000.
Item 34 – Ashland Avenue – Semple to Union (Property Acquisition) – This is a
contingency project and will allow for the demolition and relocation of 55 properties prone to
flooding from surcharging combined sewers. The property will then be used by MSD to further
mitigate issues with surcharging combined sewers. This project is required by the Consent
Decree as part of MSD’s Cityshed program.
Item 64 – Delcrest Sanitary Relief Phase I – This is also a contingency project to
address the Consent Decree. Staff is proposing to have this phase of a future capital project
constructed as the site is redeveloped. Waiting to construct this project after the site is
redeveloped is estimated to cost an additional $300 to $500 thousand. Staff is also requesting
introduction and adoption of this ordinance tonight to match the developers’ construction
schedule.
Item 38 – Bissell – Coldwater – Missouri – Meramec System Improvements – This
ordinance is a Watershed Consultant contract with AMEC Environmental & Infrastructure, Inc.
Individual project ordinances and amendments are included in Items 39 through 60. The write-
up for this ordinance describes the consolidated activities, costs, and MWBE participation to
date compared to the contractual requirements for all watershed projects. Staff reviewed each
of the projects in detail and answered questions regarding individual projects by the Committee.
Staff reported that the total appropriations requested for the Bissell – Coldwater – Missouri –
Meramec Watershed Consultant is $5,775,000 under budget, with over $4,000,000 attributable
to changes in scope since the capital program was prepared. Staff also reported that these
appropriations, total MWBE involvement for this contract will be 35.98%, exceeding the contract
requirement of 35.00%.
Staff responded to Committee questions and discussed program items such as
how scope changes in projects are managed, how changes in available funds resulting from
these scope changes are used, how MSD is constantly gathering new data on problem areas,
how projects are flow monitored after completion to assure that sufficient inflow and infiltration is
removed, and what provisions are available if it appears an individual Consent Decree deadline
cannot be met.
Staff reported that the project that was held on the Consent agenda last month,
Infrastructure Repairs (FY2012 Contract C), will not be brought forward for any further action.
Additional evaluation revealed that the low bidder could not meet the MWBE requirements.
Since the second low bidder was $1.8 million higher than the low bid, all bids will be rejected
and the project re-bid.
Next, staff discussed the results of the August 16, 2012 Public Meeting. These
results will be presented during the Submission of Public Hearing Reports.
Finally, staff briefly discussed the Fawnvalley Storm Channel Improvements
Project. Board members have received correspondence regarding this project. Staff reported
that a meeting is scheduled for 6:00 p.m. on Thursday, September 6, 2012 to discuss this
project with the residents.

Mr. Buford reported that the Finance Committee met on September 11, 2012. In
attendance was Trustee Buford.
Mr. Theerman reported on the proposed legislative priorities for the 2013 Federal
and State Legislative Sessions. He explained the general, financial and regulatory priorities to
the Committee. Trustee Buford requested the District add an item related to educating the
Federal and State legislators about the Consent Decree and MSD’s plans to comply with its
requirements on time and within budget. The updated State and Federal Legislative Priorities
will be presented to the full Board for their consideration.
Ms. Jeanne Vanda of Public Financial Management (PFM) stated MSD and PFM
are monitoring the potential savings from the advance refunding of the District’s $159 million
dollar Series 2004A Wastewater Revenue Bonds. PFM recommended proceeding with the
advance refunding to lock-in attractive debt service savings. Ms. Vanda also stated the bond
refunding banking syndicate consists of six firms led by Siebert Brandford Shank.
Ms. Zimmerman recommended creation of a new fund for the Worker’s
Compensation Fund to comply with accounting rules and provide closer expense monitoring.
This is Item #61 on tonight’s agenda.
Ms. Zimmerman presented the July 2012 Adjustment Review Committee report as
required by Ordinance. The Committee entered the report into the record. She also reported on
the current financial condition of the District indicating it continues in a solid position with FY12
operating expenses ending $5.0 or 3.18% under budget. Ms. Zimmerman indicated $4.2
million of this surplus will be used to fund additional CIRP projects. A transfer of these funds to
the capital program is Item #66 on tonight’s agenda.
Ms. Kristen Finney-Cooke from New England Pension Consultants reported on the
performance of the pension investments through August 29, 2012. She noted at quarter end, the
pension fund assets totaled approximately $210.3 million, a decrease of $1.5 million over the
prior quarter. This decrease reflects investment losses of $3.8 million offset by net inflows of
$2.3 million. She stated that fund managers Buford Dickson Harper & Sparrow and Waddell &
Reed are both struggling to meet investment targets. Ms. Cooke recommended the Board
consider termination of Buford Dickson Harper & Sparrow due to low performance and initiate a
search for a replacement large cap growth manager.

At this time, I would like to make a motion the Board accept the proposed 2013
Federal and State Legislative priorities as updated and presented.
Motion made by Mr. Buford, seconded by Mr. Ross that the Federal and State
Legislative priorities be accepted.

Mr. Theerman reported that on September 6th, members of the MSD staff held a
public meeting in Des Peres to provide information and hear concerns about the District’s
Fawnvalley stormwater project. This project is a $990,000 construction project to address
creek erosion adopted by the Board last June. At the meeting, Brian Hoelscher provided the
background on the project, design features, public outreach efforts and attempted to address
concerns that were raised to the District. Attendees were then allowed to speak to their
specific concerns regarding the project. Generally, concerns fell into the following areas, which
I am listing in no particular order:
• Increased Mosquitos
• Erosion
• Changes in project retaining wall design
• Safety
• Esthetics with respect to the block retaining walls
• Compliance with permit issued by the Corp of Engineers
• Loss of trees
• Failure of vegetation planted on another MSD project
• Project cancellation
• Bio-stabilization as an alternative to the current design
In general, more of those that offered comments favored the project moving
forward. Overall, the consensus of the participants was that they did not want the District to
redirect funding to another stormwater project.
Following the comments, the District set out “next steps”. Those attending were
informed that there was a Board of Trustees meeting on the 13th where they could provide
comments to the Board. As an aside, when this board meeting was rescheduled we notified all
participant of the meeting change. We agreed to review the basis of the design and the
reasons various design parameters were in place. We contacted St. Louis County Health for
their perspective on the existing mosquito situation. Finally, we committed to communicate the
final decision regarding the project to the residents as soon as it was determined.
Since the public meeting, MSD staff has spent hundreds of hours involved with
this project including reviewing the project design, attendance at city council meetings, and
responding to inquiries by various parties. We have intentionally avoided situations and
invitations that would give the appearance of taking sides as our decision making process
continues. On September 6th, we made assurances on how we would proceed and we have
stuck by those commitments.
Following tonight’s meeting, we intend to complete our review and render a
decision by October 12th.
At the August 9th board meeting, Dr. Berry informed the board that he was
abstaining from voting on a series of contracts the staff is proposing with Burns and McDonnell.
These contracts for the design of compliance projects throughout the Lemay sanitary system
are items 21 through 30 on tonight’s agenda. Due to Dr. Berry’s desire to abstain and Mr.
Yates being unable to attend, we have moved these items to unfinished business and request
that the board take no action tonight. We would ask that they be considered at the next board
meeting.
Staff is recommending that item #64, Delcrest Sanitary Relief Phase I, be pulled
from tonight’s agenda. This ordinance would have allowed MSD to fund the construction of a
needed capital improvement in coordination with a redevelopment project. As negotiations
were being completed, the developer decided that the risk associated with the needed 30’ deep
sewer installation and the associated potential impact to the redevelopment schedule was not
compatible with the needs of the developer’s investors. The developer will provide easements
to MSD so that MSD can build the project at a future date.

Mr. Hoelscher reported that Item #18 on tonight’s consent agenda is the
scheduled adoption of an ordinance to add 10 projects to the contingency list for the FY 2013
Capital Improvement and Replacement Program. Staff had previously informed the Program
Management Committee on July 31, 2012 and the entire Board at the August 9, 2012 Board of
Trustees Meeting of the content of this ordinance and that staff was required by Charter to hold
a public meeting on this ordinance. The Board of Trustees introduced this ordinance at its
August 9, 2012 meeting. In accordance with the District’s Charter, staff held a public meeting on
August 16, 2012 at 7:00 pm at the District’s Headquarters at 2350 Market Street regarding this
proposed ordinance.
This meeting was posted at the District’s Headquarters at 2350 Market Street on
August 14, 2012 at 3:00 pm. Notice of this meeting was also posted on the District’s website the
same day.
Staff reviewed the 10 new contingency projects to be added to the FY 2013
Capital Improvement and Replacement Program. There was no public in attendance and thus
no public comment. The lack of public participation is not surprising since the information
presented at the Public Meeting had already been presented at the previously referenced
Program Management Committee Meeting and Board of Trustees Meeting.
Based on the results of this meeting, staff is recommending that the Board of
Trustees adopt Item #18 on tonight’s consent agenda.

Mr. Tom Sullivan addressed the Board and indicated that he has contacted St.
Louis City Circuit Attorney Jennifer Joyce to investigate the handing out of tens of millions of
dollars to no bid consulting contracts by this sewer District. Contracts approved by a Board that
he believes, “rubber stamps” the contracts without knowledge of details. He indicated that he
also raised a concern with the City Circuit attorney’s office about the value of consulting
contracts and Mr. Berry’s relationship with the engineering firm of Burns & McDonnell.

sewer overflows (CSO), basement backups and flooding in a low elevation area containing a
major trunk sewer. The effort will include the acquisition of the properties through negotiation
and/or condemnation if necessary, demolition of approximately 55 structures and securing the
site. Through the approval of this Board action, District Staff will be authorized to negotiate with
property owners and purchase all properties included in the scope without further Board action.
Additional Board action will be necessary in the event an agreement cannot be reached with the
property owners. A real property acquisition consultant will perform all negotiations and
management of the property acquisition from the first contact with the owners through the
closing. The consultant will perform all services in accordance with the Code of Federal
Regulations Uniform Relocations and Real Property Assistance Act (49CFR Part 24, amended).
The District will contract for the demolition, asbestos removal, and final restoration of the site
and structures under separate contracts through the Purchasing Division. All of these activities
will be funded from this appropriation. Any development of a detention basin would be funded

Mr. Mark Pedroli addressed the Board and asked the District to delay the work on
the Fawnvalley Stormwater project until a more acceptable design, preferably a bio engineered
green design, is brought forward. His concern with the proposed approach is that it relies on the
use of a block wall that will in time create pools of stagnant water that will serve as a breeding
habitat for disease carrying mosquitos.

Mr. Lorin Crandall, of the Missouri Coalition for the Environment, addressed the
Board and indicated the Fawnvalley Stormwater project presents a great opportunity to work
with the community to develop a collaborative solution to a storm water problem. He also noted
that the folks on both sides of the issue are receptive and concerned about reaching a speedy
and equitable solution.

Mr. Richard Bueler, a resident who lives on the north end of the Fawnvalley
project, indicated that he has lived in that area for 42 years and he supports the project in order
to alleviate the erosion problem. He stated that mosquitoes are present throughout the area and
there are other sources of stagnant water that help breed mosquitoes other than the proposed
stormwater project, such as clogged gutters.

Ms. Shannon Metzler addressed the Board and indicated that she is opposed to
the plan as presented because it would serve as a breeding ground for mosquitoes that could
carry diseases such as the West Nile virus. She urged the District to explore a more natural
alternative to the cement block approach.

Mr. James Osherow addressed the Board and indicated that the proposed
approach to the Fawnvalley stormwater project does not make sense. He stated that we all
agree that something needs to be done and described how high the water will rise in the creek
during a rainstorm. He indicated that the prior fixes have not worked, and after assessing what
MSD did on a similar project in Deer Creek, he doubts that the current plan would accomplish
the objective. He urged the District to reconsider the solution on a comprehensive watershed
basis and consider green alternative solutions. He also raised the concern that if the Fawnvalley
project were delayed, the roughly $1 million budgeted for it could be lost to another project. Mr.
Buford asked if the District threatened to take funding away. Mr. Theerman responded that the
District did not threaten take away the project’s funding.

Mr. Steve Cottwell addressed the Board and indicated that he is for the project and
appreciate all MSD has done. He indicated that he has been informed all along, and has lost
seven feet of ground since I moved there 1985. He stated that the board has been bombarded
with reasons why the District should stop this project. Because the West Nile virus hit about that
time, that’s what the news picked up and that’s where they are going with. He did some
research and found a place in Springfield, Missouri that put in the same wall in 1992. He
emailed the chief investigator at Vector Control and asked if she had any other complaints in
that area and found they have none.

Mr. Bill Oakey addressed the Board and indicated that the issues are about the
creek, property values, neighborhood of the creek and the District’s plans regarding the creek.
He has lived along the southside of Two Mile Creek in Des Peres for nearly 20 years, and is
concerned about installing concrete block walls. Revising the project would be in the best
interest of MSD because: 1) original plan uses concrete blocks that have proven to cause
mosquito infestation, allowing this to go forward would cause a serious threat to public health.
West Nile virus has already been found in the creek; 2) there are big problems with the army
corps and DNR permits 404 and 401. The permitting process was seriously flawed in several
ways and Mark Zerbrick, and independent biologist who has worked on Missouri streams for
nearly 35 years has studied the project and pointed out nine violations in terms of the permits.
The DNR had field agents looking into the violations yesterday and we are filing a formal appeal
of the Army Corps permit. 3) Revising this project would be a dramatic demonstration that MSD
is conducting its affairs as a responsible shepherd of taxpayer’s money and good citizens of the
21st century. This is not a good time to waste money to destroy a precious natural resource.
Repair creek damage, north of Fawnvalley bridge, fix the cement block walls installed 10 years
ago, work with bio engineers to do only what needs to be done, for the long term result. Mr.
Buford asked if we received any complaints from the impacted residents in Ladue. Mr.
Theerman indicated that the Ladue project was completed in the spring of 2012 and because of
the extremely hot and dry summer, many of the plantings did not survive. We will replant and
investigate the issue. Mr. Buford asked about the $25,000 payment made to the homeowners
association. Mr. Theerman responded that that payment was pre-negotiated to reestablish a
barrier for a private road.

Mrs. Pamelah Oakey addressed the Board and indicated that she had a
discussion with a representative of St. Louis County Vector Control and that based on the
individuals comments, she indicated that there appears to be a lack of communication between
MSD and County Vector control. Mr. Buford asked if Vector Control contacted the District about
these problems. Mr. Theerman responded that we’ve been in communication with them, they
treat for mosquitos throughout the area including Two Mile Creek, the information we’ve
received, and we plan on providing to the homeowners. The District is being told there is no
West Nile in this year’s test, and the mosquito issue is not a significant one compared to other
creeks. No one is denying the existence of mosquitos, they are not holding it up as an extreme
issue.

Ms. Tricia Hagan addressed the Board and stated that she’s been a resident of
Harwood Hills for almost six years, and was not informed of the project. She’s a mother of three
children and her house backs to the creek. She purchased the property because of it’s nice flat
backyard with privacy and vegetation of the creek. She was stunned given the severity of the
West Nile epidemic that was on the news all summer long. The creek has been here a long time
and they have been dealing with mosquitos, but have not always dealt with West Nile virus. She
stated that not only the building material for the wall that concern her, but the step pools that are
planned for this project, which will encroach on her property.

Ms. Patricia Zorn addressed the Board and indicated that she is against the
project because 80 to 100 year old trees will be taken out to install the block wall, and that
erosion has been slight over the past 15 years. She urged the District to consider a more
environmentally friendly alternative.

Mr. Don Hosutt addressed the Board and indicated that he lives directly across the
creek from Ms. Zorn, and has had a much different experience with erosion. The erosion issues
have been presented to the Alderman and MSD since mid to late 1990s, when the footprint of
MSD had grown considerably due to the continued larger amounts of stormwater and runoff that
was caused by increased residential and commercial building on Manchester Road. Some
properties were left unprotected by the great increase in flow. Riprap installed in the 1990s,
forced a lot of the water on his side of the bank. This is a manmade problem and the blunt
seems to slam directly in the back of his lot and has caused the loss of yard, trees and shrubs.
There is a need for this project because of continuing erosion and the safety hazards.

Mr. Jim Hudson addressed the Board and indicated that he supported the project.
He with the aid of a video showed that in 1995, Two mile Creek was actually a storm channel.
He felt that, the only choice for stabilizing these banks is the modular block walls. Damage is
already done with the commercial development on Manchester Road in regards to water flow.
Unless you can make changes to the existing flow or runoff to Two Mile Creek, you’re trying to
correct 30 years of problems created by all the urban sprawl on Manchester Road.

Mrs. Terry Hosutt addressed the Board and with the aid of a slide show depicted
the property damage caused by the creek and gave support for the MSD project.

Bob Ashcraft addressed the Board and indicated that he is in favor of the project
noting that the creek is a raging stream and that any form of stormwater protection was better
than none.

Ms. Jane Langa addressed the Board and indicated her support for the existing
MSD project citing the extensive damage caused by erosion and the fact that the mosquito
issue has always been present.
