The following are the new assignments: • Mr. Yates moved from the Finance Committee to the Stakeholder Relations Committee • Ms. Mandel moved from the Audit Committee to the Finance Committee • Ms. Patton moved from the Stakeholder Committee to the Audit Committee All of the Committee’s Chairpersons remain the same. Mr. Buford reminded the Trustee’s and the audience that all Trustees are invited and welcomed to all meetings. - - - - Ms. Yates reported that the Program Management Committee met on July 2, 2013 at 7:32 a.m. The meeting was attended by Trustees Yates, Patton, Berry, Faul, and Buford The minutes of the June 4, 2013 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Item 26 – Supplemental Environmental Projects – This ordinance appropriates funds to be used for the de-commissioning of private septic tanks as well as repairs or replacement of defective residential private laterals for low income, owner occupied properties throughout the District. It is the first appropriation of multiple anticipated appropriations. Staff explained that the project was a requirement of the Consent Decree and was part of the penalty phase which requires the District to expend $1.6 million by April 2017 for these activities. The Committee inquired about the specific income limits to qualify for the project. Staff was unable to give the exact limits, but agreed to provide this information at the next meeting. As a requirement of the Consent Decree, this report includes the following statement: “This project was undertaken in connection with the settlement of the enforcement action, U.S., State of MO, and the Missouri Coalition for the Environment Foundation vs. MSD, taken on behalf of the U.S. EPA, the State, and the Coalition under the Clean Water Act”. Staff made a brief introduction to three groupings of design projects on tonight’s agenda and the use of the watershed consultant contracts to design a majority of the projects related to the Consent Decree. Staff went on to explain that the watershed consultant contracts are one year contracts with annual extensions based on good performance and being able to satisfactory show a long term plan to meet contractual requirements for MWBE utilization. Items 33 through 54 – Bissell–Coldwater–Missouri–Meramec System Improvements – This ordinance appropriates funds and authorizes staff to amend an existing watershed consultant design contract with AMEC Environment & Infrastructure. Staff gave details of AMEC’s good performance over the last year and indicated that the anticipated MWBE utilization after this amendment will be 35% of the accumulated contract value to date compared to a contract commitment of 35%. There are a total of twenty-two appropriations associated with this amendment totaling $10,735,000. The projected budget for these projects was $5,045,000. Additional design costs primarily consist of dollars required to perform significant individual property inspections for illegal stormwater connections and the design of the removal of major sources of inflow and infiltration required by the Consent Decree. Additional design costs are associated with both fiscal year 2013 and 2014 projects. The Committee inquired about the continuous monitoring of the MWBE participation. Staff responded that participation is monitored on an individual project basis and summated for overall performance, it will report annually as part of the contract renewal. The Committee also inquired about the individual MWBE participation level of zero on several of the projects. Staff indicated that on some types of design services it was more efficient to self- perform, and that overall the participation level will be made up on other design projects. Items 55 through 61 – Deer Creek System Improvements – This ordinance appropriates funds and authorizes staff to amend an existing watershed consultant design contract with Parsons Water & Infrastructure. Staff gave details of Parson’s good performance over the last year and indicated that the anticipated MWBE utilization after this amendment will be approximately 34% of the accumulated contract value to date compared to a contract commitment of 25%. There are a total of seven appropriations associated with this amendment totaling $13,390,000. The projected budget for these projects was $6,240,000. Additional design costs consist of dollars required to perform individual property inspections for illegal stormwater connections and the design of the removal of major sources of inflow and infiltration required by the Consent Decree. Additional design costs are associated with both fiscal year 2013 and 2014 projects. This appropriation also includes $4,000,000 for the final geotechnical program for the Deer Creek Tunnel project. These funds were originally planned for fiscal year 2015, but after a careful review of the project schedule and in order to comply with the Consent Decree it was decided to expedite this work. Committee clarified that these additional dollars were merely front loaded to fiscal year 2014. Staff validated this assumption. Items 62 through 78 – Lemay System Improvements – This ordinance appropriates funds and authorizes staff to amend an existing watershed consultant design contract with Burns & McDonnell Engineering Company. Staff gave details of Burns and McDonnell’s good performance over the last year and indicated that the anticipated MWBE utilization after this amendment will be 30% of the accumulated contract value to date compared to a contract commitment of 29%. There are a total of seventeen appropriations associated with this amendment totaling $12,315,000. The projected budget for these projects was $7,805,000. Additional design costs primarily consist of dollars required to perform significant individual property inspections for illegal stormwater connections and the design of the removal of major sources of inflow and infiltration required by the Consent Decree. Additional design costs are associated with both fiscal year 2013 and 2014 projects. Committee made an observation that the number of homes being inspected and requiring removal design is significantly higher than originally anticipated and questioned how that happened. Staff indicated that original studies of the system identified general areas that had significant stormwater infiltration and inflow. The studies later began identifying more specific private property sources. Even then the methods were not always successful to the extent of the individual inspection to be performed as part of this design process. Item 83 – Warne #4241 Bioretention – This project for introduction and adoption authorizes entry into a contract with Two Alpha Contracting for the construction of a bioretention facility as part of the Green Infrastructure Pilot Program required by the Consent Decree. Staff requested that the Committee consider this project for introduction and adoption to coincide with the fall planting season. The Committee agreed to recommend for introduction and adoption. The Committee asked for information regarding proposed MWBE subcontractor Mar II Concrete Company. Staff agreed to provide this information at the next scheduled meeting. Item 84 – Lemay WWTP Outfall Elimination – This project for introduction and adoption authorizes entry into a contract with Pangea Group for the construction of a pump station and force main required to eliminate an existing Ash Lagoon Outfall to meet regulatory disinfection mandates. Staff requested that the Committee consider this project for introduction and adoption in order for construction to be completed by an April 2014 deadline. The Committee agreed to recommend for introduction and adoption. The meeting was adjourned at 9:35 a.m. - - - - Mr. Faul reported that the Audit Committee met on July 9, 2013, at 7:30 a.m. In attendance were Trustees Faul, Berry, Buford and Patton. The Committee approved the minutes from the prior meeting. Mr. Loretta, with the help from Mr. Steinkamp of Brown Smith Wallace presented the recommended FY 2014 Risk Assessment and Internal Audit Plan. The committee concurred with the plan. External Auditors, Messrs. Winter and White from Rubin Brown, presented the External Audit Plan for the June 30, 2013 year-end financial statements and explained the different types of audits that will be performed. Mr. Winter also discussed the new accounting pronouncements that will have an effect on the District’s future financial statements. The committee voted to go into closed session. The Committee met with the District’s auditors and management to discuss confidential or privileged matters between the public body and its auditors under section 610.021 (17) RSMO. The meeting adjourned at 8:45 am. - - - - Mr. Berry reported that the Finance Committee met on July 9, 2013, with Trustees Buford, Berry and Faul in attendance. The minutes from the June 11, 2013 meeting were approved. The items on tonight’s agenda were presented and discussed as follows: Item 83 – District Website Redesign and Support Services – This ordinance authorizes the Staff to enter into a one-year contract with Falk Harrison to provide redevelopment expertise and support services for all MSD websites. This work is needed to assure the District’s use of current communication methods expected by its ratepayers. Staff recommended Falk-Harrison over two lower bid proposals considered unresponsive to the RFP. Item 22 – District Technology Infrastructure Services – This ordinance is on tonight’s agenda for adoption. It authorizes the Staff to enter into a contract with Connectria, Inc. to remotely monitor and manage the District’s technology infrastructure environment. Connnectria specializes in providing these services for IBM Power Servers, which are currently used by the District to host its critical applications. Information was presented regarding the low bidder’s proposal and qualifications. Additional information regarding the recommended bidder was also provided per a request made at the June Finance Committee meeting. The Committee found this satisfactory to support Staff’s recommendation. The Committee further noted it is the Board’s responsibility to act in the public’s interest by thoroughly reviewing the basis for vendor selection other than that of the low bid proposer. The May 2013 Adjustment Review Committee report was accepted into the recorded as required by ordinance. The District’s financial condition as of May 31st was assessed and continues in a strong position. The meeting adjourned at 9:03 a.m. - - - - Ms. Mandel reported that the Stakeholder Relations Committee met on June 20, 2013 at 11:00a.m. In attendance were Trustees Mandel, Buford and Faul. Messrs. Unverferth and Lodderhose discussed the renewal of MSD's Hauled Waste Ordinance. Mr. Lodderhose gave a brief presentation regarding the program, its operation and history, and the changes proposed in the renewed Ordinance. This is item #81 on tonight's agenda. Ms. Collins discussed the CIRP Presentation made to the Construction Community. The event was held in April, and gave an overview of MSD's 2014 Construction Capital Program. It was presented by various representatives of MSD, as well as AGC and SITE, to contractors and associations in the Metropolitan St. Louis area. Mr. LeComb presented the renewal of the current contract with StandPoint Public Affairs to provide ongoing public engagement services for the Consent Decree. The Consent Decree includes a series of required activities and programs that address wastewater issues throughout the District’s collection and treatment system. As several of these activities/programs require individual customers to take actions at their homes or properties, and adopt new community-wide practices for the mitigation of stormwater impact on the wastewater system, public education, outreach and engagement are critical to achieving the goals of the agreement. Furthermore, as rates increase in the coming years, the District’s customers have a right and expectation to understand why their rates are increasing and how the dollars are spent. MSD does not currently have the staffing levels to perform the level of public engagement necessitated by the Consent Decree. StandPoint has been assisting with these efforts for the past year and staff is seeking to exercise the first of two option years to continue these efforts. This is item #82 on tonight's agenda. The meeting was adjourned at 11:24 a.m. - - - - Mr. Hoelscher reported that as reported in the program management committee report, proposed on tonight’s agenda for introduction are 60 items related to the execution of the district’s capital program. The program management committee spent over two hours in committee hearing details of each project, reviewing MWBE participation and past performance of each firm, and questioning staff on various aspects of the agenda items. Included in these 60 items are 46 design projects to be executed by three of the watershed consultant teams being used to execute the requirements of the consent decree. These teams were previously selected using a quality based selection process as proscribed by state statute. I reviewed this state statute process with the board at the last meeting. The use of the watershed consulting system has facilitated MSD meeting all consent decree delivery and schedule requirements to date while staying within the budget requirements set by the rate commission and this board. Next Mr. Chairman, I would like to address some public comments made at the last board meeting. First, Mr. Sullivan asked for the comments I made at the last meeting. Those comments in detail are in the meeting minutes that were distributed with this month’s agenda. Another comment by Mr. Sullivan was regarding any additional commitments made to the public for an educational/recreational facility at the Meramec treatment plant. In addition to the commitment made to then senator bond’s office which was part of an 11 million dollar federal grant for the Meramec project, MSD did make commitments for an educational/recreational facility during public meetings held in the mid-90’s with local residents and the local elementary school located across the road from the plant. Finally was a comment from Mr. Sullivan regarding information on the cost or appropriation of each board action. If appropriations for a specific action are required by the board, these amounts are included in the ordinance. If an appropriation for a specific action is not required, usually because the funds were already appropriated as part of the annual operating budget, an appropriation or cost is not shown on in the ordinance. For the detailed information Mr. Sullivan seems to be referring to, attached to each public agenda are project detail sheets that should provide the public with everything they need to know. If Mr. Sullivan or any other member of the public has any questions, they are free to contact district staff. That is all I have this evening. Thank you Mr. Chairman. - - - - Mr. Tom Sullivan addressed the Board and questioned why the educational facility wasn’t explained to the public. He commented on no bid contracts, referring to the 2002 State Audit article in the Post-Dispatch and stated that there is $47.8 million no bid consulting contracts on the agenda. He pointed out that Jacobs Engineering, a firm he feels is involved in bid rigging and overcharging the federal government, is receiving over $10 million in contracts. He then indicated that Burns and McDonnell, Inc., a firm where MSD Board member Robert Berry worked for many years, is receiving $12.3 million of consulting contracts and Parsons Walter Infrastructures, Inc., was accused of failing to complete many projects in Iraq, and wasting millions of tax dollars, is in line for $13.4 million of contracts. Mr. Sullivan still objected to being charged $81.84 for a Sunshine request and stated that this violates the Sunshine Law. He continued by questioning why there were no financial disclosure statements filed with the Missouri Ethics Commission for Mr. Hoelscher and the two new Board members Mr. Faul and Ms. Patton. Lastly, Mr. Sullivan expressed that the $789,000 for outside public relations services, related to consent decree projects isn’t necessary and that the consent decree does not require going to an outside firm or spending so much. - - - - Ms. Gloria Nickerson addressed the Board and stated the last time she appeared before the Board was December 12 and she is back for a similar situation. She referenced her claim #2857, for flooding at her University City residence on June 27, 2011. She stated that on July 14, 2011 she appeared before the Board for assistance on claims from 2008, 2009 and 2011. As of today, the claim from 2011 has not been settled. The form has been completed and provided to Corporate Claims. She signed a sewer separation agreement with the District in 2008 and it was installed in her yard March 2009. Six months after the installation, her yard flooded again. She indicated that each time flooding occurs, she follows the procedures of filing a claim. She stated additional flooding occurred on June 17, 2013 and she contacted MSD as usual. Ms. Nickerson indicated that she received three claim numbers and was confused. She again brought up the agreement she signed with MSD for the sewer separation program and felt that the check valve is not operating as the District states that it should. She asked if it was true that MSD is not responsible for River Des Peres. Mr. Hoelscher explained that the answer from a previous meeting was the answer. Ms. Nickerson then stated that Mr. Hoelscher stated the previous night that MSD was not responsible for River Des Peres. Ms. Nickerson went on to read a letter she received in 1990 stating the District’s plan to fund repair and replacement work on aging and inadequate sewers throughout St. Louis County and City. Mr. Hoelscher responded that the District has plans in place to address the aging sewer infrastructure. He offered to come back with answers to all of the issues of the flood claims and the condition of Ms. Nickerson’s individual property at the next meeting. - - - - CONSENT AGENDA ADOPTION OF PROPOSED ORD.
