Motion passed – 5 ayes, no nays Poll taken: J. Faul aye R. Berry aye A. Mandel aye J. Buford aye M. Yates aye During closed session staff updated the Board on the litigation issues under §610.021(9). No votes were taken. - - - - Upon motion made by Mr. Yates, seconded by Ms. Mandel, the Journals of the November 14 and December 6, 2013 meetings were approved by unanimous voice vote. - - - - The Chair commented had no comments. - - - - Mr. Yates reported that the Program Management Committee met on December 3, 2013 at 7:30 a.m. The meeting was attended by Trustees Yates, Mandel, Buford and Berry. The minutes of the November 5, 2013 meeting were approved. The following item was discussed as follow-up item from the October Program Management meeting: Staff gave a brief presentation on the District’s water quality sampling efforts on local streams impacted by sanitary sewer overflows. Staff addressed questions regarding types of bacteria, repetition of sampling, and the impacts of the various bacteria levels. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Item 28 – Hartland to Gothland Sewer Separation – This ordinance appropriates $3,000,000 and authorizes staff to enter a contract with Unnerstall Contracting Company for various sewer construction and sewer rehabilitation to separate existing interconnected storm and sanitary sewer systems. Staff explained that this would be a partial appropriation of the total funds for the project. The construction is expected to span over two fiscal years. An additional appropriation for the remaining funds would happen in fiscal year 2014 as the additional funds to complete the project are required. Mr. Berry asked if the project was bid under the new MWBE requirements, staff confirmed that the project was bid under the new requirements of 17% African American participation. Mr. Berry asked if we had seen any difficulty on the part of the contractors to meet this goal, staff indicated that it had not seen any issues as of this time. Item 29 – Infrastructure Repairs Contract A – This ordinance appropriates $5,500,000 and authorizes staff to enter a contract with Insituform Technologies for various sewer rehabilitation throughout the District. Staff explained the project and that the MWBE goal for certain upcoming sewer rehabilitation projects would be 10% minority and 5% women participation to conform with Federal guidelines since the District will be funding these types of projects with State of Missouri Revolving Fund (SRF) loan proceeds. Ms. Mandel asked how much SRF funding the District was receiving, staff indicated that the District would be receiving approximately $53 million in SRF loans for rehabilitation projects. Item 32-44 – Coldwater Creek and Gravois Creek Design Contracts – Staff described in detail each of thirteen (13) separate design contract to various engineering firms for the engineering design of thirty-seven (37) individual stormwater projects within the Coldwater Creek and Gravois taxing sub-districts. The individual ordinances appropriate a total of $2,842,000 for this design work and provide an approximate combined total of 41% MWBE participation on the projects. Staff answered questions from the committee regarding the lump sum funding for multiple projects, the types of projects and the use of bio-swales and bio- stabilization methods. Item 47 – Page and Lindbergh Sanitary Sewer - This ordinance for introduction and adoption appropriates $160,000 and authorizes staff to enter into a contract amendment with Midwest Mole Incorporated for additional work on this project caused by numerous utility conflicts and associated project delays. Staff repeated the details of the project issues provided at the November Program Management meeting. Staff again asked the committee consider the project for introduction and adoption at tonight’s meeting. The committee agreed. Mr. Unverferth announced to the Committee that the District and its Contractor Goodwin Brothers Construction Company had received the Associated General Contractors 2013 Keystone Award for the construction of the Coldwater Wet Weather Storage Tank A located in St. Ann, MO. Assistant Director of Engineering Marie Collins accepted the award on the District’s behalf. The committee offered its congratulations to Ms. Collins and the entire Engineering staff on this award. The meeting was adjourned at 8:25 a.m. - - - - Mr. Berry reported that the Finance Committee met on December 10th at 7:30 a.m. with Trustees Berry, Faul, Buford and Mandel present. The minutes from the November 12, 2013 meeting were approved. Revenue Bond update – $150 million of revenue bonds were successfully issued on December 4 and 5 with an average spread to MMD of 0.22% and all-in interest cost of 4.36%. The bonds were issued with confirming ratings of Aa1 from Moody’s, AAA from Standard and Poor’s and AA+ from Fitch. The bond proceeds will be used to fund the current phase of the District’s capital program. General Legal Services – The following recommendations to provide general legal services are on tonight’s agenda for consideration. Each item represents the entering into the second option year of the applicable contract. Item 48: A resolution to enter into a contract with Armstrong Teasdale LLP Item 49: A resolution to enter into a contract with The Hale Law Firm. Item 50: A resolution to enter into a contract with Rynearson, Suess, & Champion, LLC. Item 51: A resolution to enter into a contract with Thompson Coburn LLC. Classification and Compensation Plans. The following recommended ordinance revisions are also on tonight’s agenda for consideration. Item 45: A revision to the District’s job classification plan applicable to B Schedule employees represented by IUOE No. 513, Machinists No. 9, Bricklayers No. 1, and Electricians No. 1. This recommended revision is based upon the results of the District’s Compensation Study approved by the Civil Service Commission. Item 46: A revision to the pay schedules in the District’s Compensation Plan applicable to unclassified positions, C Schedule positions and B Schedule positions represented by IUOE No. 513, Machinists No. 9, Bricklayers No. 1, and Electricians No. 1. These recommended changes are a result of the meet and confer discussions held between District representatives and each respective bargaining unit. Other Committee Business: The October 2013 Adjustment Review Committee report was accepted into the record as required by ordinance. This report will be provided on a quarterly basis pending the approval of an ordinance change on tonight’s consent agenda. A summary of the District’s financial condition will also be reported quarterly going forward. The meeting adjourned. - - - - Ms. Mandel reported that the Stakeholder Relations Committee met on November 19, 2013 at 9:00 a.m. In attendance were Trustees Mandel, Yates, Buford and Faul. The first agenda item was a presentation by Ms. Kyna Iman, our State legislative lobbyist representing the District in Jefferson City. Ms. Iman gave her review of the 2013 Legislative session and projections for the 2014 Session. Overall, the 2013 Session was very successful, specifically in passing the Omnibus DNR Bill and extending the Cleanwater Permit fees. Ms. Iman will continue to work with local legislators representing MSD's service areas and the issues that affect our rate payers and the services MSD provides. The next agenda item was the first quarterly status report regarding the District’s Diversity Initiatives. Staff provided updates on the Disparity Study recommendations, the Community Benefits Agreement, the status of District projects since implementing new goals and 2014 engineering professional services selections. There were no other items for discussion. The meeting was adjourned at 10:00 a.m. - - - - Mr. Hoelscher called upon Brenda Schaefer to provide a recap of the bond sale activity from last week. Ms. Schaefer asked the Board if there were any questions related to the issuance of the $150 million revenue bonds. There were no questions. Ms. Schaefer summarized the transaction and congratulated MSD on the successful issuance of the 2013B revenue bonds. Second, I would like to comment on the status of the District’s Disparity Study and the Community Benefits Agreement. On Wednesday December 4, five of the seven entities that indicated a desire to execute the Community Benefits Agreement did so. These were the NAACP, the Coalition of Black Trade Unionists, the Metropolitan Congregations United, MOKAN, and the St. Louis Metropolitan Clergy Coalition. At this time the Construction Prep Center and the National Society of Black Engineers have indicated that they plan to sign in the near future. Staff has forwarded preliminary documentation to these entities with a plan to have our first meeting as soon as possible after the first of the year. There is a lot of work to get done, and District Staff is looking forward to starting this process. I will keep the Board informed as to the meeting schedule for this group. Once we have all signatures for the document, we will post on our website and solicit for any other entity that may want to become involved. Also tonight, the Board of Trustees will consider two ordinances that will implement an agreement with Bricklayer’s Local No. 1, the Electrician’s Local No. 28, the Operator’s Local No. 513, and the Machinist’s Local No. 9. The first is a Compensation Ordinance, item No. 46 on tonight’s agenda. There is no dispute regarding the provisions of the Compensation Ordinance. The issue that has been presented during the public comment portion of recent past Board of Trustee meetings has to do with the Classification Ordinance, item No. 45 on tonight’s agenda. The union representatives who have spoken have provided documents that they believe indicate that the agreement reached between management and these unions does not include implementing the results of the Compensation Plan. Thus, they are requesting that the Board members vote no for the Classification Ordinance, Item No. 45 on tonight’s agenda. Though staff has previously chosen not to comment publically about these issues during negotiations, staff believes that these same documents show that the unions withdrew their request that the results of the compensation study be dismissed as part of collective bargaining agreement and that the results of the compensation study should be implemented. Thus staff’s recommendation is that the Board vote yes for the Classification Ordinance, Item No. 45 on tonight’s agenda. Regardless of the outcome, staff shall proceed with implementing the results of tonight’s vote. With the completion of tonight’s business, the Board will have taken action regarding the classification and compensation for approximately 360 Management, Professional, and Unclassified positions as well as approximately 60 positions represented by the 4 trade unions. Staff will continue to negotiate a benefit and wage package with AFSCME Local 410 and SEIU Local 1 for the remaining District employees. Finally, Mr. Hoelscher asked Jonathon Sprague to present the Quarterly Compliance Report. Mr. Sprague stated that the time- frame of July 1 through September 30 was one of the best quarters ever. He then noted the following items: • Plants’ compliance was perfect • Emergency response time for backups and overflows was 91% • Near record quarter of only 56 maintenance-related backups due to grease, root, blockages, and collapses of mains and not rain • Thirty-two maintenance-related overflows was the lowest ever for a 3 month period • One capacity backup due to a rain event during the quarter • Two more constructed overflows were removed leaving 151. These are being removed in accordance with the Consent Decree. Of the 151 constructed overflows, only 19 had any overflows through the three month period. Mr. Sprague summarized the report stating that there was 100% plant compliance, the maintenance-related backups response was very strong, the overflows were record low, and overall for the year, everything is on track. Mr. Sprague then stated that since this is the first year of the Consent Decree, future reports will reflect maintenance-related activities as required by the Consent Decree. Finally, he stated that except for a few inspections that will be finished by the end of the month, MSD has completed the requirements from the Consent Decree. The Board complimented Mr. Sprague and his team on a job well done. - - - - Mr. Michael Murphy of SEUI-Local 1 stated that he is the lead negotiator for the bargaining sessions. He presented a letter to the Board. The proposal from the District was voted on by the unions and overwhelmingly failed. He feels the areas of contention are adding additional steps, no increase in the pay scale, increasing co-payments on insurance, allowing District policies to have precedent over contracts, not adding fair share, lowering the grades and redlining wages of several classifications. The union supports their brothers of the other trades in the fight against redlining and freezing wages or the giving of a lump sum payment that does not count towards their pension. These are the same employees that completed the work that allowed the great numbers presented in Jonathan Sprague’s report. He stated that the members do not come in at the top step of the grade. They come in as trainees and complete a two year program. Mr. Murphy provided other details regarding the progression of the members. Mr. Murphy maintained that the increase in wages will be taken away in the form of insurance. He summarized his comments and thanked the Board of Trustees for listening. Vieux and Associates also provides QA/QC of our extensive fixed rain gauge network and notifies the District of issues found during the GARR calibration process. As part of this contract, Vieux will be conducting an evaluation of our telemetry system and rain gauge network. Radar rainfall data is a technology used to enhance hydraulic modeling and calibration, confirming sewer flow metering responses to rain events, inflow/infiltration assessments, CSO and SSO control planning, watershed and stormwater programs, and preliminary and final designs. This technology allows the District to estimate more accurately the amount of rain that falls within District boundaries that is not detected at rain gauge sites by essentially increasing the number of locations where a rainfall measurement is available from approximately 100 to over 2,000 data points. We have recently started using GARR data to assist the Operations Department to determine the return period of rainfall events as they relate to overcharged main (OCM) complaints. The preliminary estimated total construction cost for all of the projects is $375,500.00. The preliminary estimated construction cost for the project is $970,000.00. Construction is anticipated to begin in FY2016 subject to construction funding and easement acquisition. Proposed Ord. No. 13781 was presented and read. The District contracted with Fox, Lawson & Assoc. (FLA), a division of Gallagher Benefit Services, Inc., in September, 2011 to conduct a salary/compensation study. FLA submitted the study on February 28, 2013. The results of the study were communicated to employees and the unions. A public meeting of the Civil Service Commission was held on March 28, 2013. The Civil Service Commission unanimously approved to submit the amendments to the Board of Trustees. This Classification Plan reflects the results of the compensation study for certain B Schedule classified employees only at this time represented by IUOE No. 513, Machinist No. 9, Bricklayers No. 1 and Electricians No. 1 per discussions by the District and representatives of appropriate exclusive bargaining units. Amendments approved by the Civil Service Commission for the administrative, technical and managerial positions not represented by a union has been previously enacted by Ordinance 13609 and contained within this new Ordinance.
