LOUIS SEWER DISTRICT August 16, 2018 The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Faul, Chair B.L. Hoelscher, Executive Director Rev. R. Bobo, Vice Chair(absent) T.R. Snoke, Secretary-Treasurer A.K. Mandel(absent) S.M. Myers, General Counsel M.E. Yates M. M. Gee, Director of Finance F. Dunlap M. Collins, Assistant Director of Engineering J. Singer Also present were: *Note: Technical difficulties during this meeting prevented the meeting from being recording. Trustee Faul called for a motion to into open session at 5:00pm. Roll call was made and all were present except Trustee Mandel and Trustee Bobo. Trustee Faul explained the reason for the escalation of the meeting and the change of meeting topic order for the evening. Trustee Faul then asked for the approval of the July 12, 2018 (1608th) Journal of proceeding minutes. The Journal was approved by Trustee Yates and seconded by Trustee Dunlap. Comments by Board Chair: None ~ ~ ~ ~ ~ Report of Board Committees: AUDIT Trustee Faul reported that The Audit Committee met at 7:30 AM on Tuesday, August 7, 2018. In attendance were Trustees Singer, Bobo, and Faul. The Committee approved the minutes from the July 3rd meeting. The Chairman had no comments. Internal Audit presented the report for the engagement titled “Network Vulnerability: Attack & Penetration Test”. The engagement involved the performance of attack and penetration testing on the District’s network systems, which include internal networks, external networks, and external websites. The attack and penetration testing procedures were performed during April of 2018. The engagement received a Generally Satisfactory opinion. The report contained five Opportunities for Improvement, which were presented to and discussed with the Committee. Questions from the Committee were addressed by Staff as they were received throughout the presentation. The meeting adjourned at approximately 8:05 am. The next meeting is tentatively scheduled for Tuesday, September 4, 2018. This concludes the Audit Committee Report. The minutes of the July 3, 2018 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ord No.’s 14975 & 14976 – CSO Green Infrastructure Projects – Staff described the details of two green infrastructure grant projects and their locations. The purpose of the projects is to reduce combined sewer overflows to the Mississippi River as required by the District’s Consent Decree. There was a discussion between staff and the committee on the level of funding allowed for each project. Staff agreed to provide more details at a later meeting. Ord No. 14981 – Infrastructure Repairs (Wastewater) – Staff provided details on this appropriation of funding to be used for contracted repairs on the wastewater collection system. Staff provided Fiscal Year 2018 spending statistics and answered questions regarding the bidding requirements for projects under $25,000.00. Ord No. 14984 – Baxter Road Storm Sewer – Staff provided details for the project and bids received. The low bid for this project was under $50,000 so there were no MBE requirements. At the committee’s request, staff gave an update on the District’s MBE policy for bids under $50,000 not requiring sub-contracting goals. Staff discussed and answered questions from the committee regarding the reasons and guidelines set for this policy. The committee requested staff review the policy as part of the upcoming Disparity Study. Staff agreed. Ord No. 14988 – Deer Creek Sanitary Relief Easement Condemnation – Brad Nevois from the Engineering Department gave a presentation on the status of easement acquisitions for the project. Brad explained the project schedule and criticality in meeting certain Consent Decree milestones and SSO removals. Because of this schedule, staff is requesting authorization to proceed to condemnation on certain properties associated with the project should staff be unable to acquire the necessary easements. Ord No. 14999 – Water Quality Sampling – Staff provided the details on the renewal of the District’s contract with Geosyntec Consultants to perform water quality sampling on the Mississippi and Missouri Rivers. There were questions from the committee on the verification of performance and quality of the sampling. Staff agreed to provide details of this process at a later committee meeting. The next Committee meeting is tentatively scheduled for Tuesday, September 4, 2018 at 8:00 a.m. The meeting was adjourned at 9:35 a.m. ~ ~ ~ ~ ~ FINANCE Trustee Dunlap reported that The Finance Committee met on August 7, 2018 with Trustees Bobo and Singer in attendance. The minutes from the July 3, 2018 meeting were approved. The first item on the agenda consisted of a review of the District’s Employees’ Pension Plan Actuarial Valuation report as of December 31, 2017, by Bill Winningham of Milliman. The actuarial valuation of the Plan is intended to determine the recommended level of employer contribution for the 2018 calendar year and to assess the relative funded position of the plan on an ongoing basis. The funded status was 83% as of December 31, 2017. Mr. Winningham also reported on the Governmental Accounting Standards Board’s new accounting standards for public pension plans and participating employers. Next on the agenda was a report by staff on the District's Operating Fund Portfolio as of July 31, 2018. Staff demonstrated that the portfolio is in compliance with the District’s Investment Policy. The next item on the agenda was an ordinance authorizing the staff to update the Approved Commercial Paper Issuers as reflected in the District’s Investment Policy. This action will allow staff to purchase investments from additional providers within the parameters of the District’s Investment Policy, thereby increasing competition and potentially reducing cost. This will be Resolution #3448 on tonight’s agenda. Edited 9/6/18 Pg. 3 The quarterly June 2018 Adjustment Review Committee report was accepted into the record as required by ordinance. Staff reported on the current unaudited financial condition of the District as of June 2018 indicating it continues to be financially stable and current projections indicate the District’s expenditures will be under budget for Fiscal Year 2018 and wastewater revenues are currently projected to be slightly favorable to budget. The next item on the agenda consisted of a request by staff authorizing a resolution to approve a budget transfer of $8,584,450 of unencumbered appropriated balances between multiple funds. This will be Resolution #3447 on tonight’s agenda. Staff then discussed a recommendation to enter into a contract with AON Hewitt Investment Consulting for one year with the option to extend the contract in one year increments for no more than four years. AON will monitor the District’s pension investments and provide investment advisory services for the District’s Defined Benefit, Deferred Compensation and Defined Contribution Plans. This will be Ordinance #15006 on tonight’s agenda. The meeting adjourned at 10:40 a.m. The next tentatively scheduled meeting is Tuesday, September 4, 2018. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS The Stakeholder Relations Committee met at District Headquarters on Tuesday, August 7, 2018 at approximately 10:40 a.m. In addition to public attendance, those present at the meeting included Trustees Bobo and Singer, as well as District Directors and staff. Trustee Bobo called roll, had no further comments and by motion of all Trustees present, approved the July 3, 2018 committee meeting minutes. The first item on the agenda was postponed to a later date for discussion. There is no Board action required at this time. The next agenda item was a discussion by Susan Myers regarding an Ordinance for a lease. The Ordinance authorizes the District to enter into a lease for a term of two years with five (5) one-year renewal options. The lease is primarily to ensure insurance is provided for the property to the extent it is used for parking. This is Ordinance No. 15005 on tonight's Agenda. The meeting was adjourned by Trustee Bobo at approximately 10:45 a.m. The next meeting date is tentatively scheduled for Tuesday, September 4, 2018. ~ ~ ~ ~ ~ Comments by the Executive Director: I have a few items I would like to present this evening. The Rate Commission has submitted their recommendations to the Board of Trustees for the 2018 Stormwater Rate Change Proposal by August 10, 2018 as required by the Charter. The Board of Trustees will be reviewing that recommendation over the next few months. A representative of the Rate Commission, Mr. Mark Schoedel, would like to say a few words regarding their recommendation. Each year the National Association of Clean Water Agencies or NACWA presents Peak Performance Awards to those member agencies that achieve outstanding performance in treatment plant operations. I am happy to report that all seven of the District’s plants have received Peak Performance Awards for calendar year 2017. Silver Awards are also presented to facilities that have had five (5) or less violations in the calendar year. This award was presented to the District’s Lemay, Bissel, and Coldwater Treatment Plants. Gold Awards are presented to facilities that have achieved perfect compliance for a single year. This award was presented to the District’s Grand Glaize and Missouri River Treatment Plants for their lack of violations during 2017. Platinum awards are presented to facilities that have achieved perfect compliance for five or more years. This was achieved by our Lower Meramec and Fenton Treatment Plants for maintaining a perfect compliance record for ten consecutive years. In addition, I am also happy to report that NACWA has presented us with the Excellence in Management Award. This award is presented to member utilities in the area of effective utility management. This award honors member Edited 9/6/18 Pg. 4 agencies on their commitment to sustainable, successful programs that exemplify the many attributes of an effectively managed utility. The Excellence in Management Platinum award is presented to Utilities that have achieved excellence in at least nine out of ten categories. I am very pleased to announce that the District was presented with the 2018 Excellence in Management Platinum award. This is a much-esteemed award; MSD was one of only three Utilities in the United States to receive this award. MSD received these awards in July at the annual NACWA summer conference in Boston, MA. Congratulations to all our management and staff that have made this achievement possible. In addition, I would like to address the RDP Tributaries & Upper RDP CSO Controls & Lower Meramec System Improvements Ordinance on the Agenda this evening. Last month, Ordinance 14966 on the agenda was written incorrectly. In closing, I would like to ask the Director of Operations, Jon Sprague, to give the semi- annual Regulatory Report. Jon Sprague, Director of Operations, opened with further explanation about the silver, gold and platinum awards presented to the Treatment plants and staff. He expressed thanks to his staff for receiving this award. Mr. Sprague also took time to review and provide further explanation about his semi-annual regulatory report. He described the Treatment plant violations that occurred due to illegal dumping at MSD’s Coldwater Creek location, which caused problems, but are now being resolved. Mr. Sprague also provided further detail and outcomes related to the MSD emergency response rates, Maintenance Related building backups and overflows. He went on to explain that within the last 12 months, MSD experienced 162 overflows, which were the lowest # within a full year, but due to heavy rains, overflows are a bit high, but MSD still exceeded their goals. Adoption of Proposed Ordinance No. 14929 - Rosewood Lane & Woodard Dr. Storm Sewer (10347) Making a supplemental appropriation of Seventy Thousand Dollars ($70,000.00) from the Operation, Maintenance, Construction, Improvement Fund of Sugar Creek to be used for storm sewer construction in Rosewood Lane & Woodard Dr. Storm Sewer (10347) in the City of Kirkwood, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to amend Contract No. 21626 with Bates Utility Company, Inc. for the aforesaid storm sewer construction. Adoption of Proposed Ordinance No. 14930 - Affton I/I Reduction (Hanover, Hildesheim – Weber Rd, Seibert, and Hamburg) (12075) Appropriating Three Hundred Thousand Dollars ($300,000.00) from the Sanitary Replacement Fund to be used for private I/I removal in Affton I/I Reduction (Hanover, Hildesheim – Weber Rd, Seibert, and Hamburg) (12075) in the City of St. Louis and Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21672 with ABNA Engineering, Inc. for the aforesaid private I/I removal. Dunlap - aye Introduction of Proposed Ordinance 15005, Authorizing and directing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to lease to Bardho, LLC, certain real property of the District in the City of St. Louis, Missouri for use as a parking lot, and to execute a Lease Agreement upon the terms and conditions hereinafter set out. Proposed Ord. No. 15005 was presented and read. This Ordinance authorizes the District to enter into a lease agreement with Bardho. LLC for a term of two (2) years, commencing October 1, 2018 and terminating September 30, 2020, with five (5), one-year options to renew at the option of the District. Bardho. LLC uses the property as a parking lot. Lessee is responsible to upgrade property to suit its needs and for maintenance and insurance. J.R. Federhofer’s Restaurant (prior tenant) previously used and leased the strip for a number of years for visitor and employee parking. Bardho.
