LOUIS SEWER DISTRICT August 10, 2017 at 5:00 p.m. The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Singer Also present were: Trustee Faul called the meeting to order and Roll Call was made at 5:01p.m. All present were Trustee Faul, Singer, Mandel and Bonner. Trustee Yates participated by phone. Trustee Faul asked for the approval of the June 8, 2017 Journal of proceeding minutes. Motion was made by Trustee Bonner and seconded by Trustee Mandel. The 1539rd, July 13, 2017 Journal was approved by unanimous vote. Comments by Board Chair: None Report of Board Committees: Trustee Singer reported that the Audit Committee met at 7:30 AM on Tuesday, August 1, 2017. In attendance were Trustees Singer, Bobo, Bonner, Faul, and Mandel. The Committee approved the minutes from the July 6 meeting. The Chairman had no comments. The engagement was not part of the original audit plan for FY’17 but was added as a result of information provided by the Engineering Division regarding advance payments for three specific demolition contracts during 2015 and 2016. Engineering identified these payments in January of 2017. The additional engagement focused on contractor payments occurring during 2015 and 2016, with special focuses on the occurrence of any potential advance payments and demolition contracts. No over-payments were identified for the three demolition contracts and no additional advance payments were noted for any other contracts. The engagement resulted in a generally satisfactory rating and the identification of three Opportunities for Improvement. One of the identified items involved the timing of payments by the District for mobilization costs. Brown Smith Wallace, the District’s Internal Auditor, clarified this issue by explaining that the methodology used by the District for determining the overall contract percentage to allocate to mobilization costs is consistent with industry standards. Questions and concerns were addressed by Staff as they were received from the Committee. The meeting adjourned at approximately 8:10 am. The next meeting is scheduled tentatively for Tuesday, September 5, 2017. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ Trustee Bonner reported that The Finance Committee met on August 1, 2017 with Trustees Bonner, Bobo, Singer, Mandel and Faul in attendance. The minutes from the July 6, 2017 meeting were approved. The first item on the agenda was a staff review of the District's Operating Fund Portfolio as of July 31, 2017. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. The next item discussed was the Water Infrastructure Finance and Innovation Act (WIFIA) that was signed into law on June 10, 2014 and is managed by program staff at the EPA headquarters. WIFIA provides long-term, low-cost supplemental loans for regionally and nationally significant projects. The EPA received 43 letters of interest and MSD was one of the 12 entities across the nation selected to apply for a loan from the program. The quarterly June 2017 Adjustment Review Committee report was accepted into the record as required by ordinance. Staff reported on the current financial condition of the District as of June 2017 (unaudited) indicating it continues to be financially stable and current projections indicate the District will be under budget for Fiscal Year 2017. Prior to adjournment, Trustee Singer requested that Tim Snoke provide a report of hedge fund fees relating to the pension plan to the Board for discussion at the next Finance Committee meeting. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ Trustee Faul reported that The Program Management Committee met on August 1, 2017 at 8:16 a.m. The meeting was attended by Trustees Faul, Singer, Bonner, Mandel, and BoBo. The minutes of the July 6, 2017 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ord. No. 14759 and Ord. No. 14760 – Staff provided details regarding the additional funding needed for the Forestate and Texas Sanitary Relief and the Concordia I/I Reduction projects. There was a discussion between the Committee and staff regarding certain requirements from municipalities that come after the project is under construction versus items that can get missed during the design of projects. Reverend Bobo requested a clarification regarding MWBE participation when the prime contractor is a minority. Ord. No. 14762 – Tealwood Drive Bank Stabilization – Staff provided details of the proposed construction and the purpose of the project. There were questions from the Committee regarding current District policies regarding erosion issues and the funding of these types of projects. A previous inquiry received from Congressman Clay was briefly discussed and clarified by staff. Ord. No. 14770 – Private Development System Repairs – Staff provided details of the use of forfeited escrow funds collected from defaulted private development projects to make repairs and complete clean-up work to public sewers on these projects. There was an inquiry from the Committee regarding the use of excess funds to address other issues throughout the District. Staff indicated the funds can only be used on the forfeited projects. Staff indicated that forfeiture only happens after due notice to the developers. The meeting was adjourned at 9:05 a.m. The next Committee meeting is tentatively scheduled for Tuesday, September 5, 2017 at 8:00 a.m. ~ ~ ~ ~ ~ Trustee Faul reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, August 1, 2017 at approximately 9:36a.m. In addition to public attendance, those present at the meeting included Trustees Bobo, Bonner, Faul, Mandel and Singer, as well as District Directors and staff. Trustee Bobo called roll and had no further comments, and By motion of all Trustees, approved the May 30, 2017 committee meeting minutes. Edited 4/6/18 Pg. 4 The first item was a discussion by Susan Myers regarding the District's Conflict of Interest Policy. The Missouri Ethics Commission requires political subdivisions with an operating budget, greater than one million dollars per year, to re-adopt an Ordinance (bi-annually) at an open meeting by September 15th. Introduction of this Ordinance containing the existing policy, prohibiting conflicts of interest for MSD trustees, officers, and employees is Ordinance No. 14775 on tonight’s Agenda. The next item was a discussion by Vicki Taylor Edwards regarding an Ordinance to conform the District's Defined Benefit Plan language to how the Plan is administered. This action currently affects three retirees who were part of our labor and trades workforce. The administration of the District’s Defined Benefit Plan requires enrollment in Medicare Parts A and B when Members first become eligible for such Medicare programs due to disability in order to receive, or continue to receive, retiree medical benefits under the Pension Plan, and (ii) clarify that any retiree medical benefits under the Pension Plan will be secondary to Medicare disability benefits in accordance with the Medicare secondary payor rules. This is Ordinance No. 14776 on tonight’s Agenda. The next item was an update by Brian Hoelscher regarding the Rate Commissioners interview schedule. Brian confirmed that a Special Stakeholders Meeting will be held August 10th at 3:30 p.m., prior to the District Board meeting, to conduct interviews for the positions that will be opening on the Rate Commission. Statements will be made by those organizations interested in being appointed to the Rate Commission with discussion and questions by the Board of Trustees to follow. The last item was an update by Brian Hoelscher regarding the next planned activities and communications regarding the University City Storage Project. A letter was presented to the District and Board of Trustees from Great Rivers Environmental Law Center to the EPA regarding MSD’s violation of an environmental justice issue. MSD has been in contact with the EPA and responded with a letter addressing their concerns and what the District's plans are going forward. MSD is awaiting on the EPA's evaluation and response. Several Sunshine Requests from members of the University City community were received regarding the Storage Project and they have been addressed and responses returned as appropriate. Staff is currently working on a new plan and approach for future meetings and presentation of proposals and options for the Storage Project with the University City management, officials and community, as well as the feedback process and gathering of information for evaluation. The plan is to schedule the first meeting at the end of August or beginning of September. Development of the Project will evolve from this and future meetings. Lance LeComb also provided information regarding on-going communications with the University City managers, elected officials and council members. It was proposed that planned meetings going forward will be an open setting with all interested groups and citizens attending. Communication and updates will continue to be provided to the Trustees. There is no Board action required at this time. The next meeting date is tentatively scheduled for Tuesday, September 5th. The meeting was adjourned at approximately 10:06 a.m. Edited 4/6/18 Pg. 5 Comments by the Executive Director: Thank you Mr. Chair, I have one item to discuss this evening. I would like the Director of Operations Jonathon Sprague to give the Semi-Annual Regulatory Compliance report update. Jon Sprague, Director of Operations presented to the Board the results of the Semi Annual Regulatory Compliance report. The 1st quarter of 2017, Jan – June 2017, we had 2 vo8ilatons directly related to high river levels in the Mississippi River that impacted the Bissell treatment plant which was due to the heavy rains in late April and May. In relation to customer service, we try to respond within 4 hours. We had over 1000 calls in April and May and did not make our 90% goal. This situation is similar to 2015 when the heavy rains and river occurred due to big storms. We should rebound within the next 6 months. Maintenance related overflows are in regard to basement backups due to grease blockages and roots, things taken care of with maintenance. We had over 400,000 homes with only 122 basement backups due to maintenance issues. Overflows related to manhole overflows or sewage overflows into creeks were relatively high at 118. Our goal is to stay under 80 and we did not meet that goal, but we should be down in dryer weather. We continually perform operation maintenance to make improvements even during heavy rain events. In regard to our consent decree, we have reached our benchmark of ½ of constructed overflows and they have been removed. We are currently at 99.9% compliance, customer service is in yellow because it is not where we would like it to be and we still have some work to do with our maintenance related overflows. I have no further comments. ~ ~ ~ ~ ~ There was one Comment from the Public: Tom Sullivan: Mr. Sullivan stated that approving the contract of the second highest bidder would be an illegal action regarding the Deer Creek Tunnel project. Mr. Sullivan shared that the MSD charter states that you have to award a contract to the lowest responsible bidder or reject all bids. Mr. Sullivan expressed that this is an important safeguard to prevent exactly what is happening with the tunnel project. Mr. Sullivan believes that this action will cause ratepayers 2.4 million dollars He expressed that for the Board to go against recommendations of staff, there must be an outside influence and he wants to know by whom. Mr. Sullivan stated that he was glad to see the lawsuit filed against MSD yesterday, by a firm involved in the tunnel project, and perhaps it will shed light on what really went on. ~ ~ ~ ~ ~ Submission of Public Hearing Reports: None Edited 4/6/18 Pg. 7 CONSENT AGENDA: The Secretary Treasurer asked if there were any board members who would like to pull an item for a separate vote within the Consent Agenda.
