JOURNAL OF THE (1581st) MEETING OF THE BOARD OF TRUSTEES THE METROPOLITAN ST. LOUIS SEWER DISTRICT
August 11, 2016 at 5:00 p.m.
The Trustees of the District met in Room 109 at 2350 Market on the above date.

Motion was made by Trustee Yates and approved by all for the Board to go into closed
session to discuss CLOSED SESSION TO DISCUSS LEGAL, CONFIDENTIAL OR PRIVILEGED MATTERS UNDER § 610.021(1), RSMO 1988 SUPP. (Trustee Mandel was absent).
Upon motion made by Trustee Yates, moved by Trustee Bonner and seconded by
Trustee Faul, the Board moved into open session. All approved.
The 1581st meeting was called to order at 5:14 p.m. Trustee Yates asked for the
approval of the Journal of preceding minutes. Motion was made by Trustee Bobo and
seconded by Trustee Bonner to approve the July 14, 2016, 1579th Journal and the
August 5, 2016, 1580th Special Board Meeting Journal. The Journals were approved by
unanimous vote.

Comments from the Chair:
At the Board of Trustees’ meeting on July 14, 2016, I stated that in evaluating Executive
Director, Brian Hoelscher’ s performance during calendar year 2015, the Board of
Trustees determined that MSD has made significant progress or achieved success in the area of Stakeholder’s Communications.
Mr. Adolphus Pruitt asked questions regarding those statements. As clarification for Mr.
Pruitt, Stakeholders consists of, but are not limited to; The people who pay our rates
and taxes for services, vendors and workforce that work with and seek to work with MSD, and any other individual, group, organization, or agency that has an interest in MSD’s operations.
This is as detailed of information that I can make public regarding a personnel issue.
Mr. Pruitt also asked about the time period covered by this review. As I stated last month, it is for the calendar year 2015.
Trustee Yates also reminded everyone that all public speaking is limited to 5 minutes
and if there is a group speaking on the same issue, the group should assign one individual to speak on the issue. If a member of the public has questions, please present them in writing so that MSD can research and respond.

Trustee Singer reported that The Program Management Committee met on August 2, 2016 at 8:01 a.m. Trustees Singer, Faul, Bonner, and Mandel, attended the meeting.
The minutes of the June 30, 2016 meeting were approved.
The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items:
Ordinance No. 14474 – North Baden Inflow and Infiltration Reduction – Staff discussed
the specifics of the project and answered questions from the Committee. Staff then
recommended this item for Introduction and Adoption at tonight’s meeting to avoid delays in the project completion that would impact the residents in this area.
Ordinance Nos. 14475 through 14479 – CSO Green Infrastructure Grant Agreements –
Staff provided details on the Green Infrastructure Grants being provided as part of the
Consent Decree Program to reduce combined sewer overflows to the Mississippi River. Staff entertained questions from the Committee regarding the location and recipients of
the grants, and discussed how entities are made aware of the grants. Staff informed
the Committee that a brief presentation on the overall Green Infrastructure Program
would be made at the next Program Management meeting. Ms. Mandel suggested a
tour of MSD green facilities may be appropriate. Staff concurred and agreed to coordinate this activity.

Ordinance No. 14489 – River Des Peres CSO Tunnel Land and Easement Acquisition –
Staff provided details of the proposed use of funds and discussed in detail the number
of easements and other property rights necessary to complete this significant tunnel
project. Ordinance No. 14497 – Stream Flow Water Quality Sampling Program – Staff provided
details on this contracted service and answered questions regarding the work being
performed. Staff discussed the difficult nature of the work and specialized equipment
required for water quality sampling on the major rivers. Staff does perform this sampling on the local streams and has brought all reporting services in-house for the program.
The meeting was adjourned at 9:02 a.m.
The next Committee meeting is tentatively scheduled for Tuesday, August 30, 2016 at 7:45 a.m.

Trustee Bonner reported that The Finance Committee met on August 2, 2016 with Trustees Bonner, Faul, Mandel and Singer in attendance. The minutes from the July
11, 2016 meeting were approved.
The first item discussed on the agenda was a Resolution that authorizes the staff to exercise an additional one-year contract option with McGriff, Seibels & Williams of Missouri, Inc. to provide insurance brokerage and insurance consultant services to the
District. This will be Resolution #3295 on tonight’s agenda.
Pavilion Advisory Group reported on the performance of the District’s Pension, Deferred Compensation and Defined Contribution Plans. During the 2nd Quarter, the Pension Plan approximated its benchmark, reporting a return of 2.0%. On a trailing one-year
basis, the Plan reported a loss of -0.1% (negative point one percent), underperforming
the Policy Benchmark return of 0.5% (half a percent). Regarding Asset Allocations,
Pavilion recommends MSD maintain the current policy but eliminate the real assets allocation and move that allocation to core real estate to improve the risk/return profile. Staff indicated that this would be reviewed with the Board and a possible Resolution
presented at the September Board meeting. During the 2nd Quarter, all equity, fixed
income, and balanced/target date funds of the Deferred Compensation and Defined
Compensation Plans produced positive returns. Within the target date retirement funds, most options ranked near the median of their target date manager universe.
The District's Operating Fund Portfolio as of July 29, 2016 was then reviewed. Staff
indicated that the portfolio is in compliance with the District’s investment policy.
Next, PFM Group and Independent Public Advisors (IPA) discussed the District's designation of the underwriting team for the Wastewater System Revenue Bonds,
Series 2016B. PFM and IPA recommend a negotiated transaction for the District's
2016B Wastewater Revenue Bond issuance. The District is naming seven firms
selected from the pool of eleven approved underwriters to market a portion of the bonds that were authorized at the June 5, 2012 election.

The Board approved the pool of eleven underwriters on October 11, 2012. Compensation is based on the actual sales volume of each transaction. This is
Ordinance #14501 on tonight's agenda.
The Fourth Quarter 2016 Adjustment Review Committee Report was accepted into the record as required by ordinance.
The next item on the agenda was discussion of a proposed Ordinance authorizing the
District to execute a change order to the original $799,740.00 contract with Raftelis
Financial Consultants, Inc. in order to fund professional services for rate model support, development of storm water funding and credit policy recommendations, stormwater outreach and communications services and the preparation of the
feasibility study needed for the issuance of District bonds. This change order will
increase the contract value by an additional $214,100. This will be proposed Ordinance
#14499 on tonight’s agenda. The meeting adjourned at approximately 10:43 a.m. The next tentatively scheduled
meeting is Tuesday, August 30, 2016. This concludes the Finance Committee Report.
~ ~ ~ ~ ~ Trustee Faul reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, August 2, 2016 at approximately 10:44 a.m. In addition to
public attendance, those present at the meeting included Trustees Faul, Singer, and
Mandel, as well as District Directors and staff.
Chairman Faul called roll, had no comments and by motion of the committee, the July 11th meeting minutes were approved.
The first agenda item was a discussion by Vicki Taylor Edwards regarding the
Compensation Plan Ordinance. This Compensation Plan reflects changes to all A and B Schedule positions eligible for membership in AFSCME No. 410 and UWWA, a division of Service Employees International Union (SEIU) Local No. 1; all BT Schedule positions
eligible for membership in IUOE No. 513, Machinist No. 9, Bricklayers No. 1 and
Electricians No. 1 and all C Schedule positions. Changes resulted per collective
bargaining between the District and representatives of the appropriate exclusive bargaining units. This is Ordinance No. 14500 on tonight's Agenda.
The meeting was adjourned at approximately 10:46 a.m.
The next meeting is tentatively scheduled for Tuesday, August 30, 2016.
~ ~ ~ ~ ~ Comments from the Executive Director:
Thank you Mr. Chair, I have three items for this evening.
My first comment has to do with the additional security at tonight’s meeting. Due to concerns expressed by Board members, staff and the public regarding public comments made at the July 14, 2016 Board of Trustees meeting, we have added additional
security for tonight’s meeting.
MSD takes very seriously the safety of its Board members, staff and the public who attend its public meetings. We apologize for any inconvenience this has caused anyone.

Second, staff is asking to pull items number 87 and 88 from tonight’s agenda. The State
of Missouri had previously approved these projects with a 5% Woman Business
Enterprise goal. They have now insisted that we change the Woman Business
Enterprise goal to 10% even though they have already been bid. To make sure our bidding process is fair for all minority, women and majority owned companies doing business with MSD, MSD will re-bid these projects.
Finally, I would like to make a 20-minute presentation regarding the results of MSD’s
diversity program over the past two fiscal years since putting in place the results of our last Disparity Study.
I would like to provide a strategic overview of MSD’s diversity program after two full
years of disparity study results. All information I will present was made previously
available during board or committee meetings, CBA meetings or other public presentations. The information has been updated for the 4th Qtr of Fiscal year 2016. This presentation will be posted on our website, along with the results of this board
meeting.

• Mr. Kahrhoff started by expressing his presence before the Board in 2013, when the District Management acted unilaterally to modify terms and conditions
of a summary agreement that was signed by all parties and ratified by all
members. Mr. Kahroff stated that despite best efforts to prevent a repeat of
2013, he was sorry to say that the Union believes the District Management
breached their agreement with the skill trades and the full terms and conditions of the agreed to economic package, because they did not coincide with the
date of the ratified agreement.
• Mr. Kahrhoff expressed that in October 2015, the district invited all union representatives to discuss the annual increase and group medical costs. During
that presentation, Gallagher and Associates laid out a plan that would increase
group medical costs by 12.3% and as a result, most of our members would see
a decrease in take home pay. The Other union representatives decided at that time not to pursue collective bargaining with the district over the increases;
however, we vowed that the controlling of medical costs would be a primary
focus of the upcoming negotiations. During negotiations, Mr. Kahrhoff stated
that the District indicated that there was nothing that could be done, due to a
unhealthy employee population.
• It was agreed upon to sacrifice a portion of the annual wage increases to
incentivize our members to participate in the proposed wellness program: $15
reduction per pay period for single coverage and $20 for Family. The agreement was signed by all parties on May 23rd and ratified on June 1, 2016. We then discovered that the plan to implement the program would be
implemented during the open enrollment period of February 2017. For the first
time in the history of the district, there will be a wellness program tied to our
economic package, but our pot of money was reduced to participate in this plan.
• The Unions believe that the District disregarded what was bargained and
followed their own timeline. Many members admit they are already compliant,
received their physicals and participated in the prescription maintenance programs provided by Cigna. Mr. Kahrhoff contacted Cigna to verify how long it
would take to implement a new program and he was told it would take a month.
• As a result, the trades urge the Trustees to force the District management to comply with their wellness proposals, by providing a contribution adjustment
retroactive to the effective date of the agreement. Mr. Kahrhoff then stated that
when the news of his attendance spread, he received an invite from the District
management to attend a wellness program meeting before the board meeting. But due to the late notice, there was not enough time to get the negotiating
team together. Mr. Kahrhoff thanked the Board and shared copies of the email
and documents that were sent to the District management. Trustee Yates
indicated the Board would review the documents and get back with Mr.
Karhroff.

Introduction of Proposed Ordinance 14496, Making a supplemental appropriation of Five
Hundred Ninety Thousand Dollars ($590,000.00) from the General Fund to be used for stream
flow monitoring in Stream Flow Gauge Operation and Maintenance (USGS) (10766) in the
Metropolitan St. Louis Sewer District Service Area. Proposed Ord. No. 14496 was presented and read. The work to be done under Contract #10422 is to continue to collect stream gauging information in 25 watersheds. For FY2017, the USGS will continue the operation
and maintenance of the existing network of 40 stream gauging stations in 25 watersheds within the District’s area. Stream stage (water surface) and rainfall amounts will be collected with stream discharges (flow rates) determined
for each gauging station. Stream stage will be measured and recorded at 5-minute intervals and transmitted via satellite to the USGS and automatically downloaded into a database. Stage and discharge values will be displayed
in a real-time fashion on the USGS public web page. In addition, data reports or evaluations are provided by the USGS as an extension of staff, as requested for use by the District. The data will be used to provide reliable flood
peak and stage estimates for use in hydrologic and hydraulic models or calculations at project locations within a drainage basin. The data and calculation methods are typically used for projects utilizing stream gauging
information and stream discharge estimates such as: Water quality data evaluation and modeling, post construction monitoring program for CSO LTCP Consent Decree compliance, Phase II Stormwater program, streambank
stabilization; CSO LTCP evaluations and planning; stream geomorphic assessments and stability; flood proofing and buyout evaluations; review and validation of private development projects (subdivisions, culvert, and bridge
replacements); floodplain study evaluations; flooding complaint evaluations; Operations support; legal lawsuit defense and support; and Stormwater and Watershed Facilities planning.
