LOUIS SEWER DISTRICT August 13, 2015 at 5:00 p.m. The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members M.E. Unverferth, Director of Engineering Also present were: Trustee Yates opened the meeting with Roll Call and movement to go into closed session. ~ ~ ~ ~ ~ Trustee Yates called the Board of Trustees meeting to order at 5:05 p.m. and asked for the approval of Journal from proceeding meeting. Trustee Berry and Trustee Mandel moved and seconded. The Board Chair made a few comments: Over the past several months, staff has exchanged written and verbal correspondence on the status of the District’s diversity program with Adolphus Pruitt, President of the St. Louis City NAACP. This past week, a letter was sent by Mr. Pruitt to the Board. The letter does raise serious points. Outside of implementing the Consent Decree, how the Consent Decree might serve as an opportunity to grow the District’s commitment to diversity is one of the Board’s most important priorities. Additionally, the Board has, and will, continue to be fully engaged in monitoring the status of the District’s diversity program and setting policy that supports a truly inclusive program. Thank you. That concludes my remarks. ~ ~ ~ ~ ~ Trustee Faul reported that the Program Management Committee met on August 4, 2015 at 8:08 a.m. The meeting was attended by trustees Faul, Bonner, Mandel, Yates, Berry, and Patton. The minutes of the June 29, 2015 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Items 53 through 57 – CSO Volume Reduction Green Infrastructure Projects – Staff provided details of the annual appropriation for the District’s green infrastructure program and cost sharing agreements for the Fiscal Year 2016 approved early action projects. This program utilizes green infrastructure techniques to reduce CSO volume to the Mississippi River in accordance with the consent decree. A total of four cost sharing agreements are being proposed for introduction at tonight’s meeting. An additional five agreements will follow throughout the fiscal year. The Committee requested additional information on two of the later projects prior to submission for approval. Staff agreed to provide this information. Item 58 – Jefferson Barracks Tunnel – Staff provided an overview of the future project and discussed details for this appropriation for property and easement acquisition. Staff responded to questions regarding the intended use and schedule for the tunnel. Item 59 – Lackland I/I Reduction – Staff discussed the details for the project and indicated the receipt of only one bid for this project. The Committee questioned whether the District had made any modifications to type and sizing of projects in response to the lack of bids being received on certain projects. Staff indicated that no adjustments had been made, but have been seeing an increase in bidders over the past month and agreed to continue to monitor. Item 62 – Newcastle I/I Reduction – After the briefing on the project there was a discussion between staff and the Committee on MWBE requirements as they relate to the $50,000 threshold. Item 66 – Coldwater Screening Improvements – Staff discussed the two bids received for the project and provided information on the MBE utilization for the project. Neither bidder met the District’s goal of 30% utilization, although both bidders were deemed responsive by meeting the “Good Faith Efforts” requirement outlined by the policy. The project was awarded to the lowest responsive bidder. Pg. 3 Item 77 – Stream Water Quality Sampling – Staff discussed the contract renewal terms for these services. The Committee requested a report on the data and findings at a future Program Management meeting. Staff agreed. Item 83 – Taylor Fillmore Harrison Sanitary Relief – Staff provided details of this supplemental appropriation to the construction funds for the project and an agreement with the City of Kirkwood requesting MSD and its contractor to reconstruct an existing street disturbed by the construction to a level beyond what was anticipated. The City of Kirkwood through the intergovernmental agreement will reimburse MSD for this additional work. Item 84 – Emergency Repair Chesterfield Commons Pump Station – Staff provided details on this emergency repair project, the current status, and the projected completion of the work. Staff requested that items 83 and 84 be presented for introduction and adoption at the August Board meeting. The Committee concurred. The meeting was adjourned at 9:29 a.m. The next Committee meeting is tentatively scheduled for Tuesday, September 1, 2015 at 8:00 a.m. ~ ~ ~ ~ ~ Trustee Berry reported that the Stakeholders Committee met at the District’s Headquarters on Tuesday, August 4, 2015 at approximately 10:30 a.m.. In addition to public attendance, those present at the meeting included Trustees Berry, Bonner, Faul, and Yates, as well as District Directors and staff. The first item on the agenda was a discussion by Susan Myers regarding an Ordinance to authorize the District's Conflict of Interest Policy. The Missouri Ethics Commission requires political subdivisions with an operating budget greater than one million dollars per year to re-adopt an Ordinance (bi-annually) at an open meeting by September 15. Introduction of this Ordinance containing the existing policy prohibiting conflicts of interest for MSD trustees, officers, and employees is Item No. 87 on tonight's Agenda. The next agenda item was a discussion by Catherine Politte regarding an Ordinance to authorize a contract for flow meter data collection. This Ordinance will authorize the District to enter into a one-year contract with ADS Environmental to process raw flow meter data collected by the District’s in-house flow monitoring group. The resulting processed data is utilized by the Engineering department for collection system modelling and construction project effectiveness to comply with Consent Decree requirements. This Ordinance is Item No. 86 on tonight's Agenda. There were no additional items and no further comments. The next meeting is tentatively scheduled for September 1, 2015. The meeting was adjourned at approximately 10:40 a.m. ~ ~ ~ ~ ~ Trustee Mandel reported that the Audit Committee met at 7:30 AM on Tuesday, August 4, 2015. In attendance were Trustees Patton, Berry, Bonner, Faul, Mandel, and Yates. The Committee approved the minutes from the July 1 meeting. The Chairman had no comments. Pg. 4 Rubin Brown presented a Planning Communications document that included a summary and overview of the auditing engagement services to be provided for the District’s fiscal 2015 year. They explained the basic engagement components, including: the Objective of the Engagement, the Auditor’s Responsibility, the Limitations of the Engagement, and Management’s Responsibility. Rubin Brown continued the presentation by explaining the specific objectives of each individual engagement as well as the overall timeline for the completion of the various tasks and discussed the preliminary assessment of risk regarding the various areas to be audited. The presentation was completed with a summary-level description of the accounting pronouncements required to be implemented for Fiscal 2015. Specifically, GASB 68 requires that the District recognize a liability on the face of the balance sheet for the unfunded portion of the actuarial accrued pension liability. Next, Rubin Brown presented and provided an overview of the Auditor Communications Letter addressing the audits of the financial statements for the Employees’ Pension, the Deferred Compensation, and the Defined Contribution plans, stating that the plans were audited in accordance with Generally Accepted Auditing Standards. No difficulties or disagreements with Management were encountered when performing the audits, and there were no known or likely misstatements identified during the audits of the plans. A Management Letter was prepared and presented for the three plans. The letter identified no significant deficiencies or material weaknesses; however, one internal control deficiency was identified regarding employer contributions to the Defined Contribution Plan for employees with retro-pay. In certain instances, employer contribution errors occurred as a result of system calculation errors. The Committee inquired as to the status of the system formula error. District Staff explained that the system formula has been corrected and that additional review controls have been implemented. The meeting adjourned at approximately 8:00 am. The next meeting is tentatively scheduled for Tuesday, September 1, 2015. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ Trustee Bonner reported that The Finance Committee met on August 4, 2015 with Trustees Bonner, Berry, Faul and Yates in attendance. The minutes from the July 1, 2015 meeting were approved. The first item discussed on the agenda was the Pension Plan. The Trustees inquired as to which investments contributed to the lower than target pension fund returns in 2014. Mr. Richard Marra from Pavilion, the District's pension investment advisor, stated nine out of twelve managers underperformed their benchmarks in 2014. Pavilion then reported on the current performance of the District’s Pension, Deferred Compensation and Defined Contribution Plans. As of June 2015, the Pension Plan outperformed its benchmark, reporting an increase of 0.2%, while the Policy Benchmark reported a gain of 0.1%. On a trailing one-year basis, the Plan reported a loss of -0.1%, ahead of the Policy Benchmark by 10 basis points. Second quarter fund returns for the Deferred Compensation and the Defined Contribution Plans were modest overall, due to muted performance from the equity markets and declines from the fixed income market. Target date retirement funds reported mixed performance, with the longer dated funds being the best performers. Pg. 5 The Trustees asked if the Plan is still invested in a fund involved in a labor dispute with a Doubletree hotel in California. Mr. Marra responded that the property is actually held in a different UBS fund, not the one in the District’s Plan as originally thought. The Trustees asked for confirming communications. Mr. Marra said he will provide recent correspondence to Staff. Staff promised to forward the documents to the Trustees. Staff next presented an ordinance authorizing the District to enter into a contract with McGriff, Seibels & Williams of Missouri, Inc. McGriff, Seibels & Williams would provide insurance brokerage and insurance consultant services to the District. This will be a one- year contract with four one-year options, at the same rate. The District submitted an RFP and received three proposals. Ordinance No. 14229 will be Item #89 on tonight’s agenda. Staff reported on the District's Operating Fund Portfolio as of July 31, 2015. The portfolio is in compliance with the District’s investment policy. Staff then presented an ordinance authorizing the District to issue $75,000,000 Subordinate Wastewater System Revenue Bonds (State of Missouri-Direct Loan Program) Series 2015A to be repaid over 20 years at a fixed rate equal to 30% of the Revenue Bond Index, rounded up to the nearest 0.01%. The District requires long-term financing to complete the Public I/I Reduction project and rehabilitation of sanitary sewers and manholes. Ordinance 14225 will be Item #85 on tonight’s agenda. A recommendation to designate the underwriting team for the Wastewater System Revenue Bonds, Series 2015B and to authorize the District to enter into an agreement with the Series 2015B Senior Manager, Wells Fargo Securities was the next item on the agenda. Ordinance 14228 will be Item #88 on tonight’s agenda. Staff reported on the quarterly June 2015 Adjustment Review Committee report which was accepted into the record as required by ordinance. The next item on the agenda presented by staff was a resolution that approves the transfer of unencumbered appropriations and fund balance from the General Fund to cover the cost of claims against the Water Backup Fund, and to increase the fund balance in the Water Backup Fund and the Sanitary Replacement Fund. Resolution 3229 will be Item #94 on tonight’s agenda. The meeting adjourned at 10:25 a.m. The next tentatively scheduled meeting is Tuesday, September 1, 2015. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ Trustee Yates and Executive Director, Brian Hoelscher, introduced the Rate Commission recommendations and the Service Chairman of the Rate Commission, Len Toenjes. Mr. Toenjes addressed the August 5th Rate Commission letter. He also thanked the District staff for their exceptional work. Mr. Toenjes called attention to the minority reports and in particular, the rate increase and storm water funding. He asked the board to consider that any unencumbered funds be used to limit future rate increases instead of being used to accelerate projects, also to consider renegotiation of terms or of the consent decree schedule. Pg. 6 In addition, Mr. Toenjes spoke on the storm water funding discussions that found the ad- valorem tax and impervious fee to be fair and reasonable. There was also a recommendation that there be a declaratory judgement about implementation of an impervious fee. Mr. Toenjes thanked the Board and the staff for their participation and offered to answer any questions the Board may have. Trustee Berry thanked all the Commissioners and Mr. Toenjes, on behalf of the Board, for their work and effort. ~ ~ ~ ~ ~ Executive Director report consisted of four(4) items. 1. The submission of the MSD Rate Commission and a proposal to fund operations for Fiscal Year 2017-2020. The proposal addressed the funding of wastewater operations and funding for compliance with the Consent Decree, as well as, a proposal to fund the operation and maintenance of the public storm sewer system in the western half of our District that does not currently have a funding source. After many meetings to review the MSD proposal and listen to the comments of the Rate Commission’s consultants, interveners and the public, the Rate Commission forwarded their recommendations to the Board of Trustees on August 10, 2015, as required by the Charter. These recommendations are posted on our website along with all other information from the Rate Commission’s proceedings. During the Communications portion of tonight’s agenda, the Chairman of the Rate Commission, Len Toenjes, will say a few words about the Rate Commission’s report. 2. The public will note that tonight’s agenda includes our full agenda and introduces our reduced agendas. Our reduced agendas contain the title and ordinance number for each item listed. They do not include the script read by the Secretary-Treasurer or the detail sheets for each item proposed for introduction. Every month MSD posts the entire agenda and journal on our website as well as, direct e-mails these same documents to any stakeholder who requests this service. The public can also access the full agenda via the Wi-Fi access made available here at the District’s facilities. By reducing the size of the agenda, MSD is saving 1200-1500 sheets of paper at tonight’s meeting. If any member of the public would like to comment on this change, please feel free to speak with Executive Secretary Tamara Clinton after the meeting. We appreciate the public working with us on this. 3. I wish to briefly address an article published in the St. Louis American on August 6, 2015. As we responded in the last paragraph of that article, many of the accusations made by the City of St. Louis Branch of the NAACP are inaccurate or grossly misleading. MSD has asked to meet with the staff of the St. Louis American so we can offer corrections to much of the information included in that article. 4. Finally, it is time for Director of Operations Jonathon Sprague to give the quarterly regulatory update. Mr. Chairman, I ask that staff be allowed to make this presentation after Public Comments and Communications to accommodate the schedules of the members of the public scheduled to speak tonight. ~ ~ ~ ~ ~ Pg. 7 The Chair asked for comments from the public. There were 2 comments: 1. Tom Sullivan addressed the Board and stated that the agenda provides a big payday for engineering firms who have no bid consulting contracts and stated that there was a total of $28.3 million approved for those consulting firms and combined with Burns & McDonnell’s $14.5 million approved on August 4th, the total comes to $42.8 million approved. Mr. Sullivan claims that these contracts are approved without explanation, accounting or understanding by Board members. Mr. Sullivan notes that the current Board member, Mr. Berry, headed the Burns & McDonnell St. Louis office prior to being on MSD Board and that a past Executive Director of MSD went to work for Burns & McDonnell after resigning from MSD. Mr. Sullivan additionally states that one of the firms receiving millions in consulting contracts is based in Great Britain and another was involved in bid rigging in Chicago and defrauding U.S. government. Another firm is accused of doing sloppy work in Iraq for the government. In addition, Mr. Sullivan states that Agenda item #49 ($565,000 for public engagement for the inflow infiltration public engagement program) is a waste of money. Mr. Sullivan states that past public engagement programs were a waste of time and money due to low attendance. He states that Lance LeComb was paid $93,800 a year as PR Director and that MSD should not waste money on a PR firm. 2. Mr. Makal Ali addressed the Board and the article in the St. Louis American newspaper and declared that the article is accurate and asked the Board to provide explanations on the areas that MSD states were inaccurate. The Executive Director communicated to the Chair that a list of inaccuracies was not available at this time, but all responses to the article would be addressed to the St. Louis American. Mr. Ali also addressed the board members and the African American Trustees of turning their backs on other African Americans. He argues that there is racism and discrimination embedded within the system. Trustee Bonner addressed Mr. Ali to respond to his allegations and accusations and asked for specific information and instances where Mr. Ali was denied opportunities for which he was qualified. Trustee Bonner stated she would welcome all specific information and names of contractors. Ms. Bonner also stated that she is concerned about economic inequality within communities of color and that she is willing to ask the hard questions that need to be asked. Trustee Bonner also shared that she is satisfied with MSD and the Board’s responses to her inquiries and questions and the information she has received. She asked Mr. Ali to send information to the Board of Trustee Secretary and Mr. Ali stated that he would only send to Trustee Bonner’s attention. ~ ~ ~ ~ ~ Director of Operations, Jonathan Sprague, was introduced by the Executive Director and addressed the Board and the Public to review the 2015 2nd Quarter Regulatory Compliance Report. The report tries to cover regulatory compliance issues at a high level of service that affect district employees such as: basement backups, regulatory compliance, overflows and customer service responses. Jonathan explained that MSD sets high standards and sometimes those standards aren’t always met and this quarter was a very rough quarter for the District with record rainfalls in June measuring over 23 ½ inches of rainfall and 4 or 5 rain events (in April and June) that exceeded five(5) year storm levels. Jonathan provided the Board with an overview of the areas of concern, such as basement backups and overflows in specific areas. Pg. 8 He then related those problems to past similar issues to emphasize our areas of improvements and our progress made over the years. This ordinance authorizes the staff to proceed with further condemnation efforts including the filing of all necessary court pleadings or documents leading to the acquisition of permanent sewer easements and temporary construction easements on two (2) parcels of ground located in the City of St. Louis, Missouri. These easements are needed to construct this project, which consists of the construction of a 28-foot diameter underground combined sewer storage facility 3,000 feet in length, a 12.5 MGD Pump Station, and associated collector sewers. The purpose of this project is to reduce combined sewer overflows to four (4) events or less at CSO BP-051 and BP-052. These easements have been appraised.
