LOUIS SEWER DISTRICT December 13, 2018 The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Faul, Chair B.L. Hoelscher, Executive Director Rev. R. Bobo, Vice Chair T.R. Snoke, Secretary-Treasurer A.K. Mandel S.M. Myers, General Counsel M.E. Yates(absent) M. M. Gee, Director of Finance F. Dunlap R. Unverferth, Director of Engineering J. Singer Also present were: Trustee Faul called the meeting to order and moved to go into open session at 5:00pm. The motion was approved and roll call was made and all were present except Trustee Yates. Trustee Faul asked for the approval of the November 8, 2018 (1613th) Journal of proceeding minutes. The Journal was approved by Trustee Dunlap and seconded by Trustee Mandel. Comments by Board Chair: None ~ ~ ~ ~ ~ Report of Board Committees: AUDIT Trustee Singer reported that the Audit Committee met at 7:30 AM on Tuesday, December 4, 2018. In attendance were Trustees Singer, Bobo, Dunlap, and Yates. The Committee approved the minutes from the October 30th meeting. The Chairman had no comments. Internal Audit presented the report for the engagement titled “Review of Construction Projects in Progress”. The engagement involved a review of the administration of two active construction contracts with a focus on payment application and change order transactions. The contracts selected for the engagement included a sixty-three million dollar tunnel project and an eight million dollar sewer construction project. The engagement received a “Satisfactory” opinion. No reportable items were identified. Next, Staff presented and discussed follow-up information addressing a Management Letter comment that was presented by the external auditor at the prior month’s committee meeting. The comment pertained to purchase transactions in which the date of the vendor invoice preceded the date of the related purchase order. Additional discussions were held regarding District published policies regarding conflict of interest and employee business expenses guidelines. Follow-up policy materials will be provided by Staff. Questions from the Committee were addressed by Staff as they were received throughout the meeting. The meeting adjourned at approximately 8:05 am. The next meeting is tentatively scheduled for Wednesday, January 2, 2019. This concludes the Audit Committee Report. The minutes of the October 30, 2018 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ord. Nos. 15078 & 15079 – CSO Volume Reduction Green Infrastructure Grant projects – Staff provided the details of these two proposed grant agreements proposed for approval. There was a brief discussion regarding the various types of volume reducing methods used in the grant program. Staff agreed to provide a summary of information regarding acceptable methods to the committee. Ord No. 15087 – Holden and Longwood Storm Sewer – After providing details on the project there was a discussion between the committee and staff regarding the MSD Designer’s Estimate provided on the detail sheet. The committee questioned why the estimate was typically higher than the bids received and why it was provided to the bidders prior to bid. Explanation by staff included: how the District unit costs are derived and adjusted, the current bidding environment, and the use of the estimate to give the bidders context on potential costs for the work. Staff agreed to review the practices of other entities such as MODOT, St. Louis County, and City of St. Louis on providing this estimate prior to bid. Ord. Nos. 15088, 15089 & 15090 – Various Construction Management Services Contracts – Staff provided the details of the renewal of three construction management services contracts utilized to oversee several major construction projects for the District. The appropriations for these projects were all lower than the proposed budget for the projects. Staff provided detail explaining that this was primarily due to specific timing and start-up of on-site construction work and necessary oversight originally anticipated. The next Committee meeting is tentatively scheduled for Wednesday, January 2, 2019 at 8:00 a.m. The meeting was adjourned at 8:44 a.m. ~ ~ ~ ~ ~ FINANCE Trustee Dunlap reported that The Finance Committee met on December 4, 2018 with Trustees Dunlap, Bobo, Faul, Mandel, Yates, and Singer in attendance. The minutes from the October 30, 2018 meeting were approved. The first item on the agenda was an introduction of AON Hewitt to the Board as the District's new Pension and Retirement Plan Consulting firm. AON Hewitt representatives provided a history of their firm and their experience and addressed the recent report about an SEC inquiry focusing on the firm’s marketing materials and custodial fees. They reported that there has been no determination that any violations have occurred and that AON voluntarily cooperated with all SEC requests for information. The consultants then discussed the third quarter plan performance related to the Defined Benefit Plan. Plan assets returned 2.1% in the third quarter, beating the policy benchmark of 1.9%. There is no Board action required at this time. Next on the agenda was a staff review of the District's Operating Fund Portfolio as of November 30, 2018. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. The second item on the agenda was an ordinance authorizing the District to issue the Series 2018B Bonds and authorizing District officials to execute necessary documents. This ordinance authorizes funding through a direct loan agreement with the State of Missouri that will Edited 1/4/19 Pg. 3 amortize over a 20 year period and will be used for the Gravois Storage Facility project. This is Ordinance No. 15098 on tonight’s agenda. Staff then gave an update on the Water Infrastructure Finance and Innovation Act (WIFIA) program. WIFIA provides long-term, low-cost supplemental loans for regionally and nationally significant projects. The loan is expected to close on December 19, 2018 and is structured similar to the SRF Program. Ordinance No. 15077 authorizing this loan was introduced at last month's Board meeting and approval of this item is requested on tonight’s agenda. The meeting adjourned at 9:35 a.m. The next tentatively scheduled meeting is Wednesday, January 2, 2019. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS Trustee Bobo reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, December 4, 2018 at approximately 9:40 a.m. In addition to public attendance, those present at the meeting included Trustees Bobo, Dunlap, Mandel, Singer and Yates, as well as District Directors and staff. Trustee Bobo called roll, had no further comments and by motion of all Trustees present, approved the October 30, 2018 committee meeting minutes. The first item on the agenda was a discussion by Susan Myers regarding Federal and State Legislative Lobbying Priorities for 2019. Susan provided a summation of the Priorities and Goals for the 2019 Federal and State Legislative Sessions. All priorities remained the same as previous years with only 2 new additions to the Federal Priorities. There is no Board action required at this time. The second item was a discussion by Susan Myers regarding a resolution for state legislative lobbying services. This resolution authorizes the District to enter into the 2nd one-year renewal term with Kyna Iman, LLC to provide state legislative lobbying services. This is Resolution No. 3470 on tonight's Agenda. The third agenda item was a discussion by Tracey Coleman regarding a resolution for medical services. This contract provides medical services for District staff, which include drug testing, pre-employment evaluations, fitness for duty, nurse case management and other medical services. This resolution will authorize the District to enter into a one-year contract with BJC Corporate Health Services d/b/a BarnesCare from January 1, 2019 to December 31, 2019 exercising the third option year. This is Resolution No. 3469 on tonight's Agenda. The fourth agenda item was a discussion by Shonnah Paredes regarding a resolution for the First Source Hiring Program. This resolution allows the District to continue performance under its contract with Slate for a one year period for administration of the First Source Hiring Program to source unemployed and under employed applicants in the District’s service area to work on MSD capital projects as outlined in the proposed Community Benefits Agreement. This is Resolution No. 3468 on tonight's Agenda. The fifth agenda item was a discussion by Sean Hadley regarding a proposed ordinance for public engagement consulting services. Edited 1/4/19 Pg. 4 The consultant will assist MSD staff with educating the public about major projects, developing a communications protocol for smaller sized projects to guarantee public engagement, and coordinating with various project design and construction teams to ensure uniform messaging. After vendor selection is completed, the ordinance will be presented for Introduction and Adoption in January 2019. There is no Board action required at this time. The next agenda item was a discussion by Sean Hadley and Kristen Linton regarding an ordinance for website development. As a government agency and the sole provider of vital public services, MSD has a responsibility to have modern communication methods that meet public expectations and serve their needs. This ordinance will authorize the District to enter into a contract for website redevelopment and support services with 3 option years. This is Ordinance No. 15096 on tonight's Agenda. The final agenda item was a discussion by Brian Hoelscher regarding an ordinance to amend the compensation plan. This ordinance will repeal Ordinances No. 14500 adopted August 11, 2016 and prescribe a new Compensation Plan for all Classified and Unclassified positions, except the Executive Director, Secretary-Treasurer and internal Auditor, and pay grade assignments of Unclassified positions and reflecting changes to the A Schedule rates effective June 23, 2018 and June 22, 2019. This is Ordinance No. 15097 on tonight's Agenda. The meeting was adjourned by Trustee Bobo at approximately 10:12 a.m. The next meeting date is tentatively scheduled for Wednesday, January 2, 2019. ~ ~ ~ ~ Comments by the Executive Director: Thank you Mr. Chairman. I would like to review some of our recent personnel changes here at MSD. First, I have selected Sean Hadley as the District’s new Manager of Public Affairs and spokesman. Sean has been with MSD for 4 years in the Public Affairs Division. During that time, he has had the opportunity to take the lead on some major communication initiatives such as the Christmas Flood of 2015, our own internal Let’s Talk video messaging, as well as recent communications with local press representatives such as Elliot Davis. I look forward to Sean building on the past success of the District’s communications efforts. (Identify Sean) Next, I have appointed Bret Berthold as the new Director of Operations. Bret will formally take over the duties of this position on December 21, 2018 when Jonathon Sprague takes over as the new Director of Information Systems. Bret has been with MSD for 9 years, with one of his most notable and important successes being the development and successful implementation of the CMOM plan to meet the sanitary sewer system operation and maintenance requirements of our Consent Decree. (Identify Bret) As noted, Jonathon Sprague has agreed to take over the position as the Director of Information Systems on December 21, 2018. Jon’s experience with the development, implementation, and use of many of the systems here at MSD makes him uniquely qualified for this position. I greatly appreciate Jon volunteering to accept this transfer. (Identify Jon) In conclusion, it brings me no pleasure to announce that Barb Mohn, MSD’s current Director of Information Systems, will serve her last day in that position on Friday December 21, 2018. Barb has been responsible for this department since her arrival at MSD in September 2006. Barb will truly be missed. Edited 1/4/19 Pg. 5 The Director’s truly appreciate all of the efforts she has put into helping Jonathon Sprague get ready for his new assignment. (Identify Barb) Finally, on tonight’s agenda, the Board of Trustees will consider Item #61, a Resolution to approve an option year with SLATE to provide First Source Hiring Services for the next year for $91,000 to comply with the requirements of the Community Benefits Agreement, or CBA. On Friday December 7, 2018, after the budget was posted, MSD held its regular meeting with the CBA signatories. At that meeting the CBA signatories agreed to investigate other methods of investing in diverse construction workforce development other than the First Source Hiring Program mandated by the CBA. To accommodate the desires of the CBA signatories and to maintain the resources required by existing construction contracts, staff is requesting that the Board of Trustees amend Resolution 3468 by reducing the request from a one year extension to a 6 month extension and reducing the value of the contract from $91,000 to $46,000.” Thank you Mr. Chair, this concludes my report. Adoption of Proposed Ordinance No. 15051 - Deer Creek Public I/I Reduction (2019) Contract A (12042) Appropriating Four Million One Hundred Thousand Dollars ($4,100,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer rehabilitation in Deer Creek Public I/I Reduction (2019) Contract A (12042) in the Cities of Brentwood, Ladue, Maplewood, and Richmond Heights, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21683 with SAK Construction, LLC for the aforesaid sanitary sewer rehabilitation. Adoption of Proposed Ordinance No. 15070- Stormwater Capital Rate Election - April 2019 Calling for an election to be held on April 2, 2019 in The Metropolitan St. Louis Sewer District on the proposition of whether to charge a Stormwater Capital Rate upon all customers, whether public or private, within the District based upon the amount of impervious area on each customer’s real property for the purpose of providing revenue to fund capital improvements for flooding and erosion control. Adoption of Proposed Ordinance No. 15071 - Excess (Umbrella) Liability Program (First Layer) Awarding a contract to Allied World Insurance Company (Charles L. Crane Agency, agent) for the District’s Excess Umbrella Liability Insurance (First Layer) coverage from January 1, 2019 to July 1, 2019. Adoption of Proposed Ordinance No. 15072 - Excess (Umbrella) Liability Program (Second Layer) Awarding a contract to Allied World National Assurance Company (Charles L.
