LOUIS SEWER DISTRICT December 14, 2017 at 5:00 p.m. The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Faul, Chair B.L. Hoelscher, Executive Director Rev. R. Bobo, Vice Chair T.R. Snoke, Secretary-Treasurer A.K. Mandel S.M. Myers, General Counsel M.E. Yates, Chair(absent) M. M. Gee, Director of Finance R.L. Bonner R.L. Unverferth, Director of Engineering J. Singer Also present were: Trustee Bobo called the closed meeting to order in Trustee Faul’s absence at 4:05 p.m. The motion was approved by Trustee Mandel and seconded by Trustee Singer. Trustee Faul made a motion to come out of closed session at 5:01 p.m. and move into open session. The motion was approved by Trustee Bobo and seconded by Trustee Singer. Trustee Faul asked for the approval of the November 9th and December 5th 2017 Journals of proceeding minutes. Motion was made by Trustee Bonner and seconded by Trustee Bobo. Comments by Board Chair: For my Board Chair’s comments this evening, I wish to note that this will be Ruby Bonner’s last Board of Trustees meeting. With the upcoming expiration of her term, Trustee Bonner has chosen to resign, effective December 31st. Appointed by then City of St. Louis Mayor Francis Slay in May 2014, Ms. Bonner has been a diligent and dedicated member of our team for almost four years. Her time at MSD is but another chapter in service to our St. Louis Community. Professionally, Ms. Bonner has served as Executive Director of the St. Louis Civil Rights Enforcement Agency; as a Division Director with the Missouri Department of Public Safety; and as General Counsel for the St. Louis Board of Education. As a director or commissioner, Ms. Bonner has further served our community with the Missouri Public Defender Commission; the YWCA; the Annie Malone Children’s Home; Mercy Seat Elderly Apartments; and the Women’s Luncheon Committees of the Missouri Botanical Gardens and Forest Park Forever. Ms. Bonner has dedicated her professional and personal life to make this region better than it is and we are all better for it and her dedication. On behalf of the board and staff, I wish to thank Trustee Bonner for her service to MSD and its customers. Trustee Faul stated he personally would like to thank Trustee Bonner for her time at MSD and her participation on the Board and how she has brought many things to the Board’s attention with class and sincerity and Trustee Faul expressed his appreciation for Trustee Bonner and encouraged the public present, to take a moment to do the same. In attendance were Trustees Singer, Bonner, and Mandel. The Committee approved the minutes from the October 31 meeting. The Chairman had no comments. The District’s external auditor, CliftonLarsonAllen presented and explained the four remaining reports from the annual financial audit package for fiscal 2017. The Reports presented were: • The Single Audit Report; • The Schedule of Project Expenditures; • The Agreed-Upon Procedures Report for MDNR Permit Number 718905; • The Fund Financial Statements. The Single Audit report contained two auditor’s reports: • A report addressing internal control over financial reporting and compliance; • A report addressing compliance and internal control over compliance for each of the District’s major federal award programs. Each of the auditor’s reports contained an unqualified or “clean” opinion. The Schedule of Project Expenditures report consisted of a review of expenditures for compliance with various District bond resolutions, which restrict the use of bond proceeds to certain construction, improvement, or repair project costs. Again, the auditor’s report contained an unqualified or “clean” opinion. The Agreed-Upon Procedures Report for MDNR Permit Number 718905 pertains to a solid waste disposal area that is operated by the District. The engagement was not an audit. As such, no opinion was issued. The engagement consisted solely of certain procedures agreed to by District Management regarding meeting certain requirements of the Missouri Solid Waste Management Rules. No findings or issues were identified through the procedures. The Fund Financial Statements are prepared on the budgetary modified accrual basis of accounting. The statements are supplemental and are not a required part of the District’s basic financial statements. Their sole purpose is for additional analysis. The auditor’s report contained an unqualified or “clean” opinion, the same as the District’s overall basic financial statements. Questions from the Committee regarding new audit guidelines and Federal Emergency Grant monies were discussed and addressed by CliftonLarsonAllen and District Staff. The meeting adjourned at approximately 8:00 am. The next meeting is tentatively scheduled for Wednesday, January 3, 2018. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ Trustee Faul reported that The Program Management Committee met on December 5, 2017 at 8:02 a.m. The meeting was attended by Trustees Mandel, Singer, Bonner, and Bobo. The minutes of the October 31, 2017 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ordinance No. 14837 – Caulks Creek Forcemain – Staff provided the Committee details on this project and requested for the project to be considered for introduction and adoption at tonight’s meeting. The existing forcemain has deteriorated and has had numerous breaks requiring emergency repairs over the past several years. In addition, the optimal time for constructing the sewer to avoid groundwater issues is during the winter months while the Missouri Rivers stages are lower. Edited 1/4/18 Pg. 3 Ordinance No. 14838 – Deer Creek Sanitary Tunnel Training Program – Staff explained the supplemental funding to provide on-the-job Tunnel Training as part of the Deer Creek Tunnel Project and discussed the specific uses of the proposed funding. The Committee identified that the Board Write-up indicated this item was a requirement of the Consent Decree. It was clarified that the tunnel project is a requirement of the Consent Decree, but the tunnel training program is not. Staff indicated the correction would be made to the Board Write-up. Ordinances No.14853 and No. 14854 – Revised Engineering Service Fees and Revised Wastewater Connection Fees – Staff delivered a PowerPoint presentation to the Committee explaining the analysis, development, and impact of revised fees relating to plan review, permitting, and inspection services for private development and re-development projects within the District. The fees were last revised in 2007 and 1994, respectively. The revised fees will take effect on February 1, 2018. Staff answered questions from the Committee. The meeting was adjourned at 9:01 a.m. The next Committee meeting is tentatively scheduled for Wednesday, January 3, 2018 at 8:00 a.m. ~ ~ ~ ~ ~ Trustee Bobo reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, December 5, 2017 at approximately 9:10 a.m. In addition to public attendance, those present at the meeting included Trustees Bobo, Bonner, Mandel, and Singer, as well as District Directors and staff. Trustee Bobo called roll, had no further comments and by motion of all Trustees, approved the October 31, 12017 committee meeting minutes. The first item was a discussion by Lance LeComb regarding MSD's State Legislative Lobbying Priorities. Lance provided a summation of the Priorities and Goals for the 2018 State Legislative Session. There is no Board action required at this time. The next item was a discussion by Susan Myers regarding MSD's Federal Legislative Lobbying Priorities. Susan provided a summation of the Priorities and Goals for the 2018 Federal Legislative Session. There is no Board action required at this time. The next item was a discussion by Brian Hoelscher providing an update on the activities and meeting schedule for the Rate Commission. The Commission met on November 28th and reviewed three proposals for consulting, legal and advertising & public engagement services. The Rate Commission budget approved in 2018 was reviewed, and based on that budget, it was determined that there are sufficient funds to approve these proposed services. Additional funds needed for expenditures above the approved budget would require Board approval. The next Rate Commission Committee meeting is proposed for January 9, 2018 at which time the Commission will elect officers, review proposed rules and regulations and determine scheduling for 2018. It is planned to present the Rate Commission's proposal by February 2018 with an anticipated final recommendation by October 2018. There is no Board action required at this time. Adoption of Proposed Ordinance No. 14826 - Farmers Mill Pump Station (P-774) Replacement (12457) Appropriating Four Hundred Fifty Thousand Dollars ($450,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in Farmers Mill Pump Station (P-774) Replacement (12457) in the City of Chesterfield, Missouri; and authorizing the Executive Director and Secretary- Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21433 with Kelpe Contracting, Inc. for the aforesaid sanitary sewer construction. Proposed Ord. No. 14836 was presented and read. This ordinance authorizes the District to enter into an agreement with Maryland East, LLC to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the Mississippi River per the Long Term Control Plan. This project will reduce runoff volume with the installation of amended soils and pervious pavement. Total cost of the project is estimated at $55,800, and Maryland East, LLC is requesting approximately $55,800 reimbursement for the cost of green infrastructure. The work to be done under Contract #21593 consists of the construction of approximately 3,190 lineal feet of sanitary sewer force main 30-inches in diameter, 300 lineal feet of 2-inch sanitary sewer force main, slip-lining approximately 1,460 lineal feet of existing 36-inch ductile iron pipe sanitary sewer force main, and appurtenances. This construction is the sixth phase of a multi-phase improvement program. Redundancy will be provided for the existing force main when this project is constructed. The purpose of this project is to install a 30-inch Ductile Iron Pipe Force Main and slip-line an existing 36-inch Force Main. This project is scheduled to be completed in 300 days. This construction is the second phase of a multi-phase improvement project. The purpose of this project is to alleviate surcharging sanitary sewers and facilitate future removal of seven (7) constructed SSOs (BP-545, BP-170, BP-198, BP-348, BP-349, BP-155 & BP- 591) after construction of future phases. Contractor is responsible to meet all workforce diversity goals as required by the Contract, prior to implementation of this Program.
