Mr. Berry was excused from the meeting at approximately 9:00 during the presentation of items 32-84. The minutes of the June 3, 2014 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Item 28 – Deer Creek Sanitary Tunnel – Details were provided on the proposed land acquisition and the associated tunnel. Staff addressed questions from the Committee on the size and type of easements being used for the project, and commented on the amount of disruption that could be encountered as part of the tunnel construction. Staff indicated that extra communications efforts by the consultants and through Project Clear with both the residents and municipalities had already started. Item 29 – Infrastructure Repairs – The Committee asked if detailed information on MWBE participation was available. Staff will provide the information and hopes to regularly publish participation details in the near future. The Committee asked if the District had explored raising the project limit above the $25,000 threshold. Staff indicated that this limit is set by state regulation. Items 32-84 – Watershed Consultant Contracts for FY2015 – Staff provided a summary of three groupings of projects on tonight’s agenda and the use of the watershed consultant contracts to design a majority of the projects related to the Consent Decree. Staff went on to explain that the watershed consultant contracts are one year contracts with annual extensions based on good performance and being able to satisfactory show a long term plan to meet contractual requirements for MWBE utilization. This fulfills previous commitments to the Board regarding the renewal of the contracts. Staff briefed the Board on the Deer Creek Watershed consultant Parsons Water & Infrastructure and several performance issues being experienced with this firm. Staff withheld numerous projects from Parsons for the upcoming year to allow these issues to be resolved. The associated projects were reassigned to two of the existing watershed consultants in order to keep the program on schedule. Staff then discussed the details of each project and answered questions from the Committee. The total appropriation being requested is $35,514,000, which is approximately $1.5 million below budget. Consultant compliance with their MWBE contractual requirements were reviewed as detailed on the project write-up sheets. The meeting was adjourned at 9:55 a.m. - - - - Ms. Patton arrived during Stakeholder Relations report. Mr. Berry reported that the Stakeholder Relations Committee met on June 19, 2014 at 8:30 a.m. In attendance were Trustees Berry and Bonner. The first agenda item was a discussion by Mr. Hoelscher regarding the status of the Rate Commission membership. Staff gave a brief overview of the Rate Commission structure and current members. He then talked about the upcoming vacancies, procedures for soliciting members and proposals to fill the vacant seats on the Commission. Special meetings will be held for the potential candidates and information will be communicated at that time. There is no Board action required at this time. The next item on the agenda was a discussion regarding the Private I/I Public Engagement Program and Project Clear efforts that are provided by StandPoint Public Affairs. The public education, outreach, and engagement provided through this contract are critical to achieving the goals of the Consent Decree entered into with the Environmental Protection Agency and the Missouri Coalition for the Environment in 2012. An ordinance adopted in August 2012 allowed funding for the original contract with two option years. Staff is requesting introduction of an ordinance to exercise the second of the two option years. This is item #85 on tonight's agenda. The last item discussed was the continuation of this committee meeting on the third Thursday of each month at 8:30 a.m. There were no other items for discussion. The meeting was adjourned at 8:53 a.m. - - - - Mr. Faul reported that the Audit Committee met on May 6 at 7:30 a.m. with Trustees Faul, Berry, Mandel and Patton present. The minutes from the April meeting were approved. Mr. Loretta presented the objectives and methodology used for the Process Review of the Help Desk Function. The engagement received a satisfactory rating as no significant deficiencies were noted; however, the results did include four opportunities for improvement ranging in risk from low to moderate. Mr. Ron Steinkamp of Brown Smith Wallace continued the presentation and explained the three Opportunities for Improvement that were assessed as moderate risks. Questions were addressed as they were generated by the Committee. Next, Mr. Loretta provided a status update regarding procedures being performed to review overhead rates for construction management and engineering design contracts. He explained that the initial review of each rate calculation had been completed but that additional discussions and negotiations with the various contractors would be required to complete and finalize the process. He expected the procedures to be completed during the summer of 2014. Mr. Loretta continued the meeting by presenting a resolution to renew the contract with Brown Smith Wallace, LLC to provide internal audit services to the District. Finally, Mr. Loretta provided a status update that encompassed the current activities of the internal audit function as well as the planned activities of the external auditors. Ms. Mandel requested some clarification regarding the two areas, which Mr. Loretta provided. The meeting adjourned at 7:50 a.m. This concludes the Audit Committee Report. - - - - Ms. Bonner reported that the Finance Committee met on July 8, 2014, with Trustees Bonner and Patton in attendance. The minutes from the June 10, 2014 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Item 88: IT Managed Services. This resolution authorizes the staff to exercise its second one-year contract renewal option with Connectria Corporation for remote monitoring, management and administration of the District’s technology infrastructure environment. Item 86 & 87: Revised Wastewater and Stormwater User Charge. A change in the wastewater and stormwater ordinances was proposed to allow the District to begin collection efforts starting when an account is 60 days in arrears rather than currently authorized 90 days. This revision will allow the District to further accelerate its collection process. The meeting adjourned at 8:13 a.m. - - - - Ms. Patton reported that the Audit Committee met on July 8 at 7:30 a.m. with Trustees Patton and Bonner present. The minutes from the June meeting were approved. The Chairman had no comments. Mr. Jeff Winter, Engagement Partner of Rubin Brown, presented a summary of the services to be provided by Rubin Brown for the District’s fiscal year ended June 30, 2014 as well as the 2013 financial statements for the District’s three retirement plans. He went on to explain the basic engagement components, including: the Objective of the Engagement, the Auditor’s Responsibility, the Limitations of the Engagement, and Management’s Responsibility. The Committee requested clarification regarding the Auditor’s responsibility regarding reviewing and reporting on internal controls, which Mr. Winter provided. Mr. Winter then introduced Engagement Manager Ms. Renita Duncan. Ms. Duncan continued the presentation by explaining the specific objectives of each engagement as well as the overall timeline for the completion of the various engagements. She went on to explain the preliminary assessment of risk regarding the various areas to be audited. Mr. Winter concluded the presentation by providing a summary-level explanation of recently issued accounting pronouncements affecting the District’s Fiscal 2014 and 2015 financial statements. The Committee requested clarification regarding the role of Internal Audit as it pertains to the External Audit activities. Mr. Winter and Staff provided a brief explanation regarding the relationship of the two functions. The meeting adjourned at 8:04 a.m. - - - - The Executive Director reported that for introduction on tonight’s agenda are almost 60 ordinances for work to be started by Watershed Consultants and their team members in Fiscal Year 2015. These watershed contracts have been awarded over the past 3 fiscal years to ensure that MSD meets the commitments of the Consent Decree. The consultants were selected for these contracts in accordance with Chapter 8, Section 8.285 thru 8.291 of the Missouri Revised Statutes. These Statutes require the use of a Qualifications Based Selection process. That process consists of the selection of a consultant based on the qualifications presented in their submittals. After selection, the cost of the services are negotiated with the selected consultant to obtain a fair and reasonable price. As staff committed to the Board of Trustees in the development of this Watershed Consultant delivery method, each contract extension request would only be for a one year period and would only be considered based on acceptable performance by the Watershed Consultant. Staff will be bringing proposed watershed consultant contract extensions and appropriations to the Board for consideration over the next few months, as well as the initial contract and appropriation request for the final Watershed Consultant. Staff will continue to discuss each project in detail with the Program Management Committee, as it did for almost 2-1/2 hours on Tuesday July 1, prior to being brought to the full Board of Trustees for consideration. The Watershed process has been very successful to date. The delivery of the consent decree requirements through Project Clear are on schedule and on budget. 7 engineers in the Engineering Department are directly managing the watershed contracts. The remaining 66 engineers are involved in in-house design, individual project management, construction management and inspection, planning, plan review, long range program planning, the industrial pre-treatment program, and environmental compliance activities. Finally, staff has been informed by the State’s Attorney General that, contrary to the complaint filed by Mr. Tom Sullivan on May 9, 2014, the Board’s selection of a new chairman on May 8, 2014 was in compliance with the Missouri Sunshine Law. - - - - Mr. Sam Schneider with Americold Logistics stated he received a certified letter for a filing of condemnation at 8501 Page Avenue for right of easement, Item #30 – UR-10 Mendell & Wolter Sanitary Relief. He was instructed by his corporate counsel to voice their concerns. He stated they feel the project would interfere with their time sensitive logistic business, specifically with movement of cars and refrigerated tractor trailers. Mr. Schneider expressed there could be substantial damages to the business including loss of contracts and increased operational costs and damages. Americold does not believe the offer is sufficient due to these concerns. He proposed the easement be on the east side of Wolter Avenue which would parallel the proposed sewer line and not result in any cost. Mr. Rich Unverferth responded that the District is filing the condemnation to keep the project on schedule but MSD intends to continue to negotiate. He will give his card to Mr. Schneider so he can email a list of Americold’s concerns and the District will discuss with the appraisers. Also, Mr. Unverferth will have staff contact him. Mr. Schneider commented MSD personnel had a meeting last August with the Mayor, Vi-Jon and a former general manager who has left and taken the paperwork with him, so they were unaware of the project’s status until Mr. Harvey Allen, of MSD, contacted them on June 17. He said Mr. Allen would be out tomorrow to walk the property with them. Mr. Unverferth stated he would pass on to the engineers the suggestions and recommendations Mr. Schneider proposed. The Board asked if alternative locations would be checked. Mr. Unverferth commented he would check to see if there was a reason why Mr. Schneider’s option wasn’t accepted originally. He stated it is a critical project which needs to move forward involving a $5 million relief job that includes two sanitary sewer overflows and two combined sewer overflows. The Board asked if there was a recommendation regarding Item 30 on tonight’s agenda given the concerns discussed. Mr. Hoelscher responded it needed to be on tonight’s agenda so that the minimum dates can be met to keep the project on schedule. He stated negotiations can continue to try to resolve the issue without going all the way up to condemnation. The Board noted it was the introduction of the ordinance and asked the staff to update the status next month. - - - - Mr. Sullivan addressed the Board and stated that the agenda provides a big payday for consulting firms with its $35 million no bid contracts. He said $14.2 million would go to Burns & McDonnell, noting that Mr. Berry headed its St. Louis office prior to being on MSD Board. He feels it is a conflict of interest and Mr. Berry should not be on the Board even though he abstains from voting on Burns & McDonnell items. Mr. Sullivan then stated $7.2 million of contracts to be awarded to London-based AMEC Environment & Infrastructure doesn’t make sense given that it is a foreign firm, even though it does have a local office. He next commented on Jacobs Engineering Group receiving $12.6 million of engineering contracts, noting that former Jacobs’ employees were involved in a bid-rigging scheme in Chicago ten years ago and that Jacobs paid a large fine in the past for overcharging customers. He remarked that $709,000 for Item #85 - Private Inflow/Infiltration Public Engagement Program 2013 is a waste of money since a similar public engagement program for stormwater financing was not well attended. - - - - CONSENT AGENDA Mr. Berry requested that Proposed Ordinance No. 13874 be voted on separately. Initial funding for the flow studies and pre-design for the Maline Creek CSO 051 Treatment Facility (11655) project and this project with an estimated construction cost estimate of $72,000,000 were included in FY2012 contract and FY2013 and FY2014 amendments. A study for those projects indicated that it would be possible to eliminate the need for clarification facilities (Project 11655). This year’s (FY2015) authorization includes the first year of a two-year design of the storage facility and a dewatering pumping station.
