LOUIS SEWER DISTRICT July 12, 2018 The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Faul, Chair B.L. Hoelscher, Executive Director Rev. R. Bobo, Vice Chair T.R. Snoke, Secretary-Treasurer A.K. Mandel S.M. Myers, General Counsel M.E. Yates(absent) M. M. Gee, Director of Finance Freddie Dunlap R.L. Unverferth, Director of Engineering J. Singer(phone) Also present were: Trustee Faul called for a motion to into closed session at 4:02pm. Roll call was made and all were present except Trustee Yates and Trustee Singer was present by phone. The motion was seconded by Trustee Bobo and Trustee Dunlap. Trustee Faul motioned to go into closed session at 5:00pm. The motion was seconded by Trustee Bobo and Trustee Dunlap. Trustee Faul asked for the approval of the June 14, 2018 (1607th) Journal of proceeding minutes. The Journal was approved by Trustee Dunlap and seconded by Trustee Bobo. Comments by Board Chair: None ~ ~ ~ ~ ~ Report of Board Committees: AUDIT Trustee Faul reported that The Audit Committee met at 7:30 AM on Tuesday, July 3, 2018. In attendance were Trustees Singer, Bobo, Dunlap, Faul, Mandel, and Yates. The Committee approved the minutes from the June 5th meeting. The Chairman had no comments. External auditor, CliftonLarsonAllen, presented the results from the financial statements audit for the Employees’ Pension, Deferred Compensation, and Defined Contribution plans, stating that the plans were audited in accordance with generally accepted auditing standards and that “clean” opinions were issued for each plan. The audit engagements were performed according to the planned scope and the schedule communicated previously. No difficulties or disagreements with management were encountered when performing the audits, and there were no known, likely or uncorrected misstatements identified during the audits of the three plans. No significant deficiencies or material weaknesses were identified. The presentation was completed with a discussion to address questions from the Committee regarding the audit procedures utilized to test certain investment balances. In addition, a discussion regarding the roles of the External and Internal Audit functions was included in the presentation. Questions regarding individual engagements were addressed by Staff as they were received from the Committee. The meeting adjourned at approximately 8:10 am. The next meeting is tentatively scheduled for Tuesday, August 7, 2018. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ FINANCE Trustee Dunlap reported that The Finance Committee met on July 3, 2018 with Trustees Dunlap, Mandel, Singer, Faul, Bobo and Yates in attendance. The minutes from the June 5, 2018 meeting were approved. The first item on the agenda was a report by staff on the District's Operating Fund Portfolio as of June 30, 2018. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. Next on the agenda was a staff request to extend the contract with Prudent Man Advisors, Inc. (PMA) that was previously authorized to provide investment advisory services to the District. This will be Resolution 3443 on tonight’s agenda. The next item discussed on the agenda was the District’s Defined Contribution and Deferred Compensation Plans. The Defined Contribution Plan provides retirement benefits to employees hired after 2010 and the Deferred Compensation Plan is available to all employees as another way to save for retirement. Staff reviewed the Plans with the Committee, noting that expense ratios of all Vanguard funds in the Plans were recently reduced. Staff also described some new advisory services that will be rolled out to participants later this year and agreed to look into institutional pricing for the Vanguard Managed Account Program (VMAP). The next topic addressed was an update on the District’s Delinquent Debt Collection process which included the current background and the plan components. The last item on the agenda consisted of a request by staff authorizing an ordinance to enter into a contract with Charles L. Crane Agency to serve as the District’s broker of record and provide other services for the District’s insurance program. This will be Ordinance #14974 on tonight’s agenda. The meeting adjourned at 9:10 a.m. The next tentatively scheduled meeting is Tuesday, August 7, 2018. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ PROGRAM MANANGEMENT Trustee Faul reported that The Program Management Committee met on July 3, 2018 at 9:15 a.m. The meeting was attended by trustees Yates, Faul, Bobo, Mandel, Singer, and Dunlap. The minutes of the June 5, 2018 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Edited 10/18/18 Pg. 3 Ord. No. 14931 – Harlem – Baden Relief Phase 4 – Staff provided the details of this cost-share project being performed in partnership with the U.S. Army Corp of Engineers. The savings realized on this project and savings to the District over the years was discussed. Staff is requesting introduction and adoption of this ordinance in order to meet the Corps of Engineers’ schedule. Ord. No. 14933 – Bradbury Drive Storm Sewer – Staff provided the details of this project and indicated that due to the low bid received being less than $50,000 there is no MBE goal for the project. The committee requested that staff revisit the current MWBE policy and the potential for requiring MBE participation for projects when the District’s design estimate is greater than $50,000. Staff agreed. Ord. Nos. 14936 and 14937 – Stormwater Infrastructure Repair Funding – Staff described the source and purpose for the infrastructure repair funding. Staff then provided details and statistics from the Fiscal Year 2018 program and highlighted the MWBE participation success of the District’s small contractor program. Ord Nos. 14942, 14954, 14961 & 14966 – Staff gave summary descriptions of four multi-project Engineering Design contracts on tonight’s agenda. Staff reviewed details of the design work to be performed and the purpose for the projects. Specifics were provided regarding the budgeted appropriations as well as current MWBE status on the multi-year watershed design programs. Staff answered questions from the Committee. The next Committee meeting is tentatively scheduled for Tuesday, August 7, 2018 at 8:00 a.m. The meeting was adjourned at 10:07 a.m. ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS The Stakeholder Relations Committee met at District Headquarters on Tuesday, July 3, 2018 at approximately 10:12 a.m. In addition to public attendance, those present at the meeting included Trustees Bobo, Dunlap, Faul, Mandel, Singer and Yates, as well as district Directors and staff. Trustee Bobo called roll, had no further comments and by motion of all Trustees present, approved the June 5, 2018 committee meeting minutes. The first item was a discussion by the Executive Director, Brian Hoelscher, regarding the Consent Decree Schedule. The Executive Director provided a revised schedule of the Long-term Control Plan Program Implementation Schedule as required by the Consent Decree. A change in the schedule for the River Des Peres Storage, the Tributary Tunnel construction and expanded Green Infrastructure Program was presented to and approved by the EPA, Department of Justice and Missouri Coalition for the Environment, with recommendation by NACWA. The Executive Director provided to the Trustees, under separate communication, the federal government ruling which approved the schedule changes. Additional updates and communication will be provided before the end of the calendar year. There is no Board action required at this time. Edited 10/18/18 Pg. 4 The next agenda item was a discussion by Jonathon Sprague and Bret Berthold regarding results of recent storm and rain events. A slide presentation was provided which illustrated the rain and storm events occurring in the last 14 days. As a result of MSD's continued cleaning, rehabilitation and construction efforts since 2009, these weather events are having a greatly reduced impact on our systems, resulting in fewer blocked mains, water back-ups and overcharged sewers. There is no Board action required at this time. The next agenda item was a discussion by the Executive Director regarding the Civil Service Commission Structure and Governance. The Executive Director provided an overview of the Civil Service Commission as outlined by Article 8 of the District's Charter. Brian briefly covered how the Commission functions, how the members are appointed and removed, what their duties are and how changes are made. He addressed questions by the Trustees and discussed a possible meeting with the Commission and Trustees at a future Board or Committee meeting as schedules permit. There is no Board action required at this time. The meeting was adjourned by Trustee Bobo at approximately 10:41 a.m. The next meeting date is tentatively scheduled for Tuesday, August 7, 2018. ~ ~ ~ ~ ~ Comments by the Executive Director: I have four items I would like to present this evening. First, I would like to congratulate Two MSD employees, Becca Coyle and Josh Leathers, who received recognition from the Missouri Water Environment Association (MWEA) at their annual conference last March. Becca Coyle, Division Manager at the Bissell Wastewater Treatment Plant, was also inducted into the Quarter Century Operators Club, which recognizes operators of wastewater treatment facilities for their service and dedication in a difficult and dangerous profession. Becca has worked for MSD since 1992. She joined MWEA in 2000 and is currently serving as the Treasurer. Josh Leathers, Operations Supervisor at the Missouri River Wastewater Treatment Plant, received the Large Facilities Operator of the Year Award. Each year, MWEA selects only one operator from a large facility for this honor. Josh has worked for MSD since 2007. “Congratulations to both, Becca and Josh, on their well-deserved recognition.” Second, I am happy to announce and congratulate our General Counsel, Susan Myers, on receiving the 2018 Corporate Counsel Award, which recognizes outstanding work by corporate counsel attorneys in public and private companies of all sizes and industries. “Congratulations, Susan, on receiving this prestigious award and Thank you for all of your hard work.” At last, I am happy to announce the remaining two items on my list, which are the promotion of Tracey Coleman to the position of Human Resource Director effective July 7, 2018 and the appointment of Ginny Kienstra our new Assistant Director of Information Systems effective July 9, 2018. Tracey has held the position of Manager of Training and Organizational Development since May 19, 2014. To accommodate Tracey and our current Human Resource Director’s transition, Tracey will work alongside Vicki Edwards until Vicki’s departure on August 2, 2018. Please join me in congratulating Tracey Coleman on her promotion and Ginny Kienstra on her new position. Thank you Mr. Chairman, this concludes my report. Adoption of Proposed Ordinance No. 14922 - CSO Volume Reduction Green Infrastructure – St. Ferdinand Homes II (12974) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with Northside Community Housing, Inc. for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – St. Ferdinand Homes II (12974) in the City of St. Louis, Missouri. Adoption of Proposed Ordinance No. 14923 - Easement Acquisition for Wastewater Projects (2019) (12515) Making an appropriation of One Million Five Hundred Thousand Dollars ($1,500,000.00) from the Sanitary Replacement Fund to be used for property rights acquisition in Easement Acquisition for Wastewater Projects (2019) (12515) in the Metropolitan Sewer District Service Area; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to acquire necessary property rights in order to construct combined and sanitary sewer projects. Adoption of Proposed Ordinance No. 14924 - Easement Acquisition for Stormwater Projects (2019) (12682) Making an appropriation of One Million Five Hundred Thousand Dollars ($1,500,000.00) from the Districtwide Stormwater Fund to be used for property rights acquisition in Easement Acquisition for Stormwater Projects (2019) (12682) in the Metropolitan Sewer District Service Area; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to acquire necessary property rights in order to construct storm sewer projects. Adoption of Proposed Ordinance No. 14925 - Enterprise Content Management & Services Software System Provider Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with Accelerated Information Systems (AIS) whereby AIS will provide Enterprise Content Management (ECM) software and services for the District. Adoption of Proposed Ordinance No. 14926 - Classification Plan Repealing Ordinance No.14614, as adopted on February 9, 2017, and enacting a new Ordinance prescribing changes to the Classification Plan to include the removal of obsolete positions, retitling an existing position, and the addition of a new position. Adoption of Proposed Ordinance No. 14927 - Compensation Plan Repealing Ordinance No. 14615, as adopted February 9, 2017, and enacting a new ordinance prescribing changes to the Compensation Plan to include the position title change of the Manager of Public Information to a new title – Manager of Public Affairs. This is the only change to the existing Compensation Plan adopted by Ordinance 14615 on February 9, 2017. Edited 10/18/18 Pg. 6 UNFINISHED BUSINESS ORDINANCES - NONE RESOLUTIONS - NONE New Business Name ORDINANCES Introduction of Proposed Ordinance 14928, Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with Broadway Redevelopment, LLC for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Serenity Inn – 6200 North Broadway (13148) in the City of St. Louis, Missouri. Proposed Ord. No. 14928 was presented and read. This ordinance authorizes the District to enter into an agreement with Broadway Redevelopment, LLC to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the Mississippi River per the Long Term Control Plan. This project will reduce runoff volume with the installation of underground chambers with an infiltration rock base. Total cost of the project is estimated at $320,000, and Broadway Redevelopment, LLC is requesting approximately $220,000 reimbursement for the cost of green infrastructure. Dunlap - aye Introduction of Proposed Ordinance 14929, Making a supplemental appropriation of Seventy Thousand Dollars ($70,000.00) from the Operation, Maintenance, Construction, Improvement Fund of Sugar Creek to be used for storm sewer construction in Rosewood Lane & Woodard Dr. Storm Sewer (10347) in the City of Kirkwood, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to amend Contract No. 21626 with Bates Utility Company, Inc. for the aforesaid storm sewer construction. Proposed Ord. No. 14929 was presented and read. The work to be done under Contract #21626 consists of the construction of approximately 2,132 lineal feet of storm sewers varying in size from 8-inches to 36-inches in diameter and appurtenances. The purpose of this project is to alleviate backyard flooding at 536, 541, 542, 601 and 606 Rosewood Lane, and basement flooding at 601 Woodard Drive. Proposed Ord. No. 14930 was presented and read. The work to be done under Contract #21672 consists of the removal of inflow sources from 141 private properties. The purpose of this project is to reduce inflow/infiltration (I/I) in the Mackenzie Creek watershed, reduce building backups, and relieve overcharged sanitary sewers. Dunlap - aye Introduction and Adoption of Proposed Ordinance 14931, Appropriating One Million Five Hundred Thousand Dollars ($1,500,000.00) from the Sanitary Replacement Fund for storm sewer construction in Harlem – Baden Relief Phase IV (Hebert) (Goodfellow to Hamilton) (11769) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an intergovernmental agreement under Contract No. 21687 with the U.S. Army Corps of Engineers to provide financial assistance for storm sewer construction. Proposed Ord. No. 14931 was presented and read. This ordinance authorizes the District to enter into Contract #21687 with the U.S. Army Corps of Engineers for the Corps to administer and construct a project in the CIRP. This project consists of the construction of 7,200 feet of 12-inch to 48-inch diameter storm and sanitary sewers and 3,000 feet of sewer lining, north of Kennerly and west of Goodfellow in the City of St. Louis, Missouri. This project will reduce combined sewer overflows, taking separated sewer flows to the Harlem – Baden (Hebert) detention basin. The preliminary construction cost estimate is $4,430,000. The work to be done under Contract #21677 consists of the construction of approximately 507 lineal feet of 8-inch diameter sanitary sewers, including 313 lineal feet of 8-inch diameter pipe-in-tunnel, and appurtenances. The purpose of this project is to replace deteriorated cast iron pipe with severe corrosion and buildup, crossing under a railroad. This project is scheduled to be completed in 180 days. Proposed Ord. No. 14933 was presented and read. The work to be done under Contract #21671 consists of the construction of approximately 168 lineal feet of storm sewers 30-inches in diameter and appurtenances. The purpose of this project is to alleviate basement flooding at two properties and rear yard flooding at four properties on Bradbury Drive and Stonehurst Drive. Proposed Ord. No. 14934 was presented and read. The work to be done under Contract #21669 consists of the construction of approximately 393 lineal feet of storm sewers varying in size from 12-inches to 18-inches in diameter and appurtenances. The purpose of this project is to alleviate yard flooding at 9733 Crestwick and structure flooding at 9741 Crestwick. This project is scheduled to be completed in 150 days. H. Berra Construction Co., Inc. for the aforesaid storm sewer construction. Proposed Ord. No. 14935 was presented and read. The work to be done under Contract #21668 consists of the construction of approximately 100 lineal feet of an amended soil channel, and 422 lineal feet of storm sewers 18-inches in diameter and appurtenances. The purpose of this project is to alleviate yard flooding at 9819 Mar Ann Court and at five other properties. This project is scheduled to be completed in 150 days. RDP Tributaries (Deer Creek) CSO Tunnel (12441) is a lump sum cost project to provide planning assistance for evaluating alternatives to consolidate and eliminate twenty-eight (28) constructed CSOs in preparation for pre-design of approximately 16,300 feet of 17-foot diameter CSO storage tunnel and appurtenances. The purpose of this project is to eliminate twenty-eight (28) constructed CSOs. The construction cost estimate for this project is $374,150,000. Construction is anticipated to begin in FY2024. The purpose of this project is to provide 30 million gallons of storage in a deep tunnel system and capture flows from thirty- nine (39) constructed CSO outfalls.
