LOUIS SEWER DISTRICT July 13, 2017 at 5:00 p.m. The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Trustee Faul called the session to order and motioned to go into closed session at 4:02pm. Trustee Faul moved to come out of closed session into open session at 5:06p.m; motion made by Trustee Bobo and seconded by Trustee Mandel. Trustee Faul asked for the approval of the June 8, 2017 Journal of proceeding minutes. Motion was made by Trustee Mandel and seconded by Trustee Singer. The June 8, 2017 Journal was approved by unanimous vote. In attendance were Trustees Singer, Faul, Mandel, Yates, and Bonner. The Committee approved the minutes from the May 30 meeting. The Chairman had no comments. Staff presented the FY ‘18 Risk Assessment and Internal Audit Plan, which included an overview of the risk assessment process, a summary of the overall internal audit cycle, and an overview of the various engagements to be performed as part of the FY ’18 audit plan. In addition, a discussion regarding the roles of External Audit and the Internal Audit function was included in the presentation. Questions regarding the process for developing the audit plan and the approach to individual engagements were addressed by Staff as they were received from the Committee. The meeting adjourned at approximately 7:50 am. The next meeting is scheduled tentatively for Thursday, August 1, 2017. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ Trustee Yates reported that the Program Management Committee met on July 6, 2017 at 7:55 a.m. The meeting was attended by trustees Yates, Singer, Bonner, Mandel, and Faul. The minutes of the May 30, 2017 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ord. No. 14706 – Stormwater Infrastructure Repair Funding – Staff described the source and purpose of the funding and answered a question from the Committee regarding the status of contractor previously suspended from the Small Repair Program. Ord. No. 14709 – Lemay Pump Station Improvements – Staff provided details regarding this supplemental funding appropriation for Engineering during Construction Phase Services for the Pump Station upgrade project. The Committee commented on their satisfaction with the significant MWBE sub-consultant participation being provided by Donohue and Associates. Ord. No. 14712 – Deer Creek Sanitary Tunnel – Staff read and provided a written description of the proposed project work, purpose for the project, bid information, and MWBE participation. The ordinance for introduction provides for an initial appropriation of $50 million with additional appropriations in subsequent fiscal years totaling $153 million dollars. The Committee inquired as to the current legal status and the timing of the Introduction. These questions were addressed by Susan Myers, General Counsel. Ord No. 14713, 14728, 14745 & 14750 – Staff gave summary descriptions of four multi-project Engineering Design contracts on tonight’s agenda. Staff reviewed details of the design work to be performed and the purpose for the projects. Specifics were provided regarding the budgeted appropriations as well as current MWBE status on the multi-year watershed design programs. Staff addressed a comment regarding opportunity and experience being provided to a number of minority and women sub-consultants being utilized. Edited 4/16/18 Pg. 3 Under “Other Business”, there was brief discussion regarding an on-going Sanitary Sewer Overflow Storage Tank project within University City. Staff explained details of the project and answered several questions from the Committee. There were discussions regarding future communications on this specific project and other similar projects. Staff agreed to provide future updates. The meeting was adjourned at 9:27 a.m. The next Committee meeting is tentatively scheduled for Tuesday, August 1, 2017 at 8:00 a.m. ~ ~ ~ ~ ~ Trustee Bonner reported that The Finance Committee met on July 6, 2017 with Trustees Bonner, Yates, Singer, Mandel and Faul in attendance. The minutes from the May 30, 2017 meeting were approved. The first item on the agenda pertained to a staff request to exercise the first of three option years with three collection law firms: Gusdorf Law Firm LLC, John G. Heimos P.C. Law Firm, and Kramer & Frank P.C. They will provide the District’s Accounts Receivable Division with continued support of collection litigation services on delinquent user charge revenue. These will be proposed Resolution numbers 3361-3363 on tonight’s agenda. The next item on tonight’s agenda is a staff request to extend the contract with Prudent Man Advisors, Inc. (PMA) that was previously authorized to provide investment advisory services to the District. This will be proposed Resolution 3364 on tonight’s agenda. The District's Operating Fund Portfolio as of June 30, 2017 was then reviewed. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. Staff then updated the Board on the responses received from organizations interested in serving on the MSD Rate Commission. There are ten open positions and twelve organizations that have expressed interest. A committee meeting will be scheduled for proposers to make a 5 minute statement and to answer questions from the Board of Trustees. After hearing from the proposers, the Trustees will decide how to fill the open positions. The meeting adjourned at 10:00 a.m. The next tentatively scheduled meeting is Tuesday, August 1, 2017. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ Comments by the Executive Director: None Edited 4/16/18 Pg. 4 ~ ~ ~ ~ ~ Trustee Faul made a statement before public comments started. I would like to remind everyone about the rules for the public comment period. We ask that members of the public who wish to make comments please keep their remarks to 5 minutes. Also, if a group has come to speak on the same topic, we ask that they select a spokesman for the group. If a member of the public has questions for MSD, we ask that they be presented in writing so that MSD can research and respond. Thank you. ~ ~ ~ ~ ~ There were 6 Comments from the Public: Gary Elliott, Eastern MO. Laborers District Council: Mr. Elliott provided his written statement to the Board and made a short statement to address the Deer Creek Project. He provided a broad overview of SAK’s involvement with MSD and re-reviewed the bid that SAK submitted. Mr. Elliott then stated that on behalf of the Eastern Missouri Laborer’s District Council, we strongly support the introduction of proposed ordinance 14712 and request the Board of Trustees to take the necessary steps to award the Deer Creek Sanitary Tunnel project to SAK. Tom Sullivan: Mr. Sullivan stated that the Deer Creek Tunnel project should be rebid. He stated that the Charter stated that the option to give to the second highest bidder is not permitted. Mr. Sullivan stated that in the Charter under Competitive Bidding, it states that all bids may be rejected except for such right of rejection the purchase or contract should be let to the lowest responsible bidder. Edited 4/16/18 Pg. 5 Mr. Sullivan argues that the loss of 2.4 million dollars is a serious matter and asked the St Louis Circuit attorney to investigate the matter. Mr. Sullivan believes there are a lot of private discussion and maneuverings going on. He believes there is outside influence and wants to know by whom. He urged the Board to caution when voting on the tunnel project. Paulette Carr, 2nd Ward council member from University City: Ms. Carr distributed documents to the Board of Trustees and the Director. Ms. Carr explained that MSD presented to the City Council, on May 22nd, their decision to place two 3-story storage silos in the middle of a densely populated, predominately African American neighborhood. The proposal was not well received by the residents or the University City council. MSD asked for the city to provide a list of written questions that they could respond to. The answers to several questions were presented verbally at the MSD Public Meeting on June 20, 2017, but there have been no written responses to the questions University City submitted. In July. University city submitted a request for public documents to Mr. Nevois and at the end of the week he instructed us to submit sunshine requests, which we have done. We seek to become a partner with MSD and to work together to determine what will happen in our city. We must have access to all the facts and to obtain information by sunshine request. Ms. Carr stated that they do not believe MSD wants to work with the city to find a mutual solution. We have made our first set of requests and hope that MSD will waive any further fees. Ms. Carr indicated that since June 20th, University City has not had a response from MSD and that University City and MSD should meet as partners to find a solution everyone can embrace. Ms. Carr asked for full and complete answers and asked if MSD fully understands that one group may not be made to bear the greater portion of the burden than others. Ms. Carr explained that, this behavior is considered environmental justice. What are MSD’s policies and principles to ensure equitable treatment regarding the decisions that directly speak to the environmental injustice? Ms. Carr stated that others have joined in to make sure the issue with environmental justice is addressed. Ms. Carr provided the board and the Executive Director with a copy of the letter to the EPA to investigate environmental justice with the MSD project. The request was made on behalf of the Missouri NAACP. Ms. Carr explained that there are many municipalities who value and treasure their abilities to make and enforce the laws within their city and like University City; We will not willingly step aside to let others take away our authority. We respect the staffs willingness to alter the design to mostly bury the sewage silos or tanks and we could find alternative solutions if we work together. Ms. Carr explained that she will provide the board with University City’s request for information and questions on an ongoing basis in order to keep MSD in the loop. Edited 4/16/18 Pg. 6 Edited 4/16/18 Pg. 7 ~ ~ ~ ~ ~ Sonya Pointer: Ms. Pointer spoke in opposition to the sewage tanks within the 3rd Ward of University City or in any residential area. Ms. Pointer addressed the Board by quoting the MSD Charter. Ms. Pointer informed the Board about the impromptu meeting and that she asked if this situation was being performed in other areas? Ms. Pointer stated that Lance LeComb informed her that this type of work was being performed in Ladue, but underground. Ms. Pointer asked about sewage problems within the City and County by quoting the Charter and she agrees that MSD should address sewage problems from a district perspective and not solely within the confines of a municipal border. Ms. Pointer suggested that MSD create a master plan to address the needs of the residents, which would create sound and equitable solutions. Ms. Pointer spoke about the Charter section about Local conditions and piecemeal solutions. She again suggested MSD create a plan to address this situation at hand. Ms. Pointer directed the Board to the section in the Charter pertaining to engaging the public and believes that University City did not receive MSD public engagement from MSD staff. Ms. Pointer states that University City was informed that MSD can enforce eminent domain, regardless how we feel. Ms. Pointer asked MSD to take into account public input to make a well-informed decision moving forward and asks that the old plan be aborted. DON FITZ: Mr. Fitz addressed the Board regarding the Storage Tanks and asked for written documentation of all the options that were considered. Mr. Fitz asked for MSD to stop suggesting sunshine requests be submitted to obtain information. He suggests all information be given openly or else the citizens are going to take this as a declaration of war against the city. Mr. Fitz stated that the actions taken by MSD are the most blatant example of environmental racism he has seen and it is unambiguous how the community has been treated the way they have been treated. Mr. Fitz argued that University City understands that what MSD says at public meetings means nothing and to get anything from MSD we need it in writing. If MSD continues on this path, it will result in people contacting the EPA regarding environmental racism. Mr. Fitz suggested the plan be withdrawn sooner, rather than later. Edited 4/16/18 Pg. 8 Bwayne Smotherson, 3rd Ward City Councilman: Mr. Smotherson thanked the Board and staff for allowing University City to speak and thanked the individual Board members he has met with and that he looks forward to meeting with the other Trustees as well. Mr. Smotherson then asked all the University City residents to stand and emphasized that University City is ready to work with MSD. Mr. Smotherson stated that 3 years ago there was a false start and the MSD Staff has expressed to the residents of University City that they want to start over with a fair and equal start in University City. ORDINANCES Adoption of Proposed Ordinance No. 14688 - Easement Acquisition for Wastewater Projects (2018) (12514) Making an appropriation of Two Million One Hundred Thousand Dollars ($2,100,000.00) from the Sanitary Replacement Fund to be used for property rights acquisition in Easement Acquisition for Wastewater Projects (2018) (12514) in the Metropolitan Sewer District Service Area; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to acquire necessary property rights in order to construct combined and sanitary sewer projects. Adoption of Proposed Ordinance No. 14689 - Infrastructure Repairs (Wastewater) (2018) (12008) Appropriating Two Million Five Hundred Thousand Dollars ($2,500,000.00) from the General Fund and Six Million Dollars ($6,000,000.00) from the Sanitary Replacement Fund to be used for repair and replacement of manholes, sewers, and other infrastructure in Infrastructure Repairs (Wastewater) (2018) (12008) in various locations throughout the District; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate funds for small infrastructure repair projects to be bid through purchasing for repair and replacement of manholes, sewers, and other infrastructure. Adoption of Proposed Ordinance No. 14690 - RDP Tributaries (Deer Creek) (CSO Tunnel) (12441) Appropriating Three Million Dollars ($3,000,000.00) from the Sanitary Replacement Fund to be used for property acquisition, demolition, and related activities of real property for construction of a sanitary tunnel and associated structures in RDP Tributaries (Deer Creek) CSO Tunnel (12441) in various Municipalities and Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to acquire property and enter into lease agreements without additional Board action. Adoption of Proposed Ordinance No. 14691 - Easement Acquisition for Stormwater Projects (2018) (12681) Making an appropriation of One Million Dollars ($1,000,000.00) from the Districtwide Stormwater Fund to be used for property rights acquisition in Easement Acquisition for Stormwater Projects (2018) (12681) in the Metropolitan Sewer District Service Area; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to acquire necessary property rights in order to construct storm sewer projects. Adoption of Proposed Ordinance No. 14692 - Gravois Trunk Sanitary Storage Facility (Pardee Ln and Pardee Rd) (12569) Declaring the necessity for the acquisition of real property within The Metropolitan St. Louis Sewer District for the purpose of purchasing property due to inadequate storm and sanitary sewers for the project known as Gravois Trunk Sanitary Storage Facility (Pardee Ln and Pardee Rd) (12569) in the City of Crestwood, Missouri to serve the needs of residents of the area, and authorizing the acquisition of said real property by purchase or by the institution of condemnation proceedings. No. 14698 was presented and read. This ordinance authorizes the District to enter into an agreement with the Midwest Locust Properties to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the Mississippi River per the Long Term Control Plan. This project will reduce runoff volume with the installation of bioretention and permeable pavers. Total cost of the project is estimated at $129,797 and the Midwest Locust Properties is requesting approximately $113,400 reimbursement for the cost of green infrastructure. The purpose of this project is to replace the existing deteriorated pump station that has reached its useful life. This project is scheduled to be completed in 180 days. Bonner-aye Introduction of Proposed Ordinance 14702, Appropriating One Hundred Seventy-Five Thousand Dollars ($175,000.00) from the Sanitary Replacement Fund to be used for private I/I removal and storm sewer construction in Concord I/I Reduction (Tesson Ferry Rd and E Concord Rd) (12128) in Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary- Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 20789 with Taylormade Construction Co., LLC for the aforesaid private I/I removal and storm sewer construction. Proposed Ord. No. 14702 was presented and read. The work to be done under Contract #20789 consists of the construction of approximately 58 lineal feet of 12-inch diameter storm sewers and appurtenances, and the removal of inflow sources from 19 private properties. The purpose of this project is to reduce inflow/infiltration (I/I) in the Mattese Creek watershed, reduce building backups, and relieve overcharged sanitary sewers. Bonner-aye Introduction of Proposed Ordinance 14703, Appropriating Two Hundred Thousand Dollars ($200,000.00) from the Sanitary Replacement Fund to be used for property acquisition, demolition, and related activities of real property for construction of a sanitary tunnel and associated structures in Odell 6942 – 44 Flood Mitigation (12799) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to acquire property without additional Board action. Proposed Ord. No. 14703 was presented and read. The voluntary buyout/acquisition of the property in the 6900 block of Odell Street in the City of St. Louis, Missouri will allow for the removal of improvements and relocate the residents in this area that is prone to flooding due to inadequate drainage. The cost associated with relieving the drainage issues and the associated street flooding outweighed the estimated cost to remove all improvements and relocate the residents. Through the approval of this Board action, District Staff will be authorized to negotiate with the property owner and purchase the property included in the scope without further Board action.
