Trustee Yates opened the meeting pursuant to notice and call. Motion was made by Trustee
Mandel and seconded by Trustee Berry for the Board go into Closed Session to discuss legal,
confidential, or privileged matters under § 610.021(1) and leasing, purchase or sale of real
estate under §610.021(2), RSMo 1988 Supp.

Trustee Mandel reported that The Program Management Committee met on June 29, 2015 at
8:04 a.m. The meeting was attended by trustees Mandel and Bonner.
The minutes of the June 2, 2015 meeting were approved.
The agenda items to be introduced tonight were presented and discussed, including a detailed
discussion regarding the following items:
Item 24 – Infrastructure Repairs Rehabilitation Contract C – Staff provided details on the
project and answered questions from the Committee on MWBE subcontractor Luther’s
Supply.
Item 28 – Infrastructure Repairs Sanitary and Combined Sewers for Fiscal Year 2016 – Staff
provided statistics on fiscal year 2015 repair program highlighting the 27% MWBE
participation being realized by the small sewer repair program. This is an increase in both
MWBE participation and the number of MWBE contractors from fiscal year 2014 repair
program. Staff attributed this to increased outreach and solicitation efforts to the small
contractor community this past year.
There was a brief discussion between staff and the Committee on increased bid prices
being experienced this past quarter. There was further discussion on contractor capacity
and in particular, MWBE contractor capacity. Staff indicated that bids being received
continue to meet current MWBE subcontracting goals.
Items 35 thru 80 – Watershed Consultant Contracts for FY2016 – Staff provided a summary
of five groupings of projects on tonight’s agenda and the use of the watershed consultant
contracts to design a majority of the projects related to the Consent Decree. Staff reiterated
that the watershed consultant contracts are one-year contracts with annual extensions
based on good performance and being able to satisfactorily meet contractual commitments
for MWBE utilization. Staff briefed the Committee on the Deer Creek watershed consultant
Parsons Water & Infrastructure and performance issues being experienced with this firm.
Staff has determined that no additional new projects would be awarded to this consultant.
Emphasis will be placed on the completion of current projects. Other projects within the
Deer Creek area have been reassigned to two of the existing watershed consultants.
Staff then discussed the details of each project and answered various questions from the
Committee. The total watershed consultant appropriation being requested is approximately
$44 million, and is approximately $3.8 million below the proposed fiscal year 2016 budget.
Consultant compliance with their MWBE contractual requirements were reviewed as detailed
on the project write-up sheets.
The meeting was adjourned at 10:28 a.m.
The next Committee meeting is tentatively scheduled for Tuesday, August 4, 2015 at 8:00 a.m

Trustee Berry reported that the Stakeholder Relations Committee met at the District’s
Headquarters on Wednesday July 1, 2015 at approximately 8:15 a.m. In addition to public
attendance, those present at the meeting included Trustees Yates, Mandel, Faul and Bonner,
as well as District Directors and staff.
The first agenda item was a discussion by Lance LeComb regarding a renewal contract
for the Private I&I Public Engagement Program and Project Clear Efforts that are provided by

StandPoint Public Affairs. The public education, outreach, and engagement provided through
this contract are critical to the District. Ordinance No. 13437, adopted August 2012, allowed
funding for the original contract with 2 option years. Staff is requesting introduction of an
ordinance to amend the current contract to extend it by one additional renewal year. The
ordinance will authorize a third and final contract option year and appropriate additional funds
for these services. An RFP will be issued in the third quarter of 2016 for additional years of
services as those needs are reevaluated and possibly moved in-house. This is Item Number 81
on tonight's agenda.
The next item on the agenda was a discussion by Jonathon Sprague regarding a gate
failure at McCausland Avenue on June 19, 2015. In a PowerPoint presentation, Jonathon
illustrated the background on MSD's Overflow Regulation System, its operation parameters, and
how the Combined Sewer System operates during various dry and wet weather stages. Jon
explained the specifics related to the sewer backups of approximately 50 homes, clean-up
efforts, and claims assistance coordinated by the District. The response model for this event
will be used for future wet weather incidents. There is no Board action required at this time.
There were no additional items and no further comments. The next meeting is
tentatively scheduled for August 4, 2015.

Trustee Yates reported that The Audit Committee met at 7:30 AM on Tuesday, July 1, 2015. In
attendance were Trustees Yates, Faul, and Mandel. The Committee approved the minutes from
the June 2 meeting. The Chairman had no comments.
Staff presented the reports for two Internal Audit engagements. The first engagement
titled “Process Review of the Division of Environmental Compliance (or DEC)” focused on the
operations of three DEC units: the Regulatory Affairs Unit, the Stormwater Unit, and the
Emergency Response Unit. The engagement included a review of the procedures for each of
the units to ensure the processes are designed and operating in a manner that provides the
District with the ability to maintain compliance with the various government-issued
environmental regulations and requirements.
The second engagement, titled “Review of the Capacity, Management, Operations, and
Maintenance Program (or CMOM),” focused on the District’s repair and maintenance program
that was developed and implemented in response to requirements contained in the Consent
Decree. The CMOM program addresses the District’s collection systems, which include the
Combined System and the Sanitary System. CMOM processes were reviewed for effectiveness
and for compliance with the CMOM Program Plan and the Consent Decree.
Staff presented and explained the scope, objectives and methodology used for each
engagement. Each engagement received a satisfactory rating, as no significant issues were
identified for either engagement. The DEC engagement resulted in the identification of three
Opportunities for Improvement, and the CMOM engagement resulted in the identification of four
Opportunities for Improvement. Questions and concerns were addressed by Staff as they were
received from the Committee.
The meeting adjourned at approximately 8:10 am.

Trustee Bonner reported that The Finance Committee met on July 1, 2015 with Trustees
Bonner, Mandel, Faul and Yates in attendance. The minutes from the June 2, 2015 meeting
were approved.
Staff presented a resolution to renew the contract with Connectria Corporation for
information technology managed services. Connectria provides remote monitoring,
management and administration of the District’s technology infrastructure environment. The
renewal represents the second one-year term of the current contract. Resolution No. 3224 will
be Item #88 on tonight’s agenda.
The next item on the agenda was a recommendation for the reduction of the long term
investment earnings assumption from 7¼% to 7.00% for the Employees’ Pension Plan. Bill
Winningham of Milliman explained the development of the recommended contribution under
prior and proposed assumptions. This will provide conceptual guidance to staff regarding the
asset allocation assumptions associated with a lower projected earnings rate. Resolution No.
3226 will be Item #90 on tonight’s agenda.
Staff then presented an ordinance authorizing the District to enter into a contract with US
Bank for banking and safekeeping services. This will be a two year contract with three one-year
options, not to exceed five years. This ordinance allows US Bank to provide general banking
services at a guaranteed price for a minimum of two years. Staff explained an RFP was sent to
12 banks and the District received six qualified responses. The approximate savings over the
incumbent bank’s proposal is estimated to be $400,000. Ordinance No. 14190 will be Item #82
on tonight’s agenda.
The next item on the agenda was an ordinance authorizing the District to enter into a
contract with Prudent Man Advisors (PMA). PMA would provide investment management
advice for funds not immediately needed by the District. This will be a two year contract with
three one-year options, not to exceed five years. The District submitted an RFP for investment
management services in which four managers responded. PMA provided the best proposal to
the District with an expected savings of approximately $180,000. Ordinance No. 14191 will be
Item #83 on tonight’s agenda.
Staff presented a resolution to preserve the right of the District to be reimbursed for
project costs from tax-exempt bonds. The United States Treasury Department requires that the
District state its intent to reimburse itself for project costs from a $75 million SRF loan expected
to be approved by the State of Missouri. Resolution No. 3225 will be Item #89 on tonight’s
agenda.
The meeting adjourned at 9:23 a.m. The next tentatively scheduled meeting is Tuesday,

The Executive Director had three items to report.
First, each year the National Association of Clean Water Agencies or NACWA presents
Peak Performance Awards to those member agencies that achieve outstanding performance in
treatment plant operations. I am happy to report that all seven of the District’s plants have
received Peak Performance Awards for calendar 2014.
Silver Awards are also presented to facilities that have had five (5) or less violations in
the calendar year. This award was presented to the Districts Lemay, Bissell, and Grand Glaze
Treatment Plants.

Gold Awards are presented to facilities that have achieved perfect compliance for a
single year. This award was presented to the Districts Missouri River Treatment and Coldwater
Plants for their lack of violations during 2014.
Platinum awards are presented to facilities that have achieved perfect compliance for
five or more years. This was achieved by our Lower Meramec and Fenton Treatment plants for
maintaining a perfect compliance record for seven consecutive years.
Congratulations to all of our facilities for these achievements!
Second, in addition to these peak performance awards, NACWA presents Excellence in
Management Awards to member utilities in the management arena. This award honors member
agencies that have implemented and sustained, for a continuous three-year period, successful
programs that address the range of management challenges faced by public clean water utilities
in today’s competitive environment.
The Excellence in Management Gold award is presented to Utilities that have achieved
excellence in at least seven out of ten categories. I am very pleased to announce that the
District was presented with the 2015 Excellence in Management Gold award. This level of
achievement is only obtained by a handful of agencies each year. MSD will be receiving these
awards this month at the annual summer conference in Providence RI.
Congratulations to all our management and staff that have made this achievement possible.
Finally, with the end of the Fiscal Year, I would like to briefly review some of the successes of
MSD’s Diversity Program.
In December of 2012 MSD completed a Disparity study to guarantee proper
inclusion in its upcoming multi-decade multi-billion dollar capital program.
While this study identified areas of improvement,
it also reflected the successes of MSD’s Diversity program under of Director of
Human Resources, Vicki Edwards, over the previous decade.
Of the 30 capital procurement/diversity check points reviewed, MSD was found to
have no disparity in 14 of the 30 areas and utilization greater than Minority and
Women Business Enterprise availability in 9 of the 30 areas. Again, these
results speak to MSD’s successes over the previous decade.
The study also provided a detailed examination of each diversity group and
provided guidance as to the 7 remaining areas that MSD needed to provide more
emphasis. In response, MSD created new goals and took action to improve its
program in many areas.
Let me give a quick summary of recent results.
As far as construction vendor goals from July through March of this past fiscal
year, MSD has submitted reports to the Board of Trustees and to the CBA
Signatory group showing that 48 of the 50 construction contracts awarded met
the new goals with good faith effort being awarded on only two projects.
These same reports as presented by MSD’s Manager of Diversity Shonnah
Paredes shows total capital expenditures of almost $25 million to Minority and
Women Business Enterprise contractors and consultants during that time period,
or almost 30% of all capital expenditures.

In addition, Director of Engineering Rich Unverferth recently reported a 26%
MWBE participation level during the past fiscal year in MSD’s small sewer
program.
For engineering professional services, the results have been just as promising.
In tonight’s agenda, the Board of Trustees is considering the introduction of $44
million in engineering services work for the next year of the existing watershed
consultant contracts, with almost 30% or $12.5 million dollars of that work going
to Minority and Woman Business Enterprises. These are similar to the watershed
consultant figures adopted by the Board of Trustees at the beginning of last fiscal
year.
Since the implementation of the Disparity Study results, MSD has also started
requiring comprehensive workforce goals on all projects. MSD has a unique
requirement for Consulting Engineers.
The workforce goal is for their entire local office workforce, not just those
individuals working on MSD projects. This means that any entity contracting with
these consultants will benefit from our program. For the contracts to date that fall
under the new requirement, the overall program results are right on our goals.
MSD also instituted a comprehensive requirement for a diverse workforce on MSD capital
projects.
Along with the contract requirements, MSD is investing in the development of a
diverse workforce pool; journeymen, apprentices, and pre-apprentices; through
contracts with SLATE.
Reported results have shown a marked increase in workforce diversity with many
multi-million dollar construction projects reporting a diverse workforce over 30%
and in some cases over 40%. Comprehensive results will be able to be reported
once these reporting systems come on line.
Director of Human Resources, Vicki Edwards, and our manager of Diversity, Shonnah
Paredes, continue to review our program with all stakeholders and make adjustments as
needed to improve the program results.
To conclude, I would like to take the opportunity to thank Vicki Edwards and our
Manager of Diversity Shonnah Paredes. Because of their involvement with the delivery of the
Capital Program and our efficient operations and maintenance, MSD is now being asked by
agencies within St. Louis, as well as other wastewater agencies located throughout the United
States, to assist in Disparity Study development and implementation.
I would also like to extend thanks to the Diversity staff, the District staff and Board
Members, the various majority and minority consultants, contractors, workforce providers and
advocacy groups that have all been part of our past successes and continue to support our
efforts to improve MSD’s Diversity Program.

project is to alleviate overcharged sanitary sewers. The construction of this project is also necessary so future
upstream relief sewer projects currently planned by MSD can alleviate basement backups and additional
overcharged sanitary sewers. This project is scheduled to be completed in August 2016.

to amend Contract #20202 with HDR Engineering, Inc. for the design of the Lower Meramec River System
Improvements – Baumgartner to Fenton WWTF Tunnel (11746) project as part of the Watershed Consultant
services for all projects included in the RDP Tributaries & Upper RDP CSO Controls & Lower Meramec System
Improvements (11153) project. Lower Meramec River System Improvements – Baumgartner to Fenton WWTF
Tunnel (11746) is a lump sum cost project for the predesign of approximately 35,700 feet of 96-inch diameter
sanitary sewer conveyance tunnel and appurtenances. This project will eliminate the interim Fenton WWTF and
several pump stations including Sub 7 Master Lift. The construction cost estimate for this project is
$170,000,000. Construction is anticipated to begin in FY2020.
INTRODUCTION OF PROPOSED ORD. NO 14188, MAKING A SUPPLEMENTAL APPROPRIATION
OF FIVE HUNDRED THOUSAND DOLLARS ($500,000.00) FROM THE SANITARY REPLACEMENT
FUND FOR PLANNING ASSISTANCE FOR THE PRE-DESIGN OF RDP TRIBUTARIES (DEER
CREEK) CSO TUNNEL (12441) IN VARIOUS MUNICIPALITIES AND UNINCORPORATED ST.
LOUIS COUNTY, MISSOURI; AND AUTHORIZING THE EXECUTIVE DIRECTOR AND SECRETARY-
TREASURER ON BEHALF OF THE METROPOLITAN ST. LOUIS SEWER DISTRICT TO AMEND
CONTRACT NO. 20202 W ITH HDR ENGINEERING, INC. FOR THE AFORESAID PLANNING
ASSISTANCE.
Proposed Ord. No. 14188 was presented and read. This ordinance authorizes the District
to amend Contract #20202 with HDR Engineering, Inc. for the design of the RDP Tributaries (Deer Creek) CSO
Tunnel (12441) project as part of the Watershed Consultant services for all projects included in the RDP
Tributaries & Upper RDP CSO Controls & Lower Meramec System Improvements (11153) project. RDP
Tributaries (Deer Creek) CSO Tunnel (12441) is a cost plus project to provide planning assistance for evaluating
alternatives to consolidate and eliminate 28 CSOs in preparation for predesign of approximately 20,000 feet of
20-foot diameter CSO storage tunnel and appurtenances. The construction cost estimate for the CSO storage
tunnel will be determined as part of this project. Construction is anticipated to begin in FY2024.

DISTRICT TO AMEND THE CONTRACT WITH STANDPOINT PUBLIC AFFAIRS FOR REQUIRED
PUBLIC EDUCATION, OUTREACH AND ENGAGEMENT SERVICES IN THE PRIVATE
INFLOW/INFILTRATION PUBLIC ENGAGEMENT PROGRAM 2013 (11699), AUTHORIZED BY
ORDINANCE NO. 13437 AND ADOPTED AUGUST 9, 2012, TO PROVIDE AN ADDITIONAL ONE-
YEAR OPTION RENEWAL TERM AND MAKE A SUPPLEMENTAL APPROPRIATION OF FIVE
HUNDRED SIXTY-FIVE THOUSAND DOLLARS ($565,000.00) FROM THE GENERAL FUND FOR
THE AFORESAID SERVICES.
Proposed Ord. No. 14189 was presented and read. This ordinance allows for an additional
one (1) year extension of an existing contract that originally called for two (2) contract option years with
StandPoint Public Affairs – i.e., this ordinance will authorize a third and final contract option year, for a total of four
(4) years of services. An RFP will be issued in the third quarter of FY2016 for additional years of these services.

SAFEKEEPING SERVICES FOR THE DISTRICT.
Proposed Ord. No. 14190 was presented and read. Bank of America’s current contract
expired on June 30, 2015. Bank of America presented the District with a proposed increase in net service fees
that would have been implemented with the 7/1/15 12-month contract extension. In lieu of this proposed
increase, MSD went out to bid for banking services and US Bank provided the best proposal for the District

ADOPTION OF PROPOSED RES. NO 3225, IN ORDER TO PRESERVE THE RIGHT OF THE
METROPOLITAN ST. LOUIS SEWER DISTRICT (THE “DISTRICT”) TO BE REIMBURSED FOR
PROJECT COSTS FROM A TAX -EXEMPT BOND ISSUE, THE UNITED STATES TREASURY
DEPARTMENT REQUIRES THAT THE DISTRICT STATE ITS INTENT TO REIMBURSE ITSELF FOR
SAID PROJECT COSTS WITH THE PROCEEDS OF TAX-EXEMPT BONDS.
Res. No. 3225 was presented and read. In June of 2015 the State of Missouri and the
Missouri Department of Natural Resources approved a $75 million SRF loan to the District however the loan will
not be consummated by the State prior to June 30, 2015. Gilmore & Bell suggest a resolution be adopted to make
sure the District’s project costs can be reimbursed with funds from an SRF loan that has not been finalized yet.

ADOPTION OF PROPOSED RES. NO 3226, WILL REVISE THE EMPLOYEES' PENSION PLAN
ACTUARIAL RETURN TARGET, AND WILL SUPERSEDE RESOLUTION NO. 3030 THAT WAS
ADOPTED MAY 10, 2012 AND REVISED THE EMPLOYEES' PENSION PLAN ACTUARIAL RETURN
TARGET.
Res. No. 3226 was presented and read. The District’s Actuary, with the help of Pavilion, the
District’s Pension Consultant determined, that based on factors such as return and liability assumptions that the
district should reduce their pension long term earnings assumptions from 71/4 % to 7.00%.
