LOUIS SEWER DISTRICT May 10, 2018 The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Faul, Chair B.L. Unverferth, Director of Engineering J. Singer(absent) Also present were: Trustee Faul called closed session to order at 4:01p.m. and roll call was taken. Present at the meeting was: Trustee Yates, Dunlap, Bobo and Trustee Faul. Absent was Trustee Mandel and Singer. Motion to move into closed session was approved. Motion to come out of closed session was made by Trustee Faul. Motion was approved by Trustee Yates and seconded by Trustee Dunlap. Secretary Treasurer asked for the approval of the April 12, 2018 (1604th) and May 1, 2018 Special Board Meeting (1605th) Journal of proceeding minutes. The Journals were approved by Trustee Yates and seconded by Trustee Dunlap. Comments by Board Chair: NONE ~ ~ ~ ~ ~ Report of Board Committees: Trustee Faul reported that the Audit Committee met at 7:30 AM on Tuesday, May 1, 2018. In attendance were Trustees Singer, Faul, Mandel, and Yates. The Committee approved the minutes from the January 30th meeting. The Chairman had no comments. Personnel from the CPA firm CliftonLarsonAllen, LLP were in attendance to present the required planning communications for the auditing engagement services to be performed for fiscal 2018, which include the engagement package for the District’s entity-wide financial statements as well as the financial statements for the District’s three retirement benefit plans. Next, Internal Audit presented the report for the engagement titled “Review of the Procurement Function”, which focused on the District’s supplier selection and/or contract award processes. Suppliers/vendors appearing in the purchase order population for the twelve-month period of FY 2017 were subject to testing of the underlying procurement procedures. The engagement resulted in a “Satisfactory” or “Clean” opinion. One Opportunity for Improvement was identified. The presentation was completed with a short discussion to address questions from the Committee. Next, staff presented a resolution to renew the contract with Brown Smith Wallace, LLP to provide internal audit services to the District for FY ‘19. The renewal represents the second contract year overall and the first of four one-year contract options. The item is Resolution No. 3432 on tonight’s agenda. The meeting adjourned at approximately 8:00 am. The next meeting is tentatively scheduled for Tuesday, June 5, 2018. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ Trustee Yates reported that the Program Management Committee met on May 1, 2018 at 8:15 a.m. The meeting was attended by trustees Yates, Mandel, Singer, and Faul. The minutes of the April 3, 2018 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ord No. 14897 – CSO McKnight Road Interceptor – Staff described the details for this CSO elimination project. There were discussions between the committee and staff regarding the locations of combined sewer areas within the District. Staff further explained the sewer separation solution for CSOs versus the storage solution being used in other CSO areas. Ord No. 14898 – Engelholm Sanitary Storage Facility – Staff requested authorization to proceed with property acquisition for this underground storage facility located in the City of Pagedale. Staff described previous community engagement with the City and the public. Staff also provided information on the disposition of the current properties affected by the project. Ord No. 14900 – Jefferson Barracks Tunnel Supplemental Appropriation – Staff described the details for this supplemental funds request for an on-going construction project. There were discussions between the committee and staff regarding the progress of construction and the potential for a future site visit by Trustees to observe the project. Ord No. 14901 – Mississippi River Floodwall Pump Station Rehabilitation – Staff briefly described the purpose of the project is to rehabilitate gates and actuators at three major pumping stations. Staff then described specific details of the Design-Build procurement process utilized for the project. Staff identified the selection of Alberici Constructors as providing the best overall valued proposal. There was discussion between the committee and staff regarding the advantages of Design-Build procurement and potential uses for future projects. The District’s involvement in the design and construction of the project was also discussed. The meeting was adjourned at 8:49 a.m. The next Committee meeting is tentatively scheduled for Tuesday, June 5, 2018 at 8:00 a.m. ~ ~ ~ ~ ~ Edited 6/6/18 Pg. 3 Trustee Faul reported that The Finance Committee met on May 1, 2018 with Trustees Faul, Mandel, Singer, and Yates in attendance. The minutes from the April 3, 2018 meeting were approved. The first item on the agenda was a report by staff on the renewal of the District’s various property and casualty insurance coverages. The Committee recommended Ordinances 14905–14917 be brought to the Board for consideration. Next, staff requested authorization to enter into a contract with Thomas McGee, LC. The contract provides for an initial term of one year with four additional one-year renewal terms. Thomas McGee will provide third party administration services for the District’s water back-up, workers’ compensation, general liability, auto, errors and omissions, and any other claims against the District and Trustees/Staff. This will be Ordinance #14918 on tonight’s agenda. The District's Operating Fund Portfolio as of April 30, 2018 was then reviewed. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. The next item on the agenda was an ordinance authorizing the staff to update the Approved Commercial Paper Issuers as reflected in the District’s Investment Policy. This action will allow staff to purchase investments from additional providers within the parameters of the District’s Investment Policy, thereby increasing competition and potentially reducing cost. This will be Resolution #3433 on tonight’s agenda. Staff stated that the quarterly March 2018 Adjustment Review Committee report will be presented next month due to errors found in the draft report. Staff reported on the current financial condition of the District indicating it continues to be financially stable and current projections indicate the District will be under budget for Fiscal Year 2018. Also included on tonight’s agenda is the introduction of the Fiscal Year 2019 Budget as presented at the April and May Finance Committee meetings. Staff also discussed the introduction of an ordinance to establish the District’s 2018 property tax levies to be applied to customers’ Real and Personal Property Assessed Values to produce required revenues for storm water operations and infrastructure projects. Staff also stated that a public hearing to review the FY19 budget, taxes, user charges and CIRP is scheduled, as required by Charter, tonight after this meeting. These are Ordinances 14919 and 14920 on tonight’s agenda. The last item on the agenda pertained to a staff request to exercise the second of three option years with three collection law firms: Gusdorf Law Firm, John G. Heimos Law Firm, and Kramer & Frank. They will provide the District’s Accounts Receivable Division with continued support pertaining to collection litigation services involving delinquent user charge revenue. These will be proposed Resolution numbers 3424-3426 on tonight’s agenda. The meeting adjourned at 9:30 a.m. The next tentatively scheduled meeting is Tuesday, June 5, 2018. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ Trustee Bobo reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, May 1, 2018 at approximately 9:35 a.m. In addition to public attendance, those present at the meeting included Trustees Faul, Mandel, Singer and Yates, as well as District Directors and staff. Trustee Faul called roll, had no further comments and by motion of all Trustees present, approved the February 27, 2018 committee meeting minutes. Edited 6/6/18 Pg. 4 The first agenda item was a discussion by Vicki Taylor Edwards regarding the reappointment of two Civil Service Commissioners, Annette Adams and Tara Buckner. A Resolution for each commissioner will formally acknowledge their reappointment for a second 3-year term and are Resolutions 3434 and 3435 on tonight's agenda. The next item was a discussion by Susan Myers regarding four contract renewals for legal services. These contract renewals provide the District with continued General Legal Services by outside counsel and are Resolutions 3427, 3428, 3429 and 3430 on tonight's agenda. The last item was a discussion by Susan Myers regarding a contract renewal for legislative lobbying services. This contract renewal provides the District with continued Federal Legislative Lobbying services and is Resolution 3431 on tonight's agenda. The meeting was adjourned at approximately 9:45 a.m. The next meeting date is tentatively scheduled for Tuesday, June 5, 2018. Comments by the Executive Director: Thank you Mr. Chair, I have 1 item to discuss this evening. As part of its commitment to customer service, the District conducts two different types of customer surveying on an annual basis. The first type of surveying is titled the Post-Contact Customer Survey. Post-Contact surveying is conducted with customers that have proactively contacted the District with a service or billing issue. Each month, the District surveys 150 of these customers, with the number evenly split between service and billing calls. The results of this surveying are aggregated into quarterly reports that staff uses to monitor and improve our customer service. The second type of surveying is titled the Annual Customer Satisfaction Survey. Customer Satisfaction surveying is conducted with a representative sample of all of the District’s customers. Versus the Post- Contact surveying, participants in the Customer Satisfaction Survey may or may not have contacted MSD with a service or billing issue during the course of the year. Customer Satisfaction surveying solicits feedback on a broad set of topics about MSD and its performance. I would like to invite Ryan Murray, who is with our survey contractor, the ETC Institute, to provide the board and the public with the results of the most recent annual surveying. Adoption of Proposed Ordinance No. 14886 - Bradford Woods Pump Station (P-429) Replacement (12098) Appropriating Two Hundred Ninety Thousand Dollars ($290,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in Bradford Woods Pump Station (P-429) Replacement (12098) in the City of Sunset Hills, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21657 with Taylormade Construction Co., LLC for the aforesaid sanitary sewer construction. Adoption of Proposed Ordinance No. 14887 - Caulks Creek Forcemain (Waterworks Road to River Valley) (12892) Making a supplemental appropriation of Two Hundred Forty Thousand Dollars ($240,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in Caulks Creek Forcemain (Waterworks Road to River Valley) (12892) in the City of Maryland Heights, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds for Contract No. 21593 with Kolb Grading, LLC for sanitary sewer construction. Colan Associates, Inc. will provide professional acquisition and relocation services for certain parcels of real property which are negatively impacted by flooding, erosion, or related sewer or stormwater issues, as well as provide professional services for the conveyance of certain properties that have been or will be declared surplus by The Metropolitan St. Louis Sewer District. UNFINISHED BUSINESS ORDINANCES Adoption of Ordinance No. 14884 - CCTV Inspection and Physical Inspection of Sewers (2017) (11999) Making a supplemental appropriation of Two Million Three Hundred Thousand Dollars ($2,300,000.00) from the General Fund and Two Hundred Thousand Dollars ($200,000.00) from the Operation, Maintenance, Construction, Improvement Fund of Clayton Central to be used for CCTV inspection and physical inspection of sewers, sonar inspections, laser profiling, and sewer cleaning in CCTV Inspection and Physical Inspection of Sewers (2017) (11999) throughout the Metropolitan Sewer District Service Area; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Amendment No. 3 to Contract No. 20688 with Ace Pipe Cleaning, Inc. for the aforesaid CCTV inspection and physical inspection of sewers, sonar inspections, laser profiling, and sewer cleaning. Dunlap-aye Edited 6/6/18 Pg. 8 New Business Name ORDINANCES Introduction of Proposed Ordinance 14896, Appropriating Seventy-Two Thousand Dollars ($72,000.00) from the Sanitary Replacement Fund and Fifty-Three Thousand Dollars ($53,000.00) from the Operation, Maintenance, Construction, Improvement Fund of Deer Creek to be used for private I/I removal and storm sewer construction in Cedarcrest Private I/I Reduction (SKME-561) Part 3 (11884) in the Cities of Ladue and Olivette, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21661 with Gaehle Grading, LLC for the aforesaid private I/I removal and storm sewer construction. Proposed Ord. No. 14896 was presented and read. The work to be done under Contract #21661 consists of the construction of approximately 145 lineal feet of 12-inch storm sewers and appurtenances, and the removal of inflow sources from 6 private properties. This construction is the third phase of a multi-phase improvement program. The purpose of this project is to reduce inflow/infiltration (I/I) in the Deer Creek watershed, reduce building backups, and relieve overcharged sanitary sewers. Dunlap-aye Introduction of Proposed Ordinance 14897, Appropriating Three Million Six Hundred Thousand Dollars ($3,600,000.00) from the Sanitary Replacement Fund and Seven Hundred Thousand Dollars ($700,000.00) from the Operation, Maintenance, Construction, Improvement Fund of Deer Creek to be used for sanitary sewer construction and private I/I removal in CSO – McKnight Road #2737 CSO Interceptor (I-298)/Outfall (L-161) (10851) in the Cities of Ladue and Rock Hill, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21662 with Bates Utility Company, Inc. for the aforesaid sanitary sewer construction and private I/I removal. Proposed Ord. No. 14897 was presented and read. The work to be done under Contract #21662 consists of the construction of approximately 3,813 lineal feet of sanitary sewers varying in size from 8-inches to 18-inches in diameter, approximately 2,212 feet of storm sewers varying in size from 12-inches to 36-inches in diameter and appurtenances, and the removal of inflow sources from 53 private properties. The purpose of this project is to separate combined sewers in the Deer Creek watershed. This project will provide for the elimination of one (1) constructed CSO (L-161) after construction of project and post-construction monitoring. This project also includes the Charlane & Hillchester Storm Sewer (10167) project to remove sinkholes and alleviate flooding at 1244 Charlane Court and 1246 McKinley Avenue. Dunlap-aye Introduction of Proposed Ordinance 14898, Appropriating Two Million Dollars ($2,000,000.00) from the Sanitary Replacement Fund to be used for property acquisition, demolition, and related activities of real property and easements for the construction of a wet weather storage facility and associated structures in Engelholm Relief Sanitary Storage Facility (Engelholm Avenue and St. Charles Rock Road) (12841) in the City of Pagedale, Missouri; and authorizing District staff on behalf of The Metropolitan St. Louis Sewer District to acquire property without additional Board action. The buyout/acquisition of properties and/or easements in the area generally south of St. Charles Rock Road and east of Ferguson Avenue in the City of Pagedale, Missouri to allow for the area necessary to accommodate the construction of a sanitary storage tank, pump station and collection sewers. This project will alleviate wet weather building backups and overcharged sanitary sewers and will allow for the elimination of constructed SSO outfalls. The effort will include the acquisition of the property and/or easements through negotiation and/or condemnation if necessary, and securing the site. Through the approval of this Board action, District staff will be authorized to negotiate with the property owners and purchase the properties and/or easements included in the scope without further Board action. A real property acquisition consultant will perform all negotiations and management of the property acquisition from the first contact with the owners through the closing. The consultant will perform all services in accordance with the Code of Federal Regulations Uniform Relocations and Real Property Assistance Act (49CFR Part 24, amended). Any easements acquired with this appropriation will be performed by District staff. The District will contract for any demolition, securing of the site, and final restoration of the site under separate contracts through the Purchasing Division. Dunlap-aye Introduction of Proposed Ordinance 14899, Appropriating One Million Five Hundred Fifty Thousand Dollars ($1,550,000.00) from the Operation, Maintenance, Construction, Improvement Fund of Meramec River Basin Subd #449 and One Hundred Ninety Thousand Dollars ($190,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in Fenton WWTF Levee Improvements (12832) in the City of Fenton, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21663 with L. Keeley Construction Company for the aforesaid sanitary sewer construction. Proposed Ord. No. 14899 was presented and read. The work to be done under Contract #21663 consists of the construction of an average 3.5-feet raise of a roughly 2,500-foot long levee, headworks gate structure, and flood protection improvements to the High Water Pump Station. The purpose of this project is to provide flood protection for the Fenton Wastewater Treatment Facility. This project is scheduled to be completed in 210 days.
