LOUIS SEWER DISTRICT May 11, 2017 at 5:00 p.m. The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Motion was made by Trustee Bobo and seconded by Trustee Mandel to go into open session. Trustee Faul asked for the approval of the April 13, 2017 Journal of proceeding minutes. Motion was made by Trustee Mandel and seconded by Trustee Singer to approve the April 13, 2017 Journal. In attendance were Trustees Bobo (via phone), Mandel, Bonner, and Singer. The Committee approved the minutes from the April 4 meeting. The Chairman had no comments. Personnel from CPA firm Clifton Larson Allen were in attendance to present the required planning communications for the auditing engagement services to be performed for fiscal 2017, which include the engagement package for the District’s entity-wide financial statements as well as the financial statements for the District’s three retirement benefit plans. The presentation included and explained: the purpose of the communication, the auditor’s role and responsibility, required supplementary information, and the planned scope and timing of the engagement services. The presentation was completed with a short discussion to address questions from the Committee. The meeting adjourned at approximately 7:55 am. The next meeting is scheduled for Tuesday, May 30, 2017. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ Trustee Singer reported that the Program Management Committee met on May 2, 2017 at 8:00 a.m. the meeting was attended by trustees Singer, Bonner, Mandel, and BoBo (via phone). The minutes of the April 4, 2017 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ordinance No. 14663 – Delcrest Sanitary Relief – Staff provided details for the project and answered a question from the Committee regarding the purpose for the reduction in project scope from the original planned scope. Ordinance No. 14664 – Harlem – Baden Relief Sewer – Staff provided project information and appropriation details for this project. Staff also provided a description of the entire project scope which included a previous completed stormwater detention basin and the future multiple phases of relief sewers planned as part of the project. Staff entertained questions from the Committee regarding specific project contingencies included in the project appropriation, as well as project contingencies on all projects in general. Ordinance No. 14671 – Deer Creek Sanitary Tunnel – Staff read and provided a written description of the proposed project work, purpose for the project, bid information, and MWBE participation. Brian Hoelscher briefly described the bid proposal history to date. The original low bid from Jay Dee/Frontier – Kemper Joint Venture was not confirmed; therefore, it was recommended to proceed with the now lowest responsive, responsible bid from SAK Construction. The ordinance for introduction provides for an initial appropriation of $30 million with additional appropriations in subsequent fiscal years ultimately totaling $153 million dollars. Mr. Singer inquired as to whether the original bid price from SAK was still good. Staff indicated that SAK had confirmed that it would honor their original bid proposal. There was no “Other Business”. The meeting was adjourned at 8:30 a.m. The next Committee meeting is tentatively scheduled for Tuesday, May 30, 2017 at 8:00 a.m. ~ ~ ~ ~ ~ Trustee Faul reported that The Finance Committee met on May 2, 2017 with Trustees Bonner, Edited 6/1/17 Pg. 3 Mandel, Singer, and Bobo (via phone) in attendance. The minutes from the April 4, 2017 meeting were approved. The first item on the agenda was a report by staff on the renewal of the District’s various property and casualty insurance coverages. The Committee recommended Ordinances 14672–14682 and 14685-14686 be brought to the Board for consideration. Next, staff requested authorization to exercise the second option year and enter into a one year contract with Corporate Claims Management Inc. (CCMI). The contract provides for an initial term of one year with four additional one-year renewal terms. CCMI provides third party administration services for the District’s water back-up, workers’ compensation, general liability, auto, errors and omissions, and any other claims against the District and Trustees/Staff. This will be Resolution #3351 on tonight’s agenda. The District's Operating Fund Portfolio as of April 30, 2017 was then reviewed. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. Staff then updated the Committee on changes to the SRF Administrative fees. The Clean Water Commission approved setting the Clean Water State Revolving Fund annual loan administrative fee to one-half percent (0.5%) effective April 5, 2017 for all new direct loans and effective January 1, 2018 reducing the annual loan administrative fee to one-half percent (0.5%) for existing direct loans currently paying one percent (1.0%). This change is expected to reduce financing costs by over $1 million in calendar 2018 and approximately $13-14 million from 2018-2037 just for existing loans. Future loans will realize over $1 million lower total financing costs per $25 million borrowed. The quarterly March 2017 Adjustment Review Committee report was accepted into the record as required by ordinance. Staff reported on the current financial condition of the District indicating it continues to be financially stable and current projections indicate the District will be under budget for Fiscal Year 2017. Included on tonight’s agenda is the introduction of the Fiscal Year 2018 Budget as presented at the April 4, 2017 Finance Committee meeting. Staff also discussed the introduction of an ordinance to establish the District’s 2017 property tax levies to be applied to customers’ Real and Personal Property Assessed Values to produce required revenues for storm water operations and infrastructure projects. Staff also stated that a public hearing to review the FY18 budget, taxes, user charges and CIRP is scheduled, as required by Charter, tonight after this meeting. These are Ordinances 14683 and 14684 on tonight’s agenda. Staff then recommended an addition to the budget ordinance authorizing the Executive Director to make transfers of any unencumbered appropriation balance or portion thereof from one classification of expenditure to another. After discussion it was decided that this item would be tabled. The last item on the agenda consisted of a request by staff authorizing a resolution to approve two budget transfers from the General Fund. A transfer to the General Insurance Fund in the amount of $500,000 to cover the cost of general liability and workers’ compensation related expenses and to the Stormwater Regulatory Fund in the amount of $73,800 to cover the cost of tax commission related expenses. This will be Resolution #3344 on tonight’s agenda. The meeting adjourned at 9:33 a.m. The next tentatively scheduled meeting is Tuesday, May 30, 2017. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ Edited 6/1/17 Pg. 4 Trustee Mandel reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, May 2, 2017 at approximately 9:35 a.m. In addition to public attendance, those present at the meeting included Trustees Bonner, Mandel, Singer, and Trustee Bobo via conference call, as well as District Directors and staff. Trustee Mandel called roll, had no further comments and by motion of all Trustees, approved the February 28, 2017 committee meeting minutes. The first item was a discussion by Susan Myers regarding four (4) Resolutions for contract renewals for General Legal Services. The Resolutions will authorize the District to exercise the second option year of contracts with the firms of Armstrong Teasdale, Hale Law Firm, Rynearson Suess, Schnurbusch & Champion, and Thompson Coburn. These contracts provide the District with general legal services and are Resolution 3345, 3348, 3349 and 3350 on tonight’s agenda. The next item was a discussion by Susan Myers regarding a Resolution for a contract renewal for Federal Legislative Lobbying Services. This Resolution will authorize the District to exercise the second option year of a contract with Cardinal Point Partners. This contract provides the District with federal legislative lobbying services and is Resolution 3347 on tonight’s agenda. The next item was a discussion by Chris Pfeuffer, who was sitting in for Jonathon Sprague, regarding a Resolution for a contract renewal for Plant Asset Management Services. This Resolution will authorize the District to exercise the first and final option year of a contract with Brown and Caldwell. This contract provides the District with asset management services and is Resolution 3352 on tonight's agenda. The next item was a discussion by Vicki Taylor Edwards regarding an Ordinance to have the Civil Service Rules and Regulations introduced as recommended by the Civil Service Commission. The modifications reflect agreed upon changes as a result of the Collective Bargaining. In addition, the changes align with current laws and District’s policies and procedures. The committee recommended modifying the rule regarding call-in pay. The request was to not adopt the change for collective bargained positions until such time as they are able to discuss the impact of the change with management. That change was made as requested. This is Ordinance 14687 on tonight's agenda. The Trustees moved to go into Closed Session at approximately 10:30 a.m. Closed Session was concluded at approximately 11:38 a.m. The next meeting is tentatively scheduled for Tuesday, May 30, 2017. The meeting was adjourned at approximately 11:39 a.m. ~ ~ ~ ~ ~ Comments by the Executive Director: Thank you Mr. Chair, I have one item to discuss this evening. As part of its commitment to customer service, the District conducts two different types of customer surveying on an annual basis. The first type of surveying is titled the Post-Contact Customer Survey. Post-Contact surveying is conducted with customers that have proactively contacted the District with a service or billing issue. Each month, the District surveys 150 of these customers, with the number evenly split between service and billing calls. The results of this surveying are aggregated into quarterly reports that staff uses to monitor and improve our customer service. Edited 6/1/17 Pg. 5 The second type of surveying is titled the Annual Customer Satisfaction Survey. Customer Satisfaction surveying is conducted with a representative sample of all of the District’s customers. Versus the Post-Contact surveying, participants in the Customer Satisfaction Survey may or may not have contacted MSD with a service or billing issue during the course of the year. Customer Satisfaction surveying solicits feedback on a broad set of topics about MSD and its performance. I would like to invite Nick Jones, who is with our survey contractor, the ETC Institute, to provide the board and the public with the current results of this surveying. Nick Jones presented to the Board the Post Contact Survey. The ETC institute has performed this since 2004 and it is meant to obtain an objective evaluation of the field and the billing operations. Eighteen Hundred (1800) surveys are performed over the course of the year and each month 150 surveys are performed with 75 surveys targeted toward the field and 75 surveys targeted for the billing area. For this quarter, there were 455 surveys performed in total. Mr. Jones provided and overview of the survey highlights. The Annual Customer satisfaction survey with overall efficiency has remained high since 2010 with MSD ratings above 7.5. The satisfaction with wastewater services remains high with ratings above 8.5 on a scale of 1-10. In addition, the satisfaction with storm water services has declined slightly when compared to 2014, but two areas are increasing. Although rates have increased over the past seven(7) years, the customers still give high ratings for the rates charged. ORDINANCES Adoption of Proposed Ordinance No. 14639 - Tillie Baden Newby Sewer Improvements (Property Acquisition) (11139) Making a supplemental appropriation of Nine Hundred Thousand Dollars ($900,000.00) from the Sanitary Replacement Fund to be used for property acquisition, transfer, closing approval, demolition, and related activities of real property for flood mitigation purposes in Tillie Baden Newby Sewer Improvements (Property Acquisition) (11139) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary- Treasurer on behalf of The Metropolitan St. Louis Sewer District to acquire transfer, approve closing, demolition, and perform related activities of real property for flood mitigation purposes without additional Board action. Adoption of Proposed Ordinance No. 14640 - UR-10 Mendell and Wolter Sanitary Relief (SKME- 595) (10027) Making a supplemental appropriation of Five Hundred Fifty Thousand Dollars ($550,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction and private I/I removal in UR-10 Mendell and Wolter Sanitary Relief (SKME-595) (10027) in the Cities of Vinita Park and University City, Missouri. Adoption of Proposed Ordinance No. 14641 - Black Creek Sanitary Sewer and I/I Reduction Part 2 (11883) Appropriating Five Hundred Thousand Dollars ($500,000.00) from the Sanitary Replacement Fund and Four Hundred Fifty Thousand Dollars ($450,000.00) from the Operation, Maintenance, Construction, and Improvement Fund of Deer Creek to be used for storm sewer construction and private I/I removal in Black Creek Sanitary Sewer and I/I Reduction Part 2 (11883) in the Cities of Clayton, Ladue, and University City, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 20607 with Above and Below Contracting, LLC for the aforesaid storm sewer construction and private I/I removal. Adoption of Proposed Ordinance No. 14642 - CSO Volume Reduction Green Infrastructure – Small Grant Rainscaping Program (12447) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an inter-agency agreement with Missouri Botanical Gardens to provide education and encourage individual land owners to implement green infrastructure (a/k/a rainscaping) techniques on their properties in CSO Volume Reduction Green Infrastructure – Small Grant Rainscaping Program (12447) in the City of St. Louis and St. Louis County, Missouri. Adoption of Proposed Ordinance No. 14643 - Deer Creek Public I/I Reduction (2017) Contract B (12037) Appropriating Four Million Nine Hundred Thousand Dollars ($4,900,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer rehabilitation in Deer Creek Public I/I Reduction (2017) Contract B (12037) in the Cities of Ladue, Kirkwood, Frontenac, Huntleigh, and Warson Woods, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 20528 with Insituform Technologies USA, LLC for the aforesaid sanitary sewer rehabilitation. Adoption of Proposed Ordinance No. 14652- Laclede Station No. Chamberlain Storm Sewer (11076) Appropriating Two Hundred Fifty Thousand Dollars ($250,000.00) from the Operation, Maintenance, Construction, and Improvement Fund of Deer Creek to be used for storm sewer construction in Laclede Station – Chamberlain Storm Sewer (11076) in the City of Webster Groves, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 20604 with Taylormade Construction Co., LLC for the aforesaid storm sewer construction. Adoption of Proposed Ordinance No. 14653 - Earl Drive Storm Sewer (10383) Appropriating One Hundred Fifty Thousand Dollars ($150,000.00) from the Operation, Maintenance, Construction, and Improvement Fund of Maline Creek to be used for storm sewer construction in Earl Drive Storm Sewer (10383) in Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 20560 with Above and Below Contracting, LLC for the aforesaid storm sewer construction. Adoption of Proposed Ordinance No. 14654 - Upper Maline Trunk Sanitary Relief Phase IV Section B (11791) Declaring the necessity for the acquisition of easements and temporary easements in certain real property within The Metropolitan St. Louis Sewer District for the purpose of construction of sewers and related appurtenances in the project known as Upper Maline Trunk Sanitary Relief Phase IV Section B (11791) in the Cites of Ferguson, Kinloch and Berkeley, Missouri to serve the needs of residents of the area, and authorizing staff to proceed with further condemnation efforts related to the project, including but not limited to the purchase and/or the filing of all necessary court pleadings or documents to commence and prosecute formal legal proceedings for the acquisition of said easements and temporary construction easements. Adoption of Proposed Ordinance No.14655 - CCTV Inspection and Physical Inspection of Sewers (2017) (11999) Appropriating Two Million Five Hundred Thousand Dollars ($2,500,000.00) from the General Fund to be used for CCTV Inspection and Physical Inspection of Sewers (2017) (11999) throughout the Metropolitan Sewer District Service area; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 20688 with Ace Pipe Cleaning, Inc. for said inspection services. Proposed Ord. No. 14685 was presented and read. Since 1995, MSD has sponsored an insurance program that compensates customers for damage arising from sewer backups that were caused by blocked sewer mains. This ordinance will authorize the District to enter into a contract with Zurich (Steadfast) Insurance Company from July 1, 2017 to June 30, 2018. This ordinance will authorize the District to enter into a contract with Travelers Insurance Company from July 1, 2017 to June 30, 2018. The policy provides $2,000,000 of auto liability coverage above a $100,000 deductible and auto physical damage above a $3,000 deductible.
