JOURNAL OF THE (1585th) MEETING OF THE BOARD OF TRUSTEES
THE METROPOLITAN ST. LOUIS SEWER DISTRICT November 10, 2016 at 5:00 p.m.
The Trustees of the District met in Room 109 at 2350 Market on the above date.

Motion was made by Trustee Faul at 5:03 p.m. for roll call and the 1585th meeting was called to order. All were present except Trustee Yates.
Trustee Faul asked for the approval of the Journal of preceding minutes.
Motion was made by Trustee Mandel and seconded by Trustee Bonner to approve the October 13, 2016 1584th Journal. The Journal was approved by unanimous vote.

Trustee Bobo reported that The Audit Committee met at 7:30 AM on Tuesday, November
1, 2016. In attendance were Trustees Bobo, Bonner, Faul, Mandel, and Singer. The Committee approved the minutes from the prior meeting. The Chairman had no
comments.
Rubin Brown presented the document “Report to Governance – Annual Independent
Audit” and provided an overview of the performance and results of the audit of the District’s financial statements for the year ended June 30, 2016. An unmodified or “clean”
opinion was issued for the financial statements. The presentation included an overview of
the responsibilities and roles of the Auditor as well as Management. No difficulties were
encountered in working with Management when performing the engagement, and no
material misstatements or material weaknesses in internal control were identified during the audit process.
Rubin Brown continued the presentation by providing a summary of the overall financial
results for fiscal year ending June 30, 2016. Staff presented the report for the
engagement titled “Review of District Cell Phones and Data Cards”, which focused on the procedures and controls for administering the District’s cell phone and data card plans.
The engagement included a detailed review of usage and cost data for the period of
November 1, 2014 through October 31, 2015.
Staff presented and explained the scope, objectives and methodology used for the engagement. The engagement received a satisfactory rating, as no significant
deficiencies were identified during the engagement. Two Opportunities for Improvement
were presented. Staff addressed questions and concerns as they were received from the
Committee.
The meeting adjourned at approximately 8:05 am. The next meeting is scheduled for
Tuesday, November 29, 2016. This concludes the Audit Committee Report.

Trustee Faul reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, November 1, 2016 at approximately 8:07 a.m. In addition to
public attendance, those present at the meeting included Trustees Faul, Bobo, Bonner,
Mandel and Singer, as well as District Directors and staff.
Chairperson Faul called roll, had no further comments and by motion of the committee, the October 4th meeting minutes were approved.
The first agenda item was a discussion by Susan Myers regarding Resolutions for contract
renewals for legal services relating the Clean Water Act. The contracts will provide the
District specialized legal services to address all regulatory matters involving the Federal and Missouri Clean Water Act. These are Resolutions numbers 3310, 3311 and 3312 on
the November 2016 Board Agenda.
The next agenda item was a discussion by Lance LeComb regarding an Ordinance for
State Legislative Lobbying Services. This Ordinance allows the District to enter into a contract with Kyna Iman, LLC to maintain State Legislative Lobbying services with the
Missouri Legislature. This is Ordinance No. 14566 on the November 2016 Board Agenda.

The next agenda item was a discussion by Vicki Taylor Edwards regarding authorization
and renewal of the District's various Employee Benefits Plans. Resolution numbers 3313, 3314, 3315 and 3316 will renew the existing contracts for the Employee Assistance Plan,
Flexible Benefits Plan, Group Life and Accidental Death & Dismemberment Plan and
Group Medical Benefits Plan respectively.
Ordinances authorizing contracts for Stop Loss Coverage, Dental Coverage and Long-Term Disability Coverage for employees and their family members were also presented
and will be introduced and adopted at the December 2016 Board meeting.
The next meeting is tentatively scheduled for Tuesday, November 29, 2016. The meeting
was adjourned at approximately 8:33 a.m.

Trustee Bonner reported that The Finance Committee met on November 1, 2016 with Trustees Bonner, Faul, Singer, Bobo and Mandel in attendance. The minutes from the
October 4, 2016 meeting were approved.
The authorization for Staff to enter into contracts for the District’s various insurance
coverages was presented.
• First, an ordinance to enter into a contract with Missouri Public Entity Risk
Management Fund (MOPERM) to provide combined liability insurance coverage
for the District with a policy limit up to $2,000,000;
• Second, an ordinance to enter into a contract with Allied World Insurance
Company to provide an additional $10,000,000 of liability coverage above the
$2,000,000 limit under the District’s combined liability and auto liability program;
• Third, an ordinance to enter into a contract with Allied World Insurance Company
to provide an additional $5,000,000 of liability coverage above the $2,000,000
limit defined in the District’s combined liability and auto liability program and
above the $10,000,000 limit provided in the District’s excess liability program.
These will be Ordinances #14568 through #14570 on tonight’s agenda.
The next item discussed on the agenda was the Pension Plan. Richard Marra from
Pavilion, the District's pension investment advisor, provided a status of MSD's pension
portfolio as of September 2016. During the third quarter, the Plan closely reflected its benchmark, reporting a return of 2.8%. On a trailing one-year basis, the Plan reported
a gain of 7.6%, underperforming the Policy Benchmark return of 8.5%. In the Deferred
Compensation Plan and the Defined Contribution Plan, balanced and target date
retirement fund returns were positive for the quarter due to relatively stronger equity
markets.
The next item on the agenda was a resolution authorizing the Staff to liquidate assets
held in the Plan’s large-cap domestic equity funds and allocate those funds into the
passively-managed Black Rock Russell 1000 Index Asset Fund. This will be Resolution #3320 on tonight’s agenda.

Next, staff stated the Pension Investment Policy Statement calls for an annual review for
relevance and consistency with governing law and the financial objectives of the Fund.
The changes made to the policy clarify inconsistent references, assign proper responsibilities, and remove Resolution 2177 from the policy. This is Resolution #3318
on tonight’s agenda. A resolution authorizing the Staff to repeal Resolution 2177, which
contains procedures that are no longer applicable to the District, will be Resolution
#3321 on tonight’s agenda.
The next item on the agenda was a resolution authorizing the Staff to allocate assets
within the Defined Benefit Plan due to the recent money market reform rules. This action
authorizes the District to liquidate assets held in the First American Prime Obligation
Fund and allocate the funds to the First American Government Obligation Fund. This will
be Resolution #3319 on tonight’s agenda.
Tim Snoke reported on the District's Operating Fund Portfolio as of October 31,
2016. The portfolio is in compliance with the District’s investment policy.
The next item on the agenda was a resolution authorizing the Staff to modify the list of approved Commercial Paper Issuers based on current credit metrics and outlooks. This
will be Resolution #3317 on tonight’s agenda.
Next on the agenda is Ordinance 14567, authorizing the District to issue the Series 2016C
Bonds and authorizes District officials to execute necessary documents. Jason Terry of Gilmore & Bell, the District’s bond counsel, reported on the status of the upcoming bond
issuance process.
Staff reported on the current financial condition of the District indicating it continues to be
financially stable. The quarterly September 2016 Adjustment Review Committee report was accepted into the record as required by ordinance.
The meeting adjourned at 9:43 a.m. The next tentatively scheduled meeting is
Tuesday, November 29, 2016. This concludes the Finance Committee Report.

Trustee Singer reported that The Program Management Committee met on November 1,
2016 at 9:47 a.m. The meeting was attended by trustees Singer, Faul, Mandel, Bobo, and
Bonner.
The minutes of the October 4, 2016 meeting were approved.
The agenda items to be introduced tonight were presented and discussed, including a
detailed discussion regarding the following items:
Ordinance No. 14544 – Lower Meramec Wastewater Treatment Plant Channel
Improvements (Fitting Replacement) – Staff explained the purpose of the project and
answered questions from the Committee on a new MBE sub-contractor, Coleman Spohn.
Ordinance No. 14550 – Ferguson Sanitary Sewer – Staff provided details regarding the
purchase of properties for a future Sanitary Sewage Storage facility to reduce building

back-ups and eliminate sanitary sewer overflows in the University City and Pagedale
areas. There were questions from the Committee on what the property will look like after
the buyout and completion of the tank. Staff also explained some details of the buyout process, specifically regarding relocation of residents.
Ordinance No. 14551 – Graham Road Sanitary Sewer Replacement – Staff discussed the
reason for the additional costs for the project and answered an inquiry regarding one of
the MBE sub-contractors, Zoie LLC.
Ordinance No. 14558 – CSO – McKnight Interceptor and Outfall Removal – Staff provided
details of this request for approval to proceed to condemnation to acquire one easement
on an existing CVS Pharmacy property needed to construct the project. Staff answered a
question as to why the easement was not obtained during MSD’s development review of the new CVS. Staff discussed the uncertainty and timing of the review relative to the
project design.
Ordinance No. 14559 – Critical Infrastructure Assessment – Staff discussed the purpose
of the acquisition of the field services contract and answered questions raised by the Committee on savings realized by the inspection reconnaissance with the proposed
contractor RJN versus internal Operations staff.
Ordinance Nos. 14561 thru 14565 – Stormwater Infrastructure Improvement Designs –
Staff explained the future stormwater design and construction program planned for the next 5-7 years. The distribution and un-bundling of the project design work was discussed
by staff, and staff answered a question from the Committee on the percentage of projects
that will actually follow through to completion due to changing conditions and owner
issues.
Under “Other Business”, Shonnah Paredes, Manager of Diversity, gave a detailed
response to a question raised at the October 13, 2016 Board meeting regarding an Ace
Pipe Cleaning truck being utilized by DFW Infrastructure as a sub-contractor to Insituform
Technologies. Ms. Paredes reported that her staff had already identified and reviewed this
situation prior to it being brought up at the October Board meeting. She reported that there is a lease agreement between DFW and Ace Pipe Cleaning for use of these trucks.
There have been payments made to Ace Pipe from DFW on this lease agreement and are
being operated by DFW employees. There are decals that state “Leased to DFW” on the
trucks in question. This type of leasing of equipment is an allowable arrangement in the
MSD MBE program.
At 10:44 a.m., the Committee went into Closed Session to discuss Legal, Confidential or
Privileged Matters Under §610.021(1), RSMO 1988 Supp. The meeting was adjourned at
12:15 p.m. The next Committee meeting is tentatively scheduled for Tuesday, November
29, 2016 at 7:45 a.m.

Trustee Faul moved to review the Consent Agenda.
The Secretary Treasurer asked if there were any board members who would like to pull
an item for a separate vote within the Consent Agenda. Hearing none, there was a
motion for adoption.
In addition, the Secretary Treasurer informed the Board that Ordinance 14558, item #43, would be pulled from the Agenda as the project has been resolved.

Sewer District for the purpose of construction of sewers and related appurtenances in the
project known as CSO - McKnight Road #2737 CSO Interceptor (I-298)/Outfall (L-161) (10851)
in the Cities of Ladue and Rock Hill, Missouri to serve the needs of residents of the area, and
authorizing staff to proceed with further condemnation efforts related to the project, including but not limited to the purchase &/or the filing of all necessary court pleadings or documents to
commence and prosecute formal legal proceedings for the acquisition of said easements and
temporary construction easements.
Proposed Ord. No. 14558 was presented and read. This ordinance authorizes the staff to proceed
with further condemnation efforts including the filing of all necessary court pleadings or documents leading to the acquisition of permanent sewer easements and temporary construction easements on one (1) parcel of ground
located in the Cities of Ladue and Rock Hill, Missouri. These easements are needed to construct this project, which consists of the construction of approximately 4,335 feet of 8-inch to 18-inch diameter sanitary sewers and
2,251 feet of 12-inch to 36-inch diameter storm sewers, removal of interceptor I-298 and CSO overflow L-160, performing private I/I reduction on approximately 53 properties, and performing I/I inspections on 563 additional
properties. This project will alleviate a combined sewer overflow. These easements have been appraised. Currently, the District has been unable to negotiate a settlement with the owners.

Dollars ($1,400,000.00) from the General Fund to be used for investigations and assessment of
sewer systems in Critical Infrastructure Assessment (2017) (12720) throughout the Metropolitan St. Louis Sewer District Service Area; and authorizing the Executive Director and Secretary-
Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No.
20510 with RJN Group, Inc. for the aforesaid investigations and assessment of sewer systems.
Proposed Ord. No. 14559 was presented and read. This ordinance authorizes the District to enter into
Contract #20510 with RJN Group, Inc. The purpose of this contract is to provide District staff with detailed information regarding sewer systems by performing services such as project inspection reconnaissance, field
investigations of sewer system and structures, inspection prioritization and project set-up, field verification, map updates, work order management, and post inspection review. These services will form the basis for District led
preventive maintenance and rehabilitation activities. These investigations also provide assistance for the Operations Department with their sewer cleaning and manhole inspection activities. In addition to the field
inspections, CCTV review and system mapping updates are also provided. This contract for Critical Infrastructure Assessment is for $1,400,000. Contract #20506 for one (1) year with two (2) option years with HDR Engineering, Inc. The purpose of this project is to provide up to $100,000 annually of water quality and other environmental regulatory support to help ensure
District compliance with all environmental laws and regulations. This contract will utilize HDR to provide MSD with regulatory support for a wide variety of environmental issues including, MDNR Water Quality Standards (WQS);
Total Maximum Daily Loads (TMDLs); Integrated Planning; 303(d) List of Impaired Waters and Listing Methodology Documents; air pollution control; and solid and hazardous waste management. HDR will attend MDNR, EPA, and
other regulatory agency meetings; review and comment on draft and proposed environmental regulations and policies; evaluate and interpolate environmental data; and assist District staff with environmental permitting and
developing compliance strategies. A scope of work will be developed for each regulatory issue on an as needed basis and the consultant must submit a list of tasks to be performed and the estimated cost, which must be
approved by District staff prior to proceeding with each project. This contract is for a total maximum contract amount of $100,000.
