JOURNAL OF THE (1612th) MEETING OF THE BOARD OF TRUSTEES
THE METROPOLITAN ST. LOUIS SEWER DISTRICT October 11, 2018
The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting
were:

Trustee Yates moved to go into closed session at 4:06pm. Trustee Faul was present by phone. Trustee Faul was present and motioned to come out of closed session at 5:04pm.
Roll call was made and all were present except Trustee Mandel and Trustee Bobo. Trustee Faul asked for the approval of the September 13, 2018 (1610th) and September 27, 2018
(1611th) Journal of proceeding minutes. The Journal was approved by Trustee Yates and seconded by Trustee Dunlap.

Report of Board Committees:
AUDIT
Trustee Singer reported that the Audit Committee met at 7:30 AM on Tuesday, October 2, 2018. In attendance were Trustees Singer, Bobo, Dunlap, Faul, Mandel, and Yates. The Committee approved
the minutes from the September 4 meeting. The Chairman had no comments.
Internal Audit presented the report for the engagement titled “Process Review of the Collections Cycle”.
This engagement involved a review of the District’s program for collecting on past due customer accounts. The scope included procedures to review the processes performed by the District as well as the processes performed by the eight (8) third-party entities that participate in the District’s collections
cycle. Internal Audit reviewed transactions and data for the twelve-month period of Fiscal Year 2017.
The engagement received a “Satisfactory” opinion. Four Opportunities for Improvement were presented
and discussed with the Committee. Questions from the Committee were addressed by Staff as they were received throughout the presentation. The meeting adjourned at approximately 7:55 am.
The next meeting is tentatively scheduled for Tuesday, October 30, 2018. This concludes the Audit Committee Report.

FINANCE
Trustee Dunlap reported that The Finance Committee met on October 2, 2018 with Trustees Dunlap, Faul, Bobo, Yates, Mandel and Singer in attendance. The minutes from the September 4, 2018 meeting
were approved. The only item on the agenda consisted of a report by staff on the District's Operating Fund Portfolio as
of September 30, 2018. Staff indicated that the portfolio is in compliance with the District’s Investment Policy.
The meeting adjourned at 8:05 a.m. The next tentatively scheduled meeting is Tuesday, October 30, 2018. This concludes the Finance Committee Report.

STAKEHOLDER RELATIONS
Trustee Yates reported that The Stakeholder Relations Committee met at District Headquarters on
Tuesday, October 2, 2018 at approximately 8:50 a.m. In addition to public attendance, those present at the meeting included Trustees Bobo, Dunlap, Faul, Mandel, Singer and Yates, as well as, District
Directors and staff.
Trustee Bobo called roll, had no further comments and by motion of all Trustees present, approved the
September 4, 2018 committee meeting minutes.
The first item on the agenda was discussion by Susan Myers regarding a proposed revised Sewer Use
Ordinance. This revised Ordinance will include clarifying definitions for terms used in the Ordinance,
include clarifying language recommended by the Missouri Department of Natural Resources, correct several minor typos in the current version of the Ordinance and implement these clarifications and
corrections to assist in administration of the Sewer Use Ordinance. This is Ordinance No. 15048 on
tonight's Agenda.
The next agenda item was a discussion by Susan Myers regarding a Resolution for a contract extension for Collection of Excess Proceeds from Properties Sold at Tax Sales. This contract will allow the District to aggressively pursue the collection of excess proceeds from properties sold at tax sale auctions. With
the August 28, 2018 changes to RSMo §140.230, which allowed lienholders of record to file a claim for excess proceeds from properties sold at the St. Louis County tax sale auctions, the District now has
authority to pursue the proceeds in both St. Louis City and St. Louis County if there were unpaid sewer
bills associated with the property. This is Resolution No. 3640 on tonight's Agenda.
The next agenda item was a discussion by Brian Hoelscher regarding a letter from the Rate
Commission. In conclusion of the Stormwater Rate Change Proposal, the Rate Commission provided a Statement Letter regarding their Rate Recommendation Report. Brian reviewed their conclusions,
including the history of local funding, key assumptions of the study, important considerations and results
of prioritization. With respect to the additional funding alternatives, Brian also discussed the self-funding of stormwater projects by outside entities, the State stormwater grant program, future rate increases and
the OMCI (Operation, Maintenance and Construction Improvement) Districts. Brian further explained
the use of borrowing/debt as part of the Stormwater Capital program.
After addressing questions and comments brought forth by the Trustees, Brian indicated that he would draft a response letter to the Rate Commission's Statement and submit it to the Trustees for their review and revisions by November. There is no Board Action required at this time.
The meeting was adjourned by Trustee Faul at approximately 10:00 a.m. The next meeting date is
tentatively scheduled for Tuesday, October 30, 2018.

PROGRAM MANAGEMENT
Trustee Faul reported that The Program Management Committee met on October 2, 2018 at 8:06 a.m.
The meeting was attended by trustees Yates, Mandel, Faul, Bobo, Dunlap, and Singer.
The minutes of the September 4, 2018 meeting were approved.
The agenda items to be introduced tonight were presented and discussed, including a detailed
discussion regarding the following items: Ord. No. 15034 – Deer Creek Sanitary Tunnel – Staff provided the details of this project and is
requesting the second planned appropriation of $50 million for this construction project. Staff provided a photo of the existing shaft site located in Shrewsbury, and briefed the committee on various on-going activities being performed on the project. Staff discussed a tunnel tour being arranged for the Board,
Rate Commission, and CBA signatories in the near future.
Ord. No. 15038 – North Forest and Brookside I/I Reduction – Staff provided details on this project and
indicated that the District had received only one bid for the project. There was a discussion of potential reasons for receiving only one bid. The one bid was very close to the District’s designer’s estimate and
was under the proposed budget for the project. Staff is recommending proceeding with award to Fred
M. Luth & Sons.
Ord. No. 15041 – Harlem Baden Relief Phase 4 Trunk Rehabilitation – Staff provided the details of this cost-share project being performed in partnership with the U.S. Army Corps of Engineers. This is the second project being performed in conjunction with the Corps this fiscal year. The initial project brought
to the committee in July will be delayed due to requirements for pre-construction utility relocation. The District and the Corps will proceed with this rehabilitation project while the District resolves the utility relocation. Staff discussed the project savings realized on these projects when partnering with the
Corps. Staff is requesting introduction and adoption of this ordinance in order to meet the Corps of Engineers’ funding schedule.
Ord. No. 15043 – Hancock Avenue Storm Sewer – Staff provided details on the project scope and bid. There was a discussion regarding the cost of the project versus the benefit of protecting one home.
Staff indicated that the project most likely benefited more than one property, but only one was
experiencing structure flooding. Staff has reviewed this issue and offers the following supplemental information: This project touches 5 parcels and benefits 7 parcels total in the 5600 block of Hancock
Avenue including several homes on Marquette Avenue. Staff did discuss the potential buyout with the
impacted property owner but it was deemed more beneficial to proceed with the storm project.
The District will remove a garage experiencing structure flooding at 5610 Hancock Avenue and will construct a swale and a rear yard storm sewer across multiple parcels in new easements.
The next Committee meeting is tentatively scheduled for Tuesday, October 30, 2018 at 8:00 a.m. The meeting was adjourned at 8:45 a.m.

Adoption of Proposed Ordinance No. 15031 - 2018 Disparity Study Update
Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with Mason Tillman Associates, Ltd., whereby Mason
Tillman Associates, Ltd. will provide Consultant Services in the area of performing a Disparity Study
update for the District.
Adoption of Proposed Ordinance No. 15032 - Actuarial Consulting Services RFP- 9407
Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis
Sewer District to enter into a contract with Milliman, Inc., whereby Milliman, Inc. will provide
actuarial services for the District's Pension Plan, Defined Contribution Plan, Deferred Compensation Plan, accrued sick leave program, vacation accrual, GASB 67 and GASB 68 Pension Accounting Reporting, GASB 75 OPEB Reporting, and consultant services.
Motion was made by Trustee Yates, seconded by Trustee Dunlap, that the
consent agenda ordinance # 15007-15032 be Adopted.
