LOUIS SEWER DISTRICT September 14, 2017 at 5:00 p.m. The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Faul, Chair B.L. Hoelscher, Executive Director Rev. R. Bobo, Vice Chair T.R. Snoke, Secretary-Treasurer A.K. Mandel S.M. Myers, General Counsel M.E. Yates, Chair M. M. Gee, Director of Finance R.L. Bonner R.L. Unverferth, Director of Engineering J. Singer Also present were: Trustee Faul called the meeting to order and made a motion to come out of closed session at 5:15 p.m. Trustee Faul’s motion was approved by Trustee Yates and seconded by Trustee Mandel. Roll call was taken and all Trustees were present. Trustee Faul asked for the approval of the August 10, 2017 Journal of proceeding minutes. Motion was made by Trustee Yates and seconded by Trustee Mandel. The 1594th, August 10, 2017 Journal was approved by unanimous vote. Comments by Board Chair: None Report of Board Committees: Trustee Singer reported that the Audit Committee met at 7:30 AM on Tuesday, September 5, 2017. In attendance were Trustees Singer, Faul, Mandel, and Yates. The Committee approved the minutes from the August 1 meeting. The Chairman had no comments. CliftonLarsonAllen presented and provided an overview of the Auditor Communications reports addressing the audits of the financial statements for the Employees’ Pension, Deferred Compensation, and Defined Contribution plans, stating that the plans were audited in accordance with the Generally Accepted Auditing Standards and that clean opinions were issued for each plan. The audit engagements were performed according to the planned scope and the schedule communicated previously. No difficulties or disagreements with Management were encountered when performing the audits, and there were no known, likely or uncorrected misstatements identified during the audits of the three plans. No significant deficiencies or material weaknesses were identified. Testing of transactions and data was performed for the twelve-month period of calendar 2016. The engagement received a general satisfactory rating. Seven (7) Opportunities for Improvement were presented. It was explained to the Committee that the status of all recommendations for all engagements are tracked and reported annually. A status report will be presented at the October Committee meeting. Questions and concerns were addressed by Staff as they were received from the Committee. The meeting adjourned at approximately 8:15 am. The next meeting is scheduled tentatively for Thursday, October 3, 2017. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ Trustee Bonner reported that The Finance Committee met on September 5, 2017 with Trustees Yates, Singer, Mandel and Faul in attendance. The minutes from the August 1, 2017 meeting were approved. The first item on the agenda consisted of a staff discussion of a resolution that would authorize the transfer of unencumbered appropriated balances from the FY17 General Fund budget to the Water Backup Fund. The funds are required to cover future water backup claims. This will be Resolution #3373 on tonight’s agenda. Next on the agenda was an ordinance that designated the team of investment underwriting firms that will assist with the issuance of the District’s series 2017A wastewater revenue bonds. The proposed team is comprised of a Senior Manager, Barclays Capital, and five other managers: Siebert Cisneros Shank, Citigroup Global Markets, US Bancorp, Loop Capital Markets and Fifth Third Securities. This will be Ordinance #14799 on tonight’s agenda. The next item discussed was the State Revolving Fund (SRF) loan fee reduction. Six ordinances will be introduced to amend the definition of “Administrative Fee” in previous ordinances that authorized SRF Loans. The change in the loan administrative fee to one-half percent (.5%) from one percent (1.0%) was approved by the Clean Water Commission in April and will reduce financing costs beginning January 1, 2018. These are Ordinances #14793 - #14798 on tonight’s agenda. Staff then reviewed the District's Operating Fund Portfolio as of August 31, 2017. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. The District’s Employees’ Pension Plan Actuarial Valuation report by Milliman was rescheduled for next month. Staff then presented a resolution that authorizes the exercise of an additional one-year contract option with Milliman, Inc. to provide actuarial services. This will be Resolution #3370 on tonight’s agenda. Pavilion Advisory Group then reported on the performance of the District’s Pension, Deferred Compensation and Defined Contribution Plans as of June 2017. During the second quarter, the Pension Plan outperformed its benchmark, reporting a return of 2.8%. On a trailing one-year basis, the Plan reported a gain of 8.6%, underperforming the Policy Benchmark return of 9.1%. Edited 6/22/18 Pg. 3 The Deferred Compensation and Defined Contribution Plans’ balanced and target date retirement funds ranked above median. The current asset allocation was within investment policy targets. Staff and the Committee held a discussion regarding overall Plan performance with a focus on the high fees of hedge funds and lowered return expectations for most asset classes. Staff committed to bringing alternative asset allocations to the Committee with an analysis of expected return, volatility, and fees for each scenario. Potential changes to the assumed rate of return for Plan investments will also be reviewed. The next item on the agenda was a resolution that authorizes the staff to exercise an additional one-year contract option with Pavilion Advisory Group, Inc. to provide investment consulting services through the quarter ending September 30, 2018. This will be Resolution #3371 on tonight’s agenda. The meeting adjourned at 11:54 a.m. The next tentatively scheduled meeting is Tuesday, October 3, 2017. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ Trustee Yates reported that The Program Management Committee met on September 5, 2017 at 8:17 a.m. The meeting was attended by trustees Yates, Faul, Singer, and Mandel The minutes of the August 1, 2017 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ord. No. 14777 through Ord. No 14779 – Staff provided details regarding three CSO Green Infrastructure Grant Agreements to be approved by the Board. The grants are part of the District’s Consent Decree commitment to capture stormwater within the combined sewer area thus reducing combined sewer overflows to the Mississippi River. Staff responded to questions from the Committee about the long term inspection of the facilities. Staff indicated that the District’s Environmental Compliance Division of Engineering tracks all Green Infrastructure facilities and inspects them on 3-5 year intervals to verify they are being maintained by the owners. The District currently tracks approximately 6,000 of these facilities. Ord. No. 14782 – Infrastructure Repairs Facilities – Staff explained the appropriation of $3 million to provide funding for repair and rehabilitation projects at various wastewater treatment plants and pumping stations throughout the District. There was a discussion between the Committee and staff regarding the necessity of this funding and the ability to complete projects in a timelier manner than the District’s Capital Improvement Program. Additionally, because these projects are typically un-planned, funding for these projects is not available within the Operations Department’s operating budget. Ord. No. 14785 – Private Inflow and Infiltration Reduction Program – Staff provided details of the use of the appropriated funds and indicated that an additional $1 million was being appropriated to address excessive infiltration issues located in the Florissant area. These issues have caused numerous building back-ups over the years, specifically during the April 2017 rains. The program being administered with assistance from the City of Florissant will help control back- ups with the installation of check valves on the laterals, and the installation of sump pumps to relieve excessive groundwater entering the sewer laterals and basements. There was a discussion between the Committee and staff on the successfulness of this type of program and the relationship to the District’s Stormwater programs. Edited 6/22/18 Pg. 4 The meeting was adjourned at 9:18 a.m. The next Committee meeting is tentatively scheduled for Tuesday, October 3, 2017 at 8:00 a.m. ~ ~ ~ ~ ~ Trustee Bobo reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, September 5, 2017 at approximately 9:25 a.m. In addition to public attendance, those present at the meeting included Trustees Faul, Mandel, Singer, Yates, and Bonner via conference call, as well as District Directors and staff. Trustee Faul called roll, had no further comments and by motion of all Trustees, approved the August 1, 2017 committee meeting minutes and August 10, 2017 Special committee meeting minutes. The first item was a presentation by the final organization proposing for a position on the Rate Commission. The Home Builders Association of St. Louis made their presentation and request for consideration on the Rate Commission Committee. Brian Hoelscher then discussed the next steps in the appointment process and the Trustees approved The Home Builders Association for the final opening on the Committee. Brian then informed the Trustees that the proposed Ordinance for appointment of all approved organizations will be presented for introduction at the September Board meeting. This is Ordinance #14800 on tonight's Agenda. At 9:38 a.m., Chairman Faul moved to go into Closed Session to discuss Legal or Privileged Matters under Section 610.021(1). Director Tim Snoke called roll of all Trustees present approving the motion to go into Closed Session and all Trustees present concurred. Closed Session was concluded at approximately 10:49 a.m. and the meeting was adjourned. The next meeting date is tentatively scheduled for Tuesday, October 3, 2017. ~~~~~~ Comments by the Executive Director: Thank you Mr. Chair, I have one item for this evening. I ask that MSD’s Manager of Diversity, Shonnah Parades, give the semi-annual diversity report. Shonnah Parades presented and spoke to the Board about the positive outcomes of her Annual Diversity report and covered topics related to; the Capital Improvement Construction Program, Design Utilization Program, the Small Contractor Program, Community Benefits program and a diversity update related to the Tunneling OJT program presented in 2016. Adoption of Proposed Ordinance No. 14771 - Flow Metering and Monitoring (2017) (12759) Making a supplemental appropriation of Two Million Five Hundred Thousand Dollars ($2,500,000.00) from the General Fund for flow meter and monitoring in Flow Metering and Monitoring (2017) (12759) in various locations throughout the District and authorizing the Executive Director and the Secretary- Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Amendment No. 1 to Contract No. 20477 with ADS Environmental Services for the aforesaid flow meter and monitoring. Adoption of Proposed Ordinance No. 14775 - Conflict of Interest Policy Repealing Ordinance No. 14227 as adopted September 10, 2015, and enacting a new ordinance with an emergency clause in lieu thereof, establishing a Conflict of Interest Policy for District trustees, officers and employees. Adoption of Proposed Ordinance No. 14776 - Defined Benefit Plan - Medicare Amending Ordinance No. 13796, as adopted January 9, 2014, to modify the Pension Plan of The Metropolitan St. Louis Sewer District to (i) require enrollment in Medicare Parts A and B when Members first become eligible for such Medicare programs due to disability in order to receive, or continue to receive, retiree medical benefits under the Pension Plan, and (ii) clarify that any retiree medical benefits under the Pension Plan will be secondary to Medicare disability benefits in accordance with the Medicare secondary payor rules. Proposed Ord. No. 14777 was presented and read. This ordinance authorizes the District to enter into an agreement with Metropolitan Companies, LLC to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the Mississippi River per the Long Term Control Plan. This project will reduce runoff volume with the installation of a rain garden. Total cost of the project is estimated at $310,000, and Metropolitan Companies, LLC is requesting approximately $225,000 reimbursement for the cost of green infrastructure.
