LOUIS SEWER DISTRICT September 13, 2018 (Revised 1/19/19) The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Faul, Chair B.L. Hoelscher, Executive Director Rev. R. Bobo, Vice Chair T.R. Snoke, Secretary-Treasurer A.K. Mandel S.M. Singer Also present were: Trustee Faul moved to go into closed session at 4:01pm. Trustee Faul motioned to come out of closed session at 5:02pm. Roll call was made and all were present except Trustee Dunlap and Trustee Yates. Trustee Faul asked for the approval of the August 16, 2018 (1609th) Journal of proceeding minutes. The Journal was approved by Trustee Mandel and seconded by Trustee Singer. Comments by Board Chair: None ~ ~ ~ ~ ~ Report of Board Committees: AUDIT Trustee Singer reported that the Audit Committee met at 7:30 AM on Tuesday, September 4, 2018. In attendance were Trustees Singer, Dunlap, Mandel, and Yates. The Committee approved the minutes from the August 7 meeting. The Chairman had no comments. Internal Audit presented the report for the engagement titled “Medical Plan Benefits”. This engagement involved a review of the procedures to administer and operate the District’s self-funded medical and pharmacy benefit plan. The engagement involved a review of the operations of the Plan’s third-party administrator and included testing of the medical and pharmacy claims for the 2016 plan year. The engagement received a “Satisfactory” opinion. Five Opportunities for Improvement were presented and discussed with the Committee. Questions from the Committee were addressed by Staff as they were received throughout the presentation. The meeting adjourned at approximately 8:00 am. The next meeting is tentatively scheduled for Tuesday, October 2, 2018. This concludes the Audit Committee Report. The minutes of the August 7, 2018 meeting were approved. The President of the Mound City Bar Association, Danielle Carr, made a presentation to the committee expressing their desire to remain on MSD’s Rate Commission. The committee members asked questions of Ms. Carr. The committee will consider the request of the Mound City Bar Association. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ord No.’s 15007, 15008 & 15009 – Staff provided details of three CSO Volume Reduction Green Infrastructure grants being awarded to reduce combined sewer overflows to the Mississippi River, per the District Consent Decree. Staff answered questions from the committee on the project developer, ownership, types of green infrastructure, and future maintenance of the projects. Ord No. 15019 – 82nd Street to I-170 Sanitary Relief – Staff requested authorization to proceed to condemnation on five permanent and temporary easements located on property owned by the City of University City. This project has schedule concerns that will impact two future projects upstream and is required for the removal of four sanitary sewer overflows by a specific date within the consent decree. Staff gave a brief history of the negotiations and assured the committee that the District would continue to work with the City to reach an agreement. Staff then answered several questions regarding the location of the project with respect to future development planned in University City. Ord No. 15020 – Creve Coeur Sanitary Relief Phase 6 – Staff requested authorization to proceed to condemnation on one parcel to obtain permanent and temporary easements to complete this project. Staff provided details and informed the committee that the District had received a verbal commitment from the owner to sign the easements, but would move forward with the request until which time the easement was executed. Ord No.’s 15021 through 15030 – Staff provided details on ten capital improvement design projects being awarded for project designs being performed in fiscal year 2019. Details on the purpose of the projects, as well as, specific appropriation amounts, selected consultants, and MWBE participation were provided. Staff indicated that even in the absence of a prescribed MWBE goal for professional services, the District continues to see favorable participation of minority and women sub-consultants and prime consultants. The next Committee meeting is tentatively scheduled for Tuesday, October 2, 2018 at 8:00 a.m. ~ ~ ~ ~ ~ FINANCE Trustee Faul reported that the Finance Committee met on September 4, 2018 with Trustees Dunlap, Yates, Mandel and Singer in attendance. The minutes from the August 7, 2018 meeting were approved. The first item on the agenda consisted of a report by staff on the District's Operating Fund Portfolio as of August 31, 2018. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. Rev -Edited 1/19/19 Pg. 3 Next on the agenda was an ordinance authorizing staff to enter into a contract with Milliman to provide actuarial services. The contract provides for an initial term of one year with four optional one-year contract extensions. This will be Ordinance #15032 on tonight’s agenda. The next item discussed on the agenda pertained to a staff request to exercise the second one-year renewal term with US Bank to provide deposit and safekeeping services to the District. This will be Resolution #3454 on tonight’s agenda. The Pavilion Advisory Group then reported on the performance of the District’s Pension, Deferred Compensation and Defined Contribution Plans as of June 2018. During the second quarter, the Pension Plan trailed its benchmark, reporting a return of 0.2%. On a trailing one-year basis, the portfolio reported a gain of 5.9%. The majority of funds in the Deferred Compensation and Defined Contribution Plan lineup changed share classes, which will lower costs for participants. The Committee then thanked Mr. Marra and Pavilion for their service the past five years. The meeting adjourned at 9:28 a.m. The next tentatively scheduled meeting is Tuesday, October 2, 2018. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS Trustee Bobo reported that the Stakeholder Relations Committee met at District Headquarters on Tuesday, September 4, 2018 at approximately 9:30 a.m. In addition to public attendance, those present at the meeting included Trustees Dunlap, Mandel, Singer and Yates, as well as District Directors and staff. Trustee Dunlap called roll, had no further comments and by motion of all Trustees present, approved the August 7, 2018 committee meeting minutes. The first item on the agenda was discussion by Brian Hoelscher regarding a Resolution for acceptance of the Rate Commission Recommendation Report. Brian reviewed the storm water revenues at the time of the Rate Proposal, the recommendations in the report dated August 9, 2018, and the process for response to the Third-Party Contributions Statement by the Rate Commission. He then discussed the Resolution document and the action required by the Board to accept or reject the Report. This is Resolution No. 3453 on tonight's Agenda. The next agenda item was a discussion by Shonnah Paredes regarding an Ordinance for a Disparity Study Update. A new Agreement will provide for an update to the Disparity Study conducted in 2012, which will serve as a basis for setting expenditure goals for the utilization of minority and women contractors on MSD contracts. The purpose of the update is to validate the goal percentages for the utilization of MWBE's on MSD contracts, are fair and equitable in distribution of awards and payments to MWBE's. The update will also validate workforce goal percentages for the use of Minorities, Women and Apprentices on MSD contracts is fair and equitable. Staff committed to providing sole source procedures and documentation prior to consideration by the Board of this ordinance. This is Ordinance No. 15031 on tonight's Agenda. The meeting was adjourned by Trustee Dunlap at approximately 10:30 a.m. The next meeting date is tentatively scheduled for Tuesday, October 2, 2018. ~ ~ ~ ~ ~ Rev -Edited 1/19/19 Pg. 4 Comments by the Executive Director: Thank you Mr. Chair, I have a few items I would like to present this evening. Staff used the existing tax rates in effect to prepare the Fiscal Year 2019 budget that was approved by the Board in June. As is customary, staff recently received revisions to the property assessment data from the City and County and began the process of calculating revised tax rates. As such, a Special Board meeting is required in order to meet the October 2nd deadline for the submission of the revised tax rates to the City and County Assessor’s Office. The Special Board meeting will take place at 2350 Market Street on September 27, 2018 at 8:00 a.m. In the past, at least one Board member has been physically present, while others have participated via conference call. Please let my Assistant, Tamara Clinton, know how you prefer to attend. Lastly, I would like to turn the report over to Shonnah Parades to present the Semi-Annual Diversity Report. Rev -Edited 1/19/19 Pg. 5 Shonnah Paredes, Manager of Diversity, delivered the Diversity Annual Report for the Board of Trustees and staff. Ms. Paredes explained that 82 construction projects worth slightly over $248 Million were awarded with 85% of them being sewer construction projects. All awards were 100% in compliance with the Diversity Program guidelines. Ms. Paredes stated that slightly over 34% of the $248 Million dollars in awards went to MWBE subcontractors and that there was only one project awarded using good faith efforts. Ms. Paredes also reported that the category of Design-Build was added to the Diversity Programs. Within the CIRP Construction Workforce Program, Ms. Paredes reported that MSD is less than 1% away from meeting 30% minority and 7% women participation. Ms. Paredes explained that although there’s an increase in women participation, challenges exist with women working in the trades and MSD will focus on efforts to increase the availability of women. Ms. Paredes reported that there were 17 Design contract awards totaling $3.8 Million dollars with 33% in commitments to MWBE’s without any goals in place and on 118 Active contracts, MSD paid out $17 Million dollars or 40% of the payments on professional service contracts. In relation to the Small Contractor Program, Ms. Paredes pronounced her pride in this program at how minority and women contractors have the opportunity to work as Primes. Ms. Paredes explained that 509 projects were awarded with 34.6 percent of those awards going to minority and women prime contractors. The Small Contractor Program is an area, which continues to have significant growth for small contractors seeking to grow their capacity. Ms. Paredes communicated that MSD announced in January that regular meetings resumed with the CBA (Community Benefits Agreement) Signatories as of March 2018. It was reported that significant accomplishments continue to be made on CBA programs such as the Contractor Loan Fund; MSD Bud Job Training Program and First Source Hiring Programs in partnership with Slate as well as Education, Internship programs where MSD sponsors internships for disadvantaged high school students. MSD also sponsored 5 interns this past summer in Operations, IT, Finance and Information Governance and three candidates completed the SIUE Environmental Resource Training Certification Program and Ms. Parades was happy to announce that 1 of those recipients is now employed by MSD. Ms. Paredes closed with an update on MSD’s Diversity Reporting system and the Tunneling OJT Training Program currently on four tunneling jobs: 3 MSD sponsored, Upper Maline Creek, Maline Creek, and Deer Creek Sanitary Tunnel and 1 contractor sponsored Jefferson Barracks Tunnel. Ms. Paredes expressed that they have focused their efforts on retention of the workforce on these tunneling projects, but overall these projects have been very successful with workforce goals. Rev -Edited 1/19/19 Pg. 6 Lastly, Ms. Paredes announced that the report information over the past year is provided in the form of an Annual Report that highlights the faces of diversity throughout the district and community as a reference to Diversity’s annual information. There were no questions from the Board, but many congratulations were offered. Thank you Mr. Chairman, this concludes my report. Comments from the Public: Steve Lewis from AGC, Associated General Contractors, congratulated MSD on a successful diversity and inclusion supplier diversity program and then addressed the board about Ordinance 15031 on the Board Agenda. Mr. Lewis stated that AGC, disputes the proposed sole source related to the project and that AGC believes that a project of this magnitude should be competitively bid. Mr. Lewis then expressed that AGC supports and promotes a diverse business and community work force and thanked the Board for listening. Trustee Faul then asked for Ordinance 15031 to be introduced only. No adoption was made for Ordinance 15031. ~ ~ ~ ~ ~ Submission of Public Hearing Reports: None CONSENT AGENDA: The Secretary-Treasurer asked if there were any other board members who would like to pull any other items for a separate vote within the Consent Agenda. Adoption of Proposed Ordinance No. 14975 - CSO Volume Reduction Green Infrastructure – Blair Homes (13229) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with Blair Homes Partners, LLC for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Blair Homes (13229) in the City of St. Louis, Missouri. Adoption of Proposed Ordinance No. 14976 - CSO Volume Reduction Green Infrastructure – Pelican Bldg. Parking Lot (13218) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with MBR Shenandoah LLC for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Pelican Bldg. Parking Lot (13218) in the City of St. Louis, Missouri. Adoption of Proposed Ordinance No. 14977 - Sulphur Yard – Vactor Truck Disposal Building (12835) Making a supplemental appropriation of Fifty Thousand Dollars ($50,000.00) from the Sanitary Replacement Fund to be used for wastewater treatment plant construction in Sulphur Yard – Vactor Truck Disposal Building (12835) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to amend Contract No. 21093 with Korte & Luitjohan Contractors, Inc. for the aforesaid wastewater treatment plant construction. Adoption of Proposed Ordinance No. 14978 - University City I/I Reduction – East (WC-01, WC- 02, & WC-03) Part 2 (11671) Making a supplemental appropriation of Sixty Thousand Dollars ($60,000.00) from the Sanitary Replacement Fund to be used for private I/I removal and storm sewer construction in University City I/I Reduction – East (WC-01, WC-02, & WC-03) Part 2 (11671) in the Cities of Greendale, Normandy, Pagedale, and the Village of Glen Echo Park, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to amend Contract No. 20790 with Pavement Solutions, LLC for the aforesaid private I/I removal and storm sewer construction. Adoption of Proposed Ordinance No. 14984 - Baxter Road #273 and #301 Storm Sewer (11593) Appropriating One Hundred Sixty Thousand Dollars ($160,000.00) from the Districtwide Stormwater Fund to be used for storm sewer construction in Baxter Road #273 and #301 Storm Sewer (11593) in the City of Ballwin, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21678 with Enterprise Sewer & Drain for the aforesaid storm sewer construction. Adoption of Proposed Ordinance No. 14985 - Schuetz Road and Willow Brook Cove Storm Sewers (11511) Appropriating One Hundred Seventy Thousand Dollars ($170,000.00) from the Districtwide Stormwater Fund to be used for storm sewer construction in Schuetz Road and Willow Brook Cove Storm Sewers (11511) in Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21679 with Pace Construction Company for the aforesaid storm sewer construction. Rev -Edited 1/19/19 Pg. 8 Adoption of Proposed Ordinance No. 14986 - Hermitage Sanitary Relief (SKME-615) (10863) Declaring the necessity for the acquisition of easements and temporary easements in certain real property within The Metropolitan St. Louis Sewer District for the purpose of construction of sewers and related appurtenances in the project known as Hermitage Sanitary Relief (SKME-615) (10863) in the City of Frontenac, Missouri to serve the needs of residents of the area, and authorizing staff to proceed with further condemnation efforts related to the project, including but not limited to the purchase and/or the filing of all necessary court pleadings or documents to commence and prosecute formal legal proceedings for the acquisition of said easements and temporary construction easements. Adoption of Proposed Ordinance No. 14987 - Woods Mill Sanitary Relief (I-64 to Brook Mill Ln) (12296) Declaring the necessity for the acquisition of easements and temporary easements in certain real property within The Metropolitan St. Louis Sewer District for the purpose of construction of sewers and related appurtenances in the project known as Woods Mill Sanitary Relief (I-64 to Brook Mill Ln.) (12296) in the City of Town and Country, Missouri to serve the needs of residents of the area, and authorizing staff to proceed with further condemnation efforts related to the project, including but not limited to the purchase and/or the filing of all necessary court pleadings or documents to commence and prosecute formal legal proceedings for the acquisition of said easements and temporary construction easements. Adoption of Proposed Ordinance No. 14988 - DC-02 & DC-03 Sanitary Relief (Brentwood Blvd to Conway Rd) Phase III and IV (12472) Declaring the necessity for the acquisition of easements and temporary easements in certain real property within The Metropolitan St. Louis Sewer District for the purpose of construction of sewers and related appurtenances in the project known as DC-02 & DC-03 Sanitary Relief (Brentwood Blvd to Conway Rd) Phase III and IV (12472) in the City of Ladue, Missouri to serve the needs of residents of the area, and authorizing staff to proceed with further condemnation efforts related to the project, including but not limited to the purchase and/or the filing of all necessary court pleadings or documents to commence and prosecute formal legal proceedings for the acquisition of said easements and temporary construction easements. Adoption of Proposed Ordinance No. 14989 - Real Estate Brokerage Services – McArthur & Associates, Inc. Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a general services agreement with McArthur & Associates, Inc., whereby McArthur & Associates, Inc. will provide the District with Real Estate Brokerage Services by performing services associated with the disposal of certain properties that are not needed by the District. Adoption of Proposed Ordinance No. 14990 - Coldwater Creek WWTF Final Clarifiers Replacement (12504) Making a supplemental appropriation of Two Hundred Thousand Dollars ($200,000.00) from the Sanitary Replacement Fund to be used for engineering during construction phase services in Coldwater Creek WWTF Final Clarifiers Replacement (12504) in Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary- Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Amendment No. 3 to Contract No. 20336 with Donohue & Associates, Inc. for the aforesaid engineering during construction phase services. Adoption of Proposed Ordinance No. 14991 - Flow Metering and Monitoring (2017) (12759) Making a supplemental appropriation of Two Million Five Hundred Thousand Dollars ($2,500,000.00) from the General Fund to be used for flow meter and monitoring in Flow Metering and Monitoring (2017) (12759) District-wide; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Amendment No. 2 to Contract No. 20477 with ADS Environmental Services for the aforesaid flow meter and monitoring. Adoption of Proposed Ordinance No. 14992 - General Services Agreement – Landscape Design (2019) (13044) Appropriating Two Hundred Fifty Thousand Dollars ($250,000.00) from the General Fund to be used for general landscape design services in General Services Agreement – Landscape Design (2019) (13044) throughout The Metropolitan St. Louis Sewer District Service Area; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21698 with DTLS Inc. for landscape design for green infrastructure, bank stabilization, and other unique technical services. Adoption of Proposed Ordinance No. 14994 - General Services Agreement –Property Appraisal (2018) Contract B (12383) Making a supplemental appropriation of Sixty Thousand Dollars ($60,000.00) from the General Fund to be used for property appraisal services in General Services Agreement – Property Appraisal (2018) Contract B (12383) at various locations within the District; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Amendment No. 1 to Contract No. 21641 with Mueller & Neff Real Estate Appraisers & Consultants for property appraisal services associated with the acquisition of easements and property rights by negotiation or condemnation.
