LOUIS SEWER DISTRICT September 15, 2016 at 5:00 p.m. The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members M.E. All approved. Upon motion made by Trustee Yates, moved by Trustee Bobo and seconded by Trustee Bonner, the Board moved into open session. All approved. The 1582nd meeting was called to order at 5:08 p.m. Trustee Yates asked for the approval of the Journal of preceding minutes. Motion was made by Trustee Bonner and seconded by Trustee Bobo to approve the August 11, 2016, 1581st Journal. If a member of the public has questions, please present them in writing so that MSD can research and respond. Thank you. ~ ~ ~ ~ ~ Trustee Bobo reported that the Audit Committee met at 7:30 AM on Tuesday, August 30, 2016. In attendance were Trustees Bobo, Bonner, Faul, Mandel, Singer, and Yates. The Committee approved the minutes from the July 11 meeting. The Chairman had no comments. Rubin Brown presented and provided an overview of the Auditor Communications report addressing the audits of the financial statements for the Employees’ Pension, Deferred Compensation, and Defined Contribution plans, stating that the plans were audited in accordance with Generally Accepted Auditing Standards and that clean opinions were issued for each plan. The audit engagements were performed according to the planned scope and the schedule communicated previously. No difficulties or disagreements with Management were encountered when performing the audits, and there were no known, likely or uncorrected misstatements identified during the audits of the three plans. Staff presented the report for the engagement titled “Review of the Fleet Management Process”, which focused on the procedures and controls for managing the District’s vehicle fleet as well as the District’s vehicle fuel. The engagement included testing of fuel transactions for the period of September 1, 2015 through April 30, 2016. Staff presented and explained the scope, objectives and methodology used for the engagement. The engagement received a satisfactory rating, as no significant deficiencies were identified during the engagement. Three Opportunities for Improvement were presented. Questions and concerns were addressed by Staff as they were received from the Committee. Next, Staff held a brief discussion with the Board regarding the upcoming RFP process for the financial audit contract. According to Charter Section 7.080, the District is required to change financial statement auditors at least every five years. The current firm, Rubin Brown, is currently in the process of completing its’ fifth year of auditing services. At approximately 8:10 a.m. the Board unanimously voted to go into closed session. Closed session was ended by roll call vote at approximately 8:25 a.m. and the meeting was then adjourned. The next meeting is tentatively scheduled for Tuesday, October 4, 2016. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ Edited 4/6/18 Pg. 3 Trustee Singer reported that the Program Management Committee met on August 30, 2016 at 8:29 a.m. The meeting was attended by Trustees Singer, Faul, Bonner, Yates, Mandel, and Bobo. The minutes of the August 2, 2016 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ordinance No. 14502 – CSO Green Infrastructure Grant Agreement – St. Margaret of Scotland. Staff provided details on the Green Infrastructure Grant for this project. This ordinance on tonight’s agenda will authorize staff to enter into the agreement for this project. The grant program is part of the District’s efforts to reduce combined sewer overflows to the Mississippi River as required by the consent decree. Melantha Norton of the District’s Engineering staff then gave a brief presentation on the overall Green Infrastructure Grant Program and answered questions from the Committee about the specifics of the materials used. Ordinance No. 14504 – DC-02 & DC-03 Sanitary Relief – Staff provided details of this ordinance which will provide a planned partial appropriation for this multi-year construction project. A similar planned partial appropriation for the Maline Creek CSO Local Storage Facility is also on tonight’s agenda as Ordinance No. 14506. This major project is also being funded over multiple years. Ordinance Nos. 14513 through 14515 – Emergency Repair #056 – Staff requested action on three ordinances resulting from flood damage that occurred at the Fenton Wastewater Treatment Plant during the August 15, 2016 rain event. One ordinance will provide for funding of the emergency repair work; the remaining two authorize staff to enter into a construction contract, and the design/construction management contract to complete the work. Staff gave an update on the status of the emergency work and mitigation efforts at the treatment plant. Staff answered questions from the Committee regarding MBE participation on emergency projects. Staff recommended introduction and adoption for these three ordinances. Ordinance No. 14516 – Riverside & Yarnell Forensic Testing – Staff provided details for this action which will provide supplemental funds for this project. Staff answered questions from the Committee on the project’s issues. To keep the project moving expeditiously, staff recommended introduction and adoption of this ordinance. Ordinance No. 14519 – Flow Metering and Monitoring – Staff provided details for the District’s flow metering program that is currently performed with internal Operations’ staff. This ordinance, which is being recommended by Staff, will provide for the out- sourcing of this activity. There was an extensive conversation from the Board regarding the cost effectiveness for out-sourcing versus using in-house staff for this program. Ordinance No. 14520 – Mississippi Floodwall Pump Station Rehabilitation – Staff provided details for this engineering design contract. There were questions from the Committee regarding utilization of MWBE subs on Edited 4/6/18 Pg. 4 engineering professional services projects. There was a discussion on overall MWBE results on engineering professional service contracts and potential policy goals in the future. There were specific questions regarding MWBE subs for the County Treatment Facility Design project, which had a lower MWBE utilization. Staff then updated the Committee on the use of reinforced concrete pipe for sanitary sewers on District projects. Staff indicated that adjustments were made to strengthen the District’s specification for pipe quality and pipe joint integrity and that the use of this pipe had been reinstated on future projects. The meeting was adjourned at 10:06 a.m. The next Committee meeting is tentatively scheduled for Tuesday, October 4, 2016 at 7:45 a.m. ~ ~ ~ ~ ~ Trustee Bonner reported that The Finance Committee met on August 30, 2016 with Trustees Bonner, Faul, Mandel, Bobo, Yates and Singer in attendance. The minutes from the August 2, 2016 meeting were approved. The first item discussed on the agenda was the District's Operating Fund Portfolio as of August 26, 2016. Staff indicated that the portfolio complies with the District’s investment policy. Next, Staff and the District’s pension consultant, Pavilion, led a discussion focused on investment management fees and hedge funds. Rich Marra presented a summary of historical performance using active versus passive investment management in various asset classes. The analysis revealed an opportunity to improve performance by moving Large Cap Equity investments to low-fee index funds. Pavilion otherwise recommended that MSD maintain its current investment strategy but eliminate the Real Asset allocation and move that allocation to Core Real Estate to improve the risk/return profile. Pavilion also recommended continuing to utilize hedge funds to diversify the pension portfolio. Staff then updated the Board on an expected borrowing totaling $95.5 million from the State Revolving Fund (SRF). The SRF provides subsidized interest rates on loans obtained to construct clean water projects. A special Board meeting may be required to introduce and adopt an ordinance authorizing direct loan agreements of $20.0 million and $75.5 million with the State of Missouri to be repaid over 20 years. The next item on the agenda was a resolution that authorizes the staff to exercise an additional one-year contract option with Pavilion Advisory Group, Inc. to provide investment consulting services through the quarter ending September 30, 2017. This will be Resolution #3298 on tonight’s agenda. The meeting adjourned at approximately 11:08 a.m. The next tentatively scheduled meeting is Tuesday, October 4, 2016. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ Edited 4/6/18 Pg. 5 Trustee Bobo reported that the Stakeholder Relations Committee met at District Headquarters on Tuesday, August 30, 2016 at approximately 11:10 a.m. In addition to public attendance, those present at the meeting included Trustees Bobo, Bonner, Faul, Mandel, Singer and Yates, as well as District Directors and staff. Chairman Faul called roll and then proposed to move Agenda Item Nos. 4, 6, 7 and 8 to the October committee meeting. There were no further comments and by motion of the committee, the August 2nd meeting minutes were approved. The first agenda item was a discussion by Rich Unverferth and Vicki Taylor Edwards regarding MSD's On-The-Job Tunneling Training Program. An Ordinance for a contract amendment and supplemental appropriation are being requested. The activities planned will implement a Tunneling Training Program that will provide opportunities for minority and women journeymen or apprentices to gain experience in tunnel type work. The Program will be implemented on the Upper Maline Trunk Sanitary Relief Phase IV Section A and the Maline Creek CSO BP 051 & 052 Local Storage Facility projects. The goal of the Program is to train an additional 8 minority and/or women journeyman or apprentices unfamiliar with tunnel type work. The contractor will be responsible for meeting all workforce diversity goals as required by the Contract, prior to implementation of this Program. At the completion of the training the trainees will be skilled in tunneling type work. These are Ordinance Nos. 14521 and 14522 on tonight's Board agenda. The meeting was adjourned at approximately 11:25 a.m. The next committee meeting is tentatively scheduled for Tuesday, October 4, 2016. ~ ~ ~ ~ ~ Thank you Mr. Chair, I have a few items I would like to present this evening. Each year the National Association of Clean Water Agencies or NACWA presents Peak Performance Awards to those member agencies that achieve outstanding performance in treatment plant operations. I am happy to report that all seven of the District’s plants have received Peak Performance Awards for calendar year 2015. Silver Awards are also presented to facilities that have had five (5) or less violations in the calendar year. This award was presented to the District’s Bissell Point Treatment Plant. Gold Awards are presented to facilities that have achieved perfect compliance for a single year. This award was presented to the District’s Lemay, Grand Glaize, Missouri River and Coldwater Treatment Plants for their lack of violations during 2015. Platinum awards are presented to facilities that have achieved perfect compliance for five or more years. This was achieved by our Lower Meramec and Fenton Treatment plants for maintaining a perfect compliance record for eight consecutive years. Congratulations to all of our facilities for these achievements! Now, I’d like to ask the Director of Operations, Jon Sprague, to give the Semi Annual Report. Jon Sprague addressed the Board and explained why he has switched to Edited 4/6/18 Pg. 6 providing a Semi-Annual Regulatory Compliance Report, which helps to remain more efficient and aligns with the EPA reporting. This report focuses on high-level metrics and shows compliance that are important with the treatment plants, customer service aspects and collection systems. With our NPDES permit compliance; we received gold and platinum awards, our customer service emergency response and the number of collection system metrics that shows we are maintaining the capacity of our collection systems. Overall, a good first half of the year. Next, as part of its commitment to customer service, the District conducts two different types of customer surveying on an annual basis. The first type of surveying is titled the Post-Contact Customer Survey. Post-Contact surveying is conducted with customers that have proactively contacted the District with a service or billing issue. Each month, the District surveys 150 of these customers, with the number evenly split between service and billing calls. The results of this surveying are aggregated into quarterly reports that staff uses to monitor and improve our customer service. The type of surveying is titled the Annual Customer Satisfaction Survey. Customer Satisfaction surveying is conducted with a representative sample of all of the District’s customers. Versus the Post-Contact surveying, participants in the Customer Satisfaction Survey may or may not have contacted MSD with a service or billing issue during the course of the year. Customer Satisfaction surveying solicits feedback on a broad set of topics about MSD and its performance. I would like to invite Nick Jones, who is with our survey contractor, the ETC Institute, to provide the board and the public with the current results of this surveying. Nick Jones explained to the Board the various surveys given to customers; post contact survey and annual customer satisfaction survey. These surveys have been present since 2004 to gather input from customers who have contacted MSD for a billing or maintenance issues so that we may objectively evaluate the billing and field operations. Edited 4/6/18 Pg. 7 Over the course of the year, we have performed 1800 surveys; 150 a month equally between field and billing. For the second quarter, results were 452 surveys. The purpose of this contract is to provide District staff with information regarding separate sanitary, combined, and storm sewer system flows during dry and wet weather conditions at approximately 250 locations annually for durations ranging from three (3) months to twelve (12) months. This data is a diagnostic tool that will be used to meet Consent Decree requirements, refine hydraulic models, determine project effectiveness, and support inflow/infiltration (I/I) investigations. The data from these meters will also be used to support the District’s ongoing programs such as the CMOM, Asset Management, Sewer Prioritization, Stormwater Control Programs, the SSO Control Plan, the CSO Control Plan, and the Infiltration & Inflow Reduction Program. This contract for flow metering and monitoring is $2,500,000. Approximately 15% of the metering locations will be installed specifically to provide data at regulatory and billing sites. The remaining 85% of the meter locations will indirectly support Consent Decree requirements by providing pre and post construction data, updating models, and supporting other operational and engineering needs. This ordinance authorizes the District to enter into Contract #20476 with Black & Veatch Corporation for Engineering Design Services and for the preparation of Design Build project delivery solicitation documents including strategies, procedures, policies and processes for the District’s use and consideration, and 30% Design Build project delivery solicitation documents for Phase I of the Mississippi Floodwall ORS Pump Stations Rehabilitation (12483) project. The purpose of this project is to rehabilitate and/or replace the deteriorating components of the St. Louis Flood Protection System that are operated and maintained by the Metropolitan St. Louis Sewer District. Black & Veatch will also provide Advisory Services during the design, construction, and start-up after the selection is completed.
