LOUIS SEWER DISTRICT October 12, 2017 at 5:00 p.m. The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members J.P. Faul, Chair B.L. Hoelscher, Executive Director Rev. R. Bobo, Vice Chair T.R. Snoke, Secretary-Treasurer A.K. Mandel S.M. Myers, General Counsel M.E. Yates, Chair M. M. Gee, Director of Finance R.L. Singer Also present were: Trustee Faul called the meeting to order and made a motion to come out of closed session at 5:03 p.m. Trustee Faul’s motion was approved by Trustee Bobo and seconded by Trustee Yates. Roll call was taken and all Trustees were present. Trustee Faul asked for the approval of the September 14, 2017 and September 28th 2017 Journals of proceeding minutes. Motion was made by Trustee Yates and seconded by Trustee Bobo. Comments by Board Chair: None Report of Board Committees: Trustee Singer reported that The Audit Committee met at 7:30 AM on Tuesday, October 3, 2017. In attendance were Trustees Singer, Bobo, Bonner, Mandel, and Yates. The Committee approved the minutes from the September 5 meeting. The Chairman had no comments. Staff reported on the status of previously-issued audit recommendations, stating that of the 168 recommendations issued by Internal Audit since April of 2011, 148 or 88% of the recommendations have been implemented. Staff went on to provide a status update for the twenty recommendations that currently remain open as of October 2017. Staff continued the meeting by presenting a summary of the Internal and External Audit activities that are currently in progress. Questions from the Committee regarding the scope of certain engagements were discussed and addressed by Staff. The meeting adjourned at approximately 7:55 am. The next meeting is tentatively scheduled for Thursday, October 31, 2017. This concludes the Audit Committee Report. The minutes of the September 5, 2017 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ord. No. 14801 and Ord. No. 14803 through Ord. No. 14805 – Staff provided details regarding four CSO Green Infrastructure Grant Agreements to be approved by the Board and gave a brief presentation about the overall Green Infrastructure Program and the use of these Grants. The CSO Green Infrastructure Program is part of the District’s Consent Decree commitment to capture stormwater within the combined sewer area thus reducing combined sewer overflows to the Mississippi River. Staff requested Ordinance No. 14801 be considered for Introduction and Adoption to allow for the owners to expedite the construction to complete the work within the Fall construction season. Trustee Rev. Bobo disclosed to the Committee his involvement with Ordinance No. 14801 and indicated that he would be abstaining on any vote. Staff also addressed questions regarding the life of the Green facilities. Ord. No. 14812 – Patrina Court Bank Stabilization – Staff requested authorization to proceed to further condemnation efforts to acquire a temporary construction license on a single property to allow for the construction of approximately 685 lineal feet of natural channel stabilization and appurtenances. The purpose of the project is to stabilize the existing creek bank from further erosion that is threatening 9 properties. The District has been unable to negotiate a settlement with the final owner. This owner does not benefit from the project but is needed to access and construct the improvements. Staff will continue to negotiate with the owner but is requesting authorization to continue the acquisition process and keep the project on schedule. There was a discussion between Staff and the Committee regarding funding and prioritization of stormwater erosion projects throughout the District. The Committee requested various documents from staff regarding the current state of Stormwater funding for improvements within the District. The meeting was adjourned at 8:53 a.m. The next Committee meeting is tentatively scheduled for Tuesday, October 31, 2017 at 8:00am. ~ ~ ~ ~ ~ Edited 10/30/17 Pg. 3 Trustee Bobo reported that the Stakeholder Relations Committee met at District Headquarters on Tuesday, October 3, 2017 at approximately 9:04 a.m. In addition to public attendance, those present at the meeting included Trustees Bobo, Bonner, Faul, Mandel, Singer and Yates, as well as District Directors and staff. Trustee Bobo called roll, had no further comments and by motion of all Trustees, approved the September 5, 2017 committee meeting minutes. The first item was a discussion by Brian Hoelscher regarding the upcoming schedule for the Rate Commission. An Introduction and Orientation meeting was scheduled for Thursday, October 5th with two meetings following in November and December 2017. Brian indicated that all Trustees were invited to attend these meetings and should notify him if they plan to do so. Brian also indicated that he will continue to inform the Trustees of all future meetings. There is no Board action required at this time. The next item was a discussion by Lance LeComb regarding a contract renewal for State Legislative Lobbying Services. A Resolution authorizing a one-year renewal will continue services provided by Kyna Iman, LLC. This is Resolution No. 3375 on tonight's Agenda. The next item was a discussion by the General Counsel, Susan Myers, regarding an Ordinance authorizing the execution of a modification to the Consent Decree. The modification will adjust the Consent Decree schedule to accommodate new regulatory requirements and schedules that were not known when the Consent Decree was entered. It will provide MSD with the ability to maintain affordable MSD services by extending the Consent Decree implementation schedule 5 years and will add $20 million dollars of Green Infrastructure work in the River Des Peres Watershed. This is Ordinance No. 14823 on tonight's Agenda. The meeting was adjourned at approximately 9:27 a.m. The next meeting date is tentatively scheduled for Tuesday, October 31st. ~ ~ ~ ~ ~ Trustee Bonner reported that The Finance Committee met on October 3, 2017 with Trustees Bonner, Bobo, Yates, Singer, Mandel and Faul in attendance. The minutes from the September 5, 2017 meeting were approved. The first item on the agenda consisted of a review of the District’s Employees’ Pension Plan Actuarial Valuation report as of December 31, 2016, by Bill Winningham of Milliman. The actuarial valuation of the Plan is intended to determine the recommended level of employer contribution for the 2017 calendar year and to assess the relative funded position of the plan on an ongoing basis. The funded status was 82% as of December 31, 2016. Mr. Winningham also reported on the Governmental Accounting Standards Board’s new accounting standards for public pension plans and participating employers. The next item discussed on the agenda was the Design Build construction process and related procedures. Design Build is an alternative delivery process to the traditional Design, Bid, Build process and its use may be more advantageous depending on the type of project. Staff then reviewed an ordinance that authorizes changes to sections of the Purchasing Ordinance 14397 that includes adding additional language relating to the Design Build delivery method, combining it with previous language regarding alternative delivery contracts. This will be Ordinance 14824 on tonight’s agenda. The next item discussed on the agenda was a resolution that authorizes staff to modify the Edited 10/30/17 Pg. 4 Approved Securities Dealers list. This action will allow staff to purchase investments from additional providers, within the parameters of the District’s Investment Policy, thereby increasing competition and potentially reducing cost. This is Resolution #3376 on tonight’s agenda. Next on the agenda was a staff review of the District's Operating Fund Portfolio as of September 30, 2017. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. Staff then gave an update on the Water Infrastructure Finance and Innovation Act (WIFIA) program. WIFIA provides long-term, low-cost supplemental loans for regionally and nationally significant projects. MSD was one of the 12 entities across the nation selected to apply for a loan from the program. The application fee is $100,000 and is non-refundable. Staff indicated that funds were previously budgeted to cover debt issuance cost such as this fee and the Board will be notified if the fee is paid. The meeting adjourned at 10:53 a.m. The next tentatively scheduled meeting is Tuesday, October 31, 2017. This concludes the Finance Committee Report. ~~~~~~ Comments by the Executive Director: Thank you Mr. Chair, I have a few items I would like to present this evening. Each year the National Association of Clean Water Agencies or NACWA presents Peak Performance Awards to those member agencies that achieve outstanding performance in treatment plant operations. I am happy to report that all seven of the District’s plants have received Peak Performance Awards for calendar year 2016. Silver Awards are also presented to facilities that have had five (5) or less violations in the calendar year. This award was presented to the District’s Lemay Treatment Plant. Gold Awards are presented to facilities that have achieved perfect compliance for a single year. This award was presented to the District’s Bissel, Grand Glaize, Missouri River and Coldwater Treatment Plants for their lack of violations during 2016. Platinum awards are presented to facilities that have achieved perfect compliance for five or more years. This was achieved by our Lower Meramec and Fenton Treatment plants for maintaining a perfect compliance record for nine consecutive years. Congratulations to all of our facilities for these achievements! Thank you Mr. Chairman, this concludes my report. ~ ~ ~ ~ ~ Edited 10/30/17 Pg. 5 Comments from the Public: Mr. and Mrs. Teepe (Teh-Pee): Addressed the board about their neighborhood flooding issues that have affected their homes located in Webster Groves, in Dec 2015 and April 2017. Mr. and Mrs. Teepe shared their concerns with the Board and mentioned they have asked MSD to inspect their properties on several occasions only to be told that it was not an MSD problem. Mrs. Teepe asked for the Board’s assistance in having the properties re-inspected to prevent further flooding in the future and damage to their property. In addition, Mr. and Mrs. Teepe, passed out images of the flood and shared photos of their homes, the damage and the surrounding homes that were impacted. Mr. and Mrs. Teepe were joined in their complaint by two other homeowners who were also affected by the flooding, David Gray and Martha LaFata, who provided a historical overview of the flooding issues and the work performed in previous years she believes may have been the cause for their floods in 2015 and 2016. Rich Unverferth, Director of Engineering, informed the Board that they were aware of the situation and would investigate and report to the Board what they discover at the upcoming Committee Meeting. The Executive Director also addressed the Board and noted that MSD would also notify the Webster Groves residents, present this evening, of the upcoming Committee Meeting on October 31, 2017, so that they may also be present to attend. Proposed Ord. No. 14801 was presented and read. This ordinance authorizes the District to enter into an agreement with the West Side Missionary Baptist Church to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the Mississippi River per the Long Term Control Plan. This project will reduce runoff volume with the installation of Stormtech underground infiltration chambers. Total cost of the project is estimated at $360,000 and the West Side Missionary Baptist Church is requesting approximately $360,000 reimbursement for the cost of green infrastructure.
