6-5-2007AGREEMENTFORPROFESSIONALSERVICESThisAgreementismadeandenteredintoasofthejd)dayofJune,2007,byandbetweentheCARSONREDEVELOPMENTAGENCY,amunicipalcorporation,hereinaftercalled(“Agency”)andMAYER,HOFFMAN,MCCANN,P.C.,aCaliforniacorporation(“Auditors”).RECITALSA.Auditorisspeciallytrained,experiencedandcompetenttoperformthespecialserviceswhichwillberequiredbythisAgreement;andB.Auditorpossessestheskill,experience,ability,background,certificationandknowledgetoprovidetheservicesdescribedinthisAgreementonthetermsandconditionsdescribedherein.C.AgencydesirestoretainAuditortorenderprofessionalauditingservicesassetforthinthisAgreement.AGREEMENT1.ScopeofServices.AuditorshallperformtheservicesdescribedonExhibitA[AUDITOR’SPROPOSAL]whichisincorporatedhereinbyreference.Auditorshallprovidesaidservicesatthetime,place,andinthemannerspecifiedinAttachment1ofExhibitA,subjecttothedirectionoftheAgencythroughitsstaffthatitmayprovidefromtimetotime.2.TimeofPerformance.TheservicesofAuditoraretocommenceuponexecutionofthisAgreementandshallcontinueuntilallauthorizedworkisapprovedbytheAgency.3.Compensation.CompensationtobepaidtoAuditorshallbeinaccordancewiththeScheduleofChargessetforthinExhibitA,whichisattachedheretoandincorporatedhereinbyreference.InnoeventshallAuditor’scompensationexceedtheamountsspecifiedinExhibitAwithoutadditionalauthorizationfromtheAgency.PaymentbyAgencyunderthisAgreementshallnotbedeemedawaiverofdefects,evenifsuchdefectswereknowntotheAgencyatthetimeofpayment.4.MethodofPayment.AuditorshallsubmitmonthlybillingstoAgencydescribingtheworkperformedduringtheprecedingmonth.Auditor’sbillsshallincludeabriefdescriptionoftheservicesperformedandtheperiodforwhichtheserviceswereperformed.AgencyshallpayAuditornolaterthan30daysaflerapprovalofthemonthlyinvoicebyAgencystaff. 5.ExtraWork.AtanytimeduringthetermofthisAgreement,AgencymayrequestthatAuditorperformExtraWork.Asusedherein,“ExtraWork”meansanyworkwhichisdeterminedbyAgencytobenecessary,butwhichthepartiesdidnotreasonablyanticipatewouldbenecessaryattheexecutionofthisAgreement.Auditorshallnotperform,norbecompensatedfor,ExtraWorkwithoutauthorizationfromAgency.6.Termination.ThisAgreementmaybeterminatedbyAgencyimmediatelyforcauseorbyeitherpartywithoutcauseuponfifteendaywrittennoticeoftermination.Upontermination,Auditorshallbeentitledtocompensationforservicesperformeduptotheeffectivedateoftermination.7.OwnershipofDocuments.Allplans,studies,documentsandotherwritingspreparedbyandforAuditor,itsofficers,employeesandagentsandsubcontractorsinthecourseofimplementingthisAgreement,exceptforauditworkingpapers,notes,andinternaldocumentsdeterminedtobethepropertyoftheauditorunderprofessionalauditingstandards,shallbecomethepropertyoftheAgencyuponpaymentstoAuditorforsuchwork,andtheAgencyshallhavethesolerighttousesuchmaterialsinitsdiscretionwithoutfurthercompensationtoAuditorortoanyotherparty.Auditorshall,atAuditor’sexpense,providesuchreports,plans,studies,documentsandotherwritingstoAgencyuponwrittenrequest.8.Auditor’sBooksandRecords.a.Auditorshallmaintainanyandallledgers,booksofaccount,invoices,vouchers,canceledchecks,andotherrecordsordocumentsevidencingorrelatingtochargesforservices,orexpendituresanddisbursementschargedtoAgencyforaminimumperiodofthree(3)years,orforanylongerperiodrequiredbylaw,fromthedateofthefinalperiodauditedbyAuditor.b.AuditorshallmaintainalldocumentsandrecordswhichdemonstrateperformanceunderthisAgreementforaminimumperiodofthree(3)years,orforanylongerperiodrequiredbylaw,fromthedateofterminationorcompletionofthisAgreement.c.AnyrecordsordocumentsrequiredtobemaintainedpursuanttothisAgreementshallbemadeavailableforinspectionoraudit,atanytimeduringregularbusinesshours,uponwrittenrequestbytheAgencyExecutiveDirector,AgencyCounsel,AgencyFiscalOfficeroradesignatedrepresentativeoftheseofficers,exceptfortheitemsexcludedinparagraph7above.CopiesofsuchdocumentsshallbeprovidedtotheAgencyforinspectionatCityHallwhenitispracticaltodoso.Otherwise,unlessanalternativeismutuallyagreedupon,therecordsshallbeavailableatAuditor’saddressindicatedforreceiptofnoticesinthisAgreement.d.WhereAgencyhasreasontobelievethattherecordsordocumentsaddressedinthissectionmaybelostordiscardedduetodissolution,disbandmentorterminationofAuditor’sbusiness,Agencymay,bywrittenrequestbyanyoftheabove-namedofficers,requirethatcustodyoftherecordsbegiventotheAgencyandthattherecordsanddocumentsbe maintainedinCityHall.AccesstosuchrecordsanddocumentsshallbegrantedtoanypartyauthorizedbyAuditor,Auditor’srepresentatives,orAuditor’ssuccessor-in-interest.9.IndependentContractor.ItisunderstoodthatAuditor,intheperformanceoftheworkandservicesagreedtobeperformed,shallactasandbeanindependentcontractorandshallnotactasanagentoremployeeoftheAgency.AuditorshallobtainnorightstoretirementbenefitswhichaccruetoAgency’semployees,andAuditorherebyexpresslywaivesanyclaimitmayhavetoanysuchrights.10.InterestofAuditor.Auditor(includingshareholders,principals,associatesandprofessionalemployees)covenantsandrepresentsthatitdoesnotnowhaveanyinvestmentorinterestinrealpropertyandshallnotacquireanyinterest,directorindirect,intheareacoveredbythisAgreementoranyothersourceofincome,interestinrealpropertyorinvestmentwhichwouldbeaffectedinanymannerordegreebytheperformanceofAuditor’sserviceshereunder.AuditorfurthercovenantsandrepresentsthatintheperformanceofitsdutieshereundernopersonhavinganysuchinterestshallperformanyservicesunderthisAgreement.AuditorisnotadesignatedemployeewithinthemeaningofthePoliticalReformActbecauseAuditor:a.willconductresearchandarriveatconclusionswithrespecttohis/herrenditionofinformation,advice,recommendationorcounselindependentofthecontrolanddirectionoftheAgencyorofanyAgencyofficial,otherthannormalagreementmonitoring;andb.possessesnoauthoritywithrespecttoanyAgencydecisionbeyondrenditionofinformation,advice,recommendationorcounsel.(FPPCReg.198700(a)(2).II.ProfessionalAbilityofAuditor.AgencyhasreliedupontheprofessionaltrainingandabilityofAuditortoperformtheserviceshereunderasamaterialinducementtoenterintothisAgreement.AuditorshallthereforeprovideproperlyskilledprofessionalandtechnicalpersonneltoperformallservicesunderthisAgreement.AllworkperformedbyAuditorunderthisAgreementshallbeinaccordancewithapplicablelegalrequirementsandshallmeetthestandardofqualityordinarilytobeexpectedofcompetentprofessionalsinAuditor’sfieldofexpertise.12.CompliancewithLaws.Auditorshallusethestandardofcareinitsprofessiontocomplywithallapplicablefederal,stateandlocallaws,codes,ordinancesandregulations.13.Licenses.AuditorrepresentsandwarrantstoAgencythatithasallLicenses,permits,qualifications,insuranceandapprovalsofwhatsoevernaturewhicharelegallyrequiredofAuditortopracticeitsprofession.AuditorrepresentsandwarrantstoAgencythatAuditorshall,atitssolecostandexpense,keepineffectorobtainatalltimesduringthetermofthisAgreement,anylicenses,pennits,insuranceandapprovalswhicharelegallyrequiredofAuditortopracticeitsprofession.AuditorshallmaintainaCityofCarsonbusinesslicense. 14.InsuranceRequirements.a.Auditor,atAuditor’sowncostandexpense,shallprocureandmaintain,forthedurationofthecontract,thefollowinginsurancepolicies,asapplicabletotheservicesperformedunderthisagreement.i.Workers’CompensationCoverage.AuditorshallmaintainWorkers’CompensationInsuranceandEmployer’sLiabilityInsuranceforhis/heremployeesinaccordancewiththelawsoftheStateofCalifornia.Inaddition,AuditorshallrequireeachsubcontractortosimilarlymaintainWorkers’CompensationInsuranceandEmployer’sLiabilityInsuranceinaccordancewiththelawsoftheStateofCaliforniaforallofthesubcontractor’semployees.Anynoticeofcancellationornon-renewalofallWorkers’CompensationpoliciesmustbereceivedbytheAgencyatleastthirty(30)dayspriortosuchchange.TheinsurershallagreetowaiveallrightsofsubrogationagainstAgency,itsofficers,agents,employeesandvolunteersforlossesarisingfromworkperformedbyAuditorforAgency.ii.GeneralLiabilityCoverage.Auditorshallmaintaincommercialgeneralliabilityinsuranceinanamountnotlessthanonemilliondollars($1,000,000)peroccurrenceforbodilyinjury,personalinjuryandpropertydamage.Ifacommercialgeneralliabilityinsuranceformorotherformwithageneralaggregatelimitisused,eitherthegeneralaggregatelimitshallapplyseparatelytotheworktobeperformedunderthisAgreementorthegeneralaggregatelimitshallbeatleasttwicetherequiredoccurrencelimit.iii.AutomobileLiabilityCoverage.AuditorshallmaintainautomobileliabilityinsurancecoveringbodilyinjuryandpropertydamageforallactivitiesoftheAuditorarisingoutoforinconnectionwiththeworktobeperformedunderthisAgreement,includingcoverageforowned,hiredandnon-ownedvehicles,inanamountofnotlessthanonemilliondollars($1,000,000)combinedsinglelimitforeachoccurrence.iv.ProfessionalLiabilityCoverage.Auditorshallmaintainprofessionalerrorsandomissionsliabilityinsuranceforprotectionagainstclaimsallegingnegligentacts,errorsoromissionswhichmayarisefromAuditor’soperationsunderthisAgreement,whethersuchoperationbebytheAuditororbyitsemployees,subcontractors,orbyotherAuditors.Theamountofthisinsuranceshallnotbelessthanonemilliondollars($1,000,000)onaclaims-madeannualaggregatebasis,oracombinedsingle-limitperoccurrencebasis.b.Endorsements.EachgeneralliabilityandautomobileliabilityinsurancepolicyshallbewithinsurerspossessingaBest’sratingofnolessthanA:Vllandshallbeendorsedwiththefollowingspecificlanguage:i.TheAgency,itselectedorappointedofficers,officials,employees,agentsandvolunteersaretobecoveredasadditionalinsuredswithrespecttoliabilityarisingoutofworkperformedbyoronbehalfoftheAuditor,includingmaterials,partsorequipmentfurnishedinconnectionwithsuchworkoroperations. ii.ThispolicyshallbeconsideredprimaryinsurancewithrespecttotheAgency,itselectedorappointedofficers,officials,employees,agentsandvolunteers.AnyinsurancemaintainedbytheAgency,includinganyself-insuredretentiontheAgencymayhave,shallbeconsideredexcessinsuranceonlyandshal’notcontributetoit.iii.Thisinsuranceshallactforeachinsuredandadditionalinsuredasthoughaseparatepolicyhadbeenwrittenforeach,exceptwithrespecttothelimitsofliabilityoftheinsuringcompany.iv.AnyfailuretocomplywithreportingprovisionsofthepoliciesshallnotaffectcoverageprovidedtotheAgency,itselectedorappointedofficers,officials,employees,agentsorvolunteers.v.Theinsuranceprovidedbythispolicyshallnotbesuspended,voided,cancekd,orreducedincoverageorinlimitsexceptafterthirty(30)dayswrittennoticehasbeenreceivedbytheAgency.c.DeductiblesandSelf-InsuredRetentions.Anydeductiblesorself-insuredretentionsmustbedeclaredtoandapprovedbytheAgency.AttheAgency’soption,Auditorshalldemonstratefinancialcapabilityforpaymentofsuchdeductiblesorself-insuredretentions.d.CertificatesofInsurance.AuditorshallprovidecertificatesofinsurancewithoriginalendorsementstoAgencyasevidenceoftheinsurancecoveragerequiredherein.CertificatesofsuchinsuranceshallbefiledwiththeAgencyonorbeforecommencementofperformanceofthisAgreement.CurrentcertificationofinsuranceshallbekeptonfilewiththeAgencyatalltimesduringthetermofthisAgreement.15.Notices.AnynoticerequiredtobegivenunderthisAgreementshallbeinwritingandeitherservedpersonallyorsentprepaid,firstclassmail.Anysuchnoticeshallbeaddressedtotheotherpartyattheaddresssetforthbelow.Noticeshallbedeemedcommunicatedwithin48hoursfromthetimeofmailingifmailedasprovidedinthissection.IftoAgency:Mrs.JacquelynAcostaAdministrativeServicesGeneralManagerCarsonRedevelopmentAgency701EastCarsonStreetCarson,California90745IftoAuditor:KenAl-ImanMayerHoffmanMcCann,P.C.2301DupontDrive,Suite200Irvine,California92612 16.EntireAgreement.ThisAgreementconstitutesthecompleteandexclusivestatementofAgreementbetweentheAgencyandAuditor.Allpriorwrittenandoralcommunications,includingcorrespondence,drafts,memoranda,andrepresentations,aresupersededintotalbythisAgreement.17.Amendments.ThisAgreementmaybemodifiedoramendedonlybyawrittendocumentexecutedbybothAuditorandAgencyandapprovedastoformbytheAgencyCounsel.18.AssignmentandSubcontracting.ThepartiesrecognizethatasubstantialinducementtoAgencyforenteringintothisAgreementistheprofessionalreputation,experienceandcompetenceofAuditor.Assignmentsofanyorallrights,dutiesorobligationsoftheAuditorunderthisAgreementwillbepermittedonlywiththeexpressconsentoftheAgency.AuditorshallnotsubcontractanyportionoftheworktobeperformedunderthisAgreementwithoutthewrittenauthorizationoftheAgency.IfAgencyconsentstosuchsubcontract,AuditorshallbefullyresponsibletoAgencyforallactsoromissionsofthesubcontractor.NothinginthisAgreementshallcreateanycontractualrelationshipbetweenAgencyandsubcontractornorshallitcreateanyobligationonthepartoftheAgencytopayortoseetothepaymentofanymoniesduetoanysuchsubcontractorotherthanasotherwiserequiredbylaw.19.Waiver.WaiverofabreachordefaultunderthisAgreementshallnotconstituteacontinuingwaiverofasubsequentbreachofthesameoranyotherprovisionsunderthisAgreement.20.Severability.IfanytermorportionofthisAgreementisheldtobeinvalid,illegal,orotherwiseunenforceablebyacourtofcompetentjurisdiction,theremainingprovisionsofthisAgreementshallcontinueinfullforceandeffect.21.Execution.Thisagreementmaybeexecutedinseveralcounterparts,eachofwhichshallconstituteoneandthesameinstrumentandshallbecomebindinguponthepartieswhenatleastonecopyhereofshallhavebeensignedbybothpartieshereto.InapprovingthisAgreement,itshallnotbenecessarytoproduceoraccountformorethanonesuchcounterpart.22.AuthoritytoEnterAgreement.Auditorhasallrequisitepowerandauthoritytoconductitsbusinessandtoexecute,deliver,andperformtheAgreement.EachpartywarrantsthattheindividualswhohavesignedthisAgreementhavethelegalpower,right,andauthoritytomakethisAgreementandtobindeachrespectiveparty.23.ProhibitedInterests.Auditormaintainsandwarrantsthatithasnotemployednorretainedanycompanyorperson,otherthanabonafideemployeeworkingsolelyforAuditor,tosolicitorsecurethisAgreement.Further,Auditorwarrantsthatithasnotpaidnorhasitagreedtopayanycompanyorperson,otherthanabonafideemployeeworkingsolelyforAuditor,anyfee,commission,percentage,brokeragefee,giftorotherconsiderationcontingentuponorresultingfromtheawardormakingofthisAgreement.Forbreachorviolationofthiswarranty,AgencyshallhavetherighttorescindthisAgreementwithoutliability.ForthetermofthisAgreement,nomember,officeroremployeeofAgency,duringthetermofhisorherservice withAgency,shallhaveanydirectinterestinthisAgreement,orobtainanypresentoranticipatedmaterialbenefitarisingtherefrom.24.HoldHarmless.Auditorshallberesponsibleforanyandallinjuriestoordeathofanyperson,andforanyandalldamagetoanyandallrealorpersonalpropertyincludingAgency’sorothers,causedbyorresultingfromanyacts,errorsoromissionofAuditor,it’semployeesoritsagentsarisingoutoforconnectedwithrenditionofserviceshereunder.Auditorshalldefend,holdharmlessandindemnifytheAgencyandeachoftheirofficersandemployeesfromanyandallliabilityclaims,includingcosts,fordamagestorealorpersonalproperty,orpersonalinjuryordeath,resultingfromAuditor’s,it’semployeesoragents,acts,errorsoromissionsarisingoutoforconnectedwithrenditionofserviceshereunder.25.Non-AppropriationofFunds.PaymentdueandpayabletoAuditorforcurrentservicesarewithinthecurrentbudgetandwithinanavailable,unexhaustedandunencumberedappropriationoftheAgency.IntheeventtheAgencyhasnotappropriatedsufficientfundsforpaymentofAuditorservicesbeyondthecurrentfiscalyear,thisAgreementshallcoveronlythosecostsincurreduptotheconclusionofthecurrentfiscalyear.26.EmploymentofCarsonResidents.Tothegreatestextentfeasible,AuditorshallendeavortoemployresidentsoftheCityofCarsonintherenderingoftheservicesrequiredbythisAgreement.AllsolicitationsforemploymentarisinginwholeorinpartoutoftheexecutionofthisAgreement,whetherfull-orpart-time,neworreplacementhires,shallbelistedwiththeCarsonJobClearinghouse.InformationonhowtolistemploymentopportunitieswiththeseagenciesmaybeobtainedatCityHall.27.EqualOpportunityEmployment.Auditorrepresentsthatitisanequalopportunityemployeranditshallnotdiscriminateagainstanysubcontractor,employeeorapplicantforemploymentbecauseofrace,religion,color,nationalorigin,handicap,ancestry,sexorage.Suchnondiscriminationshallinclude,butnotbelimitedto,allactivitiesrelatedtoinitialemploymentupgrading,demotion,transfer,recruitmentorrecruitmentadvertising,layoffortermination.AuditorshallalsocomplywithallrelevantprovisionsofAgency’sMinorityBusinessEnterpriseprogram,AffirmativeActionPlanorotherrelatedprogramsorguidelinescurrentlyineffectorhereinafterenacted.
