THIRD AMENDMENT TO AGREEMENT CARSON REDEVELOPMENT AGENCY
PARSONS Project No. 919: Wilmington Avenue Interchange
Modification at the I-495 Freeway.
This Third Amendment to the Agreement for Professional Services .(the "Third
Amendment"), to be effective December 15, 2009, is hereby entered into by and
between the Carson . Redevelopment Agency (herein "Agency"), and Parsons
Transportation Group Inc. (Hereinafter called "Engineer"), and is an amendment to the
Agreement for Professional Services ("Agreement") executed by the parties and
effective as of September 5, 2006.

A, Agency and Engineer have entered into that certain "Agreement for Professional
Services" to perform the technical and professional services, m connection with the
project identified as: Project No. 919: Wilmington Avenue Interchange Modification at the
1-405 Freeway.
B. Accordingly, the parties desire to amend the Agreement to expand the
description of work and increase the compensation by $179,652.93 to perform work
beyond that provided in the original, the First Amendment, and the Second Amendment
description of work,
NOW, THEREFORE, in consideration of performance, by the parties hereto, of
the promises, covenants, and conditions herein contained, the parties hereto agree to
the terms of this Third Amendment and hereby amend the following provisions of the
Contract:
1. Section 3. Description of Work: is hereby amended, to add the additional
Scope of Work attached hereto as Exhibit "A" and incorporated herein by this reference,
2. Section 10. Comoensation: is hereby amended, to increase the total
compensation by an amount not -to -exceed one hundred seventy nine thousand six
hundred fifty two dollars and ninety three cents ($179,652.93) attached hereto as
Exhibit "B" and incorporated herein by this reference.
Except as amended by the First Amendment, the Second Amendment,
and this Third Amendment, all other provisions of the Contract shall remain unmodified
and in full force and effect.

Caltrans has offered ars option to eliminate the proposed work along the I-405 southbound off -
ramp in lieu of widening the outside lane and shoulder widths on the freeway mainline at the
ramp entrance to full standard in addition to constructing the ramp improvements. The widening
on the mainline would have increased the cost to the project by approximately $2 million while
the elimination of the ramp improvements would result in cost savings of $1 million to the City's
project. The work on the ramp is required under the Project Study Report (PSR) and the Draft
Project Report (DPR) but Caltrans has offered the City the option to eliminate this work frons the
City's project and Caltrans would complete this work in the fixture under a separate contract.
Tasks 1, 2, and 3 below show the additional engineering services required to incorporate these
changes into the Project Approval/Environmental Document (PA/ED) and the Plans,
Specifications, and Estimate (PS&E).
Furthermore it was determined by Shell Oil Company that modifications to their utility bridge
beneath the existing Dominguez Channel Bridge were also required for the project. This utility
bridge is wholly owned by the Shell Oil Company and it carries a number of oil pipe lines over
Dominguez Channel. The utility bridge is a completely separate structure and the required
modifications to facilitate widening of the Dominguez Channel Bridge became necessary after a
complete survey of the existing bridges was performed. Task 4 below shows the additional
design services that were required for the modification of the utility bridge.
Task I — Revise Project Report ($ 16,693.96)
Consultant will update the Project Report to reflect the elimination of improvements to the
southbound off -ramp. Consultant will update the project description, update the accident analysis
using current data, update the design exceptions description, revise layouts and exhibits, update
the transportation management plan, update the storm water data report., and revalidate the
CEQA and NEPA documentation accordingly.
Task 2 — Revise Design Exception — Fact Sheets ($5,407.16)
Consultant will update the advisory and mandatory design exceptions fact sheets to reflect the
elimination of improvements to the southbound off -ramp and will maintain coordination with
Caltrans towards the approval of the fact sheets.
Task 3 — Revise Plans, Specifications and Estimate ($ 42,96171)
Consultant will update the project plans to reflect the elimination of improvements to the
southbound off -ramp. The following sheets will be revised.

Consultant will update the quantity calculations and the engineers cost estimates accordingly.
Consultant will revise the project specifications to reflect the changes described above.
Task 4 — Modification of Utility Bridge ($ 59,089. 10)
Consultant scope of services includes site visits, meetings with Shell Company representatives
and hand measurements of the existing utility bridge. There are no as -built plans for the existing
utility bridge therefore, field surveys are necessary. Shell Oil Company has confin- zed the project
scope, method of construction, and Shell Oil Company requirements. Shell Oil Company
requirements need to be reflected both in the project specifications and the plans.
Consultant scope requires the preparation of utility bridge modification plans. The utility bridge
design modification process consists of developing constructions plans, modifying Dominguez
Channel Bridge Plans, preparing back up calculations, editing special provisions, preparing
quantity tape off and marginal estimates, and submittal to Caltrans for review and approval. b
addition, Dominguez Channel Bridge Foundation Report requires updates for existing and new
pile issues and submittals to Caltrans for review and approval.
A total of 4 drawings are required for the proposed modifications. A redesign of the Bent 6 of the
Dominguez Channel Bridge is necessary to avoid interference with the existing Beat 3 of the
utility bridge. Three Dominguez Bridge Channel drawings need to be revised for this purpose.
Task 5 — Potholing all existing Utility limes
Since there are numerous sensitive pipelines within Wilmington Avenue right-of-way, Caltrans
requested a precise horizontal location and vertical elevation of all utility lines to be shown on a
utility map. This task requires potholing of the existing pipelines using special soils vacuum
system equipment. The cost associated with this task is estimated at $49,000.00.
This project requires a permit from California Department of Fish and Game. The cost
associated with this permit is estimated at $4,000.00.
Reproduction cost is estimated at $2,500.00
