Agreement, Project 919THIS AGREEMENT FOR PROFESSIONAL SERVICES ("Agreement" herein) is made and entered into this Fifth day of September 20069 by and between the local public agency or agencies identified in Section 1 hereof (hereinafter called "Owner,), and PARSONS TRANSPORTATION GROUP INC.. (hereinafter called "Engineer"). WHEREAS, Owner desires to engage Engineer to perforin certain technical and professional engineering services, as provided herein, in connection with that certain project identified as: WILMINGTON AVENUE INTERCHANGE MODIFICATION AT THE 1405 FREEWAY, ECT N® 919 IEREAS, the principal members of Engineer are qualified professional engineers duly registered under the laws of the State of California., and Engineer desires to accept such engagement, NOW, THEREFORE, in consideration of performance by the parties of the promises, covenants, and conditions herein contained, the parties hereto agree as follows: 1m Parties to the AgEtement. A. Owner: The Carson Redevelopment Agency, a body corporate and politic, having its principal office at 701 East Carson Street, Carson, CA 90745. B. Engineer: PARSONS TRANSPORTATION GROUP INC. having its principal office at 2201 Dupont Drive, Suite 200, Irvine, CA 92612 2. Representatives of the Parties and Service of Notices. The representatives of the parties who are primarily responsible for the administration of this Agreement, and to whom formal notices, demands and communications shall be given, are as follows: A. The principal representative of the Owner shall be: Mr. M. Victor Rollinger, P.E. Development Services Group General Manager City of Carson 701 E. Haboian, P.E. Vice President (949) 263-9322 2201 Dupont Drive, Suite 200 Irvine, CA. 90071 C. Any notices, bills, invoices, or reports required by this Agreement shall be deemed received on (a) the day of delivery if delivered by hand during the other party's regular business hours or by facsimile before or during the other party's regular business hours; or (b) on the third business day following deposit in the United States mail, postage prepaid, to the addresses heretofore set forth in the Agreement, or to such other addresses as the parties may, from time to time, designate in Writing pursuant to the provisions of this section.. D. If the name of the principal representative designated to receive the notices, demands or communications, or the address of such person, is changed, Written notice shall be given Within five (5) Working days of said change. The agreement and the attached cost proposal are subject to a post award evaluation by Caltrans. After any post award evaluation recommendations are received, the cost proposal shall be adjusted by the Engineer and approved by the Owner to conform to the audit recommendations. The Engineer agrees that individual items of cost may be incorporated into the Agreement at the Owner's sole discretion. Refusal by the Engineer to incorporate the post award recommendations Will be considered a breach of the Agreement terms and cause for termination of the Agreement. Owner hereby engages Engineer, and Engineer accepts such engagement, to perform the technical and professional services set forth in the "Scope of Work" attached hereto as Exhibit "A." Engineer shall perforin and complete, in a manner reasonably satisfactory to Owner and in accordance with professional standards consistent with the standards of the industry for similar work in a similar locale under similar circumstances, all work and services set forth in Exhibit "A.". The Development Services Group (DSG) General Manager, or his designee, shall have the right to review and inspect the work during the course of its performance at such times as may he specified by the General Manager. The execution of this Agreement by the parties does not constitute an authorization to proceed. The services of Engineer shall commence when the Owner, acting by and through Professional Services Agreement, PARSONS City of Carson, Wilmington Ave / 1-405 Page 2 of 15 its DSG General Manager, has issued a Notice to Proceed. The work described in Exhibit "A" as Milestone 1 through Milestone 4 shall be completed within 1098 calendar days, and the Post Design Service shall be continued for 690 calendar days, for the total contract time of 1788 calendar days, following Engineer's receipt of the Notice to Proceed, in accordance with Exhibit "B" and Exhibit "C", project schedule and estimated fee. Engineer shall have no claire for compensation for any services or work which has not been. authorized in writing by the Owner's Notice to Proceed. ba Extension of_Time for Col l�f orkm A. If, at any time, the work is delayed due to suspension order by Owner, or due to any other cause which, in the reasonable opinion of the Owner, is unforeseeable and beyond the control and not attributable to the fault or negligence of Engineer, then Engineer shall be entitled to an extension of time equal to said delay, subject to the Owner's right to terminate this Agreement pursuant to Section 14. E< Engineer shall submit to Owner a written request for an extension of time within ten (10) days after the commencement of such delay, and failure to do so shall constitute a waiver thereof. Owner shall, in its sole discretion, determine whether and to what extent any extensions of time shall be permitted. C. No extension of time requested or granted hereunder shall entitle Engineer to additional compensation unless, as a consequence of such extension, additional work must be performed. In such event, Owner shall in good faith consider any request for additional compensation submitted by Engineer. Owner shall provide to Engineer, without charge, all data, including reports, records, reaps, and other information, now in the Owner's possession, which may facilitate the timely performance of the work described in Exhibit "A." Engineer is, and shall at all time remain as to Owner, a wholly independent contractor. Engineer shall have no power or authority to incur any debt, obligation, or liability on behalf of the Owner or otherwise act on behalf of Owner as an agent. Neither Owner nor any of its agents shall have control over the conduct of Engineer or any of Engineer's employees, except as set forth in this Agreement. Engineer shall not, at any time, or in any manner, represent that it or any of its agents or employees are in any manner agents or employees of Owner. Engineer agrees to pay all required taxes on amounts paid to Engineer under this Agreement, and to indemnify and hold Owner harmless from any and all taxes, assessments, penalties, and interest asserted against Owner by reason of the independent contractor relationship created by this Agreement. Engineer shall fully comply with the workers' compensation law regarding Engineer and Engineer's employees. Engineer further agrees to Professional Services Agreement, PARSONS City of Carson, Wilmington Ave / 1-405 Page 3 of 15 indemnify and hold Owner harmless from any failure of Engineer to comply with applicable worker's compensation laws. Owner shall have the right to offset against the amount of any fees due to Engineer under this Agreement any amount due to Owner from Engineer as a result of Engineer's failure to promptly pay to Owner any reimbursement or indemnification arising wader this section. A. All services required under this Agreement will be performed by Engineer, or under Engineer's direct supervision, and all personnel shall possess the qualifications, permits and licenses required by State and local Taw to perform such services, including, without limitation, a City of Carson business license as required by the Carson Municipal Code. E. Engineer shall be solely responsible for the satisfactory Work performance of all personnel engaged in performing services required by this Agreement. C. Engineer shall be responsible for payment of all employees' and subcontractor's Wages and benefits, and shall comply With all requirements pertaining to employer's liability, Workers' compensation, unemployment insurance, and Social Security, and any other employee benefits. D. Engineer shall indemnify and hold harmless the Owner from any liability, damages, claims, costs and expenses of any nature arising from alleged violations of personnel practices. 10 Com ensationm The Owner agrees to pay or reimburse to the Engineer in accordance With the following: A. The basis of payment for the services provided under this Agreement, through completion of Milestone 4 and Dost Design Service of the Scope of Work, shall be based on time and material not to exceed the amount on 9.A(5). (1) Owner shall reimburse the Engineer for actual hours incurred by the Engineer in performance of the Work per discipline at the billing rates as indicated on Exhibits "C". Annual escalation may be allowed in Owner's sole discretion at a rate not to exceed 5% commencing in January of each year. (2) Owner shall reimburse Engineer for its direct non -salary costs which are directly attributable and properly allocable to the project. Direct non -salary costs include Engineer's payment to others engaged by Engineer on Work necessary to falfill the terms of this Agreement as indicated on Exhibit 6613,9, attached hereto, and incorporated by this reference. Professional Services Agreement, PARSONS City of Carson, Wilmington Ave / I-405 Page 4 of 15 (3) Owner shall reimburse Engineer, in accordance with Department of Personnel Administration. (DPA) Guidelines, for travel expense of Engineer necessary to fulfill the terms of this agreement which have been approved in advance in writing by Owner, including airfare and out-of-pocket costs, for employees while away frorrl their regular place of duty and directly engaged on. the project. (4) Owner shall reimburse Engineer, for the cost principles for CFR 48 Part 31, and the Uniform Administrative Requirements CFR 49 Part 18. (5) The amount eligible to be earned under section 9.A.(1), 9.A.(2), and 9.A.(3) shall not exceed $1,804,200.00. E. Engineer's invoices shall be submitted once every month and shall include the number of hours worked for each discipline listed on Exhibit "B" at the hourly billing rates for employees engaged on the project. Owner shall pay said invoices within thirty (30) days following receipt from Engineer and approval by Owner original invoices. Invoicing shall be on mutually satisfactory forms. 11. Retainage. The Owner will withhold 5% of each progress payment. The amount retained for each phase of the work shall be paid after satisfactory performance and completion of each Milestone of the work as defined in Exhibit "A", Scope of Work 12. Extra Work. For services rendered by Engineer not included in Exhibit "A", but required in writing by Owner, Owner agrees to reimburse Engineer in an amount equal to the hourly billing rates, plus the applicable costs as identified under Section 9.A.(2), above. 13. Service Duri IZjL2UaIEMqjM For construction -related services beyond those described in Post Design Services of the Scope of Work, Owner reserves the right, in its discretion, to require Engineer to perform additional follow-up service. In performing additional service during construction, Engineer shall keep an accurate record of all time worked by Engineer's personnel and shall bill Owner for all time actually worked. Payment to Engineer for additional services during construction shall be based upon the actual time worked by Engineer's personnel at the contract hourly billing rates then in effect. Reimbursement to the Engineer for such construction -related services shall be on a time and material basis. The amount of effort required, the services to be performed, and the maximum compensation will be determined by mutual agreement. Professional Services Agreement, PARSONS City of Carson, Wilmington Ave / 1-405 Page 5 of 15 Notwithstanding anything in this Agreement, Engineer shall not have control or charge of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety measures, precautions and programs including enforcement of Federal and State safety requirements, in connection with construction work performed by Owner's construction contractors." Notwithstanding any other provision of this Agreement, the Engineer and Engineer's sub -consultants shall have no responsibility for the discovery, presence, handling, removal, disposal or exposure of persons to hazardous materials in any foxy at the project site, including but not limited to asbestos, asbestos products, mold, polychlorinated biphenyl (PCB) or other toxic substances." A. Engineer agrees to indemnify, hold harmless and defend the Owner, its officers and employees, from and against any and all claims, losses, obligations, or liabilities, including legal expenses and costs of expert witnesses and consultants arising out of or related to engineer's negligent or willful acts, errors or omissions, including those of its officers, agents, employees, subcontractors or any person engaged by Engineer. B. Engineer will deliver to Owner a "Special Endorsement" in substantially the form attached hereto as "Exhibit E", or in such other form as shall be satisfactory to City of Carson risk Manager, evidencing professional liability insurance coverage in an amount not less than $1,000,000 issued by a company listed "B" or better in Best's Insurance Guide and authorized to do business in the State of California. in no event will Engineer be liable for consequential. damages. C. The Engineer, at its expense, shall maintain in effect at all times during the performance of Work tinder this Agreement not less than the following coverage and limits of insurance, which shall be maintained with insurers listed "A" or better in the Best's Insurance Guide and authorized to do business in the State of California. (1) Workers' Compensation and Employer's Liability Workers' Compensation --coverage as required by law. Employer's Liability limits of at least S 100,000 per occurrence. (2) Cotnprehensive General Liabilit /Automobile Liability ® Combined ,Single Limit --$1,000,000. Professional Services Agreement, PARSONS City of Carson, Wilmington Ave 11-405 Page 6 of 15 The automobile and comprehensive general liability policies may be combined in a single policy with a combined single limit of $1,000,000. 1f not so combined each policy shall provide coverage in that amount. All of such Engineer's policies shall contain an endorsement providing that written notice shall be given to Owner at least thirty (30) calendar days prior to termination, cancellation or reduction of coverage in the policy. Copies of such endorsements shall be delivered to, and current copies shall be Dept on file with, Owner during the term of this Agreement. (3) Policies providing for bodily injury and property damage coverage shall contain the following: (a) An endorsement extending coverage to Owner as an additional insured, in the same manner as the named insured, as respects liability arising out of the performance of any work under the Agreement. Such insurance shall be primary insurance as respects the interest of Owner, and any other insurance maintained by Owner shall be considered excess coverage and not contributing insurance with the insurance required hereunder. (b) "Severability of Interest" clause. (c) Elimination of any exclusion regarding loss or damage to property caused by explosion or resulting collapse of buildings or structures or damage to property underground, commonly referred to by insurers as the "XCU" hazards. (d) Provision or endorsement stating that such insurance, subject to all of its other terms and conditions, applies to the liability assumed by Engineer under the Agreement, including without limitation that set forth in Section 13.A, with the exception of willful acts, errors or omissions. (4) Promptly on execution of this Agreement and prior to commencement of any work Engineer shall deliver to Owner certificate of insurance and endorsements to the required policies. (5) The requirements as to the types and limits of insurance to be maintained by Engineer are not intended to and shall not in any manner limit or qualify Engineer's liabilities and obligations under this Agreement, including the Engineer's indemnity obligation set forth in section. 13.A hereof, but excluding liability for professional errors and omissions. (G) Any policy or policies of insurance that Engineer elects to carry as insurance against loss or damage to its equipment and tools or other personal property Professional Services Agreement, PARSONS City of Carson, Wilmington Ave / 1-405 Page 7 Of 15 used in the performance of this Agreement shall include a provision waiving the insurer's right of subrogation against the Owner. M Termination for Convenience. The governing board of the Owner may terminate this Agreement at any time without cause by giving fifteen (15) days written notice to Engineer of such termination and specifying the effective date thereof: In that event, all finished or unfinished documents and other materials in possession or under the control of Engineer shall, at the option of Owner, become Owner's property. If this Agreement is terminated by Owner as provided herein, Engineer will be paid a total amount equal to its costs as of the termination date, plus ten percent (10%) of that amount for profit. In no event shall the amount payable upon termination exceed the total maximum compensation provided for in this Agreement. The Engineer shall have no responsibility or liability for any use by the Owner of unfinished documents or documents or other materials revised by the Owner without the written approval of the Engineer. 18. 'T'ermination for Cause. A. The governing board of the Owner may, by written notice to Engineer, terminate the whole or any part of this Agreement in any of the following circumstances: (1) If Engineer fails to perforin the services required by this Agreement within the time specified herein or any authorized extension thereof; or (2) If Engineer fails to perforin the services called for by this Agreement or so fails to male progress as to endanger performance of this Agreement in accordance with its terms, and in either of these circumstances does not correct such failure within a period of ten (10) days (or such longer period as Owner may authorize in writing) after receipt of notice from Owner specifying such failure. E. In the event Owner terminates this Agreement in whole or in part as provided above in Section 15.A, Owner may procure, upon such terms and in such manner as it may deem appropriate, services of a qualified engineer or engineers to complete the work required by this Agreement in. a good and professional ):Wanner. C. If this Agreement is terminated as provided above in paragraph A, Owner may require Engineer to provide all finished or unfinished documents, data, studies, drawings, maps, photographs, reports, etc., prepared by Engineer. Upon such termination, Engineer shall be paid an amount equal to the contract amount, less the cost of hiring another consultant to complete Engineer's services. In the event no new consultant is employed, Engineer shall be paid an amount equal to the value of Professional Services Agreement, PARSONS City of Carson., Wilmington Ave / I-465 rage 8 of 15 the work performed. In ascertaining the valve of the work performed up to the date of termination, consideration shall be giver to both completed work and work in progress, to complete and incomplete drawings, and to other documents whether delivered to Owner or in possession of Engineer, and to authorized reimbursement expenses. D. If, after notice of termination of the Agreement under the provisions of this Section 12, it is determined, for any reason, that Engineer was not in default, or that the default was excusable, then the rights and obligations of the parties shall be the same as if the notice of termination had been issued pursuant to Section 14. 19. Contract Changes. No change in the character, extent, or duration of the work to be performed by Engineer shall be made except upon approval by the Owner's governing body and execution of a supplemental agreement in writing between Owner and Engineer. The supplemental agreement shall set forth the changes of work the Extensions of Time, and the adjustments of the cost and the fee to be paid by Owner. to Engineer, if any. In special cases, where it is essential that extra work be performed immediately, the supplemental agreement covering such change shall be executed as soon as reasonably possible. The Engineer and any subcontractors shall maintain all books, documents, papers, accounting records, and other evidence pertaining to costs incurred, and further, shall make such materials available at their respective offices at all reasonable tunes during the contract period and for at least three years after contract completion. Such materials shall be available for inspection by authorized representatives of the Owner or the California Department of Transportation, and copies thereof shall be furnished promptly if required. .Accounting records shall be kept indefinitely due to ongoing audits until notified by Caltrans. A. In the performance of this Agreement, Engineer shall not discriminate against any employee, subcontractor, or applicant for employment because of race, color, religion, creed, ancestry, sex, marital status, national origin, age, physical or mental handicap, medical condition, or sexual orientation. Engineer will tape affirmative action to ensure that subcontractors and applicants are employed, and that employees are treated during employment, without regard to their race, color, religion, creed, ancestry, sex, marital status, national origin, age, physical or mental handicap, medical condition, or sexual orientation. Affirmative action relating to employment shall include, but not be limited to the following: employment, upgrading, demotion or transfer; recruitment; layoff or termination; rates of pay or other forms of compensation; and selection for training including apprenticeship. The provisions of subsection I&A above shall be included in all solicitations or advertisements placed by or on behalf of Engineer for personnel to perforin any services under this Agreement. Owner shall have access to all documents, data and records of Engineer and its subcontractors for purposes of determining compliance with the equal employment opportunity and non-discrimination provisions of this Section, and all applicable provisions of Executive Order No. 11246 which is incorporated herein by this reference. A copy of Executive Order No. 11246 is available for inspection and on file with the Engineering Services Division. C. To the greatest extent feasible, Engineer shall endeavor to employ residents of the City of Carson in the rendering of the services required by this Agreement. All solicitations for employment arising in whole or in part out of the execution of this agreement, whether fall -or part-time, new or replacement hires, shall be listed with the Carson Job Clearinghouse and the Workforce Investment Network Board. Engineer has not employed or retained any person or entity, other than a bona fide employee working exclusively for Engineer, to solicit or obtain this Agreement. B. Engineer has not paid or agreed to pay any person or entity, other than a bona fide employee working exclusively for Engineer, any fee, commission, percentage, gift, or any other consideration contingent upon or resulting from the execution of this Agreement. Upon any breach or violation of this warranty, Owner shall have the right, in its sole discretion, to terminate this Agreement without further liability, or, in the alternative, to deduct from any sums payable hereunder the full amount or value of any such fee, commission, percentage or gift. C. Engineer has no knowledge that any officer or employee of the Owner has any interest, whether contractual, noncontractual, financial, proprietary, or otherwise, in this transaction or in the business of the Engineer, and that if any such interest comes to the knowledge of Engineer at any time, a complete written disclosure of such interest will be made to Owner, even if such interest would not be deemed a prohibited "conflict of interest" under applicable laws. Upon the execution of this Agreement, Engineer has no interest, direct or indirect, in any transaction or business entity which would conflict with or in any manner hinder the performance of services and work required by this Agreement, nor shall any such interest be acquired during the term of this Agreement. 23. Cost Principle, Engineer agrees that the Contract Cost Principles and Procedures, 48 CFR, Federal Acquisition Regulations System, Chapter 1, part 31 x000 et seq., shall be used to determine eligibility of individual items of cost. 24. Administrative Engineer agrees to comply with Federal procedures in accordance with 49 CFR, Part 18, Uniform Administrative Requirements for Grants and Cooperative Agreements to State and Local Government. that the Contract Cost Principles and Procedures, 48 CFR, Federal Acquisition. Regulations System, Chapter 1, part 31.000 et seq., shall be used to determine eligibility of individual items of cost A. Engineer shall not delegate, subcontract or assign its duties or rights hereunder, either in whole or in part, without the prior written consent of the Owner; provided, however, that claims for money due or to become due to Engineer from Owner under this Agreement may be assigned to a bank, trust company or other financial institution without such approval. Any proposed delegation, assignment or subcontract shall provide a description of the services to be covered, identification of the proposed assignee, delegee or subcontractor, and an explanation of why and how the same was selected, including the degree of competition involved. Any proposed agreement with an assignee, delegee or subcontractor shall include the following: (1) The amount involved, together with Engineer's analysis of such cost or price. (2) A provision requiring that any subsequent modification or amendment shall be subject to the prior written consent of the Owner. B. Any assignment, delegation or subcontract shall be made in the name of the Engineer and shall not bind or purport to bind the Owner and shall not release the Engineer from any obligations under this Agreement including, but not limited to, the duty to properly supervise and coordinate the work of employees, assignees, delege es and subcontractors. No such assignment, delegation or subcontract shall result in any increase in the amount of total compensation payable to Engineer under this Agreement. Any subcontract in excess of $25,000, entered into as a result of this Agreement, shall contain all the provisions stipulated in this Agreement to be applicable to subcontractors. All contracts with subcontractors shall contain all of the following provisions; Section9, Compensation; Section 10, Retainage; Section 17, Auditing and Record Retention; Section 20, Cost Principles; and Section 21, Administrative Requirements. 26® Ownership of Documents. Except as provided in Section 14 and 15 hereof, all plans, specifications, reports, studies, tracings, maps and other documents prepared or obtainers by Engineer in the course of performing the work required by this Agreement shall be the property of the Owner. Basic survey notes, sketches, charts, computations and similar data prepared or obtained by Engineer under this Agreement shall, upon request, be made available to Owner without restriction or limitation on their use. Engineer shall not be liable to the Owner or of Owner's employees or consultants for use of Engineer's plans, specifications, or data that are revised, incomplete or preliminary or which are used on projects other than the project that is the subject of this Agreement. The insurance of a patent or copyright to Engineer or any other person shall not affect Owner's rights to the materials and records prepared or obtained in the performance of this Agreement. Owner reserves a license to use such materials and records without restriction or limitation, and Owner shall not be required to pay any additional fee or royalty for such materials or records. The license reserved by Owner shall continue for a period of fifty years from the date of execution of this Agreement, unless extended by operation of law or otherwise, The Owner may permit copyrighting reports or other products of this Agreement. Owner, Caltrans, and/or the FHWA, shall have the royalty -free nonexclusive and irrevocable right to reproduce, publish, or otherwise use, and to authorize others to use the work for government purposes. The Engineer shall have no liability for any data used on any other project or extension of this project. 29. E tire_ gree lent and Amendments. A. This Agreement supersedes all prior proposals, agreements, and understandings between the parties and may not be modified or terminated orally. B. This Agreement may not be amended, nor any provision or breach hereof waived, except in a writing signed by the parties which expressly refers to this Agreement. Professionai services Agreement, PARSONS City of Carson, Wilmington Ave / 1-405 Page 12 of 15 30. Non -Waiver of Terms, Rights and Remedies. Waiver by either party of any one or more of the conditions of performance under this Agreement shall not be a waiver of any other condition of performance under this Agreement. In no event shall the making by Owner of any payment to Engineer constitute or be construed as a waiver by Owner of any breach of covenant, or any default which may then exist on the part of Engineer, and the making of any such payment by Owner shall in no way impair or prejudice any right or remedy available to Owner with regard to such breach or default. A. Disputes regarding the interpretation or application of any provisions of this Agreement shall, to the extent reasonably feasible, be resolved through good faith negotiations between the parties, B. If any action at law or in equity is brought to enforce or interpret any provisions of this Agreement, the prevailing party in such action shall be entitled to reasonable attorneys' fees, costs and necessary disbursements, in addition to Such other relief as may be sought and awarded. 32. Exhibits. All deliverables will be in English. Units. Milestone 1. -Project Management :1.01 Data Collection and Review Consultant will collect and review all available information. At the conclusion of this task, any additional data that is required. for the preparation of the PA/ED and PS&E will be requested in a Memorandum to Client. Consultant will perform a field review of the Project Site to record existing conditions. 1..02 Encroachment Permits Consultant will apply for the encroachment permit from Caltrans, County, and City to enter the right-of-way to perform surveys, and geotechnical investigations related to this Scope of Services, and to conduct site visits. Consultant will coordinate with Caltrans, City, and County towards the approval of the encroachment pen -nits. 1.03 agencies permits for Construction Consultant will apply for construction permits from governmental agencies including but not limited to US Arany Corps of Engineers (Section 404), California Department of Fish and Game (Section 1602), and California Reclamation Board. 1.04 Site Visits Consultant will review existing conditions. Existing features will be documented for the design of the project. 1.05 Coordination/Monitor Design Consultant's Project Manager will conduct weekly meetings with the consultant's design staff to discuss the progress of the work and to monitor the design. 1.06 Prepare for and Attend Monthly Project Development Team (PDT) Meetings 1 Minutes Consultant's Project Manager will hold PDT greetings on a monthly basis to include the City, Caltrans, and other interested parties. Minutes of PDT meetings will be prepared by Consultant and will be distributed to attendees and to the City. Consultant will .mare available, for review, the minutes of each meeting, at each succeeding meeting. 1.08 Meetings with Caltrans Functional Units Consultant's Project Manager will hold meetings with Caltrans functional units as often as necessary to discuss technical issues and to facilitate the progress of the work, review comments and to discuss technical issues covered by the Trend meetings. Minutes of design meetings will be prepared by Consultant and will be distributed to attendees and to the City. 1.03 Prepare for and Attend Public Information Meetings Consultant will attend a public information meeting to present the project alternatives and. to discuss the project with the community. Consultant will prepare exhibits to show the various alternatives, the agenda for the meeting and will conduct the meeting as requested by the City. 1.1.0 Prepare/Circulate correspondence Copies of all correspondence received from Caltrans, or any other agency, will be forwarded to the City. 1.11 Railroad Coordination Consultant will coordinate with Union Pacific to facilitate approval of the railroad signal design. 1.12 Project Management Plan Consultant will prepare a Project Management .Plan specifying the procedures that will be implemented in overseeing the preparation of the PA/ED report and PS&E package. 1.13 Prepare Master Design Schedule Consultant will prepare a bar chart schedule for submittal. to the City within seven days of the kickoff meeting. The schedule will include all milestones, tasks and subtasks, review periods, and coordination activities associated with the preparation of the PANED and PS&E. 1.14 Maintain Master Design Schedule Consultant will maintain the project schedule and will submit to the City every month. The status of project tasks, derived from the Master Schedule and agreed to by the City will be referenced to the original planned date, forecast date and actual date. The target (base) schedule will be displayed on the bar chart for all activities. 1.15 Maintain Project Files Consultant will maintain project files that are indexed in accordance with Caltrans' Project Exhibit A Scope of Services 1-4051 Wilmington Avenue Interchange Page 3 of 15 Development Uniform pile System. All correspondence will be filed and copies submitted to the City for review. At the completion of the contract, all project files and correspondence will be turned over to the City. 1.16 Meetings and Coordination with Caltrans Local Assistance Consultant's _Project Manager will hold meetings with Caltrans Local Assistance personnel to identify additional funding required for fire project and to process the necessary applications. 1.17 Sulbconsultant Coordination Consultant will coordinate the activities of the subconsultant team. All. correspondence with the subconsultant team will be filed. 1e1.8 Progress Reports/Invoices On. a monthly basis, Consultant will prepare and submit to the City a monthly progress report, indicating the progress achieved, to the task level, during the period. The report will. summarize the actual progress compared with the estimated progress and will. identify problem areas, provide evaluations, recommendations, and an outline on the process, which Consultant and the City will follow to rectify the problems). The progress report will be submitted with the monthly invoice. Milestone 2 -Project Approval / Environmental Document (PA/ED) 2.0:1 Topographic Mapping (by Coast Surveying) The Following activities related to this task will be completed. * Perform survey research at the City of Carson, Caltrans I9istrict 7, and the County of Los Angeles :for horizontal and vertical control, right of way reaps, monuumentation maps, centerline ties, record maps, freeway centerline alignment, and any other pertinent information. ® Place aerial phot:ogrammetric control targets on the ground and determine appropriate horizontal and vertical. control positions upon them. Prepare aerial photogran-imetric mapping in Digital Terrain Model (DTM) format per Caltrans specifications of the project limits at a scale of 1 "=50' with one -foot contour accuracy in MicroStation digital forrnat in U.S. Survey Feet. Perform field surveys to tie-in street centerline monurnentation for Wilmington Avenue. ® Using the found monument positions and record data, compute appropriate right of way lines and property lines for Wilmington Avenue, 223rd Street, and I-405 Freeway in project area. Provide right of way delineation mapping in MicroStation digital format in U.S. ,Survey Feet. Perform design surveys in the field cross -sectioning across the existing roadway and on-off ramp surfaces every 50 feet and locating topographic features needed for design of the project. Prepare a Digital 'Terrain Model (DTM) using the field survey data. * All. surveys will be tied into appropriate existing horizontal and vertical control monuments and will utilize the designated Califoniia Coordinate System values and/or elevation values for these monuments. Prepare up to five legal descriptions and sketches, signed by a California Licensed Land ,Surveyor, including one governmental review each. All legal description and sketch dimensions will be provided in feet. 'Title reports, appraisals, right of way negotiations and acquisitions are not included in this proposal. 2.02 Geotechnical Investigations (by Converse Consultants) Consultant will provide the necessary personnel, equipment and materials to explore the site, perform laboratory testing, conduct soils engineering and geotechnical analyses, and prepare design and. construction recommendations for the proposed project. Based on our knowledge of the geotechnical requirements, the following scope of work is proposed. 2.02.1 Field Reconnaissance and Project Set -tip A field reconnaissance will be performed prior to the subsurface exploration. The purpose of the reconnaissance and mapping will be to identify geomorphic and geologic conditions at the site, flood hazard, fault and seismic hazard, and prepare the subsurface exploration program. As part of the project set -Lip we will conduct the following: ® Submit proposed boring location snap for your approval Mark boring locations in the field * Call Underground Services Alert (USA) at least 48 hours prior to drilling Engage a drill rig to sanxple the subsurface soils 2.02.2 Permit Acquisition It is planned to acquire permit(s) from various agencies. It is not known exactly the total number of peri-nit(s) that will be required for our scope of work. We estimate that field exploration with right of way for the following agencies will require permt(s): ® City of Carson Caltrans ® Union Pacific Railroad Company County of Los Angeles Flood Control District It is unknown at this time how long it will take to acquire permit(s). Based on our previous experience, it may tape a few days to a few months depending on the agencies. As an alternative, all permit(s) may be provided to us by your office at no additional cost to us. 2.02.3 Field Exploration Program Our proposed field exploration program is designed to obtain the appropriate types of subsurface information to develop appropriate design and construction of the proposed project. The selection of appropriate field procedures is based on the geotechnical issues, as Exhibit A Scope of Services 1-405 / Wilmington Avenue Interchange Page 5 of 15 described above. ll ftlg `2n Avenue lde i aha Our fieldinvestigation will consist of drilling exploratory borings along the roadway alignment. The purpose of the borings will be to: Measure existing asphalt concrete and aggregate base thickness (if any) ® Obtain subsurface infon-nation at the site ® Obtain undisturbed and bulk samples of the various soil types for laboratory testing Consultant will drill approximately 12 borings. Each boring will be drilled to depths listed in the above table or to refusal, whichever is shallower. The borings will be drilled with a truck mounted rig equipped with 8 -inch diameter hollow stem augers for soil sampling. On and Off Ramps. Consultant will drill exploratory borings along the roadway alignment. The purpose of the borings will be to: ® Measure existing asphalt concrete and aggregate base thickness (if any) • Obtain subsurface information at the site • Obtain undisturbed and bulk samples of the various soil types for laboratory testing Consultant will drill approximately 22 borings. Each boring will be drilled to a depth listed in above table or to refusal, whichever is shallower. The borings will be drilled with a truck mounted rig equipped with 8 -inch diameter hollow stein augers for soil sampling. In accordance with State of California Law, we will contact Underground Service Alert (USA) to locate public utilities in the drilling area. However, any and all available subsurface utility information for the project site should be provided prior to our drilling operations to reduce and/or eliminate the potential of damaging underground utilities. The borings will be drilled with a truck mounted drill rig (CME — 75 or equivalent) equipped with hollow stem augers for soil sampling. The borings will be visually classified Exhibit A Scope of Services I-405 1 Wilmington Avenue Interchange Page 6 of 15 in accordance with the Unified Soil Classification System and logged and sampled at regular depth intervals and at changes in subsurface sails. Relatively undisturbed ring and bulb samples of the subsurface soils will be obtained at frequent intervals in the borings. The undisturbed samples will be obtainedwith a California Modified Sampler (2.4 inches inside diameter and 3.0 inches outside diameter) lined with thin sample rings. The soil will be retained in brass rings (2.4 inches in diameter and I -inch in height). The central portion of the sample will be retained and carefully sealed in waterproof plastic containers for shipment to our laboratory. Bulk soil samples will be collected in plastic bags and brought to our laboratory. The mechanically driven hammer for the sampler is 140 pounds, falling 30 inches for each blow. The recorded blow counts for one foot of sampler penetration after six (b) inches of seating penetration will be shown on the logs of borings in the "blows/foot" column. Standard .Penetration Vests (SPTs) will be conducted using a 1.4 -inch interior diameter (.1.D) sampler driven by a 140 -pound hammer falling 30 inches in general accordance with ASTM Standard D1 586 test method. Disturbed samples of subgrade soils will be obtained. The borings will be backfilled with soil cuttings and the top surface patched with cold asphalt concrete if pavement is penetrated. 2.02.4 Laboratory Testing Program Sufficient laboratory tests will be performed to assess the engineering properties of the subsurface soils. The tests that are planned for the proposed project are presented in the following table. The PR will be prepared in accordance with the preparation procedures outlined in the Caltrans` Guidelines for Preparation of PA/ED in the Policy and Procedures Manual. 2.05 Environmental ental Document / Meetings / Coordination Consultants will prepare the following technical studies and will address agency review comments. 2.05.1 Air Quality Consultant will conduct an air quality analysis to satisfy CEQA, state and federal environmental requirements, and conformity provisions of the Clean Air Act Amendments (CAAA). 2.05.2 Water Quality Consultant will prepare a water quality report based on review and documentation. of available records to describe ambient condition in nearby water channels, natural or manmade and assessment of project impacts. Water quality data for both surface and groundwater will be derived from published reports. The impacts of the Project will be evaluated and potential mitigation measures to alleviate both short-term (during construction) and long-term (project related) impacts will be identified. Consultant will verify applicability of Sole Source Aquifer, NPDES, and other laws and regulations to the Project and design. of drainage facilities. 2.05.3 Cultural Resources Consultant will prepare an .Area of Potential Effects (APE) map delineating indirect and direct impact areas at 1:1000 scale and approval will be obtained from the Caltrans District Archaeologist and Caltrans Project Manager. Archeological and historic property surveys of the Project's APSE will be completed. In compliance with. City, Caltrans, FHWA and State Historic Preservation Office (SHOP) requirements, a Historic Resources Evaluation Report (HRER) and Archeological Survey Report (ASR) will be prepared along with the Historic Property Survey Report (HPSR). These documents will be prepared in conformance with Section 106 of the National Historic Preservation Act, Appendix K of CEQA Guidelines, as well as standards and guidelines of Caltrans and the State Historic Preservation Officer (SHPO); the latter include the recent Section 106 Programmatic Agreement, 2.05.4 Natural Environmental Study A Natural Environmental Study (NES) for biological resources will be prepared in accordance with the Caltrans Environmental Handbook, Volume 3, to document and evaluate the natural habitat in the Project area, and determine whetber the proposed Project Exhibit A Scope of Services 1-405 / Wilmington Avenue Interchange Page 9 of 15 would result in impacts on sensitive species or habitat. Consultant will coordinate with the U.S. Fish and Wildlife Service and the California Department of Fish and Game to identify threatened and endangered species potentially in the area. 105.5 Rased Use Consultant will review existing planning documents for the City of Oxnard and for Ventura County, including general plans, land use elements, circulation elements, and zoning maps and agricultural preservation lands, as they pertain to the study area. Approved development plans in the Project area will also be reviewed for potential conflicts with the Project. Beneficial and. adverse impacts of the Project and mitigation measures will be identified. 205.6 Submit Draftand Final Technical Reports and Respond to Comments Consultant will prepare technical reports for each of the technical studies described above. Consultant will incorporate City and Caltrans review comments to the draft and final versions of the reports. 2.05.7 Prepare Draft IS/EA Consultant will prepare an IS/EA in accordance with the Caltrans Environmental Handbook and FHWA Technical Advisory T6640.8A. Concurrent with the technical analyses described above, Consultant will prepare a Screencheck Draft IS/FA incorporating an environmental checklist, technical analyses, a discussion of critical environmental issues identified, an analysis of the cumulative effects of the Project, mitigation measures, and a list of potential permits required. Following review by the City and Caltrans, the Screencheck IS/EA will be revised. The revised IS/EA will be submitted to the City, Caltrans, and FHWA for review and approval. The IS/EA will be distributed to agencies and the public for review and comment. 2.05.8 Responses to Comments on the Public Review Draft IS/EA Consultant will address comments received from agencies and the public during the IS/EA circulation period and the public hearing. The responses will be submitted to the City and Caltrans for review. 2.05.9 Final IS/EA Consultant will prepare a Final IS/EA, which will be submitted to the City, Caltrans, and FHWA for approval and signature. Consultant will prepare a Mitigation Monitoring Plan in a matrix format. The matrix will include a description of each mitigation measure, organized by topic, numbered to correspond with the impacts, and referenced back to the IS/EA. For each. mitigation measure, the reporting process, timing of measure, responsible party, and verification of compliance will be identified. 2.05.10 Prepare Notice of Determination Consultant will file a Notice of Determination (NOD) and Notice of availability (NOA) Exhibit A Scope of Services 1-405 / Wilmington Avenue Interchange Page 10 of 15 with the State Office of Planning and Research to complete the CEQA and NEPA processes. A Draft NOD and NOA will be prepared and submitted to the City and Caltrans for review and comment. Following this review a final NOD and NOA will be prepared and submitted to the City and Caltrans. 2.O6 Final Project Report Consultant will incorporate the Draft PR review comments received from Caltrans and the City. A final PA/ED will be submitted to the City and Caltrans for review and approval. Milestone 3 —Preliminary Design, Technical Studies and Geometric Approval Drawings (GADS) 3.01 Traffic Studies An analysis of the proposed project's improvements on traffic and operations will be provided for the existing condition and two future conditions: the No Build condition and one Build condition. The following locations will be analyzed and constitute the study area: ® Intersection of Wilmington Avenue and East 223"'1 Street; • Intersection of Wilmington Avenue and the eastbound 1-405 ramps; • Intersection of Wilmington Avenue and the westbound 1-405 ramps; • Intersection of Wilmington Avenue and East 220t' Street; and ® Wilmington Avenue freeway interchange ramp merge and diverge points. 3.01.1 Existing Traffic Counts Existing traffic count data will be acquired for the freeway, interchange ramps, and the four intersections listed above. Freeway traffic volumes will be obtained from. Caltrans. Daily traffic volumes on Wilmington Avenue and peak period turning movement counts at the four intersections listed above will be gathered in the field, unless the City can provide recent data for these locations. 3.01.2 Traffic Forecasts The analysis will include forecasting traffic volumes for the project study area for the year 2030 or other year as directed by the City. (The year 2030 is suggested based on 20 years after the project is expected to be open to traffic.) Forecast traffic volumes will be developed for the freeway mainline, the Wilmington Avenue ramps, and the intersections in the list above. Average daily, morning peak hour, and evening peak hour forecasts will. be developed. Parsons will obtain travel forecast volume data from either the Southern California Association of Governments, the Los Angeles County Metropolitan Transportation. Authority, or the City of Carson. After obtaining available travel forecasting data from one of the agencies noted above, Parsons will post -process the volumes to produce a single set of forecasts which will be submitted to the City and Caltrans for approval along with an explanation of the method used to develop the set of forecasts. The improvements envisioned for the project are not sufficient to substantially affect total volumes in the study area, so only one set of forecast volumes will be produced. Exhibit A Scope of services I-405 1 Wilmington Avenue Interchange Page I I of IS The same set of forecast volumes will be used for the analysis of both the future Build and No Build conditions. No analysis will be completed with the forecast data until they are approved by Caltrans and the City. 3.0:1.3 Level -of -Service Analysis Parsons will complete level -of -service (LOS) analysis for the locations listed above for the existing condition, the future Build, and the future No build conditions. The analysis will be conducted for the morning and evening peak hours under each of the three conditions. LOS will be calculated consistent with the most recent version of the Highway Capacity Manual for the four signalized intersections and the freeway ramp merge and diverge locations listed above. Additionally, the ICU 2003 method will beused to calculate LOS for the four signalized intersections listed above. The Synchro software will be used for the LOS analysis of signalized intersections and the Highway Capacity Sof ware will be used for the freeway ramp merge and diverge analyses. 3.01.4 Intersection Queuing Analysis Because of the proximity of the four signalized intersections in the study area, traffic signal coordination will be essential to the provision of acceptable traffic operations in the study area. Minimizing the potential for queuing at a ramp intersection to back onto the freeway mainline is critical to safe operations on the freeway. Similarly, minimizing the potential. for queuing at an arterial intersection from backing into an upstream arterial intersection is essential for acceptable traffic operations. Parsons will utilize the Synchro software to analyze traffic signal coordination and queuing for the future No Build and Build conditions. Time -space diagrams will be developed for the future Build condition. 3.01.5 Traffic Operations Simulation Parsons will utilize SimTrafftc, a companion software to Synchro, to prepare an operational simulation of the signalized intersections along Wilmington. Avenue for the future Build condition. 3.01.6 tamp Meter Operations Ramp meters are included in the project for all entrance ramps to the freeway. Parsons will analyze ramp meter operations. The analysis will include an assessment of the amount of ramp storage needed and ramp meter operational constraints necessary to reduce the potential for ramp meter queues to spill back into the arterial ramp intersections. The analysis will include an assessment of the need for HOV preferential lanes on the ramps and the traffic impacts of removing them from the project or converting there to general purpose ramp lanes. 3.01.7 Accident History Based on TASAS data supplied by Caltrans, :Parsons will provide a summary of accident history along 1-405 in the study area. If the City provides equivalent summary data for Wilmington Avenue, Parsons will provide a summary of accident history on the arterial. Exhibit A Scope of Services 1-405 / Wilmington Avenue Interchange Page 12 of Is 3.01.8 Final Deport .Parsons will prepare and submit to the City and Caltrans a Draft Deport covering the topics above. Following receipt of comments from the City and Caltrans, Parsons will update the report and submit the Final Report. 3.02 Traffic Management Plant (TMP) Consultant will prepare a Traffic Management Plan specifying how traffic will be maintained during all phases of the project construction in accordance with Caltrans requirements. 3.03 .hydrology & Hydraulics Studies and Drainage Report Drainage Overview The project is located within the Dominguez Channel watershed (Figure 1) and. will involve revisions to the on-site storm. drain system for Wilmington Avenue from 223rd Street to 220th Street. It will include roadway widening, several ramps connecting to I-405, and bridge widening at Dominguez Channel. Coordination will be required with Caltrans, the LA County Flood Control District (FCD) and the City of Carson regarding pavement and bridge drainage requirements along with stormwater pollution prevention requirements during construction and operation. Consultant shall develop a drainage report that describes the hydrologic and hydraulic methodology used for the calculations and a PS&E level SWDR describing water quality issues and identifying permanent and construction related 13MPs. At the preliminary design completion level. of the project, a drainage report shall be prepared which shall include concept drainage plans identifying the location of existing and proposed drainage facilities and hydrologic/hydraulic calculations (inclu.ding on-site hydrology/hydraulic calculations and off-site hydraulic calculations at Dominguez Ch.amICI). Drainage layouts, profiles, details and quantities shall be prepared at the 65% level of completion. A PS&E level Storm Water Data Report shall also be developed at the 65% design completion stage. This report shall comply with Caltrans and City requirements for Water Pollution Control at the site. Erosion control plans for construction shall also be developed during this design phase showing temporary BMPs to be used for storm water pollution. prevention. At the preliminary design stage, the drainage report shall be submitted for review to Caltrans, the City and the ECD and shall be updated to include review comments at the 65% design stage. Drainage plans, profiles and details along with erosion control plans and details shall be submitted at the 65% phase and updated to include review comments at the 95% and 100% design stages. Consultant shall update right of way requirements, as needed, to incorporate drainage and temporary construction easements for drainage facilities. Conflicts with other utilities, including other drainage facilities, shall be idea2tI ied in plan and profile, 3.04 Storm Water Data Report Consultant will prepare the Storm Water Data Report (SWDR) that identifies and captures the cost to implement Best Management Practice (BMP's) to handle storm water run-off created by the project. 3.05 Geometric Calculations Consultant will perform calculations to detennine sight distance requirements and r inimum. vertical and horizontal clearance required for the preparation of the PA/ED. 3.06 Determine Preliminary Right -of -Way Limits Consultant will obtain from Caltrans information related to right-of-way. Establish a Project Development Team (PDT), including representatives from the City, Caltrans, Caltrans' Engineering Service Center, Federal Highway Administration (FHWA) within ten (10) days after the NTP. Work under this task will include coordination and attendance at monthly PDT meetings. Meeting notes for distdbution and track design contract action items wiH be distributed to the PDT by the Consultant 1.5 Presentations and Visuals. Prepare presentation material, mapping and/or visual aids needed for presentations, to City Council, community groups, political representatives and/or the public at - large. 1,6 Permits: Following the receipt of the NTP, the Engineer will submit an. Encroachment Permit application to the City and forwarded to Caltrans and Union Pacific Railroad Company to allow field staff to conduct geotechnical sampling and any suppiemerital surveys within the State right of way. Concurrently, the Engineer will identify additional locations outside the State right of way where it will be necessary to obtain specific rights of entry from affected property owners. The listing of the candidate locations will be furnished to the City. The C4 will be informed if their support is required to obtain rights of entry. Task 2 — Design Concept Approval (DCA) 2.1 Data Collection and Review of Existing Information: Obtain any new information received after the Pro*t Report (PR) approval from the City and review all existing data and information to the Projec f location. Identify and prepare list of required additional data. Potential sources for existing data include the City of Carson, Los Angeles County and Caltrans', SupPlemental Survey: Perform any required supplemental geld survey if nece; ,3ary to finish the 10 detailed design of the project. 2.2 Bridge Structure Type Selection: See Attachment C - Statement of Work for Structures. 2.3 Stage Construction Pian: Prepare and submit Preliminary Stage Construction Plans, 2.4 Utility Base Map: Prepare a constraint map using a composite topographic base map for the study area using the information of the PR plans. Research existing utilities from available mapping, including utilities within the study area, and plot on the above constraints map. Verify utility data to establish which utilities and their respective owners are affected or in conflict with the Project. Task 3 — Preliminary Design Reports 3.1 Drainage Report: Perform hydrology and hydraulic studies to obtain and provide design solutions, which will remove surface runoff from the upstream side of the highway to downstream side. Studies and design shall be performed in accordance with Chapter 800 of the current Highway Design Manual, the District 7 Project Development Policy Memos, and the current Caltrans' Standard Plans. 3.2 Geotechnical Investigations & Reports: Develop a drilling program to explore existing subsurface conditions at the Project site. Near surface soils will be evaluated to determine if support for the proposed bridge structure can be provided by spread footings. If spread footings are determined to be inadequate, various types of deep foundations will be evaluated. Design and construction recommendations for shallow or deep foundations will be provided. Construction of embankments for the bridge approaches and on -ramps and off -ramps will result in the creation of new slopes. Stability analysis of the new slopes will be conducted to address the gross and surficial stability. Embankment construction will also induce compression of the underlying soils which is manifested by ground surface settlement. The magnitude and time rate of settlement of underlying soils due to the weight of the proposed embankments will be determined. Alternatives for flexible pavement structural sections shall be provided. Pavement sections will be designed in accordance with the procedures outlines in the latest Caltrans' Highway Designs Manual. Geotechnical Design Report: A Geotechnical Design Report providing design and construction recommendations for embankments and pavement structural sections will be prepared in accordance with Caltrans' Test Method 130. The field investigation for the Geotechnical Design Report will consist of drilling a minimum of four exploratory borings for the embankments and four borings for pavement design. The borings for the embankments will be drilled to depths of 10 meters below existing grade. The borings for evaluating the subgrade soils for pavement design will be drilled to a depth of 2 to 3 meters below existing grade. Subsurface Soil samples will be collected during the field investigation for laboratory testing. Prior to the field investigation, Engineer shall prepare a plan showing the proposed boring locations. This plan will be submitted to City/Caltrans for approval and for obtaining an encroachment permit to perform the borings. Traffic control will be necessary when drilling some of these borings. Engineer shall follow the Caltrans' and City's traffic control guidelines. Upon receiving the review comments, Consultant will set up an adjudication meeting to review the comments with the City and the plan checkers. The City will arbitrate the conflicting comments from different reviewers. 4.5 Quality Control: The Plans, Specifications and Estimate (PS&E) will be subject to quality control reviews before submittal. These reviews will assure conformance to Caltrans and City standards and criteria as well as minimize typographical omissions 5.1 Roadway Pians: Revise the Draft 65% PS&E to incorporate Quality Control review comments and submit to the City and Caltrans for review and comments. These will include: ® All plans ® Special provisions ® Design calculations Roadway quantities & estimate Specifications 5.2 Draft PS&E (95% Complete) Adjudication Meeting: Submit the draft PS&E (95% Complete) to the City for review. Upon receiving the City's review comments, set up an adjudication meeting to discuss any conflicting comments. The City will be the arbitrator for unresolved conflicting comments. 6.1 Final PS&E (95%) Submittal: The Final PS&E will incorporate all applicable comments from the draft PS&E (95% ) received from the City, Los Angeles County Flood Control District, Caltrans and other affected agencies. The Engineer will provide all the necessary final PS&E (100%) documents in a bid -ready form. Project files will also be submitted with the final PS&E, The entire Project, which will be prepared in MicroStation format, will be submitted upon final approval of the PS&E on Compact disks. 6.2 Resident Engineers File: Compile a Resident Engineers Pile that will include items of interest and need for the RE staff such as: ® Relevant design calculations Field notes Design survey data Relevant correspondence Worksheets developed for the material quantity takeoffs necessary for cost estimating. Supply design and construction information required by permit agencies. Task 7- Pre -Bid Phase 7.1 Review Contract Documents for Construction Contract Management/ Administration/ Coordination Issues: Review the portions of the contract documents pertaining to the contract`s general requirements. Include contract's scope and the control of the work, changes, control of materials, utilities, prosecution, progress and acceptance of the work, responsibilities of the 13 contractor, facilities and measurement and payment. Task 8® Bid and Award Phase 8.1 Assist in Review and Analysis of Bids: Assist the City in review and analysis of bids. The scope of work for the CM staff on this task consist of providing the City with recommendations concerning compliance with various bid document requirements such as MBE/DBE/DVBE participation, unbalanced bids, and submittal of required documentation. Task 9- Construction Phase 9.1 Construction Support, See Attachment "C" Section VI 14 STATEMENT OF WORK FOR STRUCTURES The Consultant bas total responsibility for the accuracy and completeness of the plans and related designs, specifica"OnSI estimates, reports and such other documents that may be required for the Project. STRUCTURE DESIGN & PLANS The structure design shall conform to the current edition of the Bridge Design specifications (ELAS), Seismic Design Criteria (SDC), and updated design policies issued by CALTRANS Engineering Service Center (ESC). Contract Plans shall be prepared in accordance with the most current editions of the following CALTRANS publications: Bridge Design Details (BDL)), Bridge Design Aids (BDA), Bridge Memos to Designers (MTD), CADD User's Manual of Instructions, Plans, Specifications and Estimates (PS&E) Guide, and Draftipg and Plans Manual. Plans for each design shad be prepared on ESC formatted plan sheets. Current Bridge Standard Details Sheets (XS -Sheets) and current Standard Plans shall be incorporated into the Contract Plans where applicabie. Each plan sheet shall beer the State of California Registered Professional Engineer registration seal with the signature, license number and registration certificate expiration date of the Engineer who is in responsible charge for developing the plan. Each plan sheet shall show the name and address of Sponsoring Agency and Consultant in the blocks provided below the Engineer's signature and registration stamp. Each plan sheet shall show the name of the engineer who prepared the design, Each design shall be independently checked by a qualified engineer who is registered in the State of California. Each plan sheet shall show the name of the engineer who performed the independent check. The calculations for both the design and the independent design check shall be submitted as part of the PS&E Submittal, The respective calculations shall bear the State of California Registered Professional Engineer registration seal with the signature, license number and registraVen certificate expiration date of the design engineer and independent check engineer. 15 i The Consultant shall gather and verify needed data to begin structure design: activities. The work involved will consist of: ® Review all existing conditions and requirements. w Review the Project Study Report and/or Project Report, Review As -Built & Bridge Maintenance records, existing foundation and hydrology/hydraulics reports, utility information, and other pertinent Project information. ® Conduct a field review to ensure that the structure Site Pian accurately represents existing conditions. Review and update existing Advance Planning Studies. Review the Bridge Site Hata Submittal form, including attachments. Complete the Draft Foundation Plan Sheet. The Consultant shall prepare Project specific Structure Special Provisions in accordance with the CALTRANS' Plans. Specification and Estimates Guide. The Structure Special Provisions shall bear the Stare of California Registered Professional Engineer registration seal with the signature, license number and registration certificate expiration date of the Engineer who prepared the special provisions or the Engineer under whose direction they were prepared. A list of contract items with item descriptions, item number, units of pay, and item pay codes, but without quantities or estimated unit costs, shall be included in the front of the special provisions. The Consultant shall prepare quantity calculations and develop unit costs for items that are applicable to this Project and shall prepare the bridge cost estimate, utilizing the CALTRANS Quantity Summary and Estimate Forms. Quantities for all contract items, including cost of lump sum items, shall be substantiated by calculations. Quantity calculation shall be neat and orderly and shall show all sketches, diagrams and dimensions necessary to allow them to be independently used by field engineers. All quantity calculations shall be independently checked and substantiated with independent calculations. E. CONSULT ANT QUALIFY CONTROL. PLAN The Consultant shall have a quality control plan in effect during the entire time work is performed under this contract, The quality control plan shall establish a process whereby calculations are independently checked, corrected and back checked and all job related correspondence and memoranda are routed and received by affected persons and then bound in appropriate job files. Where several drawings show different work in the same area, means shall be provided to assure that conflicts do not exist. All plans, calculations, reports, and other items or documents submitted to CALTRANS shall be marked clearly as being fully checked, and the preparation of the material followed the quality control plan established for the work. The QAIQC (Quality Assurancel'Quality Control) Plan shall contain provisions for the development of appropriate "check lists" to assure product quality and control. These "check lists" shall be delivered to the CALTRANS with the QAIQC Plan and updated as required. 16 The Design Consultant shall coordinate with other involved agencies for compatible design and phasing of construction with existing or planned conditions. Cooperation and close coordination with CALTRANS will be required. The Consultant shall fulfill all applicable conditions identified in the permits. IV. RAILROAD AGREEMENTS The Consultant shall secure from the railroad all required Construction and Maintenance (C&M) agreements, Service Contracts, and Indentures or Easements; and shall: Ensure that C&M Agreement, Service Contracts, Indentures or Easements comply with State and Federal statutes, regulations, general order, procedures and rules, and with the federal Highway Planning manuals, and that compliance with previous State, Federal and Railroad obligations or agreements is maintained; Secure all necessary State, Federal and Railroad approvals prior to preparing documents in the final form; Define and make construction provisions for removal or temporary relocation and restoration of all railroad lessee's facilities, which interfere or may interfere with construction contractor's work; Arrange for temporary Right of Entry and access on the railroad's property as necessary for construction; obtain all necessary railroad approval of plans and specifications; Arrange for all required agreements and easements to be fully executed by CALTRANS and Railroad; Prepare application to the Public Utilities Commission (PUC) authority for construction of the Project. The PUC application shall comply with PUG statutes, rules and general orders. Provide documents, testimony at public hearings, and presentations to PUC, as necessary; Obtain all written railroad concurrence with the PUG application; Present to CALTRANS and Sponsoring Agency the PUC application in signature ready form. 17 M WW The Consultant shall provide technical input, revised details, and revised specifications to support the advertising agency in resolving plans and specification issues that are raised from bidder inquiries. Proposed addenda resulting in modifications to the structures' plans and/or specifications shall be submitted to the OSFP Liaison Engineer for review and approval. When construction contracts are advertised by CALTRANS, the Consultant shall refer all bidder inquiries directly to CALTRANS as the first step in the resolution process, CALTRANS will coordinate the resolution of the inquiry with the Consultant, if necessary, During the construction phase of the Project the Consultant shall: Attend the pre -construction meeting with the successful construction contractor if requested. ® Be available to visit the job -site for review of construction and make other visits to the job - site as requested to resolve any discrepancies in the contract documents.
