THIS ADDENDUM is made and entered into this 18th day of
, 2009, by and between Richmond, Indiana, a municipal
corporation acting through its Board of Sanitation Commissioners with its office at 50
North 5th Street, Richmond, Indiana, (hereinafter referred to as "City"), and Merrell
Bros., Inc., 8811 West 500 North, Kokomo, IN 46901 (hereinafter referred to as
"Contractor").
WHEREAS, City and Contractor entered into an Agreement numbered 43-2009;
and
WHEREAS, due to weather conditions adverse to the performance of the
services under said Agreement, the need has arisen for an extended term for performance
of the hauling and land application of the original amount of Bio-solids, at the original
compensation under said Agreement; and
NOW, THEREFORE, in consideration of the mutual promises and covenants
herein contained, including the above stated recitals, City and Contractor hereby agree as
follows:
Contractor shall perform certain hauling and land application of Bio-solids
in connection with those identified within Agreement 43-2009. Such
services shall be performed in a manner consistent with its obligations
pursuant to Agreement 43-2009, including Exhibit "A" attached thereto
and incorporated therein.
2. The Agreement known as Contract No. 43-2009 shall continue in effect
until June 30, 2009.
3. City and Contractor expressly agree that all other terms, conditions and
covenants contained in Contract number 43-2009, shall be applicable to
the work performed pursuant to this Addendum, unless such term,
condition or covenant conflicts with this Addendum, in which case this
Addendum shall be controlling.

IN WITNESS WHEREOF, the parties execute this Agreement effective the day
and year first above written, although signatures may be affixed at different times.
