This Agreement, made and entered into this _4th day of —June , 2009, and referred to
as Contract No. 80-2009, by and between the City of Richmond, by and through its Board of
Public Works and Safety (hereinafter "City") and Richmond Power and Light, d/b/a Parallax
Systems, 2000 State Road US 27, Richmond, Indiana, 47374 (hereinafter "Parallax").
WHEREAS, the City has previously requested the services of Parallax for installation of
fiber optic cable; and
WHEREAS, the City now desires that fiber optic cable be installed by Parallax at various
facilities; and
WHEREAS, the City and Parallax desire to set forth in writing the terms of their
agreement through this Interlocal Agreement regarding the installation of fiber optic cable by
Parallax for the City.
NOW, THEREFORE, in consideration of the terms and conditions contained herein,
including the above stated recitals, the parties agree as follows:
1. PURPOSE — The purpose of this Contract is to provide for the installation of
fiber optic cable at the following City facilities:
i. Municipal Pool
ii. Street Department
iii. Highland Golf Course
iv. Glen Miller Park Administration Building
V. Glen Miller Park Maintenance Building
vi. New Paris Pike Landfill
vii. Fire Station #4
Parallax does hereby agree to provide said installation services for the City upon the terms and
conditions set forth herein.
2. TERM - The City and Parallax do mutually agree to honor the Agreement and the
commitments contained herein for the duration of the installation of the fiber optic cable, until
the completion of the installation at all above -listed facilities is complete.
3. EQUIPMENT AND MATERIALS — Parallax shall furnish all labor, material,
equipment, and services necessary for and incidental to the proper completion of this Agreement.
Parallax shall provide, at its own expense, competent supervision of the completion of this
Agreement.

4. COSTS - This Agreement is intended to cover all costs incurred by Parallax for
the installation services provided under this Agreement. The costs of services to be provided to
the City shall not exceed Fifty-five Thousand Six Hundred Twenty-four Dollars and Eighty
Cents ($55,624.80).
5. FORCE MAJEURE — Neither City nor Parallax will be liable for failure to
perform their obligations under this Agreement nor shall such failure be a default under this
Agreement when the failure is due to fire, flood, storms, epidemics, earthquakes, volcanic
eruptions, war, riot, insurrection, governmental restraints, or labor disturbances against entities
other than the City.
6. MISCELLANEOUS — This Agreement shall be construed according to the laws
of the State of Indiana.
7. AMENDMENTS — No amendment or modification to this Interlocal Agreement
shall be made except in writing and signed by both parties.
8. AUTHORIZATION — The individuals signing below represent that they have
full authorization to execute this document on behalf of either the City of Richmond or Parallax.
IN WITNESS WHEREOF the parties execute this Agreement as of the date first set forth above
although signatures may be fixed on a different time.
