The Moab City Council held its Regular Meeting on the above date in the
Council Chambers at the Moab City Center, located at 217 East Center
Street, Moab, Utah.
Mayor Pro-tem Kyle Bailey called the Pre -Council Workshop to order at
5:41 PM. In attendance were Councilmembers Rani Derasary, Tawny
Knuteson-Boyd and Kalen Jones. Also in attendance were City Manager
Rebecca Davidson, City Recorder/Assistant City Manager Rachel Stenta,
City Treasurer Jennie Ross, Planning Director Jeff Reinhart, Community
Services Director Amy Weiser and City Engineer Phillip Bowman.
A Budget Workshop for the 2016-2017 Fiscal Year was held.
Mayor Sakrison called the Regular City Council Meeting to order at 7:00
PM and led the pledge of allegiance. Thirteen (13) members of the
audience and media were present.
Councilmember Jones moved to approve the minutes of April 12, 2016
Council Meeting and April 19, 2016 minutes as they are. Councilmember
Derasary seconded the motion. The motion carried 4-0 aye, with
Councilmembers Bailey, Jones, Knuteson-Boyd and Derasary voting aye.
There were no Citizens to Be Heard.
Jen Sadoff of Moab Regional Hospital and Tiffany Van Sickle of Four
Corners Community Behavioral Health, presented information about the
Communities that Care Program.
Councilmember Jones moved to approve Ordinance #2016-03- an
ordinance approving a City Initiated Rezoning of Property Located at
110 South and 200 East in the C-1 Zone to C-2 and Amending the Official
Zoning Map. Councilmember Knuteson-Boyd seconded the motion. The
motion carried 3-2 aye, with Councilmembers Jones and Knuteson-Boyd
voting aye and Councilmembers Bailey and Derasary voting nay. Mayor
Sakrison voting aye, breaking the tie vote.

Councilmember Derasary moved to approve Resolution #12-2016-A
Resolution Amending the Conditions for Approval for the Development
of Lots 2A and 3A of the Peaches Subdivision Located in the R-2, Single -
and Two -Family Residential Zone at 635 and 645 South 400 East.
Councilmember Jones seconded the motion. The motion carried 4-0
aye, with Councilmembers Bailey, Jones, Knuteson-Boyd and Derasary
voting aye.
Councilmember Jones moved to approve A Resolution Approving an
Amended Plat for a Boundary Line Adjustment for Lots 1 and 2 of the
Riversands Subdivision (612 and 608 Riversands Road) . Councilmember
Bailey seconded the motion. The motion carried 4-0 aye, with
Councilmembers Bailey, Jones, Knuteson-Boyd and Derasary voting aye.
Councilmember Jones moved to send Proposed Ordinance #2016-04 —
an Ordinance to Rezone a Property with Split Zoning of 1-1,
Industrial, and R-4, Manufactured Housing Residential Zone, to R-4,
Manufactured Housing Residential Zone, and Amending the Official
Zoning Map, to Second Reading. Councilmember Derasary seconded the
motion. The motion carried 4-0 aye, with Councilmembers Bailey, Jones,
Knuteson-Boyd and Derasary voting aye.
Councilmember Bailey moved to approve a Resolution by the Moab City
Council to Adopt the City of Moab Tentative Budget For Fiscal
Year 2016-2017 and Setting a Public Hearing for Review of the Final
Budget on May 24, 2016 at 7:15 PM. Councilmember Derasary seconded
the motion. The motion carried 4-0 aye, with Councilmembers Bailey,
Jones, Knuteson-Boyd and Derasary voting aye.
Councilmember Knuteson-Boyd moved to send to Public Hearing the
Community Development Block Grant (CDBG) Small Cities Program Year
2016 Proposed Project - Acquisition of Property on Kane Creek Blvd by
the Housing Authority of Southeastern Utah. Councilmember Jones
seconded the motion. The motion carried 4-0 aye, with Councilmembers
Bailey, Jones, Knuteson-Boyd and Derasary voting aye.
Councilmember Jones moved to approve an equipment lease with Xerox
Corporation. Councilmember Knuteson-Boyd seconded the motion. The
motion carried 4-0 aye, with Councilmembers Bailey, Jones, Knuteson-
Boyd and Derasary voting aye.

In Mayor and Council Reports, Councilmember Bailey reported that he
met with the Grand Water and Sewer Special Agency when City Manager
Davidson and City Engineer Bowman presented the Impact Fees report.
Councilmember Bailey also mentioned that the Agency reported that
Ken's Lake is full and a lot of water is being sent down Mil!creek.
Councilmember Jones mentioned that he and Grand County
Councilmember Mary McGann presented UTV information at Rotary
Park and that the meeting went well.
Councilmember Jones attended the Grand County Affordable Housing
meeting last week along with Councilmembers Derasary and Ershadi.
Councilmember Jones also stated that he attended the Solid Waste
District's meeting.
Councilmember Derasary attended the Arbor Day Festivities at Rotary
and Dixie Parks.
Councilmember Derasary reported that she attended her first Moab
Area Community Land Trust meeting.
Councilmember Derasary reported that she attended the Utah League of
Cities and Towns training given by David Church.
Mayor Sakrison stated that he attended a workshop given by the Utah
league of Cities and Towns, concerning Short-term Rentals. Twenty-four
(24) cities attended and the consensus was it may be a struggle.
Mayor Sakrison reported that he attended the Governor's Rural
Partnership Board meeting today.
Mayor Sakrison reported that the Governor's Office of Economic
Development (GOED), has a new program that ties in with ASAP (Area
Sector Analysis Process).
Mayor Sakrison reminded council that the Utah Rural Summit will be
held in Cedar City on August 5 & 6, 2016.

in the amount of $328,550.26. Councilmember Jones seconded the
motion. The motion carried 4-0 aye, with Councilmembers Bailey, Jones,
Knuteson-Boyd and Derasary voting aye.
The Executive Session was cancelled.
Councilmember Bailey moved to adjourn the meeting. Councilmember
Knuteson-Boyd seconded the motion. The motion carried 4-0 aye, with

ON APPLYING AGREED -UPON PROCEDURES

We have performed the procedures enumerated below, which were agreed to by Moab City, solely to assist you
with respect to the specific schedule of cash disbursements (approximately 760 transactions), and internal
policies of Moab City for the three year period ended June 10, 2016. Moab City's management is responsible for
the accounting and other records that were reviewed. This agreed -upon procedures engagement was conducted
in accordance with attestation standards established by the American Institute of Certified Public Accountants.
The sufficiency of these procedures is solely the responsibility of those parties specified in the report.
Consequently, we make no representation regarding the sufficiency of the procedures described below either for
the purpose for which this report has been requested or for any other purpose.
Our procedures and findings are as follows:
Procedure:
We reviewed the City's purchasing policy to determine whether it is in compliance with Utah State
Code (specifically the General Procurement Provisions in section 63G-6a-101.)
Finding/Conclusion:
According to section 10-6-122 and section 63G-6a-101 of the General Procurement Provisions of the
Utah State Code and the interpretation of the State Auditors Office, the City is to adopt its own
procurement policies and procedures. In the event that a city has not adopted its own procurement
policy, it is then required to use the procurement policies defined in General Procurement Provision.
Moab City has adopted its own procurement policies as required by Utah State Code - General
Procurement Provisions in section 63G-6a-101.
Recommendation:
Specify and clarify in the City's Policies and Procedures the procedures and requirements for
expenditures under $7,000.
Procedure:
We reviewed all emergency purchases individually, documenting:
a. Adherence to City and State policy
b. Sufficient and appropriate documentation
c. Accuracy of disbursement compared to supporting documentation
d. Proper signatures adhering to City policy
e. Reasonableness as it pertains to a Municipality or Local Government (customary in cost and
purpose)
f. Review whether disbursement was paid to a related party
Finding/Conclusion:
All emergency purchases tested appeared to have followed the criteria listed above. No exceptions
were found as a result of applying the procedures. We noted Moab Heat-N-Cool, LLC as a related
party while performing procedures.

Finding/Conclusion:
Of all purchases in the population over $7,000, we noted one deviation in that one disbursement was
made for $10 under the amount on the invoice. This appears to be an isolated oversight. All other
disbursements appear reasonable as it pertains to these specified criteria. We noted Moab Heat-N-
Cool, LLC and Southeastern Plus, LLC as related parties while performing the procedures.
Recommendation:
We recommend that the amount of the actual disbursement match the amounts documented on the
vendor invoice.
Procedure:
We reviewed all Engineering Consulting Services purchases, documenting:
a. Adherence to City and State policy
b. Sufficient and appropriate documentation
c. Accuracy of disbursement compared to supporting documentation
d. Proper signatures adhering to City policy
e. Reasonableness as it pertains to a Municipality or Local Government (customary in cost and
purpose)
f. Review whether disbursement was paid to a related party
Finding/Conclusion:
All Engineering Consulting Services purchases tested appeared to have followed the criteria listed
above. No exceptions were found as a result of applying the procedures.

Whereas, Independents Week provides a time to celebrate the independence of the members of the community of Moab
and the entrepreneurial spirit represented by our core of local independent businesses; and
Whereas, the individual decisions every community member makes today affect the future of Moab; and
Whereas, Moab's local independent businesses help preserve the uniqueness of the community and give us a sense of
place; and
Whereas, Moab's core of independently -owned businesses give back to this community in goods, services, time and talent;
and
Whereas, the health of Moab's economy depends on our support of businesses owned by our friends and neighbors; and
Whereas, Moab's independent business owners and employees enrich community members' shopping experiences with
their knowledge & passion;
Therefore, as we celebrate Independents Week 2016, we acknowledge that the ability to choose the direction of Moab lies
within each of us.

Background/Summary: The City is required to send all budget amendments to
public hearing. This is our final budget amendment for the year.
Please note that in addition to the changes described in the attached memo and
spreadsheet, another change has been made. An increase of $10,000 in the
Executive Budget for the independent audit. I have recommended a
corresponding revenue increase of $10,000 to offset this expense.
Any budget amendments must be made prior to the end of the fiscal year on
June 30, 2016.

AMENDING THE FISCAL YEAR 2015/2016
The City of Moab will hold a Public Hearing on Tuesday, June 28, 2016 at
approximately 7:15 p.m. in the Council Chambers of the Moab City Offices at 217
East Center Street, Moab, Utah.
The purpose of this hearing is to solicit public input on Proposed Resolution #19-
2016 — A Resolution Amending the Fiscal Year 2015/2016 Budget.
In compliance with the Americans with Disabilities Act, individuals needing special

Attached is a list of all year end budget adjustments for the current fiscal year
budget.
General Fund:
Sanitation Collection — this is a pass through expense and revenue. As a
cautionary measure this is an increase to account for any potential overages.
Transfer of $1.8 million from fund balance to Capital Projects. The state
requires that our fund balance be less than 25% of budgeted revenue. This will
decrease our fund balance to approximately 11% of our budgeted revenue.
Attorney Services — Due to increase in agreements, development and other
matters we are requesting an additional $75,000.
Building Permits and fees- we have experienced and increase in permit fees.
Capital Projects:
This is to receive the transfer from the General Fund.

Title: Second Reading and Consideration of Proposed Ordinance #2016-08
An Ordinance Amending Chapter 13.25 of the City of Moab Municipal Code with
New Amounts for the Sewer Impact Fee
Fiscal Impact: The proposed ordinance will modify and lower the Sewer Impact
Fee for the City of Moab, but will increase the Sewer Impact Fee for outside
agencies. The total amount of Sewer Impact Fees collected per year is a function
of the number of building permits issued per year, so the exact effect of the
proposed ordinance is not known at this time.

Background/Summary: City staff has worked closely with the City's
engineering consultant, Bowen Collins and Associates, Inc. (BCA), to create a
Sewer Impact Fee Facilities Plan and a Sewer Impact Fee analysis. The
completion of these two studies is required per the Utah Impact Fees Act to
establish and collect a Sewer Impact Fee from new development within the City
and within any other service agencies served by the City's sewer collection
system and wastewater treatment plant. The Sewer Impact Fee Analysis has
determined a Recommended Impact Fee amount that is different than the amount
currently established in the Moab Municipal Code, Section 13.25, and Proposed
Ordinance #2016-08 will modify the Code to collect the recommended impact fee.
Since the First Reading of Proposed Ordinance #2016-08 on June 14, 2016, the
ordinance has been modified to now include the Sewer Impact Fee Schedule
tables. There have also been adjustments to the wording of the ordinance related
to how the tables are titled and referenced. No other content of the Proposed
Ordinance has been changed, and the proposed sewer impact fee amounts
remain the same.
All required advertising and public notice for Proposed Ordinance #2016-08 have
been completed. The Proposed Ordinance with the Sewer Impact Fee Schedule
tables included, Sewer Impact Fee Facilities Plan, and Sewer Impact Fee
Analysis have been made available for public review at the Grand County Library,
City of Moab Recorder's Office, and on the City of Moab website prior to this
meeting.

If Proposed Ordinance #2106-08 is approved by the City Council on June 28,
2016, there is a mandatory ninety (90) day waiting period established by the Utah
Impact Fees Act before the new impact fee amount can be collected. During the
waiting period, the City is allowed to continue to collect the existing impact fee
amount established by the current Code. With this waiting period taken into
account, the new impact fee amount could begin to be collected within the City of
Moab and within other service agencies (GWSSA) on Monday, September 26,
2016, or at a later date if directed by City Council.
City staff is available to further explain the impact fee studies or ERU Schedule,
and to answer any questions that the City Council may have.
Options:
1. Adopt Proposed Ordinance #2016-08 to amend the City of Moab Municipal
Code, Sections 13.25.060 B and 13.25.060 C to modify the Sewer Impact Fee.
2. Direct staff to make changes to the Proposed Ordinance.
3. Other, as directed to staff.

AN ORDINANCE AMENDING CHAPTER 13.25 OF THE CITY OF MOAB
MUNICIPAL CODE WITH NEW AMOUNTS FOR THE SEWER IMPACT FEE
WHEREAS, the City Council ("Council") adopted the Moab Municipal Code ("Code") and
especially Chapter 13.25, Water and Sewer Impact Fees, to establish impact fees for new
development; and,
WHEREAS, the Utah Impact Fees Act mandates that municipalities establish ordinances and
procedures for the equitable apportionment of costs for municipal capital improvements; and,
WHEREAS, the City of Moab has completed a Sewer Impact Fee Facilities Plan and a Sewer
Impact Fee Analysis in accordance with Utah Code Annotated, 11-36a-306(2); and,
WHEREAS, the Sewer Impact Fee Analysis has determined a Recommended Impact Fee of a
different amount than currently in effect; and,
WHEREAS, Council reviewed Ordinance #2016-08 in a regularly scheduled meeting held on
June 14, 2016, to hear and discuss the merits of the proposed changes to the Code, Chapter
13.25, Water and Sewer Impact Fees; and,
WHEREAS, Council, in a duly advertised public hearing held on June 28, 2016, did hear
public testimony and determine the merits of the changes to the Code, Chapter 13.25, Water
and Sewer Impact Fees; and,
WHEREAS, Council found that the changes benefit the residents of Moab.
NOW, THEREFORE, the Moab City Council hereby amends specific sections of Chapter 13.25,
Water and Sewer Impact Fees, and amends the language as noted below:

and overnight accommodations calculated per ERU pursuant to the following "Sewer Impact Fee
Schedule — City of Moab" table.

C. Sewer impact fees for development with the Spanish Valley water and sewer district, the Grand Water
and Sewer Service District, or any other service agency outside of the City of Moab service area shall be
as provided by interlocal agreement by the dot service agency and the City, and shall be calculated per
equivalent residential unit (ERU).

Attached is a list of all year end budget adjustments for the current fiscal year
budget.
General Fund:
Sanitation Collection — this is a pass through expense and revenue. As a
cautionary measure this is an increase to account for any potential overages.
Transfer of $1.8 million from fund balance to Capital Projects. The state
requires that our fund balance be less than 25% of budgeted revenue. This will
decrease our fund balance to approximately 11% of our budgeted revenue.
Attorney Services — Due to increase in agreements, development and other
matters we are requesting an additional $75,000.
Building Permits and fees- we have experienced and increase in permit fees.
Capital Projects:
This is to receive the transfer from the General Fund.

Background/Summary: The Geotechnical Consulting and Materials Testing
Services Contract will provide general oversight and geotechnical support to the
Water Reclamation Facility (WRF) Site Preparation Project. The Request for
Proposals (RFP) was advertised in the Times Independent on May 19, May 26,
and June 2, 2016, and the proposals were received on June 9, 2016. The City
received six (6) proposals from the following firms: Jones and DeMille
Engineering, GSH Materials Testing, AGEC, Terracon Consultants, Yeh and
Associates, and DOWL.
Bowen Collins and Associates, Inc., (BCA) is the City's engineering consultant for
both the WRF design and for the Site Preparation Project. BCA has reviewed the
proposals received, and BCA and City staff have evaluated each firm based on the
criteria stated in the RFP. BCA recommends that the services contract be
awarded to AGEC as summarized in the attached Letter of Recommendation.
City staff is available to answer any questions that the City Council may have
about the WRF project or the proposals received.
Options:
1. Approve the award of the Geotechnical Consulting and Materials Testing
Services for the WRF Project to AGEC.
2. Direct staff to make changes to the project award, and approve with revisions.

Dear Mr. Bowman:
Proposals were received at the City of Moab Recorders Office on June 9, 2016 at 2:00 PM for the
Geotechnical Consulting and Material Testing Services for the Moab Water Reclamation Facility
(WRF) Site Preparation Project. The City received proposals from six consultants. Following the
receipt of proposals, Bowen Collins and Associates (BC&A) completed an evaluation process based
on the factors listed in the Request for Proposals. The following summarizes the evaluation factors
and associated scoring:

Title: Award of the Sanitary Sewer Rehabilitation Project to Lance Excavating
Inc.
Fiscal Impact: The total amount of this project award will be $475,623.65. The
project is funded in the approved FY 2017 Budget in the Water and Sewer Fund
in the line item "Sewer Line Replacements".

Background/Summary: The 2016 Sanitary Sewer Rehabilitation Project
includes sanitary sewer line removal and replacement located in 400 North, Mi
Vida Drive, and Cermak Road. The project was advertised in the Times
Independent on May 26, June 2, and June 9, 2016, and bids were publically
opened and read aloud on June 17, 2016. The City received two (2) bids on the
project from Lance Excavating Inc. (apparent low bidder) and Neilson
Construction.
The project was broken into three (3) bid schedules related to the segments of
work. The 400 North segment will include sanitary sewer pipe and manhole
removal and replacement near HMK Elementary and the Moab Aquatics and
Recreation Center in 400 North, Mi Vida Drive, and Emma Blvd. The Mi Vida
Drive segment will include sanitary sewer pipe and manhole replacement in Mi
Vida Drive near Rosalie Court and North Mi Vida. The Cermak Road segment
will include sanitary sewer pipe and manhole removal and replacement, new
sanitary sewer pipe and manholes, and water line replacement in Cermak Road
and US-191.
Horrocks Engineering (HE) is the City's engineering consultant for the design of
this project. HE has reviewed the bids and support documents received, and has
deemed the Lance Excavating Inc. bid as "responsive" and meeting all the
project requirements. HE has also checked the project references provided by
Lance Excavating Inc., and has previous project experience with the contractor
on water and sanitary sewer projects. HE recommends that all segments of work
be awarded to Lance Excavating Inc. as summarized in the attached Letter of
Recommendation.

City staff is available to answer any questions that the City Council may have
about the project or the bids received.
Options:
1. Approve the award of the 2016 Sanitary Sewer Rehabilitation Project to Lance
Excavating Inc.
2. Direct staff to make changes to the project award and approve with revisions.

Recommended Motion: "I move to award the 2016 Sanitary Sewer
Rehabilitation Project to Lance Excavating Inc. in the amount of
$475,623.65, and execute the Notice of Award."

RESOLUTION # 21-2016
A RESOLUTION ADOPTING CHANGES IN THE CITY OF MOAB SEWER RATE
STRUCTURE
WHEREAS, the City of Moab is planning for an upgrade and expansion to the City's Wastewater
Treatment Plant; and
WHEREAS, the current sewer rate will not provide sufficient revenues to pay debt service on
loans obtained from the State of Utah that will be needed to pay for the upgrade and expansion;
and
WHEREAS, in order to receive low interest loans or grants from the State of Utah, the City must
show that sewer system users pay a reasonable monthly charge for sewer services, in an amount
to cover system costs, but not to exceed 1.4% of Median Adjusted Gross Household Income
(MAGI); and
WHEREAS, the City of Moab's MAGI is $32,620, based on the 2010 census; and
WHEREAS, the City's current average residential sewer rate is $16.90, or 0.62% of MAGI, which
is considered too low by the state for the City to qualify to receive grants or the lowest interest
loans; and
WHEREAS, the sewer rate should be raised progressively over the next several years to bring
the rates closer to 1.4% of MAGI; and
WHEREAS, the proposed rate structure would raise the average residential sewer rate to $20.28,
which is an approximate 20% increase over the current average residential sewer rate.
NOW, THEREFORE BE IT RESOLVED, that the following sewer rates structure shall be adopted
by the City of Moab:

chapter produces an inaccurate or inappropriate charge, the City Manager may calculate an
individual sewer rate based on other available information, providing that the rates calculated
must be equitable with respect to other users in the system.
PASSED AND ADOPTED in open Council by a majority vote of the Governing Body of the City
of Moab this 28th day of June, A.D., 2016. This ordinance shall take effect on July 1, 2016. Rates for
Spanish Valley Water and Sewer District will take effect July 1, 2016.

RE: Jack Walker v. City of Moab Settlement Agreement
At your June 28 Council meeting you will be considering the Settlement Agreement
between the City and Jack Walker pertaining to the resolution of the pending lawsuit brought by
Mr. Walker. This memo summarizes the dispute and the terms of the deal.
Mr. Walker has for several years held a promotional event during Jeep Safari week at the
Walker Drug parking lot. This has included displays of various Jeep products. In 2015 staff
concluded that the Jeep event would likely be inappropriate for the site because the recently
revised special event ordinance required that temporary events could not consume parking
needed for existing businessesl. Staff conferred with the event promoter, who held the event at
another location on Main Street. Walker sued, alleging that the City decision was arbitrary and
capricious, among other things.
After a number of discussions with staff and Walker's counsel, it was concluded that the
Jeep event could probably be permitted at the Walker Drug site utilizing another section of the
ordinance. The event was held at the Walker Drug site in 2016, apparently without any
problems. The Recorder informed me that she had undertaken review of the special event
ordinances with other members of the community for reasons unrelated to the Walker dispute.
The goal of those discussions is to arrive at a new special event ordinance that works for the
many different types of events which are held in the City each year. It was concluded that we
might be able to avoid the current dispute by undertaking changes to special event permitting
that would apply in the future.
The settlement agreement provides that the City will:
1. undertake a review of the special event ordinances, and that Walker will be invited to
provide comment on changes (along with other members of the public) by September 1, 2016;
2. consider a revised special event ordinance at first reading to take place prior to December
31, 2016; and
3. install parking space striping on the street frontage of West 300 South (adjacent to Zions
Bank) by August 31, 2016.
11 was not consulted prior to the enactment of these changes to the ordinance. Upon close reading, there are
some inconsistent provisions.

Upon conclusion of these performances the case will be dismissed, with prejudice, each party to
pay its own legal fees and costs. Note that the agreement does not compel the City to adopt any
particular ordinance; that is a legislative decision which rests solely with the Council. We have
merely agreed to undertake a review of the ordinances with an eye towards making special event
permitting more flexible and efficient.

SETTLEMENT AGREEMENT
For valuable consideration, the sufficiency of which is acknowledged, this
Settlement Agreement (Agreement) is entered into as of the date(s) set forth below
between the City of Moab (City) and Jack Walker, individually and on behalf of the Jack
Walker Trust and Walker Drug Company, Inc. (Walker), as follows:
1. Nature of Dispute. Walker commenced suit against the City in the Seventh
Judicial District Court, Grand County, Utah, Case No. 150700004 (the Litigation),
alleging declaratory judgment claims relating to the application of certain special event
license ordinances enacted by the City to real property owned by Walker at 290 South
Main Street (the Property) in 2014.
2. Final Settlement. As a result of negotiations between the parties and their
counsels, the parties reached this Agreement, which resolves all of the legal claims in the
Litigation.
3. Settlement Performances. The parties agree to the following settlement
performances which will resolve all claims in this matter:
a. The City issued Special Event License No. SE-339 on March 19, 2016 to
Creative Solution Group for a Jeep promotional event held at the Property during the
2016 Jeep Safari event.
b. The City shall undertake revisions to its Vendor Ordinance, Special
Events, and Special Business Events, as set forth in Chapters 5.09 and 5.64 of the Moab
Municipal Code (the "Ordinances"). The City shall notify Walker, through his counsel,
of the date/time of all City working group meetings, workshops, public meetings, and
public hearings in which changes to the Ordinances will be discussed, and shall invite
Walker to submit proposals or suggested changes to the ordinances. The first Ordinance
working group meeting shall be an informal meeting with City staff and interested
stakeholders; the meeting shall be held on or before September 1, 2016. Following the
review process with stakeholders, the City will present revised Ordinances for first
reading consideration by the City Council on or before December 31, 2016. The City
makes no warranty as to the scope of any changes to said Ordinances which may be
adopted by the City Council following this review process, and nothing in this Agreement
shall be deemed to abridge the City's legislative power.
c. The City shall install parallel parking space striping on West 300 South
Street, adjacent to Zions Bank to the north and 300 S. Main Street and the Property to the
South, on or before August 31, 2016.
4. Dismissal. Upon completion of the performances specified above the Litigation,
including all claims which are pending or which could have been asserted, will be
dismissed, with prejudice, each party to pay its own costs and attorney fees; provided,
however, that nothing herein shall be construed as to limit Walker's rights to bring claims

regarding the City's future actions, including but not limited to application of its
ordinances, existing or as amended, against real property owned by Walker or events held
on real property owned by Walker.
5. Advice of Counsel. The parties acknowledge that they have been fully and
competently advised by their attorneys of the nature of the legal claims and defenses, and
of the finality and related consequences of entering into this Agreement.
6. Integration; Modification. All promises and performances owed by the parties are
set forth in this Agreement, which is the sole and complete agreement of the parties. No
other promise, performance, representation, or obligation between the parties is owing,
nor shall any such obligation be binding unless it is reduced to writing and lawfully
executed by all parties as a modification to this Agreement.
7. Due Deliberation; Capacity. The parties acknowledge that this Agreement has
been executed after due deliberation, and not as a result of any undue influence or
coercion. It is personally warranted by all signatories that at the time of signing this
document he or she is not under the influence of any alcohol or medication, and that he or
she is not suffering from any medical condition which would impair his or her judgment,
or otherwise render this document unenforceable.
8. Remedies. This Agreement is a binding legal document which shall be enforced
according to its terms, including by way of an action for specific performance, injunctive,
or declaratory relief. In the event any judicial action is filed by any party to enforce the
terms of this Agreement, the prevailing party shall be entitled to recover reasonable
attorney fees and costs incurred in that action, in addition to any other relief.
9. Governing Law; Venue. This Agreement shall be construed pursuant to the laws
of the State of Utah. The place of performance is Grand County, and the exclusive venue
for any future dispute concerning this document shall be in the courts of Grand County,
Utah.
10. Warranties. The parties warrant that: 1) they have not assigned or pledged the
instruments or legal claims that are the subject of this Agreement; 2) no third parties are
subrogated to their rights in this matter; 3) no other person or entity is otherwise legally
entitled to enforce or prosecute any claims that are subject to release here; and 4) that
they execute after having obtained all lawful and necessary authority to act and bind that
party. Additionally, Walker warrants that this Agreement shall be binding upon the Jack
Walker Trust, of which he is the sole Trustee and Walker Drug Company, Inc., of which
he is the President. In the event of breach of this section, the breaching party shall
indemnify any other affected party for all damages accruing as a result of such breach,
including reasonable attorney fees and costs incurred defending any such claims.
11. Compromise of Disputed Claims. This Agreement is a compromise of claims
which are disputed as to validity and amount; it shall not be regarded as an admission of
fault or wrongdoing by any party.

12. Execution in Counterparts. This document may be executed in counterparts
which, when combined, shall evidence the complete Agreement. Electronic or facsimile
signatures shall have the same effect as original signatures. The effective date shall be
the date of last signature.
13. Interpretation. This Agreement is the product of mutual bargaining and
negotiation as to its terms. It shall be interpreted in accordance with its plain meaning,
regardless of the extent to which either party contributed to the drafting.

Background/Summary: The City is required to send compensation rates to a
public hearing annually and then adopt those rates. The City adopts a new
compensation chart annually to accommodate the Cost of Living Adjustment
(COLA) for city wages. The COLA increase this year was estimated at 1.5%
year. The wages proposed in Attachment A reflect the proposed 1.5% COLA
increase.
Attachment B reflects all Exempt Employees along with Elected Officials and
Planning Commission members. During a review of our job descriptions and a
comparison with the Fair Labor Standards Act, some existing and new positions
were identified as Exempt positions. The positions qualify as being exempt from
the FLSA Overtime standard and so their compensation should be adopted by
Ordinance along with the existing Exempt positions.
Options: approve, postpone or deny.

AN ORDINANCE AMENDING THE CITY OF MOAB CLASSIFIED HOURLY
PAY RATE SCHEDULE AND EXEMPT AND ELECTED OFFICIALS'
SALARIES
WHEREAS, the Moab City Personnel Policies and Procedures Manual allows that pay
ranges may be adjusted periodically to accommodate increases in the cost of living; and
WHEREAS, the Moab City Personnel, Policies and Procedures Manual calls for using
standard state and national measures to determine cost of living adjustments; and
WHEREAS, the 2016/2017 Fiscal Year Budget Shows a 1.5% Cost of Living Increase
for all employees covered by the Pay Rate Schedule; and
WHEREAS, the proposed "City of Moab Classified Hourly Pay Rate Schedule" is
attached to this resolution as Attachment A, respectively; and
WHEREAS, Moab Municipal Code Section 2.44.010 states that all salaries of the
elective and appointive officers of the City and the other employees of the City shall be
fixed by motion or resolution of the City Council as in accordance with existing law.
NOW, THEREFORE, WE, THE GOVERNING BODY OF THE CITY OF MOAB
RESOLVE TO ADOPT The City of Moab Classified Hourly Pay Rate Schedule
(Attachment A) and Exempt and Elected Official Salaries (Attachment B) as referred
herein effective July 1, 2016.
