BOARD OF DIRECTORS
JULY 20 , 1989
MINUTES
I . ROLL CALL
President Gerry Andeen called the special meeting to order
at 6 : 50 P.M. H. Grench stated that written notice for this
special meeting had been delivered and/or mailed to the
Board and local newspapers at least twenty-four hours in
advance of the meeting as required.
Members Present : Gerry Andeen, Teena Henshaw, Robert
McKibbin, Nonette Hanko and Edward Shelley.
Members Absent: Richard Bishop and Katherine Duffy.
Personnel Present: Herbert Grench, Craig Britton, David
Hansen, Jean Fiddes , Mary Hale and Mary Gundert .
G. Andeen appointed R. McKibbin as Secretary Pro-Tempore for
the meeting.
II . BOARD BUSINESS
1 . Agricultural Lease e Amendment for Portion of Christmas
Trees at Byline Open. _Space_ (Report

R-89-116 dated July 19 , 1989)
C . Britton reviewed portions of the staff report and
explained the buyout formula that had been used for the
Christmas trees to be removed. He said that there are
13 , 137 trees in the buyout area and that Mr . Vince
Garrod had been hired as a consultant to assist with
the tree counting and age determination process . C .
Britton stated that the terms for reducing the area
leased by Mr . Julius Ducca called for a total payment
of $100 , 000 in cash, with $50 , 000 payable upon
execution of the agreement by the District and $50 , 000
payable on or immediately after January 1 , 1990 , and

reducing the District ' s share of the profits on the
"Woodward" tree farm lease area to 35% of gross sales .
C . Britton noted that a special meeting needed to be
called to consider this item because the construction
schedule for the Skyline Ridge Open Space Preserve
development project had changed and immediate access to
the tree farm area was needed for work to proceed.
H. Grench and M. Gundert briefed the Board on the
project ' s construction progress . H. Grench noted that
change orders would be necessary because of the
complexity of the project and stated that he had
approved one change order to date in the amount of
$22 , 000 for work that needed to be done , but that had
not been included in the bid package .
Motion: N. Hanko moved that the Board approve
Resolution 89-42 , a Resolution of the Board
of Directors of the Midpeninsula Regional
Open Space District Authorizing Acceptance of
Amendment to Agricultural Lease - Christmas
Trees and Authorizing General Manager to
Execute Any and All Other Documents Necessary
or Appropriate to Closing of the Transaction
(Skyline Ridge Open Space Preserve) . T.
Henshaw seconded the motion. The motion
passed 5 to 0 .
III . CLAIMS
Motion: N. Hanko moved that the Board approve the
claims list 89-14 dated July 20 , 1989 . T.
Henshaw seconded the motion. The motion
passed 5 to 0 .
IV. ADJOURNMENT
The meeting was adjourned at 7 : 15 P.M.
