ADDENDUM
THIS ADDENDUM, (Number 2 to Contract No. 177-2013) is made and entered into
this day of `�`, 2014, by and between Richmond, Indiana, a municipal
corporation acting through its Board of Public Works and Safety with its office at 50 North 5th
Street, Richmond, Indiana, (hereinafter referred to as "City"), and Maze Design, Inc., 124 S. 8th
Street, Richmond, Indiana, 47374 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 177-2013 on December 19, 2013,
for certain professional services in connection with construction management of
the rehabilitation of property owned by the City of Richmond and located at
1400-1500 Industrial Road, Richmond, Indiana; and
WHEREAS, City desires that Contractor also provide additional professional services
including but not limited to preparation of plans and specs, asbestos testing, and
AIA contract preparation, as set forth within the scope of Contract No. 177-2013.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
The City and Contractor executed and entered into Contract No. 177-2013, on
December 19, 2013 and executed and entered into Addendum No. 1 to said
Agreement on March 13, 2014. Pursuant to Section XI. (Miscellaneous) of said
Agreement, the Agreement may be amended in whole or in part at any time by
filing with the Agreement a written instrument setting forth such changes singed
by both parties.
2. Contractor shall perform additional professional services in connection with the
scope of Contract No. 177-2013, as set forth in Contractor's proposal dated April
10, 2014, which quote is attached to this Addendum No. 2 as Exhibit A and
incorporated by reference. Contractor agrees to abide by the same. Contractor
shall be paid the additional amount of Forty-six Thousand Three Hundred One
Dollars and Zero Cents ($46,301.00) which shall result in a total Agreement sum
not to exceed One Hundred Fifteen Thousand Eight Hundred One Dollars and
Zero Cents ($115,801.00) for completion of the work under Contract No. 177-
2013 (and prior Addendum No. 1) and this Addendum No. 2 to said Agreement.
3. City and Contractor expressly agree that all other terms, conditions, and
covenants contained in Contract No. 177-2013, shall be applicable to the work
performed pursuant to this Addendum Number 2, unless such term, condition or
covenant conflicts with this Addendum Number 2, in which case this Addendum
Number 2 shall be controlling.

4. Both parties hereby agree that with the exception of the addition of the above -
referenced professional services to be performed in accordance with Contract
No. 177-2013, and with the exception of the Agreement sum price increase as set
forth above, Contract No. 177-2013 and its prior Addendum No. I shall remain
intact and unchanged and in full force and effect.
5. Both parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duty authorized by his or her
principal to execute this Addendum.
