MandatesAMENDMENTNO.5TOAGREEMENTFORPROFESSIONALSERVICESTHISAMENDMENTTOTHEAGREEMENTFORPROFESSIONALSERVICES(“Amendment”)byandbetWeentheCITYOFCARSON(“City”)andBUR14NN&jSTaCalifornialimitedliabilitypartnership(“Contractor”)iseffectiveasoftheIi“‘2020.RECITALSA.CityandContractorenteredintothatcertainAgreementforProfessionalServicesdatedSeptember25,2007(“Agreement”)wherebyContractoragreedtoprovidelegalservicestotheCityconcerningrepresentationintheactionfiledbytheStateofCalifornia,StateofCatforniav.CommissiononStateMandates,CaseNo.34-2010-80000605,foranamountnot-to-exceed$7,500.B.Since2007,theCityandContractorhaveenteredintofouramendmentstotheAgreement,resultinginatotalnot-to-exceedamountforallworkinthecasetotaling561,050,andexpandingthescopeofworktoincludeworkonanappealinthematterofStateofCalUorniav.CommissiononStateMandates.C.TheCityplayedaleadershiproleinthiscasewhichadvocatesforStatereimbursementforthecostsassociatedwiththe2001municipalseparatestormsewersystem(“MS4”)pennitrequirements.D.Theseeffortsresultedinadecisionincities’favorbeforetheCommissiononStateMandates;subsequently,theRegionalWaterQualityControlBoardandDepartmentoffinance(“DOF”)challengedtheCommission’sdecisioninSuperiorCourt,andCityofCarsondefendedthedecisioninitsfavor,arguingcities’righttoreimbursementallthewayuptotheCaliforniaSupremeCourt;E.AlthoughtheCourtofAppealandSuperiorCourtsidedwiththeDOFandtheWaterBoardsontheissueofwhetherthe2001permitrequirementswerestatemandates,theCaliforniaSupremeCourtultimatelyagreedwithCarsonandtheothercitiesthattherequirementswerestatemandatesandsentthematterbacktotheCourtofAppealandSuperiorCourttodecidetheremainingissuesinthecase.F.TheCityhastwooutstandinginvoicesfromContractor,oneofwhichis$10,819.83andtheotherwhichisapproximately$7,800;thistotals$18,619.83;ContractorhasagreedthatCity’sfeesforallremainingworkonthecasewillnotexceed$20,000;whenthisisaddedtooutstandinginvoices,thegrandtotalofthecontractincreaseunderthisAmendmentcomesto$38,619.83.G.ContractorhasalsobeenrepresentingtheCity,inaseparateadministrativeproceedingfiledonanewertestclaimrelatedtothe2012permitonbehalfof23cities,theCounty,andfloodControlDistrict.Thisincludesarequestforstatereimbursementof010070001/6330094 watershedmanagementprograms(thelargestcostitemunderthe2012permits);thistestclaimarguesthattheseprogramsareanunfundedstatemandateforwhichtheCityisentitledtoreimbursement.H.ContractorandtheCityagreethattheCitycanremainonthependingtestclaimwhichistentativelysetforhearinginDecember,butsubstituteinitsCityAttorneytomonitorthatmatter,inlieuofmorecostlyactiveparticipation;theCitywouldderivethebenefitofanywinregardlessofwhetheritactivelyparticipatesormonitorsthecase;monitoringthecaseislesscostlythanactiveparticipation.I.CityandContractornowdesiretoamendtheAgreementtoincreasethecompensationinaccordancewiththeforegoing.TERMS1.ContractChanges.TheAgreementisamendedasprovidedherein:a.Thetotalnot-to-exceedamountofcompensationforContractor’sservicesrelatedtothematterofStateofC’a/forniav.CommissiononStateMandates,CaseNo.34-2010-80000605,includingtheappeals,PetitionstotheCaliforniaSupremeCourt,andanyremandsofthatmatter(“TaskA”),isincreasedby$38,619.83,foranewtotalnot-to-exceedamountof$99,669.83fromSeptember2007totheconclusionofthelegalmatters.b.Thefollowinglanguage(“TaskB”)isaddedtothescopeofworkoftheAgreementasfollows:TaskB—TestClaim:ProceedingbeforetheConunissiononStateMandates,TestClaimNo.13-TC-0lThisisaproceedingbeforetheCommissiononStateMandatestoobtainasubventionoffundsunderCaliforniaConstitutionArticleXIIIB,section6,forcertaincoststheCityhasincurred,andwillincurinthefuture,inimplementingthe2012LosAngelesCountyStormWaterpermitissuedbytheLosAngelesRegionalWaterQualityControlBoard.ContractoradvisedtheCityinconnectionwiththeproceeding,preparedatestclaimandsupportingdocumentationandrebuttalforsubmissiontotheCommittee,andgenerallyrepresentedtheCitybeforetheCommission.Thecostsofthisproceedingweresharedbyothercitiesthatarealsothesubjectofthe2012PermitandwhicharealsorepresentedbyContractorbeforetheCommission,exceptforservicesthatwereuniquetotheCityofCarson.ContractorandCitywillprepareasubstitutionofattorneyinsuchmattertohavetheCityAttorneys’Officemonitorthistestclaimproceedingonthe2012permit,inlieuofContractoractivelyparticipatingonbehalfoftheCity,andthetotalnot-to-exceedamountwillnotbeincreasedforanyContractorworkonTaskB.-2-010070001/633009.4 c.Thetotalcombinednot-to-exceedamountofcompensationforallworkbyContractor,fromSeptember2007toconclusionofthelegalmattersis$99,669.83.d.ProfessionalLiabilityInsurance.Contractorshaltobtainatitsownexpense.andmaintainthroughoutthetermoftheAgreement,apolicyofprofessionalliabilityinsuranceappropriatetotheContractor’sprofession,inaformapprovedbytheCity’sriskmanager.Thiscoveragemaybewrittenona‘claimsmade”basis,andmustincludecoverageforcontractualliability.TheprofessionalliabilityinsurancerequiredbythisAgreementmustbeendorsedtobeapplicabletoclaimsbasedupon,arisingoutoforrelatedtoservicesperformedunderthisAgreement.Theinsurancemustbemaintainedforatleast5consecutiveyearsfollowingthecompletionofContractor’sservicesortheterminationofthisAgreement.Duringthisadditional5-yearperiod,ContractorshallannualtyanduponrequestoftheCitysubmitwrittenevidenceofthiscontinuouscoverage.2.ContinuingEffectofAgreement.ExceptasamendedbythisAmendment,allprovisionsoftheAgreementshallremainunchangedandinfullforceandeffect.fromandafterthedateofthisAmendment,whenevertheterm“Agreement”appearsintheAgreement,itshallmeantheAgreement,asamendedbythisAmendmenttotheAgreement.3.AffirmationofAgreement;WarrantyReAbsenceofDefaults.CityandContractoreachratifyandreaffirmeachandeveryoneoftherespectiverightsandobligationsarisingundertheAgreement.EachpartyrepresentsandwarrantstotheotherthattherehavebeennowrittenororalmodificationstotheAgreementotherthanasprovidedherein.EachpartyrepresentsandwarrantstotheotherthattheAgreementiscurrentlyaneffective,valid,andbindingobligation.ContractorrepresentsandwarrantstoCitythat,asofthedateofthisAmendment,CityisnotindefaultofanymaterialtermoftheAgreementandthattherehavebeennoeventsthat,withthepassingoftimeorthegivingofnotice,orboth,wouldconstituteamaterialdefaultundertheAgreement.CityrepresentsandwarrantstoContractorthat,asofthedateofthisAmendment,flnntr2rtnrinnliiidfii1tnfinuiiitrriltornii,ftl,pAc,rppr,-ipntnAtl,qt1,,rplneventsthat,withthepassingoftimeorthegivingofnotice,orboth,wouldconstituteamateridefaultundertheAgreement.4.AdequateConsideration.ThepartiesheretoirrevocablystipulateandagreethattheyhaveeachreceivedadequateandindependentconsiderationfortheperformanceoftheobligationstheyhaveundertakenpursuanttothisAmendment.5.Authority.ThepersonsexecutingthisAmendmentonbehalfofthepartiesheretowarrantthat(i)suchpartyisdulyorganizedandexisting,(ii)theyaredulyauthorizedtoexecuteanddeliverthisAmendmentonbehalfofsaidparty,(iii)bysoexecutingthisAmendment,suchpartyisformallyboundtotheprovisionsofthisAmendment,and(iv)theenteringintothisAmendmentdoesnotviolateanyprovisionofanyotheragreementtowhichsaidpartyisbound.-3-01007.0001/533009.4
