THIS ADDENDPM, (Number 1 to Contract No. 153-2012) is made and entered into this
day off �L 2014, by and between Richmond, Indiana, a municipal
corporation acting through'' s Board of Public Works and Safety with its office at 50 North 51h Street,
Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Earlywine Pest Control, 2234
Boston Pike, Richmond, Indiana, 47374 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 153-2012 on December 6, 2012,
which Agreement retains Contractor to provide pest control services for various City
buildings and facilities; and
WHEREAS, The parties to said Agreement wish to add the Richmond Airport Lifeline Hangar to
the Agreement under the same terms and conditions as set forth in Contract No. 153-
2012 in order that the Lifeline Hangar can be added to the list of buildings and
facilities that will receive pest control services by Contractor.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
The City and Contractor executed and entered into Contract No. 153-2012, on
December 6, 2012. Pursuant to Contract No. 153-2012, Section XI Miscellaneous,
the Agreement may be altered or amended in whole or in part at any time by filing
with the Agreement a written instrument setting forth such changes signed by both
parties. As set forth above and as set forth on Exhibit A to this Addendum, the
Lifeline Hangar at the Richmond Airport will be added to the scheduled list of
buildings and facilities that will receive pest control services as set forth within
Contract No. 153-2012. Such services shall be performed in a manner consistent
with Contract No. 153-2012.
2. Section III Compensation of said Agreement shall be altered in order that City shall
pay Contractor an additional amount of One Hundred Twenty Dollars and Zero Cents
($120.00) for the addition of the Lifeline Hangar to said Agreement during the 2015
calendar year, with said final contract amount for the 2015 calendar year to be
increased to a total amount of Three Thousand Two Hundred Fifteen Dollars and
Zero Cents ($3,215.00), which total amount shall be subject to the percentage
increase authorized under Section IV Term of Agreement.
3. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 153-2012, shall be applicable to the work performed
pursuant to this Addendum, unless such term, condition or covenant conflicts with
this Addendum Number 1, in which case this Addendum Number 1 shall be
controlling.

4. Both parties hereby agree that with the exception of the addition of the above
described addition of the Lifeline Hangar to the schedule of buildings and facilities to
receive services and the increase of the contract total for the 2015 calendar year,
Contract No. 153-2012 shall remain intact and unchanged and in full force and
effect.
5. Both parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to
execute this Addendum.
IN WITNESS WHEREOF, this Addend is execute�f/ jand approved by the undersigned
representatives of the City and Contractor this day of2014, to be effective
in accordance with its terms as of May 1, 2014.
