HomeMy Public PortalAboutC-20-072 - Petrochem Materials Innovation, LLC, Slurry Seal Project No. 1413-3CONTRACTSERVICESAGREEMENTByandBetweenCITYOFCARSONandPETROCHEMMATERIALSINNOVATION,LLC AGREEMENTFORCONTRACTSERVICESBETWEENTHECITYOFCARSONANDPETROCHEMMATERIALSINNOVATION,LLCTHISAGREEMENTFORCONTRACTSERVICES(herein“Agreement”)ismadeandenteredintothis13thdayofJuly,2020byandbetweentheCityofCarson,aCaliforniamunicipalcorporation(“City”)andPetrochemMaterialsInnovation,LLC,aNevadaLimitedLiabilityCompany”(“Contractor”or“PMI”).CityandContractoraresometimeshereinafterindividuallyreferredtoas“Party”andhereinaftercollectivelyreferredtoasthe“Parties.”RECITALSA.TheCityofCarsonhasscheduled,orisabouttoschedule,anannualcitywideslurrysealproject#1413-3FY2019/20,whichprojectrequires,amongotherthings,installationofTypeIICentralMixREAS[RubberizedEmulationAggregateSlurry](hereinafter,the“Project”);andB.PMIsuppliesTypeIICentralMixRubberizedEmulsionAggregateSlurry(REAS)(hereinafter,the“CentralMix”)thatiscentrallymixedinaccordancewithSection203-5.5.3oftheGreenbookStandardSpecificationsforPublicWorksConstruction201$Edition(the“Greenbook”),attachedheretoasExhibit“A-3”andincorporatedhereinbyreference,applicatortrucks,servicetrucks,slurrypumps,transporttrailers,laydownbox,andrequiredlabortocompletetheapplicationprocess;andC.PMIandtheCityofLosAngelespreviouslyenteredintoacompetitivelybidcontractdatedJanuary1,2016,forpurchaseoftheCentralMix,supplyofrequiredequipment,andlaborrelatedtotheapplicationprocess,attachedheretoasExhibit“C-1”andincorporatedhereinbyreference;andD.PMI’scontractwithLosAngeles,asamended,providesthatPMIshalloffergovernmentalagenciesliketheCityapriceof$2.11pergallonforthepurchaseofTypeIICentralMixand$2.49forTypeICentralMix,plustransportationwhichontheProjectisequivalenttoanadditional$0.03pergallonfordeliverychargedfromPMI’splantlocatedintheCityofSouthGate,California,totheCityofCarson,California;andE.BiddingthematerialsandworkwouldnotprovidetheCitywithacompetitiveadvantagebecausepiggybackingontheCityofLosAngeles’scontractwithPMIallowstheCitytoobtainslurrymaterialsandsealingservicesforapricethatisapproximately40%lowerthaniftheCityweretobidtheprojectonitsown.F.ThePartiesagreethattheCityshallberesponsibleforallrequiredprepwork,publicoutreachandnotificationtoresidents,thepostingof“NoParking”signsasandwhenwarranted,installationandremovalofalltrafficcontrolsystems,motorstreet-sweeping,andremovalandreinstallationofalltrafficstripingorotherdevices;andG.PursuanttotheCityofCarsonMunicipalCode,CityhasauthoritytoenterintoandexecutethisAgreement. H.ThePartiesdesiretoformalizetheselectionofContractorforperformanceofthoseservicesdefinedanddescribedparticularlyinArticle1ofthisAgreementanddesirethattheteniisofthatperformancebeasparticularlydefinedanddescribedherein.I.ThePartiesdesiretoformalizetheselectionofContractorforperformanceofthoseservicesdefinedanddescribedparticularlyinArticle1ofthisAgreementanddesirethatthetermsofthatperfonnancebeasparticularlydefinedanddescribedherein.OPERATIVEPROVISIONSNOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantsmadebythePartiesandcontainedhereinandotherconsideration,thevalueandadequacyofwhichareherebyacknowledged,thepartiesagreeasfollows:ARTICLEI.SERVICESOFCONTRACTOR1.1ScopeofServices.IncompliancewithalltermsandconditionsofthisAgreement,theContractorshallprovidethoseservicesspecifiedinthe“ScopeofServices”attachedheretoasExhibit“A”andincorporatedhereinbythisreference,whichmaybereferredtohereinasthe“services”or“work”hereunder.AsamaterialinducementtotheCityenteringintothisAgreement,Contractorrepresentsandwarrantsthatithasthequalifications,experience,andfacilitiesnecessarytoproperlyperformtheservicesrequiredunderthisAgreementinathorough,competent,andprofessionalmanner,andisexperiencedinperfonningtheworkandservicescontemplatedherein.Contractorshallatalltimesfaithfully,competentlyandtothebestofitsability,experienceandtalent,performallservicesdescribedherein.Contractorcovenantsthatitshallfollowthehighestprofessionalstandardsinperformingtheworkandservicesrequiredhereunderandthatallmaterialswillbebothofgoodqualityaswellasfitforthepurposeintended.ForpurposesofthisAgreement,thephrase“highestprofessionalstandards”shallmeanthosestandardsofpracticerecognizedbyoneormorefirst-classfinnsperformingsimilarworkundersimilarcircumstances.1.2Contractor’sProposal.TheScopeofServiceshallincludetheContractor’sscopeofworkorbidwhichshallbeincorporatedhereinbythisreferenceasthoughfullysetforthherein.IntheeventofanyinconsistencybetweenthetermsofsuchproposalandthisAgreement,thetermsofthisAgreementshallgovern.1.3CompliancewithLaw.Contractorshallkeepitselfinformedconcerning,andshallrenderallserviceshereunderinaccordancewith,allordinances,resolutions,statutes,rules,andregulationsoftheCityandanyFederal,Stateorlocalgovenunentalentityhavingjurisdictionineffectatthetimeserviceisrendered.-2- 1.4Licenses,Permits,FeesandAssessments.Contractorshallobtainatitssolecostandexpensesuchlicenses,permitsandapprovalsasmayberequiredbylawfortheperfonnanceoftheservicesrequiredbythisAgreement.Contractorshallhavethesoleobligationtopayforanyfees,assessmentsandtaxes,plusapplicablepenaltiesandinterest,whichmaybeimposedbylawandarisefromorarenecessaryfortheContractor’sperformanceoftheservicesrequiredbythisAgreement,andshallindemnify,defendandholdharmlessCity,itsofficers,employeesoragentsofCity,againstanysuchfees,assessments,taxes,penaltiesorinterestlevied,assessedorimposedagainstCityhereunder.1.5familiaritywithWork.ByexecutingthisAgreement,ContractorwarrantsthatContractor(i)hasthoroughlyinvestigatedandconsideredthescopeofservicestobeperformed,(ii)hascarefullyconsideredhowtheservicesshouldbeperformed,and(iii)fullyunderstandsthefacilities,difficultiesandrestrictionsattendingperformanceoftheservicesunderthisAgreement.Iftheservicesinvolveworkuponanysite,ContractorwarrantsthatContractorhasorwillinvestigatethesiteandisorwillbefullyacquaintedwiththeconditionsthereexisting,priortocommencementofserviceshereunder.ShouldtheContractordiscoveranylatentorunknownconditions,whichwillmateriallyaffecttheperfonnanceoftheserviceshereunder,ContractorshallimmediatelyinformtheCityofsuchfactandshallnotproceedexceptatContractor’sriskuntilwritteninstructionsarereceivedfromtheContractOfficer.1.6CareofWork.TheContractorshalladoptreasonablemethodsduringthelifeoftheAgreementtofurnishcontinuousprotectiontothework,andtheequipment,materials,papers,documents,plans,studiesand/orothercomponentsthereoftopreventlossesordamages,andshallberesponsibleforallsuchdamages,topersonsorproperty,untilacceptanceoftheworkbyCity,exceptsuchlossesordamagesasmaybecausedbyCity’sownnegligence.1.7FurtherResponsibilitiesofParties.BothpartiesagreetousereasonablecareanddiligencetoperformtheirrespectiveobligationsunderthisAgreement.Bothpartiesagreetoactingoodfaithtoexecuteallinstruments,preparealldocumentsandtakeallactionsasmaybereasonablynecessarytocarryoutthepurposesofthisAgreement.Unlesshereafterspecified,neitherpartyshallberesponsiblefortheserviceoftheother.1.8AdditionalServices.Cityshallhavetherightatanytimeduringtheperformanceoftheservices,withoutinvalidatingthisAgreement,toorderextraworkbeyondthatspecifiedintheScopeofServicesormakechangesbyaltering,addingtoordeductingfromsaidwork.NosuchextraworkmaybeundertakenunlessawrittenorderisfirstgivenbytheContractOfficertotheContractor,incorporatingthereinanyadjustmentin(i)theContractSumfortheactualcostsoftheextrawork,and/or(ii)thetimetoperformthisAgreement,whichsaidadjustmentsaresubjecttothewrittenapprovaloftheContractor.Anyincreaseincompensationofuptotenpercent(10%)ofthe-3- ContractSumor$25,000,whicheverisless;or,inthetimetoperformofuptoonehundredeighty(1$0)days,maybeapprovedbytheContractOfficer.Anygreaterincreases,takeneitherseparatelyorcumulatively,mustbeapprovedbytheCityCouncil.ItisexpresslyunderstoodbyContractorthattheprovisionsofthisSectionshallnotapplytoservicesspecificallysetforthintheScopeofServices.ContractorherebyacknowledgesthatitacceptstheriskthattheservicestobeprovidedpursuanttotheScopeofServicesmaybemorecostlyortimeconsumingthanContractoranticipatesandthatContractorshallnotbeentitledtoadditionalcompensationtherefor.Citymayinitssoleandabsolutediscretionhavesimilarworkdonebyothercontractors.NoclaimsforanincreaseintheContractSumortimeforperformanceshallbevalidunlesstheproceduresestablishedinthisSectionarefollowed.1.9SpecialRequirements.AdditionaltermsandconditionsofthisAgreement,ifany,whicharemadeaparthereofaresetforthinthe“SpecialRequirements”attachedheretoasExhibit“B”andincorporatedhereinbythisreference.IntheeventofaconflictbetweentheprovisionsofExhibit“B”andanyotherprovisionsofthisAgreement,theprovisionsofExhibit“B”shallgovern.ARTICLE2.COMPENSATIONANDMETHODOFPAYMENT.2.1ContractSum.SubjecttoanylimitationssetforthinthisAgreement,CityagreestopayContractortheamountsspecifiedinthe“ScheduleofCompensation”attachedheretoasExhibit“C”andincorporatedhereinbythisreference.Thetotalcompensation,includingreimbursementforactualexpenses,shallnotexceedSixHundredThirtyEightThousandSevenHundredForty-SixDollarsandFifty-SevenCents($638,746.57)(the“ContractSum”),unlessadditionalcompensationisapprovedpursuanttoSection1.8.2.2MethodofCompensation.Themethodofcompensationmayinclude:(i)alumpsumpaymentuponcompletion;(ii)paymentinaccordancewithspecifiedtasksorthepercentageofcompletionoftheservices,lesscontractretention;(iii)paymentfortimeandmaterialsbasedupontheContractor’sratesasspecifiedintheScheduleofCompensation,providedthat(a)timeestimatesareprovidedfortheperformanceofsubtasks,(b)contractretentionismaintained,and(c)theContractSumisnotexceeded;or(iv)suchothermethodsasmaybespecifiedintheScheduleofCompensation.2.3ReimbursableExpenses.Compensationmayincludereimbursementforactualandnecessaryexpendituresforreproductioncosts,telephoneexpenses,andtravelexpensesapprovedbytheContractOfficerinadvance,oractualsubcontractorexpensesofanapprovedsubcontractorpursuanttoSection4.5,andonlyifspecifiedintheScheduleofCompensation.TheContractSumshallincludetheattendanceofContractoratallprojectmeetingsreasonablydeemednecessarybytheCity.CoordinationoftheperformanceoftheworkwithCityisacriticalcomponentoftheservices.IfContractorisrequiredtoattendadditionalmeetingstofacilitatesuchcoordination,Contractorshallnotbeentitledtoanyadditionalcompensationforattendingsaidmeetings.-4- 2.4Invoices.EachmonthContractorshallfurnishtoCityanoriginalinvoiceforallworkperformedandexpensesincurredduringtheprecedingmonthinaformapprovedbyCity’sDirectoroffinance.BysubmittinganinvoiceforpaymentunderthisAgreement,ContractoriscertifyingcompliancewithallprovisionsoftheAgreement.Theinvoiceshalldetailchargesforallnecessaryandactualexpensesbythefollowingcategories:labor(bysub-category),travel,materials,equipment,supplies,andsub-contractorcontracts.Sub-contractorchargesshallalsobedetailedbysuchcategories.ContractorshallnotinvoiceCityforanyduplicateservicesperformedbymorethanoneperson.CityshallindependentlyrevieweachinvoicesubmittedbytheContractortodeterminewhethertheworkperformedandexpensesincurredareincompliancewiththeprovisionsofthisAgreement.ExceptastoanychargesforworkperformedorexpensesincurredbyContractorwhicharedisputedbyCity,orasprovidedinSection7.3,CitywilluseitsbesteffortstocauseContractortobepaidwithinforty-five(45)daysofreceiptofContractor’scorrectandundisputedinvoice;however,ContractoracknowledgesandagreesthatduetoCitywarrantrunprocedures,theCitycannotguaranteethatpaymentwilloccurwithinthistimeperiod.IntheeventanychargesorexpensesaredisputedbyCity,theoriginalinvoiceshallbereturnedbyCitytoContractorforcorrectionandresubmission.ReviewandpaymentbyCityforanyinvoiceprovidedbytheContractorshallnotconstituteawaiverofanyrightsorremediesprovidedhereinoranyapplicablelaw.2.5Waiver.PaymenttoContractorforworkperformedpursuanttothisAgreementshallnotbedeemedtowaiveanydefectsinworkperformedbyContractor.ARTICLE3.PERFORMANCESCHEDULE3.1TimeofEssence.TimeisoftheessenceintheperformanceofthisAgreement.3.2ScheduleofPerformance.ContractorshallcommencetheservicespursuanttothisAgreementuponreceiptofawrittennoticetoproceedandshallperfonriallserviceswithinthetimeperiod(s)establishedinthe“ScheduleofPerformance”attachedheretoasExhibit“D”andincorporatedhereinbythisreference.WhenrequestedbytheContractor,extensionstothetimeperiod(s)specifiedintheScheduleofPerformancemaybeapprovedinwritingbytheContractOfficerbutnotexceedingonehundredeighty(180)dayscumulatively.3.3ForceMajeure.Thetimeperiod(s)specifiedintheScheduleofPerformanceforperformanceoftheservicesrenderedpursuanttothisAgreementshallbeextendedbecauseofanydelaysduetounforeseeablecausesbeyondthecontrolandwithoutthefaultornegligenceoftheContractor,-5- including,butnotrestrictedto,actsofGodorofthepublicenemy,unusuallysevereweather,fires,earthquakes,floods,epidemics,quarantinerestrictions,riots,strikes,freightembargoes,wars,litigation,and/oractsofanygovernmentalagency,includingtheCity,iftheContractorshallwithinten(10)daysofthecommencementofsuchdelaynotifytheContractOfficerinwritingofthecausesofthedelay.TheContractOfficershallascertainthefactsandtheextentofdelay,andextendthetimeforperformingtheservicesfortheperiodoftheenforceddelaywhenandifinthejudgmentoftheContractOfficersuchdelayisjustified.TheContractOfficer’sdeterminationshallbefinalandconclusiveuponthepartiestothisAgreement.InnoeventshallContractorbeentitledtorecoverdamagesagainsttheCityforanydelayintheperformanceofthisAgreement,howevercaused,Contractor’ssoleremedybeingextensionoftheAgreementpursuanttothisSection.3.4Term.UnlessearlierterminatedinaccordancewithArticle7ofthisAgreement,thisAgreementshallcontinueinfullforceandeffectuntilcompletionoftheservicesbutnotexceedingone(I)yearsfromthedatehereof,exceptasotherwiseprovidedintheScheduleofPerformance(Exhibit“1Y’).ARTICLE4.COORDINATIONOFWORK4.1RepresentativesandPersonnelofContractor.ThefollowingprincipalsofContractor(“Principals”)areherebydesignatedasbeingtheprincipalsandrepresentativesofContractorauthorizedtoactinitsbehalfwithrespecttotheworkspecifiedhereinandmakealldecisionsinconnectiontherewith:LelandPaceChiefExecutiveOfficer(Name)(Title)FrankHoffhianChiefFinancialOfficer(Name)(Title)Itisexpresslyunderstoodthattheexperience,knowledge,capabilityandreputationoftheforegoingprincipalswereasubstantialinducementforCitytoenterintothisAgreement.Therefore,theforegoingprincipalsshallberesponsibleduringthetermofthisAgreementfordirectingallactivitiesofContractoranddevotingsufficienttimetopersonallysupervisetheserviceshereunder.AllpersonnelofContractor,andanyauthorizedagents,shallatalltimesbeundertheexclusivedirectionandcontrolofthePrincipals.ForpurposesofthisAgreement,theforegoingPrincipalsmaynotbereplacednormaytheirresponsibilitiesbesubstantiallyreducedbyContractorwithouttheexpresswrittenapprovalofCity.Additionally,ContractorshallutilizeonlycompetentpersonneltoperformservicespursuanttothisAgreement.ContractorshallmakeeveryreasonableefforttomaintainthestabilityandcontinuityofContractor’sstaffandsubcontractors,ifany,assignedtoperfonntheservicesrequiredunderthisAgreement.ContractorshallnotifyCityofanychangesinContractor’sstaffandsubcontractors,ifany,assignedtoperformtheservicesrequiredunderthisAgreement,priortoandduringanysuchperformance.-6- 4.2StatusofContractor.ContractorshallhavenoauthoritytobindCityinanymanner,ortoincuranyobligation,debtorliabilityofanykindonbehalfoforagainstCity,whetherbycontractorotherwise,unlesssuchauthorityisexpresslyconferredunderthisAgreementorisotherwiseexpresslyconferredinwritingbyCity.ContractorshallnotatanytimeorinanymaimerrepresentthatContractororanyofContractor’sofficers,employees,oragentsareinanymannerofficials,officers,employeesoragentsofCity.NeitherContractor,noranyofContractor’sofficers,employeesoragents,shallobtainanyrightstoretirement,healthcareoranyotherbenefitswhichmayotherwiseaccruetoCity’semployees.ContractorexpresslywaivesanyclaimContractormayhavetoanysuchrights.4.3ContractOfficer.TheContractOfficershallbeRickBoutros,P.E.,AssociateCivilEngineerorsuchpersonasmaybedesignatedbytheCityManager.ItshallbetheContractor’sresponsibilitytoassurethattheContractOfficeriskeptinformedoftheprogressoftheperformanceoftheservicesandtheContractorshallreferanydecisionswhichmustbemadebyCitytotheContractOfficer.Unlessotherwisespecifiedherein,anyapprovalofCityrequiredhereundershallmeantheapprovaloftheContractOfficer.TheContractOfficershallhaveauthority,ifspecifiedinwritingbytheCityManager,tosignalldocumentsonbehalfoftheCityrequiredhereundertocarryoutthetermsofthisAgreement.4.4IndependentContractor.NeithertheCitynoranyofitsemployeesshallhaveanycontroloverthemanner,modeormeansbywhichContractor,itsagentsoremployees,performtheservicesrequiredherein,exceptasotherwisesetforthherein.Cityshallhavenovoiceintheselection,discharge,supervisionorcontrolofContractor’semployees,servants,representativesoragents,orinfixingtheirnumber,compensationorhoursofservice.ContractorshallperfonnallservicesrequiredhereinasanindependentcontractorofCityandshallremainatalltimesastoCityawhollyindependentcontractorwithonlysuchobligationsasareconsistentwiththatrole.ContractorshallnotatanytimeorinanymaimerrepresentthatitoranyofitsagentsoremployeesareagentsoremployeesofCity.CityshallnotinanywayorforanypurposebecomeorbedeemedtobeapartnerofContractorinitsbusinessorotherwiseorajointventureroramemberofanyjointenterprisewithContractor.4.5ProhibitionAgainstSubcontractingorAssignment.Theexperience,knowledge,capabilityandreputationofContractor,itsprincipalsandemployeeswereasubstantialinducementfortheCitytoenterintothisAgreement.Therefore,ContractorshallnotcontractwithanyotherentitytoperforminwholeorinparttheservicesrequiredhereunderwithouttheexpresswrittenapprovaloftheCity.Inaddition,neitherthisAgreementnoranyinteresthereinmaybetransferred,assigned,conveyed,hypothecatedorencumberedvoluntarilyorbyoperationoflaw,whetherforthebenefitofcreditorsorotherwise,withoutthepriorwrittenapprovalofCity.Transfersrestrictedhereundershallincludethetransfertoanypersonorgroupofpersonsactinginconcertofmorethantwentyfivepercent(25%)ofthepresentownershipand/orcontrolofContractor,takingalltransfersintoaccountonacumulative-7- basis.Intheeventofanysuchunapprovedtransfer,includinganybankruptcyproceeding,thisAgreementshallbevoid.NoapprovedtransfershallreleasetheContractororanysuretyofContractorofanyliabilityhereunderwithouttheexpressconsentofCity.ARTICLE5.INSURANCEANDINDEMNIFICATION5.1InsuranceCoverages.TheContractorshallprocureandmaintain,atitssolecostandexpense,inaformandcontentsatisfactorytoCity,duringtheentiretermofthisAgreementincludinganyextensionthereof,thefollowingpoliciesofinsurancewhichshallcoverallelectedandappointedofficers,employeesandagentsofCity:(a)GeneralLiabilityInsurance(OccurrenceformCG0001orequivalent).Apolicyofcomprehensivegeneralliabilityinsurancewrittenonaperoccurrencebasisforbodilyinjury,personalinjuryandpropertydamage.ThepolicyofinsuranceshallbeinanamountnotlessthanS1,000,000.00peroccurrenceorifageneralaggregatelimitisused,thenthegeneralaggregatelimitshallbetwicetheoccurrencelimit.(b)Worker’sCompensationInsurance.Apolicyofworker’scompensationinsuranceinsuchamountaswillfullycomplywiththelawsoftheStateofCaliforniaandwhichshallindemnify,insureandprovidelegaldefensefortheContractoragainstanyloss,claimordamagearisingfromanyinjuriesoroccupationaldiseasesoccurringtoanyworkeremployedbyoranypersonsretainedbytheContractorinthecourseofcarryingouttheworkorservicescontemplatedinthisAgreement.(c)AutomotiveInsurance(FonnCA0001(Ed1/87)including“anyauto”andendorsementCA0025orequivalent).ApolicyofcomprehensiveautomobileliabilityinsurancewrittenonaperoccurrenceforbodilyinjuryandpropertydamageinanamountnotlessthanS1,000,000.Saidpolicyshallincludecoverageforowned,non-owned,leased,hiredcarsandanyautomobile.(d)ProfessionalLiability.ProfessionalliabilityinsuranceappropriatetotheContractor’sprofession.Thiscoveragemaybewrittenona“claimsmade”basis,andmustincludecoverageforcontractualliability.TheprofessionalliabilityinsurancerequiredbythisAgreementmustbeendorsedtobeapplicabletoclaimsbasedupon,arisingoutoforrelatedtoservicesperformedunderthisAgreement.Theinsurancemustbemaintainedforatleast5consecutiveyearsfollowingthecompletionofContractor’sservicesortheterminationofthisAgreement.Duringthisadditional5-yearperiod,ContractorshallannuallyanduponrequestoftheCitysubmitwrittenevidenceofthiscontinuouscoverage.(e)Subcontractors.Contractorshallincludeallsubcontractorsasinsuredsunderitspoliciesorshallfurnishseparatecertificatesandcertifiedendorsementsforeachsubcontractor.Allcoveragesforsubcontractorsshallincludealloftherequirementsstatedherein.(f)AdditionalInsurance.Policiesofsuchotherinsurance,asmayberequiredintheSpecialRequirementsinExhibit“B”.-8- (g)BroaderCoveragesandHigherLimits.Notwithstandinganythingelsehereintothecontrary,ifContractormaintainsbroadercoveragesand/orhigherlimitsthantheminimumsshownabove,theCityrequiresandshallbeentitledtothebroadercoveragesand/orhigherlimitsmaintainedbyContractor.5.2GeneralInsuranceRequirements.AlloftheabovepoliciesofinsuranceshallbeprimaryinsuranceandshallnametheCity,itselectedandappointedofficers,employeesandagentsasadditionalinsuredsandanyinsurancemaintainedbyCityoritsofficers,employeesoragentsmayapplyinexcessof,andnotcontributewithContractor’sinsurance.TheinsurerisdeemedhereoftowaiveallrightsofsubrogationandcontributionitmayhaveagainsttheCity,itsofficers,employeesandagentsandtheirrespectiveinsurers.Moreover,theinsurancepolicymustspecifythatwheretheprimaryinsureddoesnotsatisfytheself-insuredretention,anyadditionalinsuredmaysatisfytheself-insuredretention.Allofsaidpoliciesofinsuranceshallprovidethatsaidinsurancemaynotbeamendedorcancelledbytheinsureroranypartyheretowithoutprovidingthirty(30)dayspriorwrittennoticebycertifiedmailreturnreceiptrequestedtotheCity.Intheeventanyofsaidpoliciesofinsurancearecancelled,theContractorshall,priortothecancellationdate,submitnewevidenceofinsuranceinconformancewithSection5.1totheContractOfficer.NoworkorservicesunderthisAgreementshallcommenceuntiltheContractorhasprovidedtheCitywithCertificatesofInsurance,additionalinsuredendorsementformsorappropriateinsurancebindersevidencingtheaboveinsurancecoveragesandsaidCertificatesofInsuranceorbindersareapprovedbytheCity.Cityreservestherighttoinspectcomplete,certifiedcopiesofandendorsementstoallrequiredinsurancepoliciesatanytime.AnyfailuretocomplywiththereportingorotherprovisionsofthepoliciesincludingbreachesorwalTantiesshallnotaffectcoverageprovidedtoCity.AllcertificatesshallnametheCityasadditionalinsured(providingtheappropriateendorsement)andshallconformtothefollowing“cancellation”notice:CANCELLATION:SHOULDANYOFTHEABOVEDESCRIBEDPOLICIESBECANCELLEDBEFORETHEEXPIRATIONDATEDTHEREOF,THEISSUINGCOMPANYSHALLMAILTHIRTY(30)-DAYADVANCEWRITTENNOTICETOCERTIFICATEHOLDERNAMEDHEREIN.[tobeinitialed]_________________ContractorInitialsCity,itsrespectiveelectedandappointedofficers,directors,officials,employees,agentsandvolunteersaretobecoveredasadditionalinsuredsasrespects:liabilityarisingoutofactivitiesContractorperforms;productsandcompletedoperationsofContractor;premisesowned,occupiedorusedbyContractor;oranyautomobilesowned,leased,hiredorborrowedbyContractor.ThecoverageshallcontainnospeciallimitationsonthescopeofprotectionaffordedtoCity,andtheir-9- respectiveelectedandappointedofficers,officials,employeesorvolunteers.Contractor’sinsuranceshallapplyseparatelytoeachinsuredagainstwhomclaimismadeorsuitisbrought,exceptwithrespecttothelimitsoftheinsurer’sliability.Anydeductiblesorself-insuredretentionsmustbedeclaredtoandapprovedbyCity.AttheoptionofCity,eithertheinsurershallreduceoreliminatesuchdeductiblesorself-insuredretentionsasrespectsCityoritsrespectiveelectedorappointedofficers,officials,employeesandvolunteersortheContractorshallprocureabondguaranteeingpaymentoflossesandrelatedinvestigations,claimadministration,defenseexpensesandclaims.TheContractoragreesthattherequirementtoprovideinsuranceshallnotbeconstruedaslimitinginanywaytheextenttowhichtheContractormaybeheldresponsibleforthepaymentofdamagestoanypersonsorpropertyresultingfromtheContractor’sactivitiesortheactivitiesofanypersonorpersonsforwhichtheContractorisotherwiseresponsiblenorshallitlimittheContractor’sindemnificationliabilitiesasprovidedinSection5.3.IntheeventtheContractorsubcontractsanyportionoftheworkincompliancewithSection4.5ofthisAgreement,thecontractbetweentheContractorandsuchsubcontractorshallrequirethesubcontractortomaintainthesamepoliciesofinsurancethattheContractorisrequiredtomaintainpursuanttoSection5.1,andsuchcertificatesandendorsementsshallbeprovidedtoCity.5.3Indemnification.Tothefullextentpermittedbylaw,Contractoragreestoindemnify,defendandholdharnilesstheCity,itsofficers.employeesandagents(“IndemnifiedParties”)against,andwillholdandsavethemandeachofthemharmlessfrom,anyandallactions,eitherjudicial,administrative,arbitrationorregulatoryclaims,damagestopersonsorproperty,losses,costs,penalties,obligations,errors,omissionsorliabilitieswhetheractualorthreatened(herein“claimsorliabilities”)thatmaybeassertedorclaimedbyanyperson,firmorentityarisingoutoforinconnectionwiththenegligentperfornianceofthework,operationsoractivitiesprovidedhereinofContractor,itsofficers,employees,agents,subcontractors,orinvitees,oranyindividualorentityforwhichContractorislegallyliable(“indemnitors”),orarisingfromContractor’sorindemnitors’recklessorwillfulmisconduct,orarisingfromContractor’sorindemnitors’negligentperformanceoforfailuretoperformanytenn,provision,covenantorconditionofthisAgreement,andinconnectiontherewith:(a)Contractorwilldefendanyactionoractionsfiledinconnectionwithanyofsaidclaimsorliabilitiesandwillpayallcostsandexpenses,includinglegalcostsandattorneys’feesincurredinconnectiontherewith;(b)ContractorwillpromptlypayanyjudgmentrenderedagainsttheCity,itsofficers,agentsoremployeesforanysuchclaimsorliabilitiesarisingoutoforinconnectionwiththenegligentperformanceoforfailuretoperformsuchwork,operationsoractivitiesofContractorhereunder;andContractoragreestosaveandholdtheCity,itsofficers,agents,andemployeesharmlesstherefrom;(c)IntheeventtheCity,itsofficers,agentsoremployeesismadeapartytoanyactionorproceedingfiledorprosecutedagainstContractorforsuchdamagesorotherclaims-10- arisingoutoforinconnectionwiththenegligentperformanceoforfailuretoperformthework,operationoractivitiesofContractorhereunder,ContractoragreestopaytotheCity,itsofficers,agentsoremployees,anyandallcostsandexpensesincurredbytheCity,itsofficers,agentsoremployeesinsuchactionorproceeding,includingbutnotlimitedto,legalcostsandattorneys’fees.ContractorshallincorporatesimilarindemnityagreementswithitssubcontractorsandifitfailstodosoContractorshallbefullyresponsibletoindemnifyCityhereundertherefore,andfailureofCitytomonitorcompliancewiththeseprovisionsshallnotbeawaiverhereof.Thisindemnificationincludesclaimsorliabilitiesarisingfromanynegligentorwrongfulact,errororomission,orrecklessorwillfulmisconductofContractorintheperformanceofprofessionalserviceshereunder.TheprovisionsofthisSectiondonotapplytoclaimsorliabilitiesoccurringasaresultofCity’ssolenegligenceorwillfulactsoromissions,but,tothefullestextentpermittedbylaw,shallapplytoclaimsandliabilitiesresultinginpartfromCity’snegligence,exceptthatdesignprofessionals’indemnityhereundershallbelimitedtoclaimsandliabilitiesarisingoutofthenegligence,recklessnessorwillfulmisconductofthedesignprofessional.TheindemnityobligationshallbebindingonsuccessorsandassignsofContractorandshallsurviveterminationofthisAgreement.5.4SufficiencyofInsurer.InsurancerequiredbythisAgreementshallbesatisfactoryonlyifissuedbycompaniesqualifiedtodobusinessinCalifornia,rated“A”orbetterinthemostrecenteditionofBestRatingGuide,TheKeyRatingGuideorintheFederalRegister,andonlyiftheyareofafinancialcategoryClassVIIorbetter,unlesssuchrequirementsarewaivedbytheRiskManageroftheCity(“RiskManager”)duetouniquecircumstances.IfthisAgreementcontinuesformorethan3yearsduration,orintheeventtheriskmanagerdeterminesthattheworkorservicestobeperformedunderthisAgreementcreatesanincreasedordecreasedriskoflosstotheCity,theContractoragreesthattheminimumlimitsoftheinsurancepoliciesmaybechangedaccordinglyuponreceiptofwrittennoticefromtheRiskManager.ARTICLE6.RECORDS,REPORTS,ANDRELEASEOFINFORMATION6.1Records.Contractorshallkeep,andrequiresubcontractorstokeep,suchledgers,booksofaccounts,invoices,vouchers,canceledchecks,reports,studiesorotherdocumentsrelatingtothedisbursementschargedtoCityandservicesperformedhereunder(the“booksandrecords”),asshallbenecessarytoperformtheservicesrequiredbythisAgreementandenabletheContractOfficertoevaluatetheperformanceofsuchservices.Anyandallsuchdocumentsshallbemaintainedinaccordancewithgenerallyacceptedaccountingprinciplesandshallbecompleteanddetailed.TheContractOfficershallhavefullandfreeaccesstosuchbooksandrecordsatalltimesduringnormalbusinesshoursofCity,includingtherighttoinspect,copy,auditandmakerecordsandtranscriptsfromsuchrecords.Suchrecordsshallbemaintainedforaperiodofthree(3)yearsfollowingcompletionoftheserviceshereunder,andtheCityshallhaveaccesstosuchrecordsintheeventanyauditisrequired.IntheeventofdissolutionofContractor’sbusiness,custodyofthebooksandrecordsmaybegiventoCity,andaccessshallbeprovidedbyContractor’ssuccessor—l1— ininterest.Notwithstandingtheabove,theContractorshallfullycooperatewiththeCityinprovidingaccesstothebooksandrecordsifapublicrecordsrequestismadeanddisclosureisrequiredbylawincludingbutnotlimitedtotheCaliforniaPublicRecordsAct.6.2Reports.ContractorshallperiodicallyprepareandsubmittotheContractOfficersuchreportsconcerningtheperformanceoftheservicesrequiredbythisAgreementastheContractOfficershallrequire.ContractorherebyacknowledgesthattheCityisgreatlyconcernedaboutthecostofworkandservicestobeperformedpursuanttothisAgreement.Forthisreason,ContractoragreesthatifContractorbecomesawareofanyfacts,circumstances,techniques,oreventsthatmayorwillmateriallyincreaseordecreasethecostoftheworkorservicescontemplatedhereinor,ifContractorisprovidingdesignservices,thecostoftheprojectbeingdesigned,ContractorshallpromptlynotifytheContractOfficerofsaidfact,circumstance,techniqueoreventandtheestimatedincreasedordecreasedcostrelatedtheretoand,ifContractorisprovidingdesignservices,theestimatedincreasedordecreasedcostestimatefortheprojectbeingdesigned.6.3OwnershipofDocuments.Alldrawings,specifications,maps,designs,photographs,studies,surveys,data,notes,computerfiles,reports,records,documentsandothermaterials(the“documentsandmaterials”)preparedbyContractor,itsemployees,subcontractorsandagentsintheperformanceofthisAgreementshallbethepropertyofCityandshallbedeliveredtoCityuponrequestoftheContractOfficerorupontheterminationofthisAgreement,andContractorshallhavenoclaimforfurtheremploymentoradditionalcompensationasaresultoftheexercisebyCityofitsfullrightsofownershipuse,reuse,orassignmentofthedocumentsandmaterialshereunder.Anyuse,reuseorassignmentofsuchcompleteddocumentsforotherprojectsand/oruseofuncompleteddocumentswithoutspecificwrittenauthorizationbytheContractorwillbeattheCity’ssoleriskandwithoutliabilitytoContractor,andContractor’sguaranteeandwarrantiesshallnotextendtosuchuse,reuseorassignment.Contractormayretaincopiesofsuchdocumentsforitsownuse.Contractorshallhavetherighttousetheconceptsembodiedtherein.AllsubcontractorsshallprovideforassignmenttoCityofanydocumentsormaterialspreparedbythem,andintheeventContractorfailstosecuresuchassignment,ContractorshallindemnifyCityforalldamagesresultingtherefrom.Moreover,Contractorwithrespecttoanydocumentsandmaterialsthatmayqualifyas“worksmadeforhire”asdefinedin17U.S.C.§101,suchdocumentsandmaterialsareherebydeemed“worksmadeforhire”fortheCity.6.4ConfidentialityandReleaseofInformation.(a)AllinformationgainedorworkproductproducedbyContractorinperformanceofthisAgreementshallbeconsideredconfidential,unlesssuchinformationisinthepublicdomainoralreadyknowntoContractor.ContractorshallnotreleaseordiscloseanysuchinformationorworkproducttopersonsorentitiesotherthanCitywithoutpriorwrittenauthorizationfromtheContractOfficer.(b)Contractor,itsofficers,employees,agentsorsubcontractors,shallnot,withoutpriorwrittenauthorizationfromtheContractOfficerorunlessrequestedbytheCity-12- Attorney,voluntarilyprovidedocuments,declarations,lettersofsupport,testimonyatdepositions,responsetointerrogatoriesorotherinformationconcerningtheworkperfonnedunderthisAgreement.Responsetoasubpoenaorcourtordershallnotbeconsidered“voluntary”providedContractorgivesCitynoticeofsuchcourtorderorsubpoena.(c)IfContractor,oranyofficer,employee,agentorsubcontractorofContractor,providesanyinfonnationorworkproductinviolationofthisAgreement,thenCityshallhavetherighttoreimbursementandindemnityfromContractorforanydamages,costsandfees,includingattorneysfees,causedbyorincurredasaresultofContractor’sconduct.(d)ContractorshallpromptlynotifyCityshouldContractor,itsofficers,employees,agentsorsubcontractorsbeservedwithanysummons,complaint,subpoena,noticeofdeposition,requestfordocuments,interrogatories,requestforadmissionsorotherdiscoveryrequest,courtorderorsubpoenafromanypartyregardingthisAgreementandtheworkperformedthereunder.Cityretainstheright,buthasnoobligation,torepresentContractororbepresentatanydeposition,hearingorsimilarproceeding.ContractoragreestocooperatefullywithCityandtoprovideCitywiththeopportunitytoreviewanyresponsetodiscoveryrequestsprovidedbyContractor.However,thisrighttoreviewanysuchresponsedoesnotimplyormeantherightbyCitytocontrol,direct,orrewritesaidresponse.ARTICLE7.ENFORCEMENTOFAGREEMENTANDTERMINATION7.1CaliforniaLaw.ThisAgreementshallbeinterpreted,construedandgovernedbothastovalidityandtoperformanceofthepartiesinaccordancewiththelawsoftheStateofCalifornia.Legalactionsconcerninganydispute,claimormatterarisingoutoforinrelationtothisAgreementshallbeinstitutedintheSuperiorCourtoftheCountyofLosAngeles,StateofCalifornia,oranyotherappropriatecourtinsuchcounty,andContractorcovenantsandagreestosubmittothepersonaljurisdictionofsuchcourtintheeventofsuchaction.IntheeventoflitigationinaU.S.DistrictCourt,venueshalllieexclusivelyintheCentralDistrictofCalifornia,intheCountyofLosAngeles,StateofCalifornia.7.2DisputesDefault.IntheeventthatContractorisindefaultunderthetermsofthisAgreement,theCityshallnothaveanyobligationordutytocontinuecompensatingContractorforanyworkperformedafterthedateofdefault.Instead,theCitymaygivenoticetoContractorofthedefaultandthereasonsforthedefault.ThenoticeshallincludethetimeframeinwhichContractormaycurethedefault.Thistimeftameispresumptivelythirty(30)days,butmaybeextended,thoughnotreduced,ifcircumstanceswarrant.DuringtheperiodoftimethatContractorisindefault,theCityshallholdallinvoicesandshall,whenthedefaultiscured,proceedwithpaymentontheinvoices.Inthealternative,theCitymay,initssolediscretion,electtopaysomeoralloftheoutstandinginvoicesduringtheperiodofdefault.IfContractordoesnotcurethedefault,theCitymaytakenecessarystepstoterminatethisAgreementunderthisArticle.AnyfailureonthepartoftheCitytogivenoticeoftheContractor’sdefaultshallnotbedeemedtoresultinawaiveroftheCity’slegalrightsoranyrightsarisingoutofanyprovisionofthisAgreement.-13- 7.3Retentionoffunds.ContractorherebyauthorizesCitytodeductfromanyamountpayabletoContractor(whetherornotarisingoutofthisAgreement)(i)anyamountsthepaymentofwhichmaybeindisputehereunderorwhicharenecessarytocompensateCityforanylosses,costs,liabilities,ordamagessufferedbyCity,and(ii)allamountsforwhichCitymaybeliabletothirdparties,byreasonofContractor’sactsoromissionsinperformingorfailingtoperformContractor’sobligationunderthisAgreement.Intheeventthatanyclaimismadebyathirdparty,theamountorvalidityofwhichisdisputedbyContractor,oranyindebtednessshallexistwhichshallappeartobethebasisforaclaimoflien,Citymaywithholdfromanypaymentdue,withoutliabilityforinterestbecauseofsuchwithholding,anamountsufficienttocoversuchclaim.ThefailureofCitytoexercisesuchrighttodeductortowithholdshallnot,however,affecttheobligationsoftheContractortoinsure,indemnify,andprotectCityaselsewhereprovidedherein.7.4Waiver.WaiverbyanypartytothisAgreementofanyterm,condition,orcovenantofthisAgreementshallnotconstituteawaiverofanyotherterm,condition,orcovenant.WaiverbyanypartyofanybreachoftheprovisionsofthisAgreementshallnotconstituteawaiverofanyotherprovisionorawaiverofanysubsequentbreachorviolationofanyprovisionofthisAgreement.AcceptancebyCityofanyworkorservicesbyContractorshallnotconstituteawaiverofanyoftheprovisionsofthisAgreement.Nodelayoromissionintheexerciseofanyrightorremedybyanon-defaultingpartyonanydefaultshallimpairsuchrightorremedyorbeconstruedasawaiver.AnywaiverbyeitherpartyofanydefaultmustbeinwritingandshallnotbeawaiverofanyotherdefaultconcerningthesameoranyotherprovisionofthisAgreement.7.5RightsandRemediesareCumulative.ExceptwithrespecttorightsandremediesexpresslydeclaredtobeexclusiveinthisAgreement,therightsandremediesofthepartiesarecumulativeandtheexercisebyeitherpartyofoneormoreofsuchrightsorremediesshallnotprecludetheexercisebyit,atthesameordifferenttimes,ofanyotherrightsorremediesforthesamedefaultoranyotherdefaultbytheotherparty.7.6LegalAction.Inadditiontoanyotherrightsorremedies,eitherpartymaytakelegalaction,inlaworinequity,tocure,correctorremedyanydefault,torecoverdamagesforanydefault,tocompelspecificperformanceofthisAgreement,toobtaindeclaratoryorinjunctiverelief’,ortoobtainanyotherremedyconsistentwiththepurposesofthisAgreement.Notwithstandinganycontraryprovisionherein,ContractorshallfileastatutoryclaimpursuanttoGovernmentCodeSections905et.seq.and910et.seq.,inordertopursuealegalactionunderthisAgreement.7.7TerminationPriortoExpirationofTerm.ThisSectionshallgovernanytenTlinationofthisContractexceptasspecificallyprovidedinthefollowingSectionforterminationforcause.TheCityreservestherighttoterminatethisContractatanytime,withorwithoutcause,uponthirty(30)days’writtennoticetoContractor,-14- exceptthatwhereterminationisduetothefaultoftheContractor,theperiodofnoticemaybesuchshortertimeasmaybedeterminedbytheContractOfficer.Inaddition,theContractorreservestherighttoterminatethisContractatanytime,withorwithoutcause,uponsixty(60)days’writtennoticetoCity,exceptthatwhereterminationisduetothefaultoftheCity,theperiodofnoticemaybesuchshortertimeastheContractormaydetermine.Uponreceiptofanynoticeoftennination,ContractorshallimmediatelyceaseallserviceshereunderexceptsuchasmaybespecificallyapprovedbytheContractOfficer.ExceptwheretheContractorhasinitiatedtennination,theContractorshallbeentitledtocompensationforallservicesrenderedpriortotheeffectivedateofthenoticeofterminationandforanyservicesauthorizedbytheContractOfficerthereafterinaccordancewiththeScheduleofCompensationorsuchasmaybeapprovedbytheContractOfficer,exceptasprovidedinSection7.3.IntheeventtheContractorhasinitiatedtermination,theContractorshallbeentitledtocompensationonlyforthereasonablevalueoftheworkproductactuallyproducedhereunder.IntheeventofterminationwithoutcausepursuanttothisSection,theterminatingpartyneednotprovidethenon-tenninatingpartywiththeopportunitytocurepursuanttoSection7.2.7.8TerminationforDefaultofContractor.IfterminationisduetothefailureoftheContractortofulfillitsobligationsunderthisAgreement,Citymay,aftercompliancewiththeprovisionsofSection7.2,takeovertheworkandprosecutethesametocompletionbycontractorotherwise,andtheContractorshallbeliabletotheextentthatthetotalcostforcompletionoftheservicesrequiredhereunderexceedsthecompensationhereinstipulated(providedthattheCityshallusereasonableeffortstomitigatesuchdamages),andCitymaywithholdanypaymentstotheContractorforthepurposeofset-offorpartialpaymentoftheamountsowedtheCityaspreviouslystated.7.9Attorneys’Fees.IfeitherpartytothisAgreementisrequiredtoinitiateordefendormadeapartytoanyactionorproceedinginanywayconnectedwiththisAgreement,theprevailingpartyinsuchactionorproceeding,inadditiontoanyotherreliefwhichmaybegranted,whetherlegalorequitable,shallbeentitledtoreasonableattorney’sfees.Attorney’sfeesshallincludeattorney’sfeesonanyappeal,andinadditionapartyentitledtoattorney’sfeesshallbeentitledtoallotherreasonablecostsforinvestigatingsuchaction,takingdepositionsanddiscoveryandallothernecessarycoststhecourtallowswhichareincurredinsuchlitigation.Allsuchfeesshallbedeemedtohaveaccruedoncommencementofsuchactionandshallbeenforceablewhetherornotsuchactionisprosecutedtojudgment.ARTICLE8.CITYOFFICERSANDEMPLOYEES:NON-DISCRIMINATION8.1Non-liabilityofCityOfficersandEmployees.NoofficeroremployeeoftheCityshallbepersonallyliabletotheContractor,oranysuccessorininterest,intheeventofanydefaultorbreachbytheCityorforanyamountwhichmaybecomeduetotheContractorortoitssuccessor,orforbreachofanyobligationofthetermsofthisAgreement.-15- 8.2ConflictofInterest.Contractorcovenantsthatneitherit,noranyofficerorprincipalofitsfirm,hasorshallacquireanyinterest,directlyorindirectly,whichwouldconflictinanymannerwiththeinterestsofCityorwhichwouldinanywayhinderContractor’sperformanceofservicesunderthisAgreement.ContractorfurthercovenantsthatintheperformanceofthisAgreement,nopersonhavinganysuchinterestshallbeemployedbyitasanofficer,employee,agentorsubcontractorwithouttheexpresswrittenconsentoftheContractOfficer.ContractoragreestoatalltimesavoidconflictsofinterestortheappearanceofanyconflictsofinterestwiththeinterestsofCityintheperformanceofthisAgreement.NoofficeroremployeeoftheCityshallhaveanyfinancialinterest,directorindirect,inthisAgreementnorshallanysuchofficeroremployeeparticipateinanydecisionrelatingtotheAgreementwhichaffectsher/hisfinancialinterestorthefinancialinterestofanycorporation,partnershiporassociationinwhich(s)heis,directlyorindirectly,interested,inviolationofanyStatestatuteorregulation.TheContractorwarrantsthatithasnotpaidorgivenandwillnotpayorgiveanythirdpartyanymoneyorotherconsiderationforobtainingthisAgreement.8.3CovenantAgainstDiscrimination.Contractorcovenantsthat,byandforitself,itsheirs,executors,assigns,andallpersonsclaimingunderorthroughthem,thatthereshallbenodiscriminationagainstorsegregationof,anypersonorgroupofpersonsonaccountofrace,color,creed,religion,sex,gender,sexualorientation,maritalstatus,nationalorigin,ancestryorotherprotectedclassintheperformanceofthisAgreement.Contractorshalltakeaffinriativeactiontoinsurethatapplicantsareemployedandthatemployeesaretreatedduringemploymentwithoutregardtotheirrace,color,creed,religion,sex,gender,sexualorientation,maritalstatus,nationalorigin,ancestryorotherprotectedclass.8.4UnauthorizedAliens.ContractorherebypromisesandagreestocomplywithalloftheprovisionsoftheFederalImmigrationandNationalityAct,8U.S.C.A.§1101,etseq.,asamended,andinconnectiontherewith,shallnotemployunauthorizedaliensasdefinedtherein.ShouldContractorsoemploysuchunauthorizedaliensfortheperformanceofworkand/orservicescoveredbythisAgreement,andshouldanyliabilityorsanctionsbeimposedagainstCityforsuchuseofunauthorizedaliens,ContractorherebyagreestoandshallreimburseCityforthecostofallsuchliabilitiesorsanctionsimposed,togetherwithanyandallcosts,includingattorneys’fees,incurredbyCity.ARTICLE9.MISCELLANEOUSPROVISIONS9.1Notices.Anynotice,demand,request,document,consent,approval,orcommunicationeitherpartydesiresorisrequiredtogivetotheotherpartyoranyotherpersonshallbeinwritingandeitherservedpersonallyorsentbyprepaid,first-classmail,inthecaseoftheCity,totheCityManagerandtotheattentionoftheContractOfficer(withher/hisnameandCitytitle),CityofCarson,701EastCarson,Carson,California90745andinthecaseoftheContractor,totheperson(s)attheaddressdesignatedontheexecutionpageofthisAgreement.Eitherpartymaychangeitsaddress-16- bynotifyingtheotherpartyofthechangeofaddressinwriting.Noticeshallbedeemedcommunicatedatthetimepersonallydeliveredorinseventy-two(72)hoursfromthetimeofmailingifmailedasprovidedinthisSection.9.2Interpretation.ThetermsofthisAgreementshallbeconstruedinaccordancewiththemeaningofthelanguageusedandshallnotbeconstruedfororagainsteitherpartybyreasonoftheauthorshipofthisAgreementoranyotherruleofconstructionwhichmightotherwiseapply.9.3Counterparts.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedtobeanoriginal,andsuchcounterpartsshallconstituteoneandthesameinstrument.9.4Integration;Amendment.ThisAgreementincludingtheattachmentsheretoistheentire,completeandexclusiveexpressionoftheunderstandingoftheparties.ItisunderstoodthattherearenooralagreementsbetweenthepartiesheretoaffectingthisAgreementandthisAgreementsupersedesandcancelsanyandallpreviousnegotiations,arrangements,agreementsandunderstandings,ifany,betweentheparties,andnoneshallbeusedtointerpretthisAgreement.NoamendmenttoormodificationofthisAgreementshallbevalidunlessmadeinwritingandapprovedbytheContractorandbytheCityCouncil.Thepartiesagreethatthisrequirementforwrittenmodificationscannotbewaivedandthatanyattemptedwaivershallbevoid.9.5Severability.Intheeventthatanyoneormoreofthephrases,sentences,clauses,paragraphs,orsectionscontainedinthisAgreementshallbedeclaredinvalidorunenforceablebyavalidjudgmentordecreeofacourtofcompetentjurisdiction,suchinvalidityorunenforceabilityshallnotaffectanyoftheremainingphrases,sentences,clauses,paragraphs,orsectionsofthisAgreementwhichareherebydeclaredasseverableandshallbeinterpretedtocarryouttheintentofthepartieshereunderunlesstheinvalidprovisionissomaterialthatitsinvaliditydepriveseitherpartyofthebasicbenefitoftheirbargainorrendersthisAgreementmeaningless.9.6Warranty&RepresentationofNon-Collusion.Noofficial,officer,oremployeeofCityhasanyfinancialinterest,directorindirect,inthisAgreement,norshallanyofficial,officer,oremployeeofCityparticipateinanydecisionrelatingtothisAgreementwhichmayaffecthis/herfinancialinterestorthefinancialinterestofanycorporation,partnership,orassociationinwhich(s)heisdirectlyorindirectlyinterested,orinviolationofanycorporation,partnership,orassociationinwhich(s)heisdirectlyorindirectlyinterested,orinviolationofanyStateormunicipalstatuteorregulation.Thedeterminationof“financialinterest”shallbeconsistentwithStatelawandshallnotincludeinterestsfoundtobe“remote”or“non-interests”pursuanttoGovernmentCodeSections1091or1091.5.Contractorwarrantsandrepresentsthatithasnotpaidorgiven,andwillnotpayorgive,toanythirdpartyincluding,butnotlimitedto,anyCityofficial,officer,oremployee,anymoney,consideration,or-17- The term "balance of the contract price," as used in this paragraph, shall mean the total amount payable by the Obligee to the Principal under the Contract and any amendments thereto, less the amount properly paid by the Obligee to the Principal; or 1.4 Waive its right to perform and complete, arrange for completion, or obtain a new contractor and with reasonable promptness under the circumstances: a. After investigation, determine the amount for which it may be liable to the Obligee and, as soon as practicable after the amount is determined, tender payment therefore to the Obligee; or b.
