,PacificSouthwestDistrictTRAJIE3253E.ImperialHwy.CityofCarsonBrea,CA92821MemorandumofUnderstandingTheCityofCarsonselectsTraneU.S.Inc.andEntersintotheDetailedEngineeringPhaseforaTraneComprehensiveSolutionsProjectAugust4,2020CityofCarson701ECarsonStreetCarson,CA90745TheCityofCarson(the“City”)isinterestedinmovingforwardwithaTraneComprehensiveSolutionsProjecttoimplementtheCityHallandCommunityCenterHVACandRoofProject.ByexecutingthisMemorandumofUnderstanding(“MOU”or“Agreement”),whichisinclusiveoftheTermsandConditionssetforthbelow,theCityofCarsonselectsTraneU.S.Inc(“Trane”)astheawardedcontractorandbothpartiesagreetoenterintotheDetailedPhaseofTrane’sComprehensiveSolutionsProgram.Thefollowingdescribesthedetailsofthisagreement,andtheresponsibilitiesofbothTraneandtheCityofCarson.Traneisherebyauthorizedtoproceedwithadetailedengineeringstudynecessarytofurtherverifysiteconditions,projectscopeofwork,andfinalprojectconstructionlayoutanddetailsrequiredtoimplementtheinfrastructuremeasuresexplored.Theresultofthisengineeringstudywillbefinalfixed-feeproposaltotheCityofCarsonfortheCityHallandCommunityCenterHVACandRoofProject.ItistheintentoftheCityofCarsontomoveforwardwithTranetoimplementthisproject.TheCityisexpectingthefollowingitemsbeperformedorincludedinthisdetailedengineeringphase,afterTrane’sconsiderationoftheCity’sProjectLaborAgreementandEnhancedElectricalSafetyPolicy:•Partialdesigndevelopmentdrawings(roughly30%complete)ofmechanical,electrical,andstructuraldesign•DetailedscopeofworkbasedondiscussionandsitewalksbetweentheCityofCarsonandTrane•Fixed-feefirmproposalfromTranetoTheCityfortheturnkeyconstructionoftheCityHallandCommunityCenterHVACandRoofProject•Negotiationofconstructioncontracttermsandconditions•Calculationofandsubmissionforutilityrebatesandincentives(ifapplicable)•Financialproformas(ifapplicable)•DetailedEnergyAuditReportwithenergysavingsandpaybackanalysisforpotentialprojectoptions(ifapplicable)•AnynecessarydocumentationtosatisfyprocurementmethodchosenbyTheCity01007.0006/661659.1©2020TraneAllRightsReservedConfidentialandProprietaryInformationofTraneU.S.Inc.Page1of10 PacificSouthwestDistrictTRANE1!>t3253E.ImperialHwy.CityofCarsonBrea,CA92821AdditionalTermsandConditions:1.Indemnity.Tothefullestextentpermittedhylaw,Companyshallindemnify,defendandholdharmlessCustomerfromaeyaedallclaims,actions,costs,expenses,damagesandliabilities,includingreasonableattorneys’fees,resultingfromdeathorbodilyinjuryordamagetorealortangiblepersonalproperty,totheextentcausedbythenegligence,recklessnessorwillfulmisconductofCompany’semployeesorotherauthorizedagentsinconnectionwiththeiractivitieswithinthescopeofthisAgreement.CompanyshallnotindemnifyCustomeragainstclaims,damages,expensesorliabilitiestotheextentattributabletotheactsoromissionsofCustomer.Company’sobligationtoindemnifyshallbeproportionaltoitsrelativefault.Thedutytoindemnifywillcontinueinfullforceandeffectnotwithstandingtheexpirationorearlyterminationhereof,withrespecttoanyclaimsbasedonfactsorconditionsthatoccurredpriortoexpirationortermination.2.1InsuranceCoverages.Companyshallprocureandmaintain,atitssolecostandexpense,inaformandcontentsatisfactorytoCustomer,duringtheentiretermofthisAgreementincludinganyextensionthereof,thefollowingpoliciesofinsurancewhichshallcoverallelectedandappointedofficers,employeesandagentsofCustomer:a.CommercialGeneraluabilityInsurance(OccurrenceFormC00001orequivalent).Apolicyofcomprehensivegeneralliabilityinsurancewrittenonaperoccurrencebasisforbodilyinjury,personalinjuryandpropertydamage.Thepolicyofinsuranceshallbeinanamountnotlessthan$1,000,000.00peroccurrenceorifageneralaggregatelimitisused,eitherthegeneralaggregatelimitshallapplyseparatelytothiscontract/location,orthegeneralaggregatelimitshallbetwicetheoccurrencelimit.b.Worker’sCompensationInsurance.Apolicyofworker’scompensationinsuranceinsuchamountaswillfullycomplywiththelawsoftheStateofCaliforniaandwhichshallindemnify,insureandprovidelegaldefenseforCompanyagainstanyloss,claimordamagearisingfromanyinjuriesoroccupationaldiseasesoccurringtoanyworkeremployedbyoranyparsonsretainedbyCompanyinthecoarseofcarryingouttheworkorservicescontemplatedinthisAgreement.c.AutomotiveInsurance(FormCA0001(gd1/87)including“anyauto”andendorsementCA0025orequivalent).Apolicyofcomprehensiveautomobileliabilityinsurancewrittenonaperoccurrenceforbodilyinjuryandpropertydamageinanamountnotlessthaneither(i)bodilyinjuryliabilitylimitsof$100,000parpersonand$300,000peroccurranceandpropertydamageliabilitylimitsof$150,000peroccurrenceor(ii)combinedsinglelimitliabilityof$1,000,000.Saidpolicyshallincludecoverageforowned,non-owned,leased,hiredcars,andanyotherautomobile.d.ProfessionalLiability.ProfessionalliabilityinsuranceappropriatetoCompany’sprofession.Thiscoveragemaybewrittenona“claimsmade”basis,andmustincludecoverageforcontractualliability.TheprofessionalliabilityinsurancerequiredbythisAgreementmustbeendorsedtobeapplicabletoclaimsbasedupon,arisingoutoforrelatedtoservicesperformedunderthisAgraement.TheinsurancemustbemaintainedforatleastSconsecutiveyearsfollowingthecompletionofCompany’ssemicesortheterminationofthisAgreement.DuringthisadditionalS-yearperiod,CompanyshallannuallyanduponrequestoftheCustomersubmitwrittenevidenceofthincontinuouscoverage.a.Subcontractors.Companyshallincludeallsubcontractorsasinsuredsunderitspoliciesorshallfurnishseparatecertificatesandcertifiedendorsementsforeachsubcontractor.Allcoveragnsforsubcontractorsshallbesubjecttoalloftherequirementsstatedherein.2.2GeneralInsuranceRequirements.AlloftheabovepoliciesofinsuranceshallbeprimaryinsuranceandshallnametheCustomer,itselectedandappointedofficers,employeesandagentsasadditionalinsuradsandanyinsurancemaintainedbyCustomeroritsofficers,employeesoragentsmayapplyinexcessof,andnotcontributewithCompany’sinsurance.TheinsurerisdeemedhereoftowaiveallrightsofsubrogationandcontributionitmayhaveagainsttheCustomer,itsofficers,employeesandagentsandtheirrespectiveinsurers,solelytotheextantoftheCompany’snegligence,butonlyustocommercialgeneralliabilityinsurance,automotiveinsurance,andprofessionalliabilityinsurance.Theinsurancepolicymustspecifythatwheretheprimaryinsureddoesnotsatisfytheself-insuredretention,anyadditionalinsuredmaysatisfytheself-insuredretention.Allofsaidpoliciesofinsuranceshallprovidethatsaidinsurancemaynotbeamendedorcancelledbytheinsureroranypartyheretowithoutprovidingthirty(30)dayspriorwrittennoticebycertifiedmailreturnreceiptrequestedtotheCustomer.Intheavantanyofsaidpoliciesofinsurancearecancelled,Companyshall,priortothecancellationdate,submitnewevidenceofinsurancetotheContractOfficer.NoworkorservicesunderthitAgreementshallcommenceuntilCompanyhasprovidedtheCustomerwithCertificatesofInsurance,additionalinsuredendorsementformsorappropriateinsurancebindersevidencingtheaboveinsurancecovaraganandsaidCertificatesofInsuranceorbindersareapprovedbytheCustomer.Customerreservestherighttoinspectcomplete,certifiedcopiesofandendorsementtoallrequiredinsurancepoliciesatanytime.AnyfailuretocomplywiththereportingorotherprovisionsofthepoliciesincludingbreachesorwarrantiesshallnotaffectcoverageprovidedtoCustomer.TheinsurancerequiredbythisAgreementshallbesatisfactoryonlyifissuedbycompaniesqualifiedtodobusinessinCalifornia,rated“A”orbetterinthemostrecenteditionofBestRatingGuide,TheKayRatingGuideorinthefederalRegister,andonlyiftheyareofafinancialcategoryClassVIIorbetter,unlesssuchrequirementsarewainadbytheCustomer’sRiskManagerorotherdesigneeoftheCustomerduntouniquecircumstances.TheinsurerisdeemedhereoftowaiveallrightsofsubrogationandcontributionitmayhaveagainsttheCustomer,itsofficers,employeesandagentsandtheirrespectiveinsurers,solelytotheextentoftheCompany’snegligence3.Default;Termination.Thefollowingeventsare“EventsofDefault”theoccurrnnceofwhichgivesthnnon-defaultingpartytherighttoterminatethisAgreementbywrittennoticefollowingtheexpirationofanystatedcureperiodsandpursueitsremediesundertheAgreement:a.Customerfailstofullypayanyofthepaymentsrequiredhereunderwithinfive(5)daysafterreceiptofwrittennoticeofsuchfailure;orb.Exceptasprovidedinclause(a),above,thebreachofanymaterialtermorconditionofthisAgreementandsuchbreachremainsuncuredthirty(30)daysafterdeliverytothebreachingpartyofwrittennoticeofsuchbreach.Ifthebreachisofanatureorinvolvescircumstancesreasonablyrequiringmorethanthirty(3D)daystocure,thetimeperiodmaybeextendedprovidedthebreachingpartyprocnndsdiligentlytocurethebreach.01007.0005/661659.1©2020TraneAllRightsReservedConfidentialandProprietaryInformationofTraneU.S.InC.Page5of10 PacificSouthwestDistrictTRANE3253E.ImperialHwy.CityofCarsonBrea,CA92821CustomerreservestherighttoterminatethisAgreementatanytime,withorwithoutcause,uponthirty(30)days’writtennoticetoCompany,esceptthatwhereterminationisduetothetacitofCompany,theperiodofnoticemaybesuchshortertimeasmaybedeterminedbytheContractOfficer.Inaddition,CompanyreservestherighttoterminatethisAgreementatanytime,withorwithoutcause,uponsisty(60)days’writtennoticetoCustomer,esceptthatwhereterminationisduetothefaultofCustomer,theperiodofnoticemaybesuchshortertimeasCompanymaydetermine.Uponreceiptofanynoticeoftermination,CompanyshalliwmediatelyceaseallserviceshereunderesceptsuchasmaybespecificallyapprovedbytheContractOfficer.FaceptwhereCompanyhasinitiatedtermination,CompanyshallbeentitledtocompensationforallservicesrenderedpriortotheeffectivedateofthenoticeofterminationandforanyservicesauthorizedbytheContractOfficerthereafter.IntheeventCompanyhasinitiatedtermination,Companyshallbeentitledtocompensationonlyforthereasonablevalueoftheworkproductactuallyproducedhereunder.IntheeventofterminationwithoutcausepursuanttothisSection,theterminatingpartyneednotprovidethenon-terminatingpartywiththeopportunitytocarepursuanttothisSection1gb.4.TimeforCompletion.UnlessearlierterminatedinaccordancewiththisAgreementthisAgreementshallcontinueinfullforceandeffectuntilcompletionoftheservicesbutnotenceedingi60daysfromthedatehereof.5.General.taceptasprovidedbelow,tothemasimumeatentprovidedbylaw,thisAgreementismadeandshallbeinterpretedandenforcedinaccordancewiththelawsofthestateorprovinceinwhichtheWorkisperformed,withoutregardtochoiceoflawprincipleswhichmightotherwisecallfortheapplicationofadifferentstate’sorprovince’slaw.AnydisputearisingunderorrelatingtothisAgreementthatisnotdisposedofbyagreementshallbedecidedbylitigationinacourtofcompetentjurisdictionlocatedinthestateorprovinceinwhichtheWorkisperformed.TotheextenttheWorksiteisownedand/oroperatedbyanyagencyoftheFederalGovernment,determinationofanysubstantiveissueoflawshallbeaccordingtotheFederalcommonlawofGovernmentcontractsasenunciatedandappliedbyFederaljudicialbodiesandboardsofcontractappealsoftheFederalGovernment.ThisAgreementcontainsalloftheagreements,representationsandunderstandingsofthepartiesandsapersedesallpreviousunderstandings,commitmentsoragreements,oralorwritten,relatedtothesubjectmatterhereof.ThisAgreementmaynotbeamended,modifiedorterminatedesceptbyawritingsignedbythepartieshereto.NodocumentsshallbeincorporatedhereinbyreferenceaccepttotheextentCompanyisasignatorythereon.IfanytermorconditionofthisAgreementisinvalid,illegalorincapableofbeingenforcedbyanyruleoflaw,allothertermsandconditionsofthisAgreementwillneverthelessremaininfallforceandeffectaslongastheeconomicorlegalsubstanceofthetransactioncontemplatedherebyisnotaffectedinamanneradversetoanypartyhereto.Customermaynotassign,transfer,orconveythisAgreement,oranyparthereof,oritsright,titleorinterestherein,withoutthewrittenconsentoftheCompany.Subjecttotheforegoing,thisAgreementshallbebindinguponandinuretothebenefitofCustomer’spermittedsuccessorsandassigns.ThisAgreementmaybeesecutedinseveralcounterparts,eachofwhichwhenesecutedshallbedeemedtobeanoriginal,butalltogethershallconstitutebutoneandthesameAgreement.Afullyeaecutedfacsimileorelectroniccopyhereofortheseveralcounterpartsshallsufficeasanoriginal.01007.0006/661659.1©2020TroneAllRightsReservedConfidentialandProprietaryInformationofTraneU.S.InC.Page6of10 ,PacificSouthwestDistrictTRA?IEAN3253E.ImperialHwy.CityofCarsonBtea,CA92821EXHIBIT“A”POTENTIALSCOPEOFWORKCITYHALL(providebyTRANETECHNOLOGIES)ThecentralplantatCityHallconsistsoftwoconstantvolume130tonMcQuaycentrifugalchillersprovidingthechilledwatercoolingneedsofthebuilding.Thesechillersareattheendoftheirusefulusage.Theplantnaturallyincludesancillarymechanicalandelectricalequipment,includingacoolingtower,condenserpumps,chilledandhotwaterpumps,etc.Thecoolingtowerwasreplacedin2011andisingoodoperatingcondition.Thereisanexisting1.5MMBTU(onemillionBritishThermalunits)boilerservingtheheatingrequirementsofthebuilding.Thisboilerwasalsoreplacedin2010andisinfairtogoodoperatingcondition.Thereareatotaloffourpumps;onechilledwater,onecondenserwater,onehotwaterandonecombinedback-uppumpusedforcondenserandchilledwaterdistribution.Thesepumpsservethebuildingchiller,coolingtower,boiler,andhotandchilledwaterdistributionsystems.Thesepumpsareold,withlowefficiencymotorsandtheirassociatedstrainersandvalvesarestuckinfixedpositionsandnotoperatingproperly.Therearecurrentlyfiveairhandlingunits(AHU’s)providingtherequiredairheatingandcoolingtothevariousspacesoftheCityHallbuilding.Alltheunitsareattheendoftheirusefullifeandneedtobereplaced.CityHallalsohassplitsystemsandexhaustfansthatarebeyondtheirusefullifeandinneedofreplacement.SCOPE:•InvestigatetemporarycoolingsystemwithMERV-13filtersandsetoutsideair(OSA)ashighaspossible.•Providemechanical,electrical,andstructuralengineeringfortheproject•Obtainplancheckandpermitsfortheproject•ReplacetheroofwithanewPVCmembranerooftomatchtheCommunityCenter01007.0006/661659.1©2020TraneAllRightsReservedConfidentialandProprietaryInformationofTraneU.S.Inc.Page7of10
