fTIP#:LA9918830?roject#:MR312.80SubregionID;Interstate405,1-110,1-105andSR-91FA#9200000000MR312$0RampandInterchangeImprovements(SouthBay)PARTISPECIFICTERMSOFTHEFA1.TitleoftheProject(the“Project”):223”St.WideningProject—Construction.LACMTAProjectID#MR312.80FTIP#LA99188302.Grantfunds:2.1ProgrammedFundsforthisProjectconsistofthefollowing:MeasureRFunds.2.2TotheextenttheMeasureRfundsareavailable;LACMTAshallmaketoGRANTEEagrantoftheMeasureRfundsintheamountof$1,000,000(the“Fund”)fortheProject.LACMTABoardofDirectors’actionofJune27,2019grantedtheMeasureRFundsfortheProject.TheFundsareprogrammedover(1)yearforFiscalYear(FY)FY2019-20.3.Thisgrantshallbepaidonareimbursementbasis.GRANTEEmustprovidetheappropriatesupportingdocumentationwiththeMonthlyProgressReportand/ortheQuarterlyExpenditureReport.GRANTEEFundingCommitment,ifapplicable,mustbespentintheappropriateproportiontothefundswitheachquarter’sexpenditures.IACMTAwillwithholdfivepercent(5%)ofeligthleexpendituresperinvoiceasretentionpendinganauditofexpendituresandcompletionofscopeofwork.4.AttachmentAthe“ProjectFunding”documentsallsourcesoffundsprogrammedfortheProjectasapprovedbyLACMTAandisattachedasAttachmentA.TheProjectFundingincludesthetotalprogrammedfundsfortheProject,includingtheFundsprogrammedbyLACMTAand,ifany,theGRANTEEfundingCommitmentofothersourcesoffunding.TheProjectFundingalsoincludesthefiscalyearsinwhichallthefundsfortheProjectareprogrammed.TheFundsaresubjecttoadjustmentbysubsequentLACMTABoardAction.5.AttachmentB-iistheExpenditurePlan-Cost&CashFlowBudget(the“ExpenditurePlan”).Itistheentireproposedcashflow,theBudgetandfinancialplanfortheProject,whichincludesthetotalsourcesofallfundsprogrammedtotheProject,includingGRANTEEandotherentityfundingcommitments,ifany,forthisProjectaswellasthefiscalyearandquarterstheProjectfundsareanticipatedtobeexpended.GRANTEEshallupdatetheExpenditurePlanannually,nolaterthanDecember31,andsuchupdateshallbesubmittedtoLACMTA’sManagingExecutiveOfficerofConstruction&Engineeringinwriting,litheLACMTA’sManagingExecutiveOfficerofConstruction&EngineeringconcurswithsuchupdatedExpenditurePlaninwriting,AttachmentB-ishallbereplacedwiththenewAttachment3-1‘EsettingforththelatestapprovedExpenditurePlan.PaymentsunderthisFAshallbeconsistentwithAttachmentB-iasrevisedfromtimetotime.InnoeventcanthefinalmilestonedatebechangedoramendedbywrittenconcurrencebytheLACMTAManagingExecutiveOfficerofConstruction&Engineering.AnychangetothefinalmilestonedatemustbemadebyaFullyexecutedamendmenttothisFA.Rev:12.06.163MeasureRFundingAgreement—Highways.General fTIP#:LA9918830?roject#:MR312.80SubregionID:Interstate405,1410,1-105andSR-91fA#9200000000MR31280RampandInterchangeImprovements(SouthBay)6.AttachmentCistheScopeofWork(“theScopeofWork”).TheGRANTEEshallcompletetheProjectasdescribedintheScopeofWork.ThisScopeofWorkshallincludeadetaileddescriptionoftheProjectandtheworktobecompleted,includinganticipatedProjectmilestonesandascheduleconsistentwiththelapsingpolicyinPartII,Section9,andadescriptionoftheProjectlimits.NolaterthanDecember31ofeachyear,GRANTEEshallnotifyJACMTAifthereareanychangestothefinalmilestonedatesetforthinthescheduleoranychangestotheScopeofWork.IfLACMTAagreestosuchchanges,thepartiesshallmemorializesuchchangesinanamendmenttothisFA.Workshallbedeliveredinaccordancewiththisscheduleandscopeunlessotherwiseagreedtobythepartiesinwriting.IfGRANTEEisconsistentlybehindscheduleinmeetingmilestonesorindeliveringtheProject,IACMTAwillhavetheoptiontosuspendorterminatetheFAfordefaultasdescribedinPartII,Sections2,9,10and11hereinbelow.TotheextentinterimmilestonedatesarenotmetbutGRANTEEbelievesitcanmakeupthetimesoastonotimpactthefinalmilestonedate,GRANTEEshallnotifyLACMTAofsuchchangesinitsMonthlyProgressReportsandsuchinterimmilestonedateswillautomaticallybeamendedtothelatestinterimmilestonedatesprovidedintheMonthlyProgressReportsAttachmentD-1.InnoeventcanthefinalmilestonedatebeamendedbyaMonthlyProgressReport.’7.NochangestothisFA,includingbutnotlimitedtotheFunds,andanyothersourceoffundsfromIACMTAintheProjectFunding,ExpenditurePlanortheScopeofWorkshallbeallowedwithoutanamendmenttotheoriginalFA,approvedandsignedbybothparties.8.AttachmentDistheProjectReporting&ExpenditureGuidelines.GRANTEEshallcompletethe“MonthlyProgressReport”and/orthe“QuarterlyExpenditureReport”.TheMonthlyProgressandQuarterlyExpenditureReportsareattachedtothisFAasAttachmentsD1andD-2inaccordancewithAttachment])—ProjectReportingandExpenditureGuidelines.9.AttachmentE,the“FTIPPROJECTSHEET(PDF)”,isattachedasAttachmentEandisrequiredtoensurethattheProjectisprogrammedcorrectlyinthemostup-to-dateFTIPdocument.TheFTIPPROJECTSHEET(PDf)canbefoundinProgramMeftoFTIPdatabaseunderthereportssectionathttp://program.mefto.net.AllprojectsthatreceivefundingthroughMeasureRmustbeprogrammedintotheFf1?,whichincludeslocallyfundedregionallysignificantprojectsforinformationandairqualitymodelingpurposes.GRANTEEshallreviewtheProjectinProgiamMetroeachyearandupdateorcorrecttheProjectinformationasnecessaryduringascheduledFTIPamendmentoradoption.GRANTEEwillbenotifiedofamendmentsandadoptionstotheFf1?viae-mail.ChangestothefliPthroughPrograrnMetroshouldbemadeassoonaspossibleafterGRANTEEisawareofanychangestotheProject,butnolaterthanOctober1oftheyearthechangeorupdateiseffective.ShouldGRANTEEfailtomeetthisdate,itmayaffectGRANTEE’sabffitytoaccessfunding,delaytheProjectandmayultimatelyresultintheFundsbeinglapsed.10.GRANTEEshallcomplywiththe“SpecialGrantConditions”attachedasAttachmentG,ifany.11.Nochangestothe(1)Grantamount,(li)Projectfunding,(ill)theScopeofWork(exceptasprovidedherein),(iv)finalmilestonedateorfv)SpecialGrantConditions,shallbeallowedRev:12.06.164MeasureRFundingAgreement—Highways-General FTIP#:1A9918830Project#:MR312.80SubregionID:Interstate405,1410,1-105andSR-91FA#9200000000MR31280RampandInterchangeImprovements(SouthBay)GRANTEEfundingCommitment,ifany,mustbespentindirectproportiontothefundswitheachquarter’spayment.6.REPORTINGANDAUDITREQUIREMENTS/PAYMENTADJUSTMENTS6.1GRANTEEshallsubmitthedraftofMonthlyProgressReport(Attachment1)4)withinseven(7)daysfromthelastdayofeachmonth,ifrequired,andsubmitthedraftofQuarterlyExpenditureReporttAttathmentD-2)withinsixty(60)daysafterthedoseofeachquarteronthelastdayofthemonthsNovember,February,MayandAugusttotheLACMTAProjectManagerforreviewandpre-approvaloftheapplicablereport...LACMTAshallreviewandrespondinwritingtothedraftMonthlyProgressandQuarterlyExpenditureReportswithinfive(5)businessdaysfromreceipt.GranteeshallsubmittheIACMTApreapprovedMonthlyProgressReportandQuarterlyExpenditureReportnolaterthanfive(5)daysafterreceiptofJACMTA’swrittenapproval.ShouldGRANTEEfailtosubmiteitherthedraftorpre-approvedreportswithinfivef1daysoftheduedateand/orsubmitincompletereports,TACMTAwillnotreimburseGRANTEEuntilthecompletedrequiredreportsarereceived,reviewed,andapproved.TheMonthlyProgressandtheQuarterlyExpenditureReportsshallincludeallappropriatedocumentation(suchascontractorinvoices,timesheets,receipts,etc.),andanychangestointerimmilestonedatesthatdonotimpactthefinalmilestonedate.AllsupportingdocumentsmustindudeadearjustificationandexplanationoftheirrelevancetotheProject.Ifnoactivityhasoccurredduringaparticularquarter,GRANTEEwillstillberequiredtosubmittheMonthlyProgressandQuarterlyExpenditureReportsindicatingnodollarswereexpendedthatquarter.Ifarequestforreimbursementexceeds$500,000inasinglemonth,thenGRANTEEcansubmitsuchaninvoiceoncepermonthwithsupportingdocumentation.6.2LACMTA,and/oritsdesignee,shallhavetherighttoconductauditsoftheProjectasdeemedappropriate,suchasfinandalandcomplianceaudits,interimaudits,preawardaudits,performanceauditsandfinalaudits.LACMTAwillcommenceafinalauditwithinsixmonthsofreceiptofacceptablefinalinvoice,providedtheProjectisreadyforfinalaudit(meaningallcostsandchargeshavebeenpaidbyGRANTEEandinvoicedtoLACMTA,andsuchcosts,chargesandinvoicesareproperlydocumentedandsummarizedintheaccountingrecordstoenableanauditwithoutfurtherexplanationorsummarizationincludingactualindirectratesfortheperiodcoveredbytheFAperiodunderreview).GRANTEEagreestoestablishandmaintainproperaccountingproceduresandcashmanagementrecordsanddocumentsinaccordancewithGenerallyAcceptedAccountingPrinciples(GAAP).GRANTEEshallreimburseLACMTAforanyexpenditurenotincompliancewiththeScopeofWorkand/ornotincompliancewithothertermsandconditionsofthisFA.TheallowabifityofcostsforGRANTEE’sownexpendituressubmittedtoLACMTAforthisProjectshallbeincompliancewithOfficeofManagementandBudget(0MB)CircularA-87.TheallowabffityofcostsforGRANTEE’scontractors,consultantsandsuppliersexpendituressubmittedtoLACMTAthroughGRANTEE’sMonthlyProgressReportsandQuarterlyExpendituresshallbeincompliancewith0MBCircularA-$7orFederalAcquisitionRegulation(FAR)Subpart31and2CFRSubtitleA,ChapterII,Part225(whicheverisapplicable).FindingsoftheLACMTAauditarefinal.WhenIACMTAauditfindingsrequireRev:12.06,16$MeasureRFundingAgreement—Highways-General
