AMENDMENTNO.2TOAGREEMENTFORCONTRACTSERVICESTHISAMENDMENTTOTHEAGREEMENTFORCONTRACTSERVICES(“AmendmentNo.2”)byandbetweentheCITYOFCARSON,aCaliforniamunicipalcorporation(“City”),andHR&AADVISORS,INC.,aNewYorkcorporation(“Consultant”),isenteredintoeffectiveasoftheI(12dayofJune,2020.RECITALSA.CityandConsultantenteredintothatcertainAgreementforContractServicesdatedJune19,2018(“Agreement”)wherebyConsultantagreedtoprovideCityon-calleconomicandfiscalimpactservices.B.TheoriginalexpirationdateoftheAgreementwasJune1$,2019butSection3.4oftheAgreementallowstheCitytoextendtheAgreementtermfortwo(2)additionalone-yearterms.C.CityandConsultantamendedtheAgreementthroughanamendmentdatedJune19,2019,toreflectCity’sexerciseofthefirstofitstwoone-yearoptionstoextendthetermoftheAgreementforoneyear,fromJune19,2019throughJune18,2020(“FirstOptionPeriod”).D.NowCityandConsultantdesiretoagainamendtheAgreementtoreflectCity’sexerciseofthesecondofitstwoone-yearoptionstoextendthetermoftheAgreementforoneyear,fromJune19,2020throughJune18,2021(“SecondOptionPeriod”).D.TheContractSumof$300,000alreadyincorporatescompensationtobepaidConsultantforthetwo(2)additionalone-yearterms,andassuch,thereisnoincreasetotheContractSumasaresultofConsultant’sservicesprovidedduringtheFirstOptionPeriodandSecondOptionPeriod.TERMS1.ContractChanges.TheAgreementisamendedasprovidedherein(newtextinbolditalicsanddeletedtextinstrikethrough).Section3.4,“Term,”oftheAgreement,isherebyamendedtoreadinitsentiretyasfollows:01007.0001/646513.1—1—
