CDBGHU?iNRESOURCESRECEIVEDSUBRECIPIENTAGREEMENT2OAVGiPH3:t15ThisSUBRECIPIENTAGREEMENT(the“Agreement”),ismadeandjjtpertoqptis1stdayofJuly,2020,byandbetweentheCITYOFCARSON,achartercityandcorporation(the“City”),andSOUTHBAYFAMILYHEALTHCARE,aCalifornianon-profitcorporation(“Subrecipient”)(individuallyreferredtohereinas“Party”andcollectively,the“Parties”).RECITALSWHEREAS,theCityhasenteredintovariousfundingagreementswiththeUnitedStatesDepartmentofHousingandUrbanDevelopment(“HUD”),whichfundingagreementsprovideCommunityDevelopmentBlockGrantfunds(“CDBGFunds”)totheCitypursuanttotheFederalHousingandCommunityDevelopmentActof1974,codifiedat42U.S.C.Section5301etseq.,asamendedfromtimetotime(the“Act”),andtheregulationspromulgatedthereunder,codifiedat24CodeofFederalRegulationsSection570etseq.(the“Regulations”);andWHEREAS,theActprovidesthattheCitymaygrantCDBGFundstononprofitorganizationsforcertainpurposesallowedundertheAct;andWHEREAS,theSubrecipientisanonprofitorganizationwhichoperatesaprogramwhichiseligibleforagrantofCDBGFunds;andWHEREAS,theCitydesirestoassistintheoperationoftheSubrecipient’sprogrambygrantingCDBGFundstotheSubrecipientinordertopayforalloraportionofthecostsincurredinoperatingtheprogram,subjecttothetermsandconditionsmoreparticularlysetforthinthisAgreement;andWHEREAS,thisAgreementisnotintendedtocreate,norshallitbeconstruedascreating,anyrightsinanythirdpartiesnotaPartytothesame,butratherthisAgreementisintendedtoassistSubrecipientinprovidingcosteffectiveservicestothecommunityitserves,asdescribedinthisAgreement;andNOW,THEREFORE,thePartiesheretoagreeasfollows:1.0SERVICESOFSUBRECIPIENT.1.1ScopeofServices.SubrecipientagreestoprovidetoCityalloftheservicesspecifiedanddetailedinbothitsapplicationforCDBGFunds(the“Application”)andinthe“ScopeofServices”attachedheretoandincorporatedhereinasExhibit“A”tothisAgreement.SubrecipientrepresentsandwarrantstoCitythatitisabletoandwillusetheCDBGFundsgrantedbytheCityforthepurposeofprovidingtheservicessetforthinitsApplicationandExhibit“A”,andonlyforthatpurpose.SubrecipientfurtherrepresentsandwarrantsthatitwilladheretothetermsoftheApplicationandthisAgreementinprovidingsaidservices.1.2NationalObjective.SubrecipientcertifiesthattheservicesprovidedwiththeCDBGFundswillmeettheCDBGprogram’snationalobjectiveofbenefittinglowandmoderateincomepersons,asdefinedin24CFRPart570.208.01007.0001/561268.51 1.3SpecialRequirements.AdditionaltermsandconditionsofthisAgreement,ifany,aresetforthinthe“SpecialRequirements”attachedheretoandincorporatedhereinasExhibit“B”tothisAgreement.1.4StandardofCare.SubrecipientherebyrepresentsandwarrantstoCitythatallservicesrenderedpursuanttothisAgreementwillbeperformedinacompetent,professional,andsatisfactorymanner.AsamaterialinducementtoCitytoenterintothisAgreement,Subrecipientherebyfurtherrepresentsandwarrantsthatithastheexperienceandskillsnecessarytoundertaketheservicestobeprovidedherein.1.5CompliancewithLaws.AllservicesrenderedbySubrecipientpursuanttothisAgreementshallbeperformedinaccordancewithallordinances,resolutions,statutes,rules,andregulationsofCityand/oranyfederal,stateorlocalgovernmentalagencyhavingjurisdictionatthetimesuchservicesarerendered.1.6Licenses,Permits,FeesandAssessments.Subrecipientshallobtainatitssolecostsandexpensesuchlicenses,permitsandapprovalsasmayberequiredbylawfortheperformanceoftheservicesrequiredbytheAgreement.1.7Reports.Nolaterthanten(10)dayspriortoanypaymentdatespecifiedinSection2.1ofthisAgreement,withinten(10)daysfollowingtheterminationofthisAgreement,andatsuchothertimesastheContractOfficershallrequest,SubrecipientshallprovidetheContractOfficerwithawrittenreportdescribingtheservicesprovidedduringtheperiodoftimesincethelastreportandaccountingforthespecificexpendituresofanyportionoftheContractSum,ifapplicable.Atthetimesandinthemannerrequiredbylaw,theSubrecipientshallprovidetotheCity,HUD,theComptrollerGeneraloftheUnitedStates,andanyotherindividualorentity,ortheirdulyauthorizedrepresentatives,anyandallreportsandinformationrequiredforcompliancewiththeActand/ortheRegulations.1.8FinancialReporting.AnySubrecipientreceivingorduetoreceive$20,000.00ormorefromtheCityduringthecurrentfiscalyear(July1,2020throughJune30,2021)(the“FiscalYear”)shallprovidetheCitywithafinancialstatementwhichhasbeencompletedwithinthemostrecenttwelve(12)monthsandwhichshowsthattheSubrecipient’sfinancialrecordshavebeenkeptinaccordancewithgenerallyacceptedaccountingstandards(“FinancialStatement”).ThisFinancialStatementshallbepreparedbyarecognizedaccountingfirmthatisapprovedbyorsatisfactorytoCity’sChiefFinancialOfficer,andshallincludeageneralledgerbalancesheetwhichidentifiesrevenuesourcesandexpensesinsufficientdetailtodemonstratecompliancewiththisAgreementandwhichisbalancedwithSubrecipient’sbankstatements.Anyorganizationreceivingorduetoreceivelessthan$20,000.00fromtheCityintheFiscalYearshallprovidetheCitywithacopyoftheorganization’smostrecentcharitabletrustreporttotheAttorneyGeneral,orotherfinancialinformationsatisfactorytotheCity’sChiefFinancialOfficer.ThefinancialinformationthatmustbeprovidedpursuanttothisparagraphshallbefurnishedtotheCity’sChiefFinancialOfficernotlaterthanJanuary31stofthecurrentFiscalYear.1.9AuditsandInspections.AllSubrecipientrecordsconcerninganymattercoveredbythisAgreementshallbemadeavailabletotheCity,HUD,andtheComptrollerGeneraloftheUnitedStates,oranyoftheirauthorizedrepresentatives,atanytimeduringnormalbusinesshours,asoftenasisdeemednecessarybythoseentitiesinordertoaudit,examine,andmakeexcerptsortranscriptsofallrelevantdata.AnydeficienciesnotedinauditreportsmustbefullyclearedbytheSubrecipientwithinthirty(30)daysafterreceiptofsuch01007000l/56126$.52 reportsbytheSubrecipient.FailurebytheSubrecipienttocomplywiththeseauditrequirementswillconstituteabreachofthisAgreementandmayresultinthewithholdingoffuturepaymentsthereunder.TheSubrecipientherebyagreestohaveanannualagencyauditconductedinaccordancewithcurrentCitypolicyconcerningSubrecipientauditsand2CFR200.2.0COMPENSATION.2.1ContractSum.TheCityshallpaytoSubrecipientfortheservicestobeprovidedhereunder,onareimbursablebasis,asumnottoexceedFIFTEENTHOUSANDTHREEHUNDREDDOLLARSANDNOCENTS($15,300.00)(the“ContractSum”),inaccordancewiththe“ScheduleofCompensation”attachedheretoandincorporatedhereinasExhibit“C”tothisAgreement,whichsumshallconstitutefullandcompletereimbursementfortheimplementationofthisAgreementfortheentireTermthereof.SubrecipientshallsubmittotheCitymonthlystatementsofreimbursableexpenditurespursuanttotheattached“ScheduleofCompensation”,alongwithpertinentsupportingdocumentation.TheCityshallpromptlyreviewthemonthlyexpenditurestatementsand,uponapproval,reimburseSubrecipientforitsauthorizedoperatingcosts.2.2PayrollRecords.IncaseswheretheContractSumwillreimbursepayrollexpensesaspartofoperations,SubrecipientshallestablishasystemformaintainingaccuratepayrollrecordswhichwilltrackdailyhourschargedtotheprojectbySubrecipient’semployees,assetforthin2CFR200.430.2.3DrawDowns.FailurebySubrecipienttorequestreimbursementorencumbranceofatleast25%oftheContractSumbytheendofeachFiscalYearquarter(i.e.bySeptember30,December30,March31,andJune30,respectively)shallresultintheimmediateforfeitureof25%oftheContractSum,unlessthisrequirementiswaivedbytheContractOfficer.TheContractOfficerreservesthesoleandunfetteredrighttodeterminewhetherthecircumstanceswarrantsuchawaiver.AnysuchwaiverbytheContractOfficershallnotbedeemedtowaiveorrenderunnecessarySubrecipient’scompliancewiththisprovisionfortheremainderoftheTermofthisAgreement.2.4Default.IntheeventthatSubrecipientdefaultsunderanyofthetermsandconditionsofthisAgreement,CityshallhavenoobligationtocontinuecompensatingSubrecipientforanyworkperformedafterthedateofsuchdefault.TheCity’sconsenttoorapprovalofanydefaultbytheSubrecipientshallnotbedeemedtowaivetheCity’srightsunderthisprovisionwithrespecttoanysubsequentdefault.(SeealsoSection6.4below.)2.5CompletionofWork.Cityreservestherighttowithhold10%oftheContractSumuntilaCertificateofCompletionisissuedbytheCity.3.0COORDINATIONOFTHEWORK.3.1RepresentativeofSubrecipient.Thefollowingprincipal(s)and/orrepresentative(s)ofSubrecipientareherebydesignatedastheperson(s)authorizedtoactonSubrecipient’sbehalfwithrespecttotheservicesspecifiedhereinandtomakealldecisionsinconnectiontherewith:JannHamiltonLee,PresidentandChiefExecutiveOfficer01007.0001/561268.53 3.2ContractOfficer.The“ContractOfficer”shallbesuchpersonasmaybedesignatedbytheCity’sCityManager.3.3ProhibitionAgainstSubcontractingorAssignment.Subrecipientshallnotcontractwithanyotherentitytoperform,inwholeorinpart,theservicestobeprovidedpursuanttothisAgreementwithouttheexpresswrittenapprovaloftheCity.NeitherthisAgreement,noranyinterestcreatedbyit,maybeassignedortransferredbySubrecipient,voluntarilyorbyoperationoflaw,withoutthepriorwrittenapprovaloftheCity.3.4IndependentContractor.Exceptasotherwisesetforthherein,neithertheCity,noranyofitsagentsoremployees,shallhaveanycontroloverthemanner,mode,ormeansbywhichSubrecipient,oritsagentsoremployees,performtheservicestobeprovidedpursuanttothisAgreement.SubrecipientshallperformallsuchservicesasanindependentcontractoroftheCity,andshallremainatalltimesastotheCityawhollyindependentcontractorwithonlysuchobligationsasareconsistentwiththatrole.Subrecipientshallnotatanytimeorinanymannerrepresentthatit,oranyofitsagentsoremployees,areagentsoremployeesoftheCity.4.0INSURANCEANDINDEMNIFICATION.4.1Insurance.(a)Subrecipientshallprocureandmaintain,atitssolecostandexpense,inaformandcontentsatisfactorytoCity,duringtheentiretermofthisAgreementincludinganyextensionthereof,thefollowingpoliciesofinsurancewhichshallcoverallelectedandappointedofficers,employeesandagentsofCity:(i)CommercialGeneralLiabilityInsurance(OccurrenceFormCG0001orequivalent).InsuranceServicesOfficesFormCG0001coveringCommercialGeneralLiability(CGL)onan“occurrence”basisincludingproductsandcompletedoperations,propertydamage,bodilyinjury,personalinjury,andadvertisinginjury.Apolicyofcomprehensivegeneralliabilityinsurancewrittenonaperoccurrencebasisforbodilyinjury,personalinjuryandpropertydamage.Thepolicyofinsuranceshallbeinanamountnotlessthan$1,000,000.00peroccurrenceorifageneralaggregatelimitisused,eitherthegeneralaggregatelimitshallapplyseparatelytothiscontract/location,orthegeneralaggregatelimitshallbetwicetheoccurrencelimit.(ii)Worker’sCompensationInsurance.Apolicyofworker’scompensationinsuranceinsuchamountaswillfullycomplywiththelawsoftheStateofCaliforniaandwhichshallindemnify,insureandprovidelegaldefensefortheSubrecipientagainstanyloss,claimordamagearisingfromanyinjuriesoroccupationaldiseasesoccurringtoanyworkeremployedbyoranypersonsretainedbytheSubrecipientinthecourseofcarryingouttheworkorservicescontemplatedinthisAgreement.(iii)AutomotiveInsurance.ISOFormNumberCA0001coveringanyauto(Code1),oriftheSubrecipienthasnoownedautos,coveringhired(Code8),andnon-ownedautos(Code9),withlimitnolessthan$1,000,000peraccidentforbodilyinjuryandpropertydamage.(iv)ProfessionalLiability.ProfessionalliabilityinsuranceappropriatetotheSubrecipient’sprofession.Thiscoveragemaybewrittenona“claimsmade”basis,andmust01007.0001/561268.54 includecoverageforcontractualliability.TheprofessionalliabilityinsurancerequiredbythisAgreementmustbeendorsedtobeapplicabletoclaimsbasedupon,arisingoutoforrelatedtoservicesperformedunderthisAgreement.Theinsurancemustbemaintainedforatleast5consecutiveyearsfollowingthecompletionofSubrecipient’sservicesortheterminationofthisAgreement.Duringthisadditional5-yearperiod,SubrecipientshallannuallyanduponrequestoftheCitysubmitwrittenevidenceofthiscontinuouscoverage.(v)AdditionalInsurance.Policiesofsuchotherinsurance,asmayberequiredintheSpecialRequirementsinExhibit“B”.(vi)IftheSubrecipientmaintainsbroadercoverageorhigherlimits(orboth)thantheminimumsrequiredbythisAgreement,thentheCityrequiresandshallbeentitledtothebroadercoverageandhigherlimitsmaintainedbytheSubrecipient.(vi)Subcontractors.Subrecipientshallincludeallsubcontractorsasinsuredsunderitspolicies,orshallfurnishseparatecertificatesandcertifiedendorsementsforeachsubcontractor.Allcoveragesforsubcontractorsshallbesubjecttoalloftherequirementsstatedherein.(b)GeneralInsuranceRequirements.AlloftheabovepoliciesofinsuranceshallbeprimaryinsuranceandshallnametheCity,itselectedandappointedofficers,employeesandagentsasadditionalinsuredsandanyinsurancemaintainedbyCityoritsofficers,employeesoragentsmayapplyinexcessof,andnotcontributewithSubrecipient’sinsurance.TheinsurerisdeemedhereoftowaiveallrightsofsubrogationandcontributionitmayhaveagainsttheCity,itsofficers,employeesandagentsandtheirrespectiveinsurers.Theinsurancepolicymustspecifythatwheretheprimaryinsureddoesnotsatisfytheself-insuredretention,anyadditionalinsuredmaysatisfytheself-insuredretention.AllofsaidpoliciesofinsuranceshallprovidethatsaidinsurancemaynotbeamendedorcancelledbytheinsureroranyPartyheretowithoutprovidingthirty(30)dayspriorwrittennoticebycertifiedmailreturnreceiptrequestedtotheCity.Intheeventanyofsaidpoliciesofinsurancearecancelled,theSubrecipientshall,priortothecancellationdate,submitnewevidenceofinsuranceinconformancewiththissectiontotheContractOfficer.NoworkorservicesunderthisAgreementshallcommenceuntiltheSubrecipienthasprovidedtheCitywithCertificatesofInsurance,additionalinsuredendorsementformsorappropriateinsurancebindersevidencingtheaboveinsurancecoveragesandsaidCertificatesofInsuranceorbindersareapprovedbytheCity.Cityreservestherighttoinspectcomplete,certifiedcopiesofandendorsementtoallrequiredinsurancepoliciesatanytime.AnyfailuretocomplywiththereportingorotherprovisionsofthepoliciesincludingbreachesorwarrantiesshallnotaffectcoverageprovidedtoCity.TheinsurancerequiredbythisAgreementshallbesatisfactoryonlyifissuedbycompaniesqualifiedtodobusinessinCalifornia,rated“A”orbetterinthemostrecenteditionofBestRatingGuide,TheKeyRatingGuideorintheFederalRegister,andonlyiftheyareofafinancialcategoryClassVIIorbetter,unlesssuchrequirementsarewaivedbytheCity’sRiskManagerorotherdesigneeoftheCityduetouniquecircumstances.4.2.Indemnification.Tothefullextentprovidedbylaw,Subrecipientagreestoindemnify,defendandholdharmlesstheCity,itsofficers,employees,andagents(“IndemnifiedParties”)against,andwillholdandsavethemandeachofthemharmlessfrom,anyandallactions,eitherjudicial,administrative,arbitrationorregulatoryclaims,damagestopersonsorproperty,losses,costs,penalties,obligations,errors,omissionsorliabilitieswhetheractualorthreatened(herein“claimsorliabilities”)thatmaybeassertedorclaimedbyany01007.0001/561268.55 person,firmorentityarisingoutoforinconnectionwiththenegligentperformanceofthework,operationsoractivitiesprovidedhereinofSubrecipient,itsofficers,employees,agents,subcontractors,invitees,oranyindividualorentityforwhichSubrecipientislegallyliable(“indemnitors”),orarisingfromSubrecipient’sorindemnitors’recklessorwillfulmisconduct,orarisingfromSubrecipient’sorindemnitors’negligentperformanceoforfailuretoperformanyterm,provision,covenantorconditionofthisAgreement,exceptclaimsorliabilitiesoccurringasaresultofCity’ssolenegligenceorwillfulactsoromissions.TheindemnityobligationshallbebindingonsuccessorsandassignsofSubrecipientandshallsurviveterminationofthisAgreement.5.0DISCRIMINATION,TERMINATION,ANDENFORCEMENT.5.1CovenantAgainstDiscrimination.Subrecipientcovenantsthat,byandforitself,itsheirs,executors,assigns,andallpersonsclaimingunderorthroughthem,thatthereshallbenodiscriminationagainstorsegregationofanypersonorgroupofpersonsonaccountofrace,religiouscreed,color,nationalorigin,ancestry,physicaldisability,mentaldisability,medicalcondition,pregnancy,maritalstatus,age,sexualorientation,oranyotherbasispertainingtoaProtectedCharacteristicunderapplicablefederal,state,orlocallaw.5.2Term.UnlessearlierterminatedinaccordancewithSection5.3ofthisAgreement,thisAgreementshallcontinueinfullforceandeffectuntilsuchtimeasSubrecipienthascompletedtheservicessetforthinExhibit“A”,butforatermnottoexceedJune30,2021(“Term”).(SeealsoExhibitBdiscussionof“ProjectCloseout.”)5.3TerminationPriortoExpirationofTerm.EitherPartymayterminatethisAgreementatanytime,withorwithoutcause,uponthirty(30)days’writtennoticetotheotherParty.Uponreceiptofsuchnoticeoftermination,SubrecipientshallimmediatelyceaseallserviceshereunderexceptasmaybespecificallyapprovedbytheContractOfficer.Subrecipientshallbeentitledtocompensationforallservicesrenderedpriortoreceiptofthenoticeoftermination,andCityshallbeentitledtoreimbursementforanyservicesthathavebeenpaidforbutnotrendered.6.0MISCELLANEOUSPROVISIONS.6.1ConflictsofInterest.Subrecipient,itsagentsandemployeesshallcomplywithapplicablefederal,state,andlocallawsandregulationsgoverningconflictofinterest.Subrecipientcovenantsthatitpresentlyhasnointerestandshallnotacquireanyinterest,directorindirect,thatmaybeaffectedbytheservicestobeperformedbyitunderthisAgreement,orthatwouldconflictinanymannerwiththeperformanceofitsserviceshereunder.Subrecipientfurthercovenantsthat,inperformingthisAgreement,nopersonhavinganysuchinterestshallbeemployedbyit.Furthermore,Subrecipientshallavoidtheappearanceofhavinganyinterestthatwouldconflictinanymannerwiththeperformanceofitsservicespursuanttothisagreement.SubrecipientagreesnottoacceptanyemploymentorrepresentationduringthetermofthisAgreementthatisormaylikelymakeSubrecipient“financiallyinterested”(asprovidedinCaliforniaGovernmentCodeSections1090and87100)inanydecisionmadebyCityonanymannerinconnectionwithwhichSubrecipienthasbeenretainedpursuanttothisAgreement.6.2WarrantyandRepresentationofNon-Collusion.Cityherebywarrantsandrepresentsthatnoofficial,officer,oremployeeoftheCityhasanyfinancialinterest,directorindirect,inthisAgreement,norshallanyofficial,officer,oremployeeoftheCityparticipatein01007.000I/561268.56 anydecisionrelatingtothisAgreementwhichmayaffecthis/herfinancialinterestorthefinancialinterestofanycorporation,partnership,orassociationinwhich(s)heisdirectlyinterested,orinviolationofanystateormunicipalstatuteorregulation.Thedeterminationof“financialinterest”shallbeconsistentwithStatelawandshallnotincludeinterestfoundtobe“remote”or“noninterest”pursuanttoCaliforniaGovernmentCodeSections1091and1091.5.Subrecipientherebywarrantsandrepresentsthat(s)he/ithasnotengagedinanyact(s),omission(s),orotherconductorcollusionthatwouldresultinthepaymentofanymoney,consideration,orotherthingofvaluetoanythirdpartyincluding,butnotlimitedto,anyCityofficial,officer,oremployee,asaresultorconsequenceofobtainingorbeingawardedanyagreement.Subrecipientisawareofandunderstandsthatanysuchact(s),omission(s),orotherconductresultinginthepaymentofmoney,consideration,orotherthingofvaluewillrenderthisAgreementvoidandofnoforceandeffect.SubrecipientRepresentativeInitials______6.3ProhibitedActivity.SubrecipientisprohibitedfromusingCDBGFundsprovidedherein,orpersonnelemployedintheadministrationoftheprogramforwhichthosefundshavebeengranted,foranyofthefollowingactivities:politicalactivities,activitiesofaninherentlyreligiousnature,lobbying,politicalpatronage,andnepotismactivities.ReligiousentitiesmayuseCDBGfundsforsecularactivitiesonlyinaccordancewiththefederalregulationsspecifiedin24CFR570.200(j),regardingsuchactivitiesasworship,religiousinstruction,orproselytization.6.4Non-WaiverofTerms,RightsandRemedies.A.Waiver.Thefailureofanon-defaultingPartytoenforceanyright,provision,orremedyshallnotimpairsuchright,provision,orremedy,andshallnotconstituteawaiverofsuchrightorprovisionintheabsenceofawrittenconfirmationofwaiversignedbythedefaultingParty.InnoeventshallthemakingbyCityofanypaymenttoSubrecipientconstituteorbeconstruedasawaiverbyCityofanybreachofcovenant,oranydefaultthatmaythenexistonthepartofSubrecipient,andthemakingofanysuchpaymentbyCityshallinnowayimpairorprejudiceanyrightorremedyavailabletoCitywithregardtosuchbreachordefault.FailureonthepartofCitytoactwithrespecttoabreachbySubrecipientshallnotconstituteawaiverofCity’srighttoactwithrespecttosubsequentorsimilarbreaches.B.WaiverbyeitherPartyofanyoftheconditionsofperformanceunderthisAgreementshallnotbeawaiverofanyotherconditionofperformanceunderthisAgreement.AParty’sconsenttoorapprovalofanyactbytheotherPartyrequiringtheParty’sconsentorapprovalshallnotbedeemedtowaiveorrenderunnecessarytheotherParty’sconsenttoorapprovalofanysubsequentact.AnywaiverbyeitherPartyofanydefaultmustbeinwritingandshallnotbeawaiverofanyotherdefaultconcerningthesameoranyotherprovisionofthisAgreement.6.5Attorney’sFees.IntheeventthateitherPartytothisAgreementshallcommenceanylegalactionorproceedingtoenforceorinterprettheprovisionsofthisAgreement,theprevailingPartyinsuchactionorproceedingshallbeentitledtorecoverits01007.0001/561268.57 X.Subrecipientshallnotreceiveanyprogramincomeasdefinedin24CFRSection570.500(a).2.ProgramEvaluationandReview.Subrecipientshallmakeperformance,financial,andallotherrecordspertainingtothisAgreementavailabletoallCityandHUDpersonnel.CityandHUDpersonnelmayinspectandmonitorSubrecipient’sfacilitiesandprogramoperations,includingtheinterviewofSubrecipient’sstaffandprogramparticipants.SubrecipientagreestosubmittoCityorHUDalldatanecessarytocompletetheAnnualGranteePerformanceReportinaccordancewithHUDrequirementsandintheformatandatthetimedesignatedbyCityorHUDProjectDirectorsortheirdesignees.3.ReportingRequirement.SubrecipientshallsubmittoCityaquarterlystatisticalstatusreport,usingtheformsshowninExhibit“D”attachedhereto,settingforthitsactivitiesforeachreportablequarter.SuchreportsshallbefiledwithCitynotlaterthanthe10thdayofthemonthfollowingthereportablequarter.Thequarterlyactivityreportsshallcontainwithoutlimitationethnicgroup,incomelevel,female-headedhouseholdstatusandanyotherdataasmayberequestedbyCity,ofeachpersonassistedandtheresultofsuchassistance.Inadditiontothemonthlystatisticalstatusreport,Subrecipientshall,onorbeforeJuly10,2021,furnishCitywithasummaryofSubrecipient’sactivitiesforthefiscalyearcommencingJuly1,2020.Suchsummaryshallincludeanannualstatisticalreport.4.DocumentationandRecordKeeping.SubrecipientshallmaintainallrecordsrequiredbytheFederalregulationsspecifiedin24CFR570.506,thatarepertinenttotheactivitiestobefundedunderthisAgreement.Suchrecordsshallincludebutnotbelimitedto:A.Recordsprovidingafulldescriptionofeachactivityundertaken;B.RecordsdemonstratingthateachactivityundertakenmeetsoneofthenationalobjectivesoftheCDBGprogram;C.Recordsrequiredtodeterminetheeligibilityofactivities;D.RecordsdocumentingallCDBGfundsreceivedfromtheCity;E.RecordsdocumentingexpensesasidentifiedinthemonthlyactivityreportsandreimbursementrequestssubmittedtotheCity,aswellastherelationshipoftheseexpensestotheCDBG-fundedprogram;F.Recordsrequiredtodocumenttheacquisition,improvement,use,ordispositionofrealpropertyacquiredorimprovedwithCDBGassistance;G.RecordsdocumentingcompliancewiththefairhousingandequalopportunitycomponentsoftheCDBGprogram;H.Financialrecordsasrequiredby24CFR570.502and24CFR84.21-28,andasotherwisestatedwithinthisAgreement;andI.OtherrecordsnecessarytodocumentcompliancewithSubpartKof24CFRPart570.SubrecipientshallmaintainseparateaccountingrecordsfortheCDBGFundsprovidedbytheCity.TheCity,HUD,ComptrollerGeneraloftheUnitedStates,oranyoftheirdulyauthorizedrepresentativesshallhaveaccesstoallbooks,documents,papers,andrecordsmaintainedbySubrecipient,aswellasanyofitsownsubrecipientsorsubcontractors,whichdirectlyrelatetotheprojectthatisthesubjectofthisAgreementforthepurposeofaudit,examination,excerpts,andtranscriptions.Subrecipientshallalsomaintainclientdatademonstratingclienteligibilityforservicesprovided.Suchdatashallinclude,butnotbelimitedto,clientname,address,incomelevelorotherbasisfordeterminingeligibility,anddescriptionofserviceprovided.Such01007.0001/561268.517 informationshallbeavailabletoCityorHUDmonitorsortheirdesigneesforreviewuponrequest.5.DisclosureRequirement.SubrecipientshallmakeavailableallbooksandrecordspertainingtoeachprojectorbusinessactivitythatisfundedbyCDBGfundsunderthisAgreementforinspectionandauditbyHUD’srepresentatives,uponrequest,atanytimeduringthetermofthisAgreementandforaperiodoffive(5)yearsthereafter.AllsuchbooksandrecordsshallbemaintainedbySubrecipientatalocationinLosAngelesCounty.FailurebySubrecipienttocomplywiththerequirementsofthissectionshallconstituteamaterialbreachforwhichCitymayterminateorsuspendthisAgreement.SubrecipientunderstandsthatclientinformationcollectedunderthisAgreementisprivateandtheuseordisclosureofsuchinformation,whennotdirectlyconnectedwiththeadministrationofCity’sorSubrecipient’sresponsibilitieswithrespecttoservicesprovidedunderthisAgreement,isprohibitedbyapplicableStateandFederallaw,unlesswrittenconsentisobtainedfromsuchpersonreceivingserviceand,inthecaseofaminor,thatofaresponsibleparent/guardian.6.ProjectClose-Out.NotwithstandingSection5.2,Term,oftheAgreement,andexceptasotherwisestatedinthisAgreement,thisAgreementexpiresupontheSubrecipient’scompleteperformanceofallobligationsdescribedinthisAgreement.TheSubrecipient’sobligationtotheCityshallnotenduntilallclose-outrequirementsarecompleted.Activitiesduringthisclose-outperiodshallinclude,butarenotlimitedto:submissionoffinalrequestsforpayment,makingfinalpayments,disposingofprogramassetsinaccordancewithotherprovisionsofthisAgreement,anddeterminingthecustodianshipofrecords.TheCity’sfundingobligationtotheSubrecipient,however,shallbelimitedtotheamountstatedinSection2.0oftheAgreement,andshallonlyapplytoSubrecipientperformanceduringFiscalYear2020-2021,endingonJune30,2021.7.Suspension,RecoveryofFunds.A.Inaccordancewith24CFRSection85.43,suspensionorterminationmayoccurifSubrecipientmateriallyfailstocomplywithanytermoftheaward.B.IfthefundingsourcedemandsreimbursementforpriorpaymentstoSubrecipientduetoSubrecipient’sfailuretocomplywithanyapplicabletermofthisAgreement,regulationorstatute,SubrecipientshallreimburseCityintheamountofsuchdisallowedpayments.C.Theawardmaybeterminatedforconvenienceinaccordancewith24CFRSection85.44.D.UponexpirationofthisAgreement,SubrecipientshalltransfertoCityanyfundspaidpursuanttothisAgreementthatareonhandatthetimeofexpirationandanyaccountsreceivableattributabletotheuseofsuchfunds.[ENDOFEXHIBIT“B”]01007.0001/561268.518
