REGULAR MEETING
BOARD OF DIRECTORS
February 12, 1992
MINUTES
I . ROLL CALL
President Robert McKibbin called the meeting to order at 7 : 00 P.M.
Members Present : Ginny Babbitt , Richard Bishop, Betsy Crowder, Kay
Duffy, Teena Henshaw, and Robert McKibbin. Nonette Hanko arrived at
7 : 35 P.M.
Personnel Present : Herbert Grench, Craig Britton , Jean Fiddes , Mary
Hale , John Escobar, Del Woods , and Deborah Morvay-Zucker.
IT . APPROVAL OF MINUTES
January 22, 1992
Motion: G. Babbitt moved that the Board accept the minutes of
January 22 , 1992 as presented. T. Henshaw seconded the
motion. The motion passed 6 to 0.
III . WRITTEN COMMUNICATIONS
There were no written communications .
TV. ORAL COMMUNICATIONS
Aaron Miller of Boy Scout Troop 9 , stated that he was attending the
meeting to fulfill a badge requirement to earn a community badge .
V. ADOPTION OF AGENDA
R. McKibbin stated that the agenda was adopted by Board consensus .
VI . BOARD BUSINESS
A. Legislative Committee Report (Report R-92-15)
T. Henshaw presented the Legislative Committee ' s recommendations
for changes in the scope of the committee ' s charge to include:
1 . To review legislation and make recommendations to the full
Board, and
2 . To act as leaders of Board ' s liaison with legislators .
K. Duffy ascertained that the general manager was in full
agreement with the proposed changes . The Board agreed that the
general manager would continue to coordinate the legislative
program.
Motion: R. McKibbin moved that the Board approve the change in

the scope of charge of the Legislative Committee. K.
Duffy seconded the motion. The motion passed 6 to 0.
T. Henshaw also presented the committee' s recommendation that
individual directors conduct site tours for state and local
legislators . Directors volunteered to work with the legislators
as follows : K. Duffy Assembly Member Charles Quackenbush; T.
Henshaw and G. Babbitt Senator Al Alquist; and R. Bishop and
B. Crowder - Senator Rebecca Morgan and Assembly Member Jackie
Speier.
T. Henshaw also discussed the importance of broadening the base
of support for open space in Sacramento. She stated that the
committee was planning a breakfast meeting with legislators and
their aides in Sacramento.
She stated that the committee also recommended discussions
between the boards of directors of East Bay Regional Park
District and Midpeninsula Regional Open Space District for the
purpose of working together on ideas to build a support base in
the legislature. R. Bishop commented that work with East Bay
Regional Park District would best be accomplished at the staff
level .
She proposed that the not-so-annual meeting of the open space
agencies of various counties be conducted in the near future.
H. Grench stated that David Hansen of Sonoma County Agricultural
Preservation and Open Space District was interested in his
agency sponsoring a meeting in the summer of 1993 at the
earliest. T. Henshaw stated that Planning and Conservation
League was considering a state-level conference on open space
preservation and that at least one member of the Legislative
Committee would attend the California Parks and Recreation
Society ' s legislative conference in May.
Motion: B. Crowder moved that the Board approve site tours with
legislators and approve in concept the Legislative
Committee ' s plans as presented. G. Babbitt seconded
the motion. The motion passed 6 to 0 .
B. Authorization to Solicit Wood Chipper Bids (Report R-92-14)
Motion: T. Henshaw moved that the Board authorize staff to
solicit competitive bids for a wood chipper. B.
Crowder seconded the motion. The motion passed 6 to 0 .
C . Amendment to Rules of Procedure for Financial Instrument
Signatories and Revision of Authorized Signatories for District
Accounts and Safe Deposit Boxes (Report R-92-17)
Motion: G. Babbitt moved that the Board adopt Resolution 92-03,
a Resolution of the Board of Directors of the

Rules of Procedure; Resolution 92-04 , A Resolution of
the Board of Directors of the Midpeninsula Regional
Open Space District Establishing Financial Instrument
Signatories of the District for Santa Clara County
Accounts; Resolution 92-05, A Resolution of the Board
of Directors of the Midpeninsula Regional Open Space
District Authorizing Signing and Endorsing Checks and
Other Instruments for Checking Account (First
Interstate Bank of California - Los Altos) ; Resolution
92-06 , A Resolution of the Board of Directors of the
Midpeninsula Regional Open Space District Authorizing
Signing of Payroll Checks for Payroll Checking Account
(First Interstate Bank of California - Los Altos) ; and
Resolution 92-07 , A Resolution of the Board of
Directors of the Midpeninsula Regional Open Space
District Establishing Signatories for Entering Safe
Deposit Boxes (First Interstate Bank of California
Los Altos) . B. Crowder seconded the motion. The
motion passed 6 to 0.
D. Authorization to Solicit Bids for Telephone System (Report
R-92-21)
Motion: G. Babbitt moved that the Board authorize staff to
solicit competitive bids from independent contractors
for up to a complete replacement of the telephone
system, as necessary, for the District ' s new
administrative office and the foothills and skyline
ranger offices. B. Crowder seconded the motion. The
motion passed 6 to 0 .
E. Final Adoption of the Preliminary Use and Management Plan for
the Sinclair Property Addition to Sierra Azul Open Space
Preserve (Report R-92-18)
Motion: R. Bishop moved that the Board adopt the Preliminary
Use and Management Plan for the Sinclair property
addition to the Kennedy Limekiln Area of Sierra Azul
Open Space Preserve, including the naming, as contained
in report R-91-14 , and indicate its intention to
dedicate the land as public open space. K. Duffy
seconded the motion. The motion passed 6 to 0.
F. Final Adoption of the Preliminary Use and Management Plan for
the Chew Property Addition to Sierra Azul Open Space Preserve
(Report R-92-19)
Motion: R. Bishop moved that the Board adopt the Preliminary
Use and Management Plan for the Chew property addition
to the Cathedral Oaks Area of Sierra Azul Open Space
Preserve, including the naming, as contained in report
R-91-145, and indicate its intention to withhold the

property from dedication as public open space at this
time. K. Duffy seconded the motion. The motion passed
6 to 0 .
G. Final Adoption of the Preliminary Use and Management Plan for
the Borelli Property Addition to Sierra Azul Open Space Preserve
(Report R-_92-20
Motion: R. Bishop moved that the Board adopt the Preliminary
Use and Management Plan for the Borelli property
addition to the Cathedral. Oaks Area of Sierra Azul Open
Space Preserve, including the naming, as contained in
report R-91-133 , and indicate its intention to withhold
the property from dedication as public open space at
this time. K. Duffy seconded the motion. The motion
passed 6 to 0.
H. Senate Bill 1298 Regarding Term Limitations (Report R-92-22)
Motion: R. Bishop moved that the Board refer Senate Bill 1298
to the Legislative Committee for action recommendation
to the full Board. K. Duffy seconded the motion. The
motion passed 6 to 0 .
VII . INFORMATIONAL REPORTS
K. Duffy reported that Gibson Anderson of Responsible Off-road
Mountain Peddlers (R.O.M.P. ) informed her that after having a field
trip with representatives of the Trail Center they concluded that
the trail alternative to the Sheldon Road access in Los Gatos is not
technically feasible. She stated that Mr. Anderson had not yet
confirmed that R.O.M. P. would continue its lawsuit for a
prescriptive access on Sheldon Road.
B. Crowder stated that she hiked up the Black Mountain Trail and
that the new trail , despite the rains , was in excellent condition.
G. Babbitt reported that the Santa Clara County Board of Supervisors
had its final meeting on the trails issue on January 28 . She stated
that Supervisor Mike Honda did an outstanding job in bringing about
an agreement to adopt a trails policy that preserves the authority
to require trails as part of new subdivisions .
H. Grench reported that on March 11 the Bay Area Council will hold
its 1992 Outlook Conference. He stated that California State Parks
and Recreation Department reported that over the years the District
has received $19,000, 000 in state grants , excluding Land and Water
Conservation Fund grants . He distributed a draft of the Bay Area
Open Space Council ' s vision statement and asked the Board for
comments .
H. Grench informed the Board that the Hassler assessment district

bonds would soon be entirely paid off and that the balance remaining
was about $13, 000. He also reported his participation in a
California Park and Recreation Society delegation to Washington D.C .
to visit California legislators .
H. Grench reported Santa Cruz County Local Agency Formation
Commission ' s approval of the annexation to the District of Santa
Cruz County lands in and adjacent to Long Ridge Open Space Preserve.
C. Britton reported on the progress and budget of the new office
building. He briefed the Board on the status of the toxics cleanup
at Mt . Umunhum. He stated that the Army Corps of Engineers study
affirmed the eligibility of Mt . Umunhum for clean-up and that
unofficial estimates for the cleanup project are in excess of
$2 , 000 , 000.
C. Britton also reported that a cabin on the Johnson property of the
Redwood Park subdivision was burned, perhaps by arson.
J. Escobar reported four incidents involving accidents on District
preserves and a single incident involving a cyclist collision and
assault , resulting in the subsequent arrest and release of one of
the cyclists .
M. Hale presented and requested a critique of a slide show that had
been assembled for general presentations .
VIII . CLAIMS
Motion: T. Henshaw moved that the Board approve Revised Claims 91-03
R. Bishop seconded the motion.
Discussion: The Board asked for explanations for 1.) claim
number 1974 to Town of Portola Valley, 2) number 1935 to
Communications Strategies , and 3) number 1934 to Annette
Coleman. Staff responded that 1) payment to Town of Oortola
Val-ley was for permit staff time costs for the Windy Hill
parking lot, adding that the project was proceeding; 2) .
Communications Strategies was a telecommunications
consultant; and 3) Annette Coleman participated on a panel
in Sacramento and requested reimbursement for use of her
personal vehicle. The motion passed 6 to 0.
IX. CLOSED SESSION
H. Grencb announced that personnel matters would be discussed in
closed session.
C. Britton announced that litigation matters to be discussed in
Closed Session fell under Government Code Sections 54956.9 (a)
Midpeninsula Regional Open Space District v. Town of Los Gatos and
Midpeninsula Regional Open Space District v. Acronico; and (b) (1)
significant exposure of the District to legal action. He said that

land negotiations to be discussed would be Santa Clara County
assessor' s parcel number 562-07-003 , negotiated with owner Michael
Quane, Santa Mateo County assessor' s parcel numbers 076-350-150 '
and -240 negotiated with owner Ryland Kelly, and San Mateo County
assessor' s parcel numbers 078-210-130 and -230, negotiated with
owner George Norton.
The Board recessed to Closed Session on personnel , litigation, and
land acquisition matters at 8 : 10 P.M.
X. ADJOURNMENT
The Board reconvened to adjourn the meeting at 12: 10 A.M. , Thursday,
February 13 , 1992 .
