A RESOLUTION: PRESENTED ~reh 22: lqqa 94-59 ADOPTED March 22~ 1994 AUTHORIZING ENTERING INTO AN AGREEMENT WITH CENTRAL LOUDOUN LITTLE I.EAGUE, INC., FOR THE USE OF ROBINSON PARK BASEBALL FIELD WHEREAS, the Town of Leesburg will receive ownership of a ten-acre park, known as Robinson Park, in the Exeter Subdivision, a part of the proffer agreement with the developers dated October 28, 1987; and WHEREAS, the construction of the park is nearing completion; and WHEREAS, a senior little league baseball field has been developed within the park; and WHEREAS, the Parks and Recreation Advisory Commission has recommended entering into an agreement with an organization providing baseball leagues for youth of the town; and WHEREAS, an advertisement was placed soliciting proposals from youth baseball organizations for the use of the baseball field; and WHEREAS, only one proposal was submitted from Central Loudoun Little League, Inc.; and WHEREAS, the Parks and Recreation Advisory Commission has reviewed the proposal and recommends acceptance: THEREFORE, RESOLVED by the Council of the Town of Leesburg in Virginia as follows: The Council of the Town of Leesburg authorizes the Town Manager to enter into an agreement with Central Loudoun Little League, Inc., for the use of the Robinson Park baseball field. Clem, ~ Mayor Town of Leesburg Robinson Park Field Use Agreement This agreement made this 25th day of March , 1994, by and between the Town of Leesburg, Virginia, hereafter "Town" and Central Loudoun Little League, Inc., hereafter "League." WITNESSETH V~-IE~, the Town and League desire to enter into agreement for the use of the Robinson Park baseball field; and V~-IEREAS, Robinson Park represents an excellent facility for organized baseball; and V~I-IEREAS, this arrangement mutually benefits both the Town and League in providing wholesome recreation for the youth of the community. THEREFORE, in consideration of the terms herein, Town and League agree as follows: The League shall have exclusive right to schedule the baseball field for league use for a twenty-year period from March 25 ~ , 1994, through March 25 ~ , 2014. The Town shall have the right to schedule the baseball field when not utilized by the League. The League shall provide schedules to the Town for practices and games, including make ups which shall control the usage of such field by the League. All times not specifically reserved for the League shall be available for the Town or its assignees. The baseball field shall be open to the public at all times when not scheduled by the League or Town. The League shall be responsible for all daily maintenance of the baseball field, including but not limited to mowing, dragging or marking, for the purpose of its scheduled games and practices. The League shall be allowed to make capital improvements to the baseball field with prior written approval by the Town. The League shall be allowed to construct buildings or other structures at Robinson Park with prior written approval by the Town. The League agrees to indemnify and hold the Town of Leesburg, its employees and agents harmless from any claims for damages to persons or property or claims for damages to persons or property asserted by third parties by reason of the operation of the organized events scheduled by the League. The League's applicable liability policy shall name the Town as an additional named insured at a minimum of $1,000,000 in comprehensive coverage which must be approved in advance. o 10. 11. 12. 13. -2- The League shall ensure that all scheduled games and practices authorized herein are appropriately supervised to the satisfaction of the Town of Leesburg. The Leesburg Parks and Recreation Department win serve as the contact for the Town of Leesburg. Violation of th~ terms of this agreement by the League shall result in the termination of said agreement. The agreement can be terminated by mutual consent of both parties. In the event of default by the League as to any term or condition of this agreement~ the League agrees to pay all expenses and costs incurred by the Town of Leesburg, as its assignees, as a result of such breach, including, but not limited to attorney's fees and court costs. This agreement shall be governed by the laws of the State of Virginia. March 25, 1994 THE FOLLOWING IS A SCHEDULE OF IMPROVEMENTS WHICH ARE PLANNED FOR ROBINSON PARK. The League plans to install all bases and a pitchers plate by April 1, 1994. The League plans to complete within three years, a building for Robinson Park which will include lavatory facilities, space to house any necessary baseball and field maintenance equipment, and possibly a concession stand.
