A RESOLUTION ADOPTING AN AGREEMENT BY AND BETWEEN THE CITY OF MOAB AND
THE UTAH DEPARTMENT OF TRANSPORTATION (UDOT) REGARDING STREET LIGHTING
WHEREAS, the City of Moab and UDOT desire to install street lighting facilities under the UDOT project
identified as S-0191(60)125; US-191, Dogwood Avenue to 400 East in Moab, Grand County; and
WHEREAS, the Street Lighting Agreement for said project is attached to this resolution.
NOW THEREFORE, WE, THE GOVERNING BODY OF THE CITY OF MOAB DO HEREBY RESOLVE to enter
into a Cooperative Agreement with the Utah Department of Transportation for Street Lighting (UDOT Project
Number: S-0191(60)125 and do hereby approve the attached Cooperative Agreement and authorize the
appropriate parties to execute and deliver said agreement.

STREET LIGHTING AGREEMENT
THIS STREET LIGHTING AGREEMENT, made and entered into this . _ day of
, 2008, by and between the UTAH DEPARTMENT OF TRANSPORTATION,
hereinaNer referred to as "UDOT", and MOAB CITY CORPORATION, a Municipal Corporation
in the State of Utah, hereinafter referred to as the "CITY",
WITNESSETH:
WHEREAS, the parties hereto desire to install street lighting facilities under the UDOT
Project identified as S-0191(60)125; US-191, Dogwood Ave to 400 East in Moab, Grand County;
Said facilities are shown on the UDOT provided plan sheets marked EXIBIT A, attached
hereto and thereby made a part hereof; and
WHEREAS, UDOT has determined by formal finding that payment for said work on public
right of way is not in violation of the laws of the State of Utah or any legal contract with the CITY.
THIS AGREEMENT is made to set out the terms and conditions where under said work
shall be performed.
NOW THEREFORE, it is agreed by and between the parties hereto as follows:
1. UDOT will:
a. Furnish all materials and install Live 250-Watt High Pressure Sodium
luminaires on State Route US-191, from Dogwood Ave to the current city
limit at no cost to the CITY.
b, Provide a representative of UDOT's Traffic and Safety Division to inspect
the installation during construction and upon completion of the street
lighting.
Upon completion of construction, the CITY will own said luminaires, and
all associated appurtenances. The CITY will thereafter maintain, provide electrical
power, and renew said street light units and appurtenances at no cost to UDOT.

3. It is understood that access for maintenance and servicing of the CITY's property
located on right of way, the CITY will be permitted only by permit issued by UDOT
to the CITY, and that the CITY will obtain said permit and abide by conditions
thereof for policing and other controls in conformance with UDOT's
"REGULATIONS FOR THE ACCOMMODATION OF UTILITIES ON FEDERAL -
AID AND NON -FEDERAL -AID HIGHWAY RIGHTS OF WAY."

Gentlemen:
Attached are six copies of our proposed Lighting agreement between the Utah Department
of Transportation and Moab City on the above noted project,
Please review this agreement. If you find it satisfactory for the purposes intended, please
have the proper officials execute six copies and return them to this office for our further handling.
Do not fill the date in on the first paragraph of the agreement, as it will be stamped by our
Comptroller's Office. if you find the agreement unsatisfactory, edit one of the agreement copies or
list your comments by agreement paragraph number on separate sheets of paper and retum them to
our office for our review and modification. Please do not retype the agreement as this adds greatly
to our review and modification time. A copy of the fully executed agreement will be furnished when
available.
