We propose to install the below -mentioned mosaic artwork(s):
Project: 2 custom-made ceramic mosaic artworks for fountain floor
Location: Key Biscayne Civic Center, Florida
Design: As per designs by Sarah Morris, as set forth in exhibit A
Size: 2 x 305 sq ft., exact dimensions as set forth in exhibit A
Material: Custom -glazed ceramic tile , 9 colors, custom -cut.
Delivery Date: Installation start date is October 17th, 2005 and will be of 2 -3 weeks duration.
Installation start date is contingent on timely payment of 50% due 30
days before installation start date. Installation start is also contingent on payment of
40% fabrication payment by Parallax, upon delivery of mosaics to the site.
Price: $11,500 USD, taxes not applicable.
Original clause in Parallax contract:
Installation: At the option of Parallax, Mosaika will perform the installation of the mosaics at
the site for a fee of $11,500 USD. Installation includes travel expenses,
placement, affixing and grouting of the mosaics to the fountain surfaces in the
plan set forth on exhibit A. Payment schedule for the installation is 50% 30 days
before installation, and 50% upon completion of installation.
Surface Preparation: Fountain surface must be completely level and smooth, with no
rippling. Fountain dimensions must be no smaller than indicated in Exhibit A, and no more
than '/2 inch larger than the dimensions indicated in Exhibit A.
This proposal, being accepted and signed, becomes a contract subject to these conditions
and those on the reverse.

General Conditions:
Language: All parties agree that the language of this submission/contract shall be in English.
Final Payment: All mosaics produced by Mosaika Art and Design Inc. will remain the property of
Mosaika Art and Design Inc. until final payment is received.
Terms: Past due accounts will carry interest at the rate of 2% per month.
Late delivery: Mosaika Art and Design Inc. cannot be held responsible for late deliveries due to fires,
accidents, transport delays or other causes that are beyond our control.
Site:
For projects including installation: Installation surface must be uniform and smooth and
ready for on time installation. The site must be accessible to our workers and isolated
from public traffic during the installation period, as well as 24 hours thereafter for
proper drying of installation materials.
Changes: No person other than Kori Smyth or Saskia Siebrand of Mosaika Art and Design Inc is
authorized to modify the prices, terms or conditions indicated.
Acceptance: The present proposal is subject to revision if not signed and accepted in the 30 days
after the date shown. Minimum time to complete the work must be available from the
date of acceptance and deadline for delivery. Acceptance is contingent on dispositions
of satisfactory credit.
Visits: Parallax employees shall have the right to make scheduled visits to Mosaika's
commercial atelier during the production of the mosaics.
Acknowledgements: Mosaika Art and Design Inc has a non-exclusive and non -transferable
permission to document the installed mosaic in its entirety or detail, for
Mosaika Art and Design Inc's own commercial advertising purposes, but not for
commercial resale of documentation in any way.
